Deed of Appointment

and/or Retirement of Trustees

For consideration by solicitors for the Appointor(s)


and/or Trustees
IMPORTANT: This Deed will not be suitable for use where
changes to trustees under more than one trust are required.
This deed should not be used if the Settlor is exercising the
power to remove a trustee without their consent. Please use a
Deed of Removal (reference CTS47) for this purpose.
Friends Life categorises each trustee of an investment contract as a 'retail client'. This gives you the
highest level of protection available under the Financial Services Authority's (FSA) Conduct of
Business Rules. If you would otherwise be categorised under FSA Rules as a 'professional client' or
an 'eligible counterparty' then you may not have access to the Financial Services Compensation
Scheme or Financial Ombudsman Service. Please contact your financial adviser if you require further
details.

This deed should be completed with the details that appear on your policy
document. Please ensure you provide all the information requested in the Schedule
(policy number etc.). When completed, please send this deed to:

GENERAL INFORMATION

HOW TO COMPLETE THIS DEED

Definitions:

1. Please read this Deed to make sure that it meets


your requirements.

Deed means the three numbered pages following.


Appointor(s) mean(s) the person(s) in whom
is(are) vested the power of appointing new trustees.
N.B. This will usually be the Settlor(s) of the trust
but need not necessarily be so.
Settlor(s) mean(s) the person(s) who created the
trust.
New Policy means a policy which is being
applied for but has yet to come into force.
Existing Policy means a policy which is already
in force.
What is the maximum number of trustees
needed to administer a trust?
In practice there is generally no limit to the number
of trustees who may be appointed. However, for
ease of administration, the number of trustees is
usually limited to four.
What is the minimum number of trustees needed
to administer a trust?
No fewer than two trustees should remain to
administer the trust.
Important Note: the trust fund may be subject to
tax in any territory where a trustee is resident.
Friends Life cannot advise on non-UK tax issues.

2. In Part A of the Schedule, insert the full name(s)


and address(es) of all the Appointor(s). This will
be the person or people who have the power of
appointing new trustees, usually the person or
people who created the trust. If in doubt, please
refer to the original Trust document.
3. In Part B of the Schedule, insert the full name(s)
and address(es) of the Continuing Trustees,
including the Appointor(s), unless the
Appointor(s) have decided to retire.
4. In Part C of the Schedule insert the full name(s)
and address(es) of (all) the New Trustee(s) (if
any) who is(are) to be appointed as trustees by
this Deed and who is (are) to act jointly with the
Settlor(s) and Continuing Trustee(s) (if any).
5. In Part D of the Schedule, insert the full name(s)
and address(es) of (all) the Retiring Trustee(s)
(if any) who is(are) to retire. In the case of a
trustee whose name and address are also shown
in Part A, the address may be shown as as
above. Note that under the terms of this Deed
any Retiring Trustee also relinquishes the right
to have any say in any subsequent appointment
of a new trustee.
If an Appointor who is also a Settlor of the trust
is retiring, and they wish to retain the right to
have a say in any subsequent appointment of a
new trustee, the optional paragraph on page 1 of
3 should be deleted and initialed by that
Appointor.
6. In Part E of the Schedule, insert brief details of
the policy(ies) held subject to the Trust. The
name of the Issuing Company should be the
name of the company as it appears on your
policy document. Please see also Note 8 below.
7. In Part F of the Schedule, insert the date on
which the trust was created.
8. On the final page, insert the date on which the
parties hereto completed this deed.
Please note that where a new policy trust has
been declared, this Deed must not pre-date the
risk date of the policy(ies).
All parties to the Deed should sign and their
signatures should be witnessed by an
independent witness (i.e. someone unconnected

THIS DEED OF APPOINTMENT and/or RETIREMENT OF TRUSTEES is made between the


parties named in the Schedule (who are referred to by the descriptions given to them in the Schedule) and
is supplemental to the Trust (hereinafter called the Trust) identified in Box F of the Schedule.

WHEREAS:
(a) The policy(ies) identified in Box E of the Schedule are now the property of the Trust.
(b) The Continuing Trustees (if any) and the Retiring Trustees (if any) is(are) the present
trustee(s) of the Trust.
(c) The power of appointing new trustees of the Trust is vested in the Appointor(s).
(d) The Continuing Trustee(s) (if any) desire(s) to remain as a trustee (trustees).
(e) The Retiring Trustee(s) (if any) desire(s) to be discharged from the trusts created by the Trust.
(f) The Appointor(s) is(are) desirous of appointing the New Trustee(s) (if any) to be a

trustee(trustees) of the Trust and to act jointly with the Continuing Trustee(s) (if any) (in place
of the Retiring Trustee(s) if any).
NOW THIS DEED WITNESSETH that in exercise of the power for the purpose vested in him/her/them
by the Trust and of every other power him/her/them enabling the Appointor(s) HEREBY APPOINT(S)
the New Trustee(s) (if any) to be a trustee (trustees) of the Policy (in place of the Retiring Trustee(s) if
any) and to act jointly with the Continuing Trustee(s) (if any) for all the purposes of the Trust of such of
the same as are still subsisting and capable of taking effect and the Continuing Trustee(s) (if any) and the
Retiring Trustee(s) (if any) HEREBY ASSIGN to the Continuing Trustee(s) (if any) and the New
Trustee(s) (if any) the Policy and all rights, benefits and provisions thereof TO HOLD the same upon the
trusts and with and subject to the powers and provisions declared in the Trust.
Optional (see note 5):
If a Settlor is also a Retiring Trustee they hereby irrevocably relinquish any hitherto subsisting
power of appointing new trustees.
