owning 50% or slightly less of the digital music service. According to the filing, the negotiations are focused on
restructuring both parties economic rights in the joint venture as well as their relative abilities to exercise control over

MTV Networks
MTV Networks is a division of media conglomerates Viacom that oversees the operations of
many television channels and Internet brands, including the original MTVchannel in the United States.
The company was established in 1984 after Warner Communications and American Express decided to
divest the basic cable assets of Warner-Amex Satellite Entertainment, renaming it MTV Networks, Inc.
Warner-Amex originally created and owned Nickelodeon, MTV, VH1, and The Movie Channel.
Viacom acquired 66% of the company in 1985, and then acquired the remaining interest in 1986. It was
then folded into Viacom International Inc., a subsidiary of Viacom Inc., and is no longer a distinct legal
entity.

MTV Networks
MTV (formerly an initialism for Music Television) is an American cable televisionnetwork based in New
York City that launched on August 1, 1981.[1] The original purpose of the channel was to play music
videos guided by on-air hosts known as VJs.[2] Today, MTV still plays a limited selection of music videos,
but the channel primarily broadcasts a variety of popular culture and reality television shows targeted at
adolescents and young adults.
Since its premiere, MTV has had a profound impact on the music industry and popular culture. Slogans
such as "I want my MTV" became embedded in public thought, the concept of the VJ was popularized,
the idea of a dedicated video-based outlet for music was introduced, and both artists and fans found a
central location for music events, news, and promotion. MTV has also been referenced countless times in
popular culture by musicians, other TV channels and shows, films and books.
MTV has spawned numerous sister channels in the U.S. and affiliated channels internationally. MTV's
moral influence on young people, including issues related tocensorship and social activism, has been a
subject of debate for years. MTV's choice to focus on non-music programming has also been contested
relentlessly since the 1990s, demonstrating the channel's impact on popular culture.
This list of MTV channels includes every channel broadcast by MTV Networks or its partners or
affiliates, beginning with the original MTV (Music Television) channel in the U.S., and proceeding by
continent, in order of arrival.

Description
MTV is the dynamic, vibrant experiment at the intersection of music, creativity and youth culture. For over
27 years, MTV has evolved, challenged the norm, and detonated boundaries -- giving each new
generation a creative outlet and voice that entertains, informs and unites on every platform and screen.
On-air, MTV is the number one rated full-day ad-supported cable network for P12-24. Online, MTV.com
averaged 8.5 million monthly unique visitors during the first quarter of 2009 -- up +6% from Q4/2008 and
up +6% year-over-year. Total video streams for the first quarter of 2009 increased 21% over the same
time period last year. And MTV's successful sibling networks MTV2, mtvU and MTV Tr3s each deliver
unprecedented customized content, super-serving music fans, college students and young American
Latinos like no one else. MTV is part of MTV Networks, a unit of Viacom (NYSE: VIA, VIA.B), one of the
world's leading creators of programming and content across all media platforms.
