FACTS: Camps, the owner of the Washington
Caf, left Mr. Flores in charge as managing
agent of the Caf. As manager, Flores
purchased goods for the Caf from Macke, et
al.
Issue: Is Camps liable for the purchase price
of the goods?
HELD: Yes. Flores, as managing agent of the
Washington Caf, had authority to buy such
reasonable quantities of supplies as might
from time to time be necessary in carrying on
the business of the Caf.
Meaning of acts of administration It seems
easy to answer that acts of administration are
those which do not imply the authority to
alienate for the exercise of which an express
power is necessary. Yet what are acts of
administration will always be a question of
fact, rather than of law, because there can be
no doubt that sound management will
sometimes require the performance of an act
of ownership. But, unless the contrary
appears, the authority of an agent is presumed
to include all the necessary and usual means
to carry out the agency into effect.
Existence of actual agency If the estoppel is
caused by the principal, he is liable to any
third
person
who
relied
on
the
misrepresentation. Our Supreme Court has
said: One who clothes another with apparent
authority as his agent, and holds him out to
the public as such, cannot be permitted to
deny the authority of such person to act as his
agent to the prejudice of innocent third parties
dealing with such person in good faith and in
the honest belief that he is what he appears to
be.

H. Chandler, partners doing business under the
firm name of Macke, Chandler & Company,

delivered at his place of business, known as
