Letter of Assurance and End Use Certification

It is Autodesks policy to verify the end-use and end-users for Autodesk products in certain
circumstances. This is to ensure compliance with applicable United States export control laws and
regulations, specifically Parts 736 and 744 of the Export Administration Regulations (EAR) as well as
with the laws and regulations of the country in which your company is located.
I am making this certification on behalf of the company listed below (the Company), and confirm that I
am (please check all that apply):
An officer of the Company listed below.
A person with personal knowledge of how the Company will use Autodesk products (the
Products), including those identified below.
I certify that:
A. The Autodesk Products will not be used directly or indirectly in any one or more of the following
activities:
(1) Nuclear explosive activities. Nuclear explosive activities include research on or development,
design, manufacture, construction, testing or maintenance of any nuclear explosive device, or
component or subsystems of such a device; or
(2) Unsafeguarded nuclear activities. Unsafeguarded nuclear activities include research on, or
development, design, manufacture, construction, operation, or maintenance of any nuclear
reactor, critical facility, facility for the fabrication of nuclear fuel, facility for the conversion of
nuclear material from one chemical form to another, or separate storage installation, where there
is no obligation to accept International Atomic Energy Agency (IAEA) safeguards at the relevant
facility or installation when it contains any source or special fissionable material (regardless of
whether or not it contains such material at the time of export), or where any such obligation is not
met; or
(3) Safeguarded and unsafeguarded nuclear activities. Safeguarded and unsafeguarded nuclear fuel
cycle activities include research on or development, design, manufacture, construction, operation
or maintenance of any of the following facilities, or components for such facilities:

Chemical processing of irradiated special nuclear or source material;


Production of heavy water;
Separation of isotopes of source and special nuclear material; or
Fabrication of nuclear reactor fuel containing plutonium; or

(4) Design, development, production or use of rocket systems or unmanned air vehicles for any
country listed in the EAR Country Group D: 4 (available at:
http://www.access.gpo.gov/bis/ear/pdf/740spir.pdf). As of January 15, 2015, Country Group D:4
includes:
Bahrain, China, Egypt, Iran, Iraq, Israel, Jordan, North Korea, Kuwait, Lebanon, Libya, Macau,
Oman, Pakistan, Qatar, Saudi Arabia, Syria, United Arab Emirates, and Yemen.
Rocket systems include, but are not limited to, ballistic missile systems, space launch vehicles,
and sounding rockets. Unmanned air vehicles include, but are not limited to, cruise missile
systems, target drones and reconnaissance drones.

(5) The design, development, production, stockpiling, use or delivery of chemical, biological or
nuclear weapons or maritime nuclear propulsion projects.

B. Unless authorized by an appropriate export license or other export authorization from the United
States government, the Company will not sell, export, re-export, divert or otherwise transfer any
Autodesk Products, technology or software to any location that requires U.S. government approval,
including as of January 15, 2015, Cuba, Iran, North Korea, Sudan, Syria, and the Crimean peninsula.
C. The Company acknowledges that the laws of the United States do, and the laws of other countries
with jurisdiction over the Company or its export activities may, prohibit or restrict the sale, export or reexport, diversion or transfer of Autodesk Products to, or other participation in any export transaction
involving Autodesks Products by, certain individuals or companies as listed in the applicable export
control laws or regulations. The Company will comply with all such prohibitions and restrictions. The
Company acknowledges that the United States lists include the U.S. Department of Commerces Denied
Persons List and Entity List and the U.S. Department of Treasurys List of Specially Designated Nationals
(available at: http://www.bis.doc.gov/complianceandenforcement/liststocheck.htm).
D. The Company will abide by all applicable export control laws and regulations, whether of the United
States and of any other country with jurisdiction over the Company or its export activities, in connection
with its purchase of Autodesk Products. The Company will obtain any licenses or approvals required by
such laws and regulations prior to the sale, export, re-export, diversion or other transfer of Autodesks
Products, software or technology.
E. The Company will provide applicable documentation (e.g., Delivery Verification Certificate) as
requested by Autodesk.
F. The Autodesk Products will only be installed at the premises of the Company.
G. If circumstances change such that one or more of the certifications given in this Letter of Assurance
and End Use Certificate is no longer true with respect to any Products purchased now or in the future, the
Company will promptly notify Autodesk in writing.
