Proposed Introducer Agreement- Overseas Operations

Without prejudice this agreement is between

Debtsettlers Ltd, whose trading address is Suite 5 Langham House East, Mill Street, Luton LU1
2NA and The Introducer, whose name and address appear within the signatories to this
agreement.

OVERVIEW
- The Introducer is an organisation who, while conducting its everyday business, comes into
contact with a number of individuals with particular financial needs who could benefit
from Debtsettlers services.
- Debtsettlers provides complete financial solutions to the clients of Introducers
- Debtsettlers and the Introducer have agreed to enter into an association with a view to
seeking to improve the range of services that are available to individuals with financial needs
so as to give them access to personal financial advice
- The Introducer has agreed to provide certain services the Debtsettlers as provided for in this
document

Drafted Heads of Terms

1. DEFINITIONS
1.1 Introducer Referral Form; means the document provided to the Introducer on which to
submit referrals to Debtsettlers
1.2 FSA; means the Financial Services Authority
1.3 IVA; means Individual Voluntary Arrangement
1.4 DMP; means Debt Management Plan
1.5 OFT; Office of Fair Trading

2. AGREEMENT
In consideration for the mutual undertakings contained in this Agreement, the Introducer:
2.1 Agrees to refer any client it believes to be in need of a specific financial solution to
Debtsettlers.
2.2 Will ensure that prior to any referral the Introducer has actively sought and gained
permission from the applicant that he/she agrees to the Introducer passing information to
Debtsettlers
2.3 Undertakes with Debtsettlers at all times to comply with its obligations and any other
applicable requirement of the TPS, Data Protection Act 1998, Consumer Credit Licence or
OFT guidelines.
2.4 understands that Debtsettlers will pay to the Introducer the Commission Fee in respect of
each case where a financial solution is completed ie a pack out. Introducer will generate an
invoice detailing any payments due to be paid by Debtsettlers a week in arrears.
2.5 is aware that this agreement is in no way legally binding and any other contract or
agreement will supersede the afore said.

3. PROMOTION
3.1 Debtsettlers reserves the right for the Introducer to promote to its clients the services of
Debtsettlers
3.2 Debtsettlers reserves the right to agree the contents and form of any marketing or
promotional material issued by the Introducer relating to Debtsettlers with permission only

4. CONFIDENTIALITY
Recognising that the subject matter of this agreement will introduce the sharing of
confidential information:
4.1 The Introducer will treat all information relating to Debtsettlers (other than information
which is or becomes in the public domain) in the strictest confidence and will not to make use
of such confidence information for any purposes other than in connection with this
agreement or as may be agreed with Debtsettlers Ltd
4.2 Debtsettlers Ltd undertakes to hold the information supplied by the Introducer in
accordance with the Data Protection Act 1998

5. TERMINATION
5.1 This Agreement may be terminated by either party on not less than 1 month’s notice in
writing but in any event may be terminated by either party by written notice in the event of
there occurring a material breach of terms hereof
5.2 This Agreement shall terminate immediately upon the bankruptcy or insolvency of either
party or if either party makes any composition with its creditors or if the Introducer ceases for
any reason to be subject to regulation by the OFT.
5.3 The termination of this Agreement howsoever caused shall be without prejudice to any
obligations or rights of any of the parties which have accrued prior to such termination or
cessation and shall not affect any provision prior to such termination or cessation which is
expressly or by implication intended to come into effect on or to continue in effect after such
termination or cessation

6. PARTNERSHIP
6.1 This Agreement shall not constitute a partnership between Debtsettlers Ltd and the
Introducer

7. ENTIRE AGREEMENT
7.1 This Agreement constitutes the entire agreement between the parties, supersedes any
previous agreement or understanding and may not be varied except in writing between the
parties. If any provision hereof is held by any competent authority to be invalid or
unenforceable in whole or in part, the validity of the remaining provisions and the remainder
of the provision in question shall not be affected.

8. LAW
8.1 These terms and conditions shall be governed by and construed in accordance with
English law. The parties submit to the exclusive jurisdiction of the English court

The Introducer will look to supply Debtsettlers Ltd with one or more of the following lead
type:

10. Payment Terms

Debtsettlers Ltd agrees to pay the referrer a sum on a pack out basis based on the lower and
upper value criteria. Payment shall be made to the introducers nominated bank account a
week in arrears upon successful submission of an invoice.

11. Special Terms/Notes – Debtsettlers agrees to provide accurate reporting to the introducer
both manual and automated (wherever possible) to ensure correct invoices to be generated in
respect to hot keyed leads.
