Introduction
Pakistan Association of Automotive Parts & Accessories Manufacturers PAAPAM is the
organizing committee of the Pakistan Auto Show 2016 (hereinafter referred to as Party A)
and (Party B Name) (hereinafter referred to as Party B), after negotiations, both parties
reached the cooperation agreement that Party B is authorized to act as the partner as per
schedule of Party A, shall recruit and organize related enterprises in Party Bs country
(Country Name) to participate in the Pakistan Auto Show 2016 scheduled to be held by Party
A at Expo Centre Lahore from March 4th - 6th 2016.
I. Operation and Participation to Pakistan Auto Show 2016
1. Party A will be responsible in the form of providing installed standard booths, floor
space, relevant facilities. It will ensure necessary availability to each of the exhibitor
to process their business exhibition or demonstration during the specified period of
Pakistan Auto Show -2016.
2. All the exhibitors shall act in accordance with the prescribed regulations and
conditions that the organizers set at Pakistan Auto Show 2016.
3. Besides the incentive policy to be offered by Party A to Party B which is going to be
stipulated in the Clause, that any participant, exhibitor, visitor shall duly pay for their

own expenses of booth(s), travel expenses, accommodations and incidental expenses

by their own account.
II. Requirement to the Recruitment of Overseas Participants
Party B, at the request of Party A, shall recruit and organize the enterprises or business firms
in Party Bs country, including Associations, traders, Tooling Companies, auto decoration,
maintenance and fittings, auto trade, auto logistics, auto electronic, auto finance, Raw
Material Providers, Farm Mechanization Companies and other related business sector of
automotive industry to participate in the event.
III. Prices of Booth or Floor Space:
International Pavilion
Hall-1 & 2 of the Expo Centre Lahore
Standard Booth Cost : $3500
Size: 4m x 3m, which will include furniture & Electric Connection.
IV. Incentive Policy to Party B
In order to facilitate the Party B to be effectively recruiting enterprises to participate in the
event, Party A shall offer Party B the relevant incentive policies as follows:
Provided that Party B can recruit standard booths and/or floor space Party A shall
reward party B with 5% of the total amount of the rented standard booth and/or
floor space. If Party B can recruit more than 5 companies than the percentage will
be increased to 10%
For an Exclusive Contract Party B will have to confirm at least 5 participants.
V. Liabilities and Obligations of Party A
1. Providing assistance in Visa processing by issuing a VISA recommendation letter to
the foreign party who has transferred all the dues, subject to cross and relevant
security checks of the company.
2. Party A shall be responsible to offer all the necessary assistance and services to the
needs of exhibitor(s), participant(s), such as Hotel Reservation, transportation, and
other necessary facilities for their participation at PAPS-2014 which will be charged
separately.
VI. Liabilities and Obligations of Party B
1. Except the incentive policies granted by Party A to Party B, Party B shall on its own
account for all other relevant expenses accrued therefore to the promotion and
recruitment work or activities for Pakistan Auto Show 2016.
2. After signing the agreement, Party B shall actively carry out all necessary promotion
and advertising works for recruiting relevant participants to attend the 2016 mega
event at its own expenses.
3. The expenses items payable by Party A to Party B specifically stipulated in this
agreement shall be paid by Party A to Party B within 20 days of closing of Pakistan
Auto Show 2016 according to percentage of the rented amount of recruited standard
booth or floor space.
4. Party B shall promptly notify Party A of its promotion and recruitment progress, the
background of potential participants so as to facilitate Party A to carry our necessary
promotion to counterparts in their respective countries. Reports of Party Bs activities
should be shared with Party A every 20 days.

5. Party B shall try its effort to provide Party A, the detailed information of the exhibitors
for the entry of the show directly before 31st December.
6. Party B will not be the only exclusive partner. Depending on performance Party A will
have the right to recruit other parties for the promotion of Pakistan Auto Show 2016
in the same country.
7. Party A will entertain any exhibitor or delegation which has directly contacted the
association or show management in Pakistan, and no commission will be given on
that party. This information will be shared after 20days after the marketing starts.
8. If Party A feels to its satisfaction that the recruitment by Party B is satisfactory it may
consider exclusivity for party B and change the agreement.
VII. Termination + Performance
1. The expiration or termination of this Agreement, for any reason, shall not release
either Party from any (obligation or) liability to the other Party. Party A if not satisfied
with performance of Party B can terminate the agreement but shall pay commission
to the extent of the parties introduced
2. Performance evaluations will be done every month.
3. Decision of the Chief Organizer will be final.
VIII. Payment Schedule
1. Party B will be eligible for the decided percentage once total payment of the exhibitor
has been transferred in to the account of Pakistan Auto Show 2016.
2. Party A shall remit the commission due to Party B as per the actual exhibition space
recruited by Party B within 20 days upon Closing of Pakistan Auto Show 2016.
Any term(s) and condition(s) which are not mentioned in this agreement and any dispute
that may occur upon to the execution of this agreement shall to be settled through a friendly
negotiation between Party A and Party B.
