AGREEMENT TO SELL

This AGREEMENT, made and executed this _____ day of ______________, 201___
at _____________________________________, by and between:

RANDY J. MANIPON, Filipino, of legal age, single and with postal address at
Block 84 Lot 1, 1427 St., Villamor Airbase, Pasay City, herein referred to as the
SELLER

-and-

ERWIN S. DELA CRUZ, Filipino, of legal age, married and with residence and
postal address at Lot 23 Blk C. Sampaguita St., Progressive 3 Village, Molino 1,
Bacoor, Cavite, hereinafter referred to as the BUYER

Witnesseth: That

1. The SELLER is the absolute and registered owner of fee simple of a residential
parcel of land situated at the City of Bacoor, Cavite, more particularly described
as follows, to wit:
TRANSFER CERTIFICATE OF TITLE
A parcel of land (Lot 26-A of the subd. plan, psd-04-017021, being a
portion of Lot 26, PSD-04-01597, LRC Rec. No.), situated in the Bo. of
San Nicolas, Municipality of Bacoor, Prov. of Cavite. Bounded on the SE.,
along line 1-2 by Lot 26-B of the subd. Plan; on the SW., along line 2-3
by Lot 25 (Felipe Mitzi & Aritalla Barbasa); on the NW., along line 3-4 by
Lot 43 (existing road 5.00 M. wide), both of PSD-04-015917; on the NE.,
along line 4-1 by Lot 27, PSD-04-015917 (Efifania Reyes). Beginning at a
Pt. marked 1 on the plan, being S. 30 deg. 52W 556.14M. from Mon.

182, Imus Estate; thence S. 48 deg. 36W., 20.00 M. to Pt. 2; thence N.


41 Deg. 24W., 20.00 M. to Pt. 3; thence S. 48 Deg. 36E., 20.00 M. to Pt.
4; thence S. 41 Deg. 24E., 20.00 M. to the Pt. of beginning, containing
an area of four hundred (400) Sq. Meters.
2. The SELLER hereby agrees to sell to the BUYER and the latter hereby agrees to
buy from the former the above stated-described parcel of land.
3. The BUYER shall shoulder the expenses for the registration of the title in his
name while the SELLER shall pay the capital gains tax, transfer tax,
documentary stamps and other relevant expenses payable by the SELLER.
4. FOR AND IN CONSIDERATION OF THE SUM OF PESOS: ONE MILLION SIX
HUNDRED THOUSAND ONLY (1,600,000.00), Philippine Currency, the SELLER
has agreed to sell to the BUYER the subject property, under the following terms
and conditions, to wit:
A. The BUYER shall pay a sum of ONE MILLION FOUR HUNDRED
THOUSAND PESOS (P1,400,000.00) to be paid upon the execution of
this Contract to Sell and acknowledged the receipt of the same to his
total satisfaction by virtue of these present;
B. Upon the receipt of the above-mentioned payment, the SELLER shall
execute an Absolute Deed of Sale in favor of the BUYER without further
demand and cause the transfer of the title in the name of the BUYER;
C. The balance of the purchase price in the sum of TWO HUNDRED
THOUSAND (P200,000.00) shall be retained buy the BUYER in which
the payments for the capital gains tax, transfer tax, documentary stamps
and other relevant expenses payable by the SELLER are to be deducted
from;
D. The BUYER shall return to the SELLER whatever change it may have
from the retained amount after the registration of the title in his name is
completed.
