NOTICE ON MICRO 1-EV


The Micro 1-EV has been UL listed to the latest UL864 standards since 1987. With the advent of
UL864 revision 9, it became quickly apparent that the control panel could not be modified or
upgraded to meet this latest standard. The UL864 version 9 standard became fully effective as of
December 31st, 2008.

The following is the current status of the Micro 1-EV Control Panel:
Chemetron is working to continue manufacturing of the MICRO 1-EV control unit components for
replacement purposes. These components will carry a valid UL label that specically indicates they
will be for replacement purposes ONLY. The earliest we expect to have MICRO 1-EV replacement
boards in stock and available for shippment will be May 2010.

Acceptance of an order is based the price in effect at


time of shipment.

SELLER agrees to sell the materials covered herein (the


Materials) to Purchaser pursuant to the following
terms of sale which supersede any alternative terms in
any other document unless Seller has expressly agreed
in writing to override these terms. ANY ATTEMPTED
ACKNOWLEDGEMENT OF AN ORDER CONTAINING
TERMS INCONSISTENT WITH OR IN ADDITION TO THE
TERMS OF THIS ORDER IS NOT BINDING. ANY
ADDITIONAL OR DIFFERENT TERMS CONTAINED IN
PURCHASERS PURCHASE ORDER OR IN ANY OTHER
CORRESPONDENCE SHALL BE DEEMED OBJECTED TO BY
SELLER AND SHALL BE OF NO FORCE OR EFFECT.
Notwithstanding anything contained in the attached
purchaser order to the contrary the terms and
conditions of sale (Agreement) shall govern the rights
and obligations of the parties and in the event of a
conflict between the provisions of this agreement and
the order, the provisions of this Agreement shall prevail.

authorized representative of Seller.

Chemetron Fire Systems reserves the right to ship all
orders by the shipping service of our choice.
Overnight shipping is available upon request. An
expediting charge, per the schedule below, will be
added to the normal shipping charges.

ACCEPTANCE - Acceptance of an Order is based on the


express condition that Purchaser agrees to these Terms.
Acceptance of any portion of the shipment by Purchaser
will constitute Purchasers assent to these Agreement
Terms in its entirety.
FACILITIES FURNISHED BY BUYER Without cost to
Chemetron Fire Systems, Buyer shall furnish the
necessary site, easements, facility, utilities, access and
other to allow Seller to deliver the equipment to the
Buyers designated site and to perform the contract.
Buyer agrees to provide a safe and secure workplace for
Seller personnel including but not limited to:

$150.00 Expedite fee for same day shipments.


Purchase Order requests for same day shipments must
be received by noon central time.

(a) Buyer will provide us with an overview of the site


hazards prior to work beginning;
(b) Buyer will provide utility and other system
connections in a condition that is safe and properly
locked/tagged out in accordance with appropriate OSHA
regulations in order to ensure the safety of Seller
personnel;
(c) Buyer will provide appropriate work area controls so
as to prevent unauthorized access to the area where
work being performed by Seller personnel is occurring;
and
(d) Buyer will remove and remediate any waste or
hazardous materials in accordance with applicable laws
and regulations.

PRICES AND PAYMENT - All prices on Sellers price list


are subject to change by Seller without notice. Seller
reserves the right to increase its prices and Purchaser
shall pay any such increases, to compensate for
variations in labor, materials, currency exchange, import
surcharge, excise duty, air and ocean freight charges or
other costs between the date of the purchase order,
quotation or tender and the date of shipment.
Seller shall ship Products FOB Sellers Plant and shall
invoice upon shipment in U.S. dollars. Full payment for
the Products and spare parts (including any freight,
taxes, insurance, special packing, or other applicable
costs initially paid by Seller for the account of Purchaser)
shall be made by Purchaser to Seller thirty (30) days
from the date of the invoice. Payment shall be in U.S.
dollars. At such time as Seller may grant a line of credit
to Purchaser, payment terms shall be net thirty (30)
days after date of invoice. Any invoiced amount not paid
when due shall be subject to a service charge of one and
one-half percent (1.5%) per month. Purchaser shall pay
all of Seller's costs and expenses (including reasonable
attorneys' fees) to enforce and preserve Seller's rights
under this Section. If, at any time or for any reason,
Seller shall have cause to question Purchasers ability to
perform, Seller may demand such assurances of
Purchasers performance as Seller shall deem necessary
in its discretion, including payment in advance for all
shipments. If Purchaser fails within 10 days of Sellers
demand to provide Seller with such assurance, Seller
shall be entitled to cancel any order then outstanding
receive reimbursement for its reasonable and proper
cancellation charges and may proceed to collect,
without limitation, any sums due and owing, its
reasonable cancellation charges and all damage
resulting from Purchasers default. In the event of
bankruptcy or insolvency of Purchaser, or in the event of
any proceeding brought against the Purchaser,
voluntarily or involuntarily, under bankruptcy or any
insolvency laws, Seller shall be entitled to cancel any
order then outstanding at any time.
TAXES - In addition to the purchase price, Buyer shall
pay to Seller the amount of any and all applicable duties,
or sales, use, excise, value added or similar taxes
imposed upon Seller on account of the sale or
transportation of the Materials delivered hereunder.
Unless appropriate exemption certificates are furnished
to Seller, any such taxes will be added to the invoices as
separate items.
Warranty as to Services: Seller warrants that the
services provided hereunder will be performed in
accordance with generally accepted industry standards
and practices by competent personnel. In the event that
any services fail to comply with the foregoing standard,
Seller will, at its

option, provided it is promptly notified in writing within


a ninety (90) day period from the date such services are
completed either re-perform such non-complying
services at no additional charge or refund to Purchaser
all fees theretofore paid by Purchaser with respect to
such non-complying services.
Warranty as to Materials: Seller warrants that any
products supplied shall be free from defects in
workmanship or material for a period of one (1) year
from the date of shipment (the "Warranty Period"). In
no event shall Seller have any obligation to make
repairs, replacements or corrections required, in whole
or in part, as the result of (i) normal wear and tear, (ii)
accident, disaster or other event beyond the reasonable
control or fault of Seller, (iii) misuse, fault or negligence
of or by Purchaser, (iv) use of the products in a manner
for which they were not designed, (v) causes external to
the products such as, but not limited to, power failure or
electrical power surges or (vi) use of the products in
combination with equipment or software not supplied
by the Seller. Any installation, maintenance, repair,
service, relocation or alteration to or of, or other
tampering with, the products performed by any person
or entity other than Seller or Sellers currently
authorized distributor, without Sellers prior written
approval, or any use
of replacement parts not supplied by Seller, shall
immediately void and cancel all warranties with respect
to the affected products.
Seller shall not be liable or responsible for defects in any
portion or part of the Materials manufactured by others
and not supplied by Seller. Any claim by Purchaser with
reference to the Materials for any cause shall be
deemed waived by Purchaser unless submitted to Seller
in writing within ten (10) days from the date Purchaser
discovered, or should have discovered, any claimed
breach. Purchaser shall give Seller an opportunity to
investigate, provided that Seller is furnished prompt
notice by Purchaser of any defect and an opportunity to
inspect the alleged defect via the Return Material
Authorization (RMA) procedure. During the Warranty
Period, provided Seller is promptly notified in writing
upon the discovery of any defect in workmanship or
material and further provided that all costs of returning
the defective products to Seller are pre-paid by
Purchaser, Seller shall, at its option and sole discretion,
either: (i) repair the defective or non-conforming
Materials, or (ii) replace the nonconforming Materials.
In no event shall any obligation exceed the purchase
price actually paid. This warranty does not cover defects
resulting from modification, alteration, misuse,
exposure to corrosive conditions or improper
installation or maintenance.

THE FOREGOING WARRANTIES ARE THE SOLE AND


EXCLUSIVE WARRANTIES GIVEN BY SELLER FOR THE
SERVICES PERFORMED AND PRODUCTS PROVIDED
HEREUNDER, AND ARE IN LIEU OF ALL OTHER
WARRANTIES OF ANY KIND, WHETHER EXPRESS OR
IMPLIED, ORAL OR WRITTEN, WHICH ARE HEREBY
DISCLAIMED AND EXCLUDED BY SELLER,
INCLUDINGWITHOUT LIMITATION ANY WARRANTY OF
MERCHANTABILITY OR FITNESS FOR A PARTICULAR
PURPOSE OR USE.
FORCE MAJEURE - Neither party will be in breach of this
contract or be liable to the other party if it fails to
perform or delays the performance of an obligation as a
result of an event beyond its reasonable control,
including, strikes, industrial disputes, fire, flood, act of
GOD, epidemic, extreme weather or act of government.
Seller shall have such additional time for performance as
may be reasonably necessary under the circumstances
and may adjust the price to reflect increases occasioned
by such delay. If delivery is thus delayed for more than
120 days, either Buyer or Seller may (by written notice)
cancel an order without liability therefore with respect
to any Materials or services remaining undelivered,
provided that the remaining provisions of this contract
shall remain unaffected. Acceptance by Purchaser of any
Materials shall constitute a waiver by Purchaser of any
claim for damages on account of any delay in delivery of
such Materials.
DELIVERY Shipping, service, and installation dates are
estimates only, and Seller in no way guarantees that
ordered Materials and/or services will be delivered in
accordance with estimated schedules.
Acceptance of shipment by designated shipper,
Materials made available for shipment from Sellers
factory, allocation of Materials to Purchaser at premises
other than Sellers, delivery to Purchasers
representative or designee, or mailing of an invoice to
Purchaser, shall constitute tender of Delivery. Title and
risk of loss to Products shall pass to Buyer on the date of
shipment or pickup from Sellers factory. In no event
shall Purchaser be entitled to make any deduction from
any payment due hereunder by reason of loss or
damage in transit.
If delivery is delayed or interrupted by Purchaser for any
cause, Seller may store the Materials at Purchasers
expense and risk, and Seller may charge Purchaser for
additional costs incurred. If Seller is delayed with
production due to delays in receiving Purchasers
approval or acceptance of designs, drawings, prints,
engineering or technical data, or is awaiting Purchasers
approval or acceptance of Materials, Seller shall be
entitled to an adjustment in price commensurate with

any increase in Sellers cost of production and any other


losses and expenses incurred by Seller attributable to
such delays. Seller shall have the right to charge
Purchaser for the completed portion of the order and to
warehouse all completed Materials for Purchasers
account and risk of loss. Seller also reserves the right at
is options, as to any uncompleted portion of the order
to cancel said uncompleted portion, or to revise its
prices and delivery schedules on the portion not
completed to reflect its increased costs and expenses
attributable to the delay.
CANCELLATIONS; DEFERRED ORDERS At Sellers sole
discretion, orders may be cancelled by Purchaser prior
to Customization and with at least 14 days prior to
shipment, subject to a 20% cancellation fee and subject
to such revision in price or charge for work already in
progress. In addition, Seller may place in storage
Materials (as described above) for which (a) an order
has been deferred by the Purchaser or (b) shipment is
delayed by Purchasers inability or unwillingness to
receive the Materials. Such storage by the Seller shall be
for Purchasers account at Purchasers expense and the
Materials so stored shall be at Purchasers risk while
stored.
REJECTION OF PRODUCTS - Purchaser shall inspect all
Products upon receipt thereof and may reject product
that fails in any material way to meet the specifications
as per the Purchase Order. Any Product not properly
rejected within thirty (30) days of shipment ("Rejection
Period") shall be deemed accepted. If any unit of a
Product is shipped by Purchaser to its customer prior to
the expiration of the Rejection Period, then that unit
shall be deemed accepted upon shipment by Purchaser.
To reject Product, Purchaser must, within the Rejection
Period, obtain an RMA number from customer service
by written request.
RETURN OF PRODUCTS AFTER REJECTION PERIOD Unless Product is returned in accordance with the
provisions herein, after the Rejection Period, Purchaser
may not return Product to Seller for any reason without
Seller's prior written consent. For any Product for which
Seller gives such consent, Seller shall charge Purchaser a
restocking fee equal to twenty-five percent (25%) of
Purchaser's Purchase Price for that Product and shall
credit the balance of the Purchase Price to Purchaser's
account. Purchaser shall be responsible for all shipping
charges. To return Product, Purchaser must, within the
Warranty Period, obtain an RMA number from customer
service by written request. At Sellers discretion, high
volume orders or parts that are special ordered are not
returnable and no credit will be issued for same.

LIMITATION OF LIABILITY - To the extent permitted by


law, the aggregate liability of Seller hereunder, will be
limited in contract, tort (including negligence) or
otherwise to the contract value. The foregoing limitation
does not limit the liability of Seller for any injury to, or
death of a person, caused by the gross negligence of
Seller. Notwithstanding anything else in this
Agreement, neither party shall be liable for any
indirect, liquidated, consequential, special or economic
loss, cost liability, damage or expenses howsoever
arising.
INDEMNIFICATION FOR CONTRACTED SERVICES Seller
indemnifies Buyer against liability or loss incurred by the
Buyer for bodily injury or property damage to the extent
caused directly by the negligence of Sellers employees
while performing the contracted services on Purchasers
site only, but not to the extent that the loss or liability
was caused by others.
AUDIT - Notwithstanding any provision to the contrary,
Seller agrees, upon reasonable request, to substantiate
that Seller's billing is in conformity with the terms of the
agreement and to furnish documents verifying each
charge billed to the Purchaser on a time and material
basis or to the extent required by law. Seller is not
required to provide other audit privileges to Purchaser.
SET-OFF - Seller does not agree to a set-off of
obligations under this Agreement.
SEVERABILITY All provisions herein are severable and
unenforceability of any one provision shall not affect the
validity of any other provision hereof.
FEDERAL ACQUISITION REGULATIONS - The
components, equipment and services proposed by Seller
are commercial items as defined by the Federal
Acquisition Regulations ("FAR") and the prices in any
resulting contract and in any change proposal are based
on Sellers standard commercial accounting policies and
practices which do not consider any special
requirements of U.S. Government cost principles and do
not meet the requirements of Part 31 of the FAR or any
similar procurement regulations. Seller agrees only to
perform a contract for the sale of a commercial item on
a fixed-price basis. In addition, Seller will not agree to
submit or certify to any cost or pricing data nor will
Seller
agree to any requirements to establish price
reasonableness under FAR Part 15 or such similar
regulations. In stating its position, Seller refers to FAR
Part 12 - "Acquisition of Commercial Items." All Sales
under $3,000 are made pursuant to FAR Part 13,
Simplified Acquisitions.

EXPORT CONTROL - Buyer agrees to conduct its


operations under this Contract and perform all its
responsibilities in full compliance with export and other
foreign trade controls under any applicable United
States (U.S.) laws restricting sales or transfers to other
countries or parties of commodities, software,
technology, or technical data. Any other provision of this
Contract to the contrary notwithstanding, Buyer agrees
that no commodities, software, technology, or technical
data of U.S. origin or with U.S. origin content will be
sold, exported, re-exported or transmitted except in full
compliance with all applicable laws, including all
relevant U.S. government requirements. In addition,
Buyer shall comply with all applicable laws, including
U.S. government requirements, governing the transfer
of information and items to U.S. embargoed and
sanctioned countries and denied and restricted parties.
Any violation of this section, as determined solely by
Seller, shall be deemed a material breach of this
Contract.
COMPLIANCE WITH LAWS - Buyer represents, warrants,
certifies and covenants (collectively Covenants) that it
will comply with all laws applicable to the Materials,
services and/or the activities contemplated or provided
under these Terms, including, but not limited to, any
national, international, federal, state, provincial or local
law, treaty, convention, protocol, common law,
regulation, directive or ordinance and all lawful orders,
including judicial orders, rules and regulations issued
there under.
WAIVER - No claim or right arising out of a breach of this
Order can be discharged in whole or in part by a waiver
or renunciation unless supported by consideration and
made in writing signed by the aggrieved party. Either
partys failure to enforce any provisions hereof shall not
be construed a waiver of a partys right thereafter to
enforce each and every such provision.
