hereinafter called and refered to as the LICENSOR ( which term or
expression shall unless excluded by or repugnant to the context or
subject shall be deemed to mean and include his legal heirs,
executors, administrators, representative and assignees ) OF THE
ONE PART.

MR. SOMNATH DEY, son of Late Biswanath dey, by NationalityIndian, by faith-

Hindu, by occupation- Business, residing at

SOPNONIR, Netaji Subhas Road, Kora Babupara (N), P.O. KoraChandigarh, P.S. Madhyamgram, 24 Parganas North, hereinafter
called and referred to as the LICENSEE (which term or expression
shall unless excluded by or repugnant to the context or subject shall
be deemed to mean and include his legal heirs, executors,
administrators, representatives and assignees) OF THE OTHER
PART.

WHEREAS the LICENSOR is the sole and absolute owner and in


possession of ALL THAT space on the Ground floor of a 2(two) storied
building, East Side having super built up area approx. 800 sq. ft. at
Holding No. 187/2 under Mouza- Chandnagar, 8 No. Ward of
Madhyamgram Municipality, 24-Parganas North, herein referred to
as SCHEDULE PREMISES.
WHEREAS the LICENSEE has agreed to take on License the
SCHEDULE PREMISES for an office of development establishment
and running a wireless ISP.
NOW THIS AGREEMENT OF LICENCE WITNESSETH AND IS
HEREBY AGREED BY AND BETWEEN THE PARTIES HERETO AS
FOLLOWS ON THE FOLLOWING TERMS AND CONDITIONS:
To avoid further contradiction both the parties now entered into an
agreement for license on 15th day of November 2013, to 30th day of
September, 2014 in respect of the said accommodation on the
following terms and conditions:1.

The LICENSEE has agreed to pay Licensee fee, an amount of


Rs.15000/-

(Rupees

Twelve

Thousand) only

per month,

exclusive or maintenance, water and electricity charges,


payable by way of cheque drawn in favour of the LICENSOR on
or before 5th day of every succeeding month, whether
demanded or not. And Rs.36,000/-

(Rupees Thirty Six

Thousand ) only to be returnable SECURITY DEPOSIT without


interest at the time of leaving the possession after adjusting
any dues and demurrage of possession after adjusting any

dues and demurrage of possession. In case the Licensee want


to vacate within six months from the date of execution of this
agreement then the said security deposit will be forfeited.
2.

The LICENSEE to pay for water and maintenance charges


billed by the concerned authorities.

3.

Licensee applied for the new electric meter in his name at his
own cost and expenses as and when license period is over
licensee removed this electric meter and realize their security
deposit before the concerned electric authority in this cases
licensor shall not make any objection thereto.

4.

In case The LICENSEE fails to pay the monthly Licensee fee to


The LICENSOR consequently for the period of 2(two) months,
then the LICENSEE shall have to get vacated the SCHEDULE
PREMISES in question immediately.

5.

The LICENSEE shall not carry out any structural additions or


alterations to the SCHEDULE PREMISES without the prior
consent of the LICENSOR. However, the Licensor shall at its
own cost, be entitled to install such domestic electrical
appliances and/or equipment as may be found necessary by it.
On the expiry or earlier termination of this Agreement, the
LICENSOR shad remove and take away and the appliances
and/or equipment installed by it and restore the SCHEDULE
PREMISES to its normal condition, subject to normal wear and
tear.

All rates, taxes and other levies and/or out goings on account
of property tax and all other levies, municipal or otherwise
shall be paid by the LICENSOR in

time, failing which the

LICENSOR can pay any such outstanding dues to the


concerned authorities and deduct such amount from the
monthly services charges payable.
7.

The LICENSOR undertakes to fully perform his obligations


stated herein and also comply with the requirements of the
concerned municipal and other applicable authorities to ensure
peaceful occupation of the SCHEDULE PREMISES by the
LICENSOR during the Agreement Period.

8.

The minor day-to-day repairs such as replacement of fuses,


fixing

of

leaking

water

taps,

minor

maintenance

of

electrical/sanitary and other fittings and fixtures shall have to


be carried out by the LICENSEE at its own cost, but all major
repairs including replacement or breakage, bursting of sanitary
pipes, changes in the electrical system, cracks in construction
etc., shall be repaired/replaced by the LICENSOR at his cost.
9.

Both the parties may terminate this Agreement any time during
the Agreement Period, subject to the issuance of an advance
notice of two (2) months, made in writing.

10.

On the expiry of the agreement or on earlier termination of the


agreement, the LICENSEE shall deliver the vacant possession
of the SCHEDULED PREMISES to the LICENSOR in good
condition, subject to natural wear and tear.

11.

The LICENSOR shad have free and unobstructed access to the


SCHEDULED PREMISES for inspection and to carry out
repairs provided the LICENSEE is given at least 24 hours
advance notice and a time for such inspection or repairs is
fixed and the convenience of the LICENSEE shall be taken into
account in this regard.

12.

The LICENSEE shall not sub-let or sub-lease assign or transfer


or otherwise part with the possession of whose or any part of
the SCHEDULED PREMISES.

13.

Licensee shall carry on business of the said Schedule Property


in internal business affairs Licensor shall not interfere or
obstruct of the business activities of the LICENSEE.

14.

The LICENSEE has agreed to use the SCHEDULED PREMISES


for legal and lawful purpose and not for any illegal, unlawful or
any such purpose which is prohibited by law.

15.

The LICENSEE has agreed not to do or suffer to be done in or


about the demand premises anything contained which may be
or become nuisance, annoyance or cause damages to the
neighbouring owners, tenants occupiers of the said building.

16.

The LICENSOR represents and warrants that he is fully


empowered, authorized and able to let out the SCHEDULED
PREMISES on License to the SECOND PARTY as envisaged in
this agreement and that there is no mortgage, charge or any
other

encumbrance

of

any

nature

in

respect

of

the

SCHEDULED PREMISES and that he will keep the LICENSEE


harmless and indemnified from any proceedings initiated by
others in respect of the quiet possession and enjoyment of the
SCHEDULED PREMISES by the LICENSEE.
17.

In case the Licensee want to vacate before the expiry of six


months then the said security deposit will be forfeited.

IN WITNESS WHEREOF both the parties hereunto put their


respective sign, seal and signature on the day month and year first
above written.
