1. DESCRIPTION OF THE Company PLANT

Qatar Petroleum and Hydro Aluminium AS have jointly developed a world-class primary
aluminium smelter with an initial nameplate capacity of approximately 585,000 metric
tonnes of primary aluminium per year. The Plant comprise of a Smelter, together with
associated facilities, including an anode plant and a cast house (capable of producing
aluminium standard ingots and value-added aluminium products), along with a gas fired
power plant.

The Company is implemented through a Qatari company named Qatar Aluminium Limited
(Qatalum) owned 50/50 by Qatar Petroleum and Hydro Aluminium AS.

All of the Qatalum facilities were built in the Mesaieed Industrial City area, south of Doha.
2. GENERAL
The Work to be provided by Seller in accordance with this Contract shall cover Plant
industrial cleaning work as stated herein.
3. MANAGEMENT OF HEALTH, SAFETY AND ENVIRONMENT (HSE)
Seller shall be responsible that all measures are taken whilst carrying out Work to ensure
the highest level of safety is achieved to protect both Buyers and Sellers personnel and the
prevention of damage to health, environment, adjacent structures, equipment and vehicles.
The Seller shall abide by and operate within Buyers policies and standards.
Sellers internal control system shall, as a minimum, be in accordance with requirements of
the Buyer.
Sellers internal control system will be the basis for any Buyer audit of Sellers HSE activities.
4. CONTRACTORS OBLIGATIONS

QUALITY
The Contractor must guarantee that it has sufficient resources and competence to perform
the Services and meet the specifications as set out in this Contract, by delivering high
quality Service to fit the intended purpose and be in compliance with applicable laws and
regulations.

It is preferable but not a condition that the Contractor must have an ISO 9001:2000
certificate or similar.

ORGANIZATION
The Contractor shall have an established, stable and well-functioning organization which
covers basic elements like management, administration, HSE follow-up in addition to the
executing disciplines.

PERSONNEL AND QUALIFICATIONS

All personnel used under the Contract shall be approved by the Companys Representative.
Companys approval of personnel shall be based on individual CVs and interviews if
requested.

Contractor shall supply personnel with the following qualifications:

High focus and commitment to HSE Health certificate issued by a Qatar

Government approved clinic and according to GCC Medical Standard.

English language skills, written and spoken, for all personnel categories.

Contractor shall have the sole responsibility for provision of work visa, all
necessary permissions required for Work in Qatar and Workers Compensations
and Public Liability Insurance. Further, Contractor and his personnel shall
follow regulations given by Company, and Contractor and his personnel shall at
all times follow the Qatar Labour Law.

HOUSING AND TRANSPORTATION

Contractor shall provide separate accommodation facility to Contractor Personnel.

Contractor shall provide accommodation at Mesaieed, if not available shall provide

at Al-Wakra.

Contractor shall provide Contractor Personnel with adequate, hygienic, fully

furnished and air-conditioned accommodation.

Contractor shall ensure that maximum four (4) Contractor Personnel are assigned
per standard room (4M x 4M).

Contractor shall ensure that a toilet/bathroom with hot and cold running water is
provided on the basis for 4/6 persons.

Contractor shall provide Contractor Personnel with bed (double bed not allowed)
linens, towel and soap with free laundry facilities for clothes and linens. (Bed sheet
& towels two (2) set per year).

Contractor shall provide kitchen for Contractor Personnel with full facilities
refrigerator, food cabinet, A/C and proper ventilation.

Company shall have the right to conduct site visit without prior notice to Contractors
accommodation facility.

Contractor shall rectify all inadequacies with immediate effect and bear whatever
penalty Company finds applicable.

Contractor shall provide necessary General fire protection (including extinguishers)

in accommodation.

Contractor shall be responsible for safe transportation of all of its personnel,

materials and equipment necessary for the Completion of Services. In accordance
with Company Safety Regulations all vehicles required to enter Site must comply
with the following:

Vehicles have to be diesel engine driven.

Vehicles have to be fitted with proper spark arrestors.

The front seats must be equipped with seat belts, the three fixed points type.

Vehicles shall be in proper & safe working conditions.

Contractor shall provide suitable 4 wheel drive vehicles (with air-conditioner) to

Contractors co-ordinator and Supervisors with a minimum capacity of 5 passengers
to transport Contractor Personnel working at Plants, Stations & remote production
areas where the Services are required at his own cost.

Contractor shall be responsible for and shall provide at Contractors cost all
necessary

accommodation to their work locations and vice versa and shall ensure that they
arrive at and leave their work locations on time.

REGISTRATION CERTIFICATE AND INSURANCE

For work in Qatar & on Company site, the Contractor shall only use vehicles with valid
registration certificates and with fully comprehensive insurance which covers both the
vehicle and maximum number of passengers, including the driver, as per the capacity of
the vehicle.

SOCIAL RESPONSIBILITY
The Contractor and his Subcontractors shall comply with the rules given in The Universal
Declaration of Human Rights Charter, ref. UNs internet website.

Contractor shall be responsible for his employees and his Subcontractors employees
working and living conditions while working on this Contract. Minimum requirements are:

Acceptable housing standard as per number of family members.

Maximum 4 bachelors shall share a bedroom.

Minimum monthly salary QAR 1,200.00.

Pay their employees salary on time every month

Additional benefits; paid vacation leave tickets, transport allowance or free

transportation, food allowance or free food with minimum 3 meals per day and one
hot meal.

Overtime payment for all hours exceeding 8 working hours per day excluding breaks
(Lunch).

The employees shall not have the possibility to have a second employer.

Provide injury and accident insurance and medical coverage for all employees.

TOOLS AND EQUIPMENT

All necessary tools and equipment to perform the Work shall be supplied by the
Contractor. All lifting equipment and tools utilized shall be inspected, tested and certified by
the Contractor according to QP lifting regulations.

MATERIAL
Material, spare parts and consumables will be Contractor provided items.

5.

THE SCOPE OF WORK

GENERAL:
The Services comprise (i) carrying out industrial cleaning by providing multi-skilled
manpower at Qatalum Operations and/or non-operational areas, premises areas. Except as
expressly provided otherwise herein, Contractor shall supply all manpower, Supervision,
provide all equipment, materials, tools, tackles, and administration necessary to perform the
Services. The level of manpower and the number of equipment units related to any part of
the Services represent the minimum requirements to perform the Services as estimated by
Contractor. Contractor agrees to provide at no additional cost extra manpower and
equipment necessary for the satisfactory performance of this part of the Services
Additionally, Contractor must ensure provision of resources on call-off basis when
demanded by the Company.

Contractor acknowledges that the Services are provided within Qatalum Premises.
Contractor warrants that all Contractor Personnel shall be fully conversant with all current
and future safety and other requirements of work in such operational areas.

SPECIFICATIONS / STANDARDS

Services shall comply fully with the specifications, standards and guidelines
pertaining with industrial cleaning, as described in the documents established and
recognized in this field.

Comply with all agreed occupational health, safety and environmental regulations in
order to protect personnel and physical assets.

Ensures that the work areas operational and non-operational areas including but not
limited to (welfare facilities, site grounds, workshops, turbine hall, control rooms,
etc) are kept in a clean and tidy state in order that work can be carried out safely
and effectively.

Ensure that Qatalum equipment excluding vehicles are kept in a clean and tidy state
in order that work can be carried out safely and effectively.

Work under guidance with Qatalums Work Permit / HEC System to ensure safety
from the system during all work performed

Ability to work unsupervised within operational and/or non-operational areas.

Gain understanding of Operational Materials and control of minor spillages to

minimize impact on Environment.

Ability to recognize changes in conditions and new hazards.

CONTRACTOR PERSONNEL:

Contractor shall provide Contractor Personnel as per the categories, numbers,

qualifications, experience and other requirements as it has proposed in his proposal
for various activities and agreed to by Qatalum at the time of award. Contractor shall
employ promptly, additional personnel if required with high calibre at no additional
cost to Company for the satisfactory performance of the Services.

All personnel proposed by Contractor to perform any part of the Services shall, if
Company so requires, shall be interviewed and tested by Company before being
engaged in performing any part of the Services. Only those personnel who are
considered acceptable to Company shall be allowed to proceed to the Site.

All Contractor Personnel shall be above 18 and under 45 years of age and capable
to communicate as required for their jobs in an English

Contractor shall appoint one (1) Site Coordinator who may act as Contractors
Representative and will represent Contractor in all respects.

Contractor shall provide (2) two supervisors who will carry out the Services and
report to Site Coordinator.

Site Coordinator/Site supervisor should have at least Five (05) years of experience
in similar field aged between 30 and 40 years and shall have Secondary School
completion certificate and must be able to speak fluently, read and write English and
preferably speak Arabic. Possession of Qatari Driving license is a must

All costs related to the provision of Site Co-coordinator and Site supervisors shall be
borne by the Contractor and covered under the Contract Price.

Contractor shall provide competent work site supervisors who are capable of not
only spoken English but also reading and writing. A list of supervisors and their
qualifications must be submitted to Company for review. All work site Supervisors
shall be required to pass the Company Permit to Work Course at level 1 which
consists of two modules (1) a computer based training program (2) a P.T.W.
workshop. After successful completion of the training course they will be certified as
competent use Permit to Work system. All such associated costs shall be borne by
the Contractor.

Contractor shall ensure that each member of plant cleaner Contractor Personnel
shall have (1) one days-off every week.

Contractor shall make suitable arrangement for replacement of Contractors

Personnel.

Contractor Personnel Continuous Improvement Provide input and recommend the

continuous improvement of the company practices in order to create efficiencies
and boost plant performance.

Comply with all agreed occupational health, safety and environmental regulations in
order to protect personnel and physical assets.

During absence of any member of Contractor Personnel, whether such absence is

authorized or not, including sick leaves, medical check-ups, annual leaves or rest
days,

Contractor shall provide replacement for absent Contractor Personnel. Any

replacement shall be of equal or higher qualifications and experience as of the
absent member of Contractor Personnel.

If Contractor fails to provide replacement for Contractor Personnel in accordance

with this clause, Company shall have the right to obtain suitable replacement from
any alternative source. In each such event, Company shall recover all cost from
Contractor in respect of obtaining replacement of Contractor Personnel.

Contractor shall ensure that each member of Contractor Personnel shall undergo
medical examination and submit medical reports before commencement of any
work or Services.

Contractor shall be fully responsible for the health and medical care of Contractor
Personnel and provide results of medical examination as and when required by
Company.

CLEANING TASK OPERATIONAL AND/OR NON-OPERATIONAL

The Services shall be performed by the cleaning crews with hand gloves hand shovel,
wheel barrow etc.., and shall include (but not limited to) the following:

Removing minor spill-overs of oil and chemicals, using absorbent materials and
removing with fresh sand.

Contractor shall on daily basis collect all refuse/garbage, which are in refuse bags
or containers.

All refuse bags/garbage, which are deposited into adjacent waste skips, and bins
(Provided by Company), shall be collected by the Contractor. The trash bins shall
be maintained by cleaning once a month and replacing the damaged ones. All
collected refuse/garbage shall be disposed of in a dedicated waste skip located
around the plant. This will be done according to the skips label.

Contractor has to note that the refuse/garbage waste materials accumulate at an

average of one (1) skips per day.

Contractor to ensure that all trash bins and refuse bags emptied immediately after
filled to avoid bad smell and insects.

MEDICAL AND HEALTH REQUIREMENTS:

Contractor shall comply with Companys decision and directives in respect of any medical
and/or hygienic matters, related to the Services and note that any decision or directive by
Companys Medical Services Department in such matters shall be final.

All Contractor Personnel shall undergo regular medical examinations at intervals not
exceeding one (1) year or on return to Qatar from any overseas visit, whichever is earlier;
throughout the Contract Duration at Contractor's cost.

Any member of Contractor Personnel who falls sick whilst on duty at Site and be
considered as medically unfit by Company shall, within a maximum period of twenty four
(24) hours after Companys such decision, be evacuated from Site by Contractor, and at
Contractors own cost.

UNIFORMS
Contractor shall provide each member of Contractor Personnel every year with Four (4)
sets of uniforms and two (2) pairs of Safety shoes (100% Cotton Coveralls with long
sleeves with two colour and good quality for Safety shoes, ear plugs dust masks, safety
glass, hand gloves general cleaning and chemical handling PVC ) or as and when
required. Sample of Coverall, Shoes, ear plug, dust mask, safety glass and gloves to be
approved by Company Representative, and same to be maintained throughout the
Contract duration.

Contractor shall provide to Contractor Personnel adequate safety equipment including but
not limited, helmet and safety glasses and any PPE Recommended in material safety data
sheet which are required for personnel to complete the scope of services safety.

Contractor shall provide Winter Jackets when required

Contractor shall ensure that all Contractor Personnel wear their designated uniforms at all
times when carrying out their assignments under the Contract.

Contractor shall provide Hot metal uniforms and shoes as per Qatalum standards for
Contractor Personnel working in operational areas.

Working in operational areas where respiratory equipment are mandatory renders the
Contractor to provide each member of Contractor Personnel with respiratory equipment,
respiratory test and equipment shall be supplied by Qatalum and cost to be paid by
Contractor.

For work in Qatar & on Company's site, the Contractor is responsible for the arrangement
of housing and transportation for own personnel from and/to site. The Contractor shall
also provide own work force with personal protective equipment.

WORKING SCHEDULE:
Contractor shall ensure that all of his personnel are despatched in time and work for exact
number of hours/day per category as specified against each service to this Appendix A.

Company reserves the right to change the working times without giving any justification to
Contractor and Contractor shall comply with any such changes at no additional cost to
Company, unless such change involves an increase or decrease in the specified number
of weekly working hours of Contractor Personnel in which case the applicable rates shall
be amended on pro-rata basis by virtue of Variation

No overtime shall be worked except with prior written instructions from Company
Representative or his authorized deputy, except emergency situations rebel.

CONTRACT DURATION
The duration of Contract is thirty six (36) calendar months from the Effective Date
including mobilization and demobilization.

10 CLEANING MATERIALS, EQUIPMENTS / MACHINERIES

Contractor shall provide all necessary cleaning materials, equipments, tools, tackles,
Machineries, vehicles, etc., and each and every item of expense or other items which are
required to ensure that the Services shall be carried out in accordance with the
requirement of the Contract. This may include but not limited to:
Road Sweeper.
Super Sucker
Jetting tank.
Plastic Bags.
Cleaning Tools.
Minor Cleaning Chemicals.

Heavy Vacuum machine (Road Sweeper) 2 Nos.

- First Vacuum Road Sweeper shall be used:

Contractor shall ensure that all equipments, tools, tackles, Machineries, vehicles, etc.
provided for and/or to be used in performing the Services shall comply fully with all
requirements of Companys Safety Rules and Regulations, Public Health Regulations and
Environmental Department/ Ministry of Municipal Affairs and Agriculture Regulations or
any other Public Authority. Contractor shall provide all equipments, Machineries and
vehicles etc. which may be used near the plants, stations and offshore with powered by
Diesel engine type; fitted with spark arrestor.

Contractor shall maintain throughout the Contract duration adequate facilities for storage
and transportation of all items required for the Services. Company reserves the right to
inspect Contractor's storage facilities any time to ensure that they meet the requirements

of the Services. Contractor shall immediately carry out any improvements to Contractor's
facilities that may be directed by Company.

Contractor shall be responsible and provide all required maintenance, repair, spare parts,
consumables and accessories necessary for the equipment used in the Services.

Contractor shall provide cleaning water at his cost necessary for the Services (Ditch
cleaning, sump pits, containment gutters), except for Services inside the Plant, Stations
and platform etc.
11 GENERAL REQUIREMENTS / NOTES

Contractor shall carry out a comprehensive survey with respect to the Site and acquaint
himself with the equipment and their function, Site and all locations layout in order to
perform the Services properly.

Contractor shall collect all Site data and information supplied by Qatalum representative
needed for the performance of the Services. It is Contractor's responsibility along with
Qatalum representative to ensure that the collected data are correct, valid and reflects
actual as built status of existing facilities.

At all times, Contractor shall have reliable communication facilities (GSM), laptop, and
wireless internet on the Site in the position of the contract co-ordinator to maintain close
contact with Company Representative.

Contractor shall perform all management, administration and required planning activities.

Contractor shall manage activities on the Site to ensure that no interference takes place
between its Services and that of others and coordinate with other contractors on the Site.

Contractor shall ensure that his supervisor is an experienced, qualified and responsible
person who will be available at all times during progress of the Services, act and
represent the Contractor. All instructions issued to him by Company are binding to the
Contractor.

Contractor's Representative who attends meetings shall be fully authorized to act for, and
make decisions on behalf of their principals and have complete information with respect
to the subject matter of the meeting.

Contractor shall submit weekly reports to Company reflecting the logbook entries to
Company Representative in order for Company to compile the weekly reports.

Contractor shall prepare and submit (2 copies) of monthly and yearly reports to Company
Representative. Contractor shall coordinate and obtain approval from Company
Representative for the standard format of the report(s).

Contractor shall perform the Services in a safe and sound manner so as to avoid risk or
danger to general public and all personnel employed in the facilities, whether or not
employed by the Contractor to the satisfaction of Company Representative.

Contractor's Personnel executing the Services shall be trained and experienced in the
work to the extent that they are competent to do it safely. Contractor shall submit written
proof of the training and experience of any of his personnel if requested by Company.

Throughout the Contract duration and any extensions thereof, Contractor shall keep the
site reasonably clean, free from all unnecessary obstructions and shall store or dispose of
plant and/or leafs, equipment and hand tools in a safe and orderly manner as approved
by Company.

Before leaving the Site, Contractor shall remove all materials and equipments or rubbish
related to any work or Service carried out, and leaving the Site clean and tidy.

Smoking is strictly prohibited while inside Qatalum, except in designated smoking areas.

Contractor shall fully maintain all existing services/ structures, or the likes, while carrying
out Services, and shall take all steps to prevent damage, interference with or interruption
of the same. Any damaged services, structure or the like shall be restored to its original at
Contractor its expense.

Contractor shall attend to all routine and emergency requirements as directed by

Company Representative throughout the Contract duration.

No food allowed at all Control room and plant, Contractor shall provide necessary food at
outside the control room and plants.

Contractor Personnel shall be issued identity cards, which they must have in their
possession at all the times.

SAFETY REGULATIONS / PROCEDURES

The Safety Regulations to be followed throughout the Contract duration shall be the
Company Safety Regulations for Revision One, dated November 1996 issued by
Company.

Contractor shall be responsible for evacuation all of its personnel during emergency.

All of Contractor's Personnel shall attend H2S/BA training programme and have in their
possession, on the Site. Possession of valid H2S/BA certificate issued by approved
Company Safety Department is mandatory for Contractor to be issued with an entry
permit.

All costs associated to comply with Safety Regulations shall be the born by Contractor.

During working hours Contractor can park the Vehicles in any available parking lot but in
open areas only (Not on others designated parking areas). After working hours all the
vehicles belong to Contractor shall be shifted to Contractors camp.

Contractor shall follow safe working procedures for the Services. This shall include Safety
Policy, Safety Management, and Safety Organization and to ensure that Company
requirements are promulgated and enforced.

SECURITY PASSES

Contractor must obtain Security Passes for all of its personnel for entry into Site
and Facilities. Contractor Representative should bring all the relevant
documents in person to the respective in Company Representative to whom
Services are to be provided to obtain the passes. Fax request sent to the
Department will not be accepted.

CONTRACTOR REPRESENTATIVE

The Contractor shall nominate a competent employee to act as its

representative to deal with and resolve all day-to-day administrative matters, to
supervise the personnel assigned to the Qatalum agreement and to ensure that
the required Services are carried out as per Qatalum instructions.

Qatalum and shall not change him without prior written consent of Qatalum.

FURNISHED BY THE CONTRACTOR

equipment to complete the above said Services that shall include but not be
limited to the following:
Vehicles.
All material and equipment stated herein.
Uniforms and personnel protective equipment.
Accommodations.
Specific training to its personnel.
