DECLARATION AND INDEMNITY

I Mr. Vivek Soni do hereby solemnly and sincerely declare that I am

registered proprietor of SQUARE CLASSES and do solemnly affirm,
declare and confirm as follows.
1. I am the absolute owner of SQURE CLASSES.
2. I have disclosed all the facts relating to the said business to authorized
representative of NIDAN TECHNOLOGIES PVT. LTD.(Nidan Technologies,
which expression shall, unless it is repugnant to the subject or context thereof,
include its successors and assigns). I confirm that all prior or subsequent
information furnished by me in this behalf is true, complete and accurate in every
way.
3. I say that the said business is free from all encumbrances, claim and demand and
same is not subject to any change, liens, lis-pendens, or any processes issued by the
courts.
4. In consideration of the acceptance of this application, I agree to save harmless and
keep indemnified the NIDAN TECHNOLOGIES AND their official, sponsors,

agents, representatives, employees and all persons assisting them in this event from
and against all actions, claims, cost, expenses and demands in respect of myself or
any other person of persons or loss or damage to any business. The indemnity shall
be binding on my heirs, executors and legal representatives.
5. I say that I have duly paid and will duly pay the rates, taxes, cesses, assessments,
revenues, duties society charges, fee, royalty amount and all other amounts now or
hereafter-due in respect of the said business/deal and at present there are no arrears
of such rates, taxes revenues etc. outstanding and warrants have been served in
respect of taxes or any dues.
6. I say that I have verified the details, identification and credentials of all the
students and will duly verify the details, identification and credentials of all the
students who will be engaged or enrolled to the courses/training programs at our
centers. I will never give wrong details of the students and their enrollment to
Nidan Technologies for the purpose of taking fee/refund from Nidan Technologies,
If found so, I may be liable for doing the financial fraud. All the payments related
to the course in particular will be subject to the cancellation or to the discretion of
Nidan Technologies that they may take any legal action against us. And we will
reimburse the fees in case of being found involved in the fraudulent activities in
our centers.
7. I say that, I have verified the bank accounts details of all the students associated to
our centers and will verify the details further for the all the students associating
with our courses. It will be solely our responsibility to verify the students
credentials in respect of their identity and payments, Nidan Technologies shall
have no responsibilities of the same, or Nidans official shall not be liable for any
credential checking or verification of the students.
8. I further say that Nidan Technologies Pvt. Ltd. Shall have the right to receive and
adjust any amount on your behalf, that Nidan Technologies may receive any
amount of fees in connection with courses or training programs pay outs against
the facility agreement or as per repayment schedule in any manner as Nidan
Technologies may deem fit notwithstanding anything to the contrary contained in
the facility agreement.

9. I have scrutinized the details and am satisfied with the business

plans\courses\training program and Nidan Technologies and their authorized
representative have given me full details, knowledge of the program in trans parent
manner, I have perused the requisite permission pertaining to the said business\
courses.
10.I accept that I shall be held responsible if the training centers run by us have
insufficient infrastructure or deviating from prescribed norms. Our involvement as
training partner, if found in any fraudulent activities such as fake/duplicate
registration of beneficiaries, overstatement of financials, misleading information,
etc., would lead to its blacklisting from working with any government programs in
the future on immediate basis. I as Training Partner/ Center should strive towards
ensuring high quality of training to the beneficiaries. If the quality of training is
found to be unsatisfactory, the Nidan Technologies may levy the penalty as per
their standards.
11.I state that Nidan Technologies and their officials have full right to inspect our
centers and provide guide line, Nidan Technologies Will provide us the guidance
and supervision, all the infrastructure related to courses and training programs will
be ours, we will ensure not only the infrastructure required to run the courses, but
also arrange the goof trainers.
12.I State that I have to ensure that the necessary facilities are extended to the assessor
and adequate lab infrastructures with necessary raw materials are provided for the
assessment purpose. In case the assessor needs any internet connection and a
computer than same should be provided on request by us as Channel Partner.
13.I state to ensure that all statements communication and representations made o
Nidan Technologies are accurate complete and of ours should not be directly or
indirectly be implicated or involved in disputes between associate and other
parties. They shall not defame or discharge Nidan Technologies, its other
associates, subsidiaries or clients.
14.I state that our conduct and dealings will be in ethical manner and with highest
standard as per the norms of Nidan Technologies Pvt. Ltd and ensure appropriate
processes to prevent the offering any illegal gratification in the form of bribes or

kickbacks either in cash or in kind or undue favor in the course of all dealings with
Nidan Technologies. Any instances of such violation will be viewed in serious
manner and Nidan Technologies reserve the right to take all appropriate actions or
remedies as may be required under the circumstances.
15.I state that our conduct and dealings will be in ethical manner and with highest
standards as per the norms of Nidan Technologies Pvt. Ltd. And ensure appropriate
processes to prevent the offering and illegal gratification in the form of bribes or
kickbacks either in cash or in kind or undue favor in the course of all dealing with
Nidan Technologies. Any instances of such violations will be viewed in serious
manner and Nidan Technologies reserve the right to take all appropriate action or
remedies as may be required under the circumstances.
16.I make the aforesaid declaration and statements and give the aforesaid undertaking
solemnly and sincerely believing the same to the true and knowing full well that on
the faith and strength thereof, the facility has been provided/ agreed to be provided
by the Nidan Technologies to the channel partner.
