DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

This Deed of Absolute Sale made and executed this _____________ in

________________________, a single proprietorship duly
licensed to do business in the Republic of the Philippines, with

domestic corporation existing under and by virtue of the laws
of the Republic of the Philippines, with office address at

hereinafter referred to as the VENDEE.
WITNESSETH:
WHEREAS, the VENDOR is the absolute owner of the BILLBOARD
STRUCTURE situated at Marcos Highway, Badiwan, Barangay Maasin, Tuba,
Benguet;
WHEREAS, the VENDEE has offered to buy and the VENDOR has
agreed to sell the BILLBOARD STRUCTURE, by way of this DEED OF
ABSOLUTE SALE and under the terms and conditions stipulated herein;
WHEREAS, the VENDOR hereby represents and warrants that the
BILLBOARD STRUCTURE is free from any and all liens and/or
encumbrances;
NOW, THEREFORE, for and in consideration of the sum of ONE
MILLION THREE HUNDRED THOUSAND PESOS (1,300,000.00), the
VENDOR hereby sells, conveys and transfers unto the VENDEE, all his
rights, title and interest in and to the BILLBOARD STRUCTURE with all the
improvements found thereon, free from any liens and encumbrances.
The VENDOR hereby acknowledges sufficient receipt of the
purchase price in the amount of One Million Three Hundred Thousand
Pesos (1,300,000.00).
Upon execution of this DEED OF ABSOLUTE SALE, VENDOR shall
deliver to VENDEE any and all documents necessary for the registration of
the BILLBOARD STRUCTURE in the name of VENDEE and business and
other licenses and permits previously issued by the concerned government
agencies, local and national, which VENDOR has not yet delivered to
VENDEE, in order that the VENDEE may continue the use of the

BILLBOARD STRUCTURE or that the VENDEE may renew the said permits
and licenses, as may be necessary and applicable.
