CONSTITUTION & BY LAWS
CONSTITUTION
ARTICLE I
NAME
This organization shall be known as Leo District 308 B2 Cabinet, Malaysia.
(hereinafter referred as Leo district.)
ARTICLE II
PURPOSE
1) To provide an administrative structure with which to advance the purposes and
objects of the Leo Club Program in this district.
2) Aimed at providing assistance to the District Chairperson and Regional District
Chairperson for Leo Clubs Development, and shall not interfere with the internal club
affair of individual clubs.
ARTICLE III
DISTRICT ORGANIZATION
SECTION 1. REQUIREMENTS AND BOUNDARIES
When six or more Leo clubs are sponsored by Lions clubs in a Lions district (single
or sub) and recognized by The International Association of Lions Clubs, the district
governor of the said Lions district (single or sub) may approve the formation of a
corresponding Leo district. The territorial boundaries of the Leo district shall coincide
with the boundaries of the respective Lions district that comprise areas in the West
Malaysian states of Perlis, Kedah, Penang, Perak and North Selangor, the Federal
Territory of Putrajaya and Daerah Cameron Highlands in the state of Pahang.
SECTION 2. MEMBERSHIP
1) The members of this organization shall be all officially recognized Leo clubs
sponsored by Lions clubs in said Lions district (single or sub).
2) Wherever the male gender or pronoun presently appears in the Leo District 308
B2 Cabinet, Malaysia Constitution and By Laws, it shall be interpreted to mean both
male and female persons.
SECTION 3. ELECTION OF LEO DISTRICT PRESIDENT / FIRST AND SECOND
LEO DISTRICT VICE PRESIDENT
An election for the Leo district president / first and second Leo district vice president
shall be held at the annual Sub-District Leo Forum.

SECTION 4. OTHER COMMITTEES AND LEO DISTRICT OFFICER


The Leo district president shall appoint, by the time office is taken, a Leo district
secretary and a Leo district treasurer, one region coordinator for each or
combination of fewregions in the Leo district. The Leo district president may
establish and appoint such other committees and/or Leo district officer as he deems
necessary and appropriate for the efficient operations of the Leo district and as
approved by the Lions district cabinet.
SECTION 5. LEO DISTRICT CABINET
The district shall have a district cabinet composed of the district president, the
immediate past district president, the first and second district vice president, and the
officers such as district secretary, district treasurer, regional coordinators, and
district coordinators as deemed necessary and appointed by the Leo district
president. The members of the district cabinet shall be the officers of the district.
Each Leo cabinet officer shall have one vote. The Lion appointed as district Leo club
chairman and respective Regional District Chairperson for Leo Clubs shall serve as
an advisory, non-voting member. The maximum of three (3) from each Leo Club are
allowed to represent in the Leo Cabinet.
SECTION 6. DISTRICT LEO CLUB CHAIRMAN
Besides serving as an advisory, non-voting member of the Leo district cabinet, the
district Leo club chairman shall also serve as the official liaison between the Lions
district cabinet and the Leo district cabinet. He shall report to the Lions district
cabinet all resolutions of the Sub-District Leo Forum.
ARTICLE IV
SUB-DISTRICT LEO FORUM
SECTION 1. TIME AND PLACE
An annual Sub-District Leo Forum shall be held in conjunction with Multiple District
Leo Forum in the month of May or June at a place that selected by the forum
organizing committee with the approval of the Lions district cabinet.
SECTION 2. CLUB DELEGATE FORMULA
Each recognized Leo club in good standing in the district and register and attend the
annual Leo Forum shall be entitled to one voting delegate for each club. A vote may
be cast only be a delegate present in person at the time of voting and no delegate
may cast more than one (1) vote on any question.

SECTION 3. QUORUM
The attendance in person of a majority of the certified delegates at the opening
session of the Sub-District Leo Forum shall constitute a quorum, and this quorum
shall be valid for subsequent adjourned sessions of the same Sub-District Leo
Forum.
SECTION 4. RESOLUTION
A simple majority vote of delegates present in person at a session shall be sufficient
for the adoption or rejection of any resolution before the Leo District General
Assembly. All action by a Leo meeting shall be subject to countermanding and
rejection by action of the Lions district cabinet or by action of said International
Board of Directors, alone, in either of which events such action shall be null and void
and of no force and effect.
ARTICLE V
AMENDMENTS
SECTION 1. AMENDING PROCEDURE
This constitution may be amended only at a Sub-District Leo Forum, by resolution of
the Constitution and By-Laws Committee and adopted by the simple majority cast by
delegates present and voting at the Leo District General Assembly.
SECTION 2. BY WHOM
An proposed amendment to this constitution may be moved by the Leo district
cabinet or a club in good standing, in which case the proposed amendment shall be
in the form or a resolution adopted by the club board of directors. Notice of the
proposed amendment shall be sent to the Leo district president at least sixty (60)
days prior to the date of the Sub-District Leo Forum. All amendments must be
endorsed by the District 308 B2 Lions Cabinet.
SECTION 3. AUTOMATIC UPDATE
When amendments to the Leo District Constitution and By-Laws are passed at the
International Convention, any amendments that would have an effect on this District
Constitution and By-Laws shall automatically be updated in this district
constitutionand by-laws at the close of the convention.
SECTION 4. NOTICE
No amendment shall be so reported or voted upon unless the same shall have been
published by regular post or electronic means by the Leo district president to each
club within the district no less than thirty (30) days prior to the date of Leo District
General Assembly and endorsed by District 308 B2 Lions Cabinet.
SECTION 5. EFFECTIVE DATE

Each amendment shall take effect after the endorsement by District 308 B2 Lions
Cabinet at which it has been adopted unless otherwise specified in the amendment.

BY-LAWS
The Leo district cabinet shall present, and Leo District General Assembly shall adopt,
such bylaws as are deemed necessary to the efficient operation of said Leo district
provided, however, that all such bylaws shall be consistent with the provisions of this
constitution, shall be endorsed by the Lions district cabinet.Any bylaws or
amendments thereto which shall contravene any provision of this constitution or
action of said board of directors or its designee shall be null and void and of no
effect.
ARTICLE I
MEETINGS
SECTION 1.DISTRICT CABINET MEETINGS.
(a) Regular. A regular meeting of the Leo district cabinet shall be held in each
quarter of the fiscal year. Ten (10) days written notice of meetings setting forth a
date, time and place determined by the Leo district president shall be given to each
member by the Leo district secretary.
(b) Special. Special meetings of the Leo district cabinet may be called by the Leo
district president at his/her discretion, and shall be called upon written request made
to the Leo district president or the Leo district secretary by a majority of the
members of the cabinet. No fewer than five (5) nor more than twenty (20) days
written (including letters, electronic mail, facsimile transmission, or cable) notice of
special meetings, setting forth the purposes and a date, time and place determined
by the Leo district president, shall be given to each member by the Leo district
secretary.
(c) Quorum. The attendance of a simple majority of the officers of this Leo district
shall constitute a quorum for any Leo district cabinet meeting.
(d) Vote. The voting privilege shall extend to all members of the Leo district cabinet.
SECTION 2.ALTERNATIVE MEETING FORMATS.
Regular and/or special meetings of the Leo district cabinet may be held through the
use of alternative meeting formats, such as teleconference and/or web conference
as determined by the Leo district president.
SECTION 3.BUSINESS TRANSACTED BY MAIL.
The Leo district cabinet may transact business by mail (including letters, electronic
mail, facsimile transmission, or cable), provided that no such action shall be effective
until approved in writing by two-thirds (2/3) of the entire number of the members of

the Leo district cabinet. Such action may be initiated by the Leo district president or
any three (3) officers of the Leo district cabinet.
SECTION 4.REGIONS
(a) Organizational. Regions shall coincide with the boundaries determined by Lions
District.
(b) Region Meetings. Meetings of representatives of all clubs in a region, with the
region coordinator (if the position is utilized during the Leo district president's term)
or other district cabinet member as may be assigned by the Leo district president
presiding, should be held during the fiscal year at times and places fixed by the
region coordinator with the approval from regional Committee chairperson of Leo
club of the respective region.
ARTICLE II
LEO DISTRICT NOMINATIONS, ELECTIONS & APPOINTMENTS
SECTION 1. NOMINATIONS COMMITTEE
The Leo District President shall appoint by electronics notification issued at least
sixty (60) days prior to the Sub-District Leo Forum, a Nominations Committee of not
more than five (5) members, each of whom shall be a member in good standing of a
different Leo club in good standing in the Leo district, and shall not at the time in
their appointment hold any Leo district office. The names and e-mail addresses of
Leos so appointed shall be sent to all clubs in the Leo district at least thirty (30) days
prior to the Sub-District Leo Forum.
SECTION 2. LEO DISTRICT PRESIDENT ELECTION PROCEDURES
Any qualified member and past president of a club in the district seeking the office of
Leo district president shall file his intention to so run in writing the Nominations
Committee at least sixty (60) days prior to the days of Sub-District Leo Forum, and
furnish evidence of his compliance with the qualifications for said office set out in
Constitution and By-Laws of LCI. The Nominations Committee shall place in
nomination at the Sub-District Leo Forum the name(s) of all candidate(s) so qualified.
If none are so received and/ or so qualified, then, but then only, nominations for the
office may be made from the floor. Each candidate shall be allowed one nominating
speech of no more than five (5) minutes, and one seconding speech of no more than
three (3) minutes.
SECTION 3. LEO DISTRICT FIRST AND SECOND VICE PRESIDENT ELECTION
PROCEDURES
Any qualified member of a club in the district seeking the office of Leo district first
and second vice president shall file his intention to so run in writing the Nominations
Committee at least sixty (60) days prior to the days of Sub-District Leo Forum, and
furnish evidence of his compliance with the qualifications for said office set out in

Constitution and By-Laws of Leo District 308 B2 Cabinet. The Nominations


Committee shall place in nomination at the Sub-District Leo Forum the name(s) of all
candidate(s) so qualified. If none are so received and/ or so qualified, then, but then
only, nominations for the office may be made from the floor. Each candidate shall be
allowed one nominating speech of no more than five (5) minutes, and one seconding
speech of no more than three (3) minutes.
SECTION 4. ELECTION CAMPAIGN
Promoting a candidate for the officer of Leo district president or first and second Leo
district vice president or any election campaign for the said purposes shall not be
permitted earlier than the call of Leo district president for the Sub-District Leo Forum,
or thirty (30) days before the Sub-District Leo Forum, whichever is the earlier. In the
event a candidate, or a club on behalf of that candidate, contravenes this stipulation,
then that candidate shall be disqualified by the Nominations Committee on receiving
clear proof of infringement of this section.
SECTION 5. BALLOT
The election of the Leo district president shall be by secret ballot, the following
provisions applying thereto:
a) In the event there are only two (2) nominees, the nominee obtaining the majority
of votes cast shall be declared elected. In the event of a tie, voting shall continue
until one nominee receives such majority.
b) In the event there are three (3) or more nominees, the one receiving a majority of
the votes cast shall be declared elected. If no nominee receives such majority on the
first ballot, then balloting shall continue until one nominee receives such majority,
provided that the nominee receiving the least number of votes on any ballot shall be
dropped from the succeeding ballot.
c) In the event there is but one (1) nominee, then by majority vote the printed ballot
rule may be suspended and a unanimous voice vote may be cast in favor of the said
single nominee.
SECTION 6. LEO DISTRICT PRESIDENT VACANCY
In the event a vacancy shall occur in the office of Leo District President, the Leo
District Vice President(s) shall automatically advance to and fill said office. In the
event the Leo District Vice President refuses to serve in the office of Leo District
President for any reason, the District Leo Club Chairman shall fill the vacancy
created by such refusal by appointment for the unexpired term.
SECTION 7.FIRST AND SECOND LEO DISTRICT VICE PRESIDENTS AND
OTHER VACANCIES.
Any vacancy in office except that of Leo district president and first and second Leo
district vice presidents shall be filled by appointment from the Leo district president

for the unexpired term, or in his/her discretion may determine not to use the position
for the remainder of the term. In event of a vacancy arising in the office of first and
second Leo district vice presidents, the Leo district president shall convene a
meeting of the members of the existing cabinet as provided for in the Leo district
Constitution and By-Laws. It shall be the duty of the attendees at this meeting to
appoint a qualified club member as first or second district vice president for the
remainder of the term. In filling said vacancy, it shall be the duty of the Leo district
president, or if not available, the most recent past Leo district president who is
available, to send out invitations to attend said meeting and it shall also be his/her
responsibility to preside as chairperson of the meeting. The chairperson shall convey
the results to the Lions district cabinet within seven (7) days together with evidence
of invitations sent and meeting attendance. Each Leo who is entitled to receive an
invitation to attend and is present at said meeting shall be entitled to cast one vote
for the Leo of his/her choice. In order for a Leo to be eligible and qualified to be
selected to fill a vacancy in the office of first and second Leo district vice presidents,
he must:
a) be an active member in good standing of a Leo club in his/her single or subdistrict.
b) have served or will have served at the time he takes office as Leo district first or
second vice president:
c) as president of a Leo club for a full term or major portion thereof; and
d) as a member of the Leo district cabinet for a full term or major portion thereof.
e) be endorsed by the Leo club of which the nominee is a member
f) have received endorsement of sponsoring Lions club.
g) with none of the above being accomplished concurrently.
SECTION 8. LEO DISTRICT SECRETARY, TREASURER, REGION
COORDINATORS AND OTHER OFFICERS QUALIFICATIONS
All stated Leo district officers above shall:
a) be an active member in good standing of recognized Leo club in his/her single or
sub-district.
b) have served as president of a Leo club for a full term of the association's fiscal
year or major portion thereof (applicable for District Secretary and District Treasurer)
c) be endorsed by the Leo club of which the nominee is a member.
d) have received endorsement of sponsoring Lions club.
e) not be serving a concurrent term as the president of his/her Leo club.
ARTICLE III
DUTIES OF LEO DISTRICT OFFICERS/ CABINET
SECTION 1. DISTRICT PRESIDENT

Under general supervision of the Lions Clubs International of District 308 B2, he
shall represent the association in the Leo district. In addition, he shall be the chief
administrative officer in the Leo district and shall have the direct supervision over the
first and second district vice presidents, district secretary, district treasurer, regional
coordinators and district coordinators and such other cabinet members as may be
provided for in this district constitution and by-laws.
His specific responsibilities shall be to:
(a) Further the purpose of this organization;
(b) Supervise the organization of new Leo Clubs;
(c) Promote the all the service activities under Youth Department of Lions Clubs
International;
(d) Preside, when present, over regular and special meetings. During any period he
is unable to so preside, the presiding officer at such any meetings shall be the first
district vice president or second district vice president, but if he is not available, the
Leo district officer chosen by the attending members shall preside;
(e) Promote harmony among the Leo clubs;
(f) Endeavor to visit each club at least once during his term of office;
(g) Exercise such supervision and authority over Leo cabinet officers and Leo district
committee appointees as is provided in this district constitution;
(h) Perform such other functions and acts as shall be required of him by the Lions
Clubs International through the Leo District Constitution and By-laws.
SECTION 2. FIRST DISTRICT VICE PRESIDENT
The first district vice president, subject to the supervision and direction of the district
president, shall be the chief administrative assistant and representative of the district
president.
His specific responsibilities shall, be but not limited to:
(a) Further the purpose of this organization;
(b) Perform such administrative duties assigned by the district president;
(c) Participate in the regular and special meetings, and conduct meetings in the
absence of the district president;
(d) Assist the district president in the review of the strengths and weaknesses of the
clubs in the district, identifying the existing and potential weak clubs and establishing
plans to strengthen them;
(e) Conduct club visitation as the representative of the district president when
requested by the district president;
(f) Work with Forum Organizing Committee Chairperson and assist the committee to
plan and conduct the annual Sub-District Leo Forum and assist the district president
to organize and promote other events within the Leo district;
(g) At the request of the district president, supervise other Leo district committee.
(h) Participate in the planning of the next year including the Leo district budget;

(i) Familiarize himself with the duties of the district president so that, in the event of a
vacancy in the office of the district president, he would be better prepared to assume
the duties and responsibilities of said office as the acting district president until the
vacancy is filled according to these by-laws and rules of procedure.
SECTION 3. SECOND DISTRICT VICE PRESIDENT
The second district vice president, subject to the supervision and direction of the
district president, shall be the chief administrative assistant and representative of the
district president.
His specific responsibilities shall, be but not limited to:
(a) Further the purpose of this organization;
(b) Perform such administrative duties assigned by the district president;
(c) Participate in the regular and special meetings, and conduct meetings in the
absence of the district president;
(d) Familiarize himself with the health and status of the clubs in the Leo district, and
assist the district president and the first district vice president in identifying the
existing and potential weak clubs;
(e) Conduct club visitation as the representative of the district president when
requested by the district president;
(f) Assist the district president and the first district vice president in planning and
conducting the annual Sub-district Leo Forum;
(g) At the request of the district president, supervise other Leo district committee.
(h) Assist the district president, first district vice president, and the Leo district
officers in the planning of the next year;
(i) Familiarize himself with the duties of the district president so that, in the event of a
vacancy in the office of the district president and first district vice president, he would
be better prepared to assume the duties and responsibilities of said office as the
acting district president until the vacancy is filled according to these by-laws and
rules of procedure.
SECTION 4. LEO DISTRICT SECRETARY
He shall act under the supervision the district president. His specific responsibilities
shall beto:
(a) Further the purpose of this organization;
(b) Perform such duties as are implied by the title of said office, including but not by
the way of limitation, the following;
1) Keep an accurate record of the proceedings of all the meetings of the Leo cabinet,
and within fourteen (14) days after each meeting forward copies of the same to all
members of the Leo Cabinet and the office of LCI District 308 B2;
2) Take and keep minutes of the Sub-district Leo Forum and furnish copies of the
same to LCI of District 308 B2, the district president and the secretary of each club
in the district;

3) Make reports to the Leo cabinet as the district president or Leo Cabinet may
require;
4) Perform such other functions and acts as may be required by the Lions Clubs
International through the Leo District Constitution and By-laws.
SECTION 5. LEO DISTRICT TREASURER
He shall act under the supervision the district president. His specific responsibilities
shall be to:
(a) Further the purpose of this organization;
(b) Perform such duties as are implied by the title of said office, including but not by
the way of limitation, the following;
1) Collect and issue receipt for all per capita dues levied on members and clubs in
the Leo district, deposit the same in such bank or banks as the district president
shall determine and disburse the same by order of the district president;
2) Keep accurate books and records of the account; and permit inspection of the
same by the district president, any Leo cabinet members and any club (or any
authorized agent of any of them) at any reasonable time for any proper purpose.
Upon direction of the district president or the Leo cabinet, he shall furnish any such
books and records as requested to any auditor appointed by the district president.
3) Perform such other functions and acts as may be required by the Lions Clubs
International through the Leo District Constitution and By-laws.
SECTION 6. REGIONAL COORDINATOR
The regional coordinator, subject to the supervision and direction of the district
president, shall be the chief administrative officer in his Leo region. His specific
responsibilities shall be to:
(a) Further the purpose of this organization;
(b) Play an active role in organizing new Leo clubs and in strengthening weak clubs;
(c) Preside, when present, over regional Leo meetings. During any period he is
unable to so preside, the presiding officer at such any meetings shall be the Leo
district officer, but if he is not available, the Leo club president chosen by the
attending members shall preside;
(d) Visit a regular board of directors meeting or attend an activity of each clubs in his
region at least once during his term of office, reporting the findings to the district
president;
(e) Work with Leo district secretary to ensure the submission of Leo-72 and Leo
Club Directory of each club in his region before 15 May;
(f) Promote representation at multiple districtLeo forum or others activities organized
in district level or international level such as Youth Camps and Youth Exchange
Program;
(g) Perform such additional assignments as shall be given to him from time to time
by the district president;

In the event the regional coordinator for any reason cannot or does not, in the
judgment of the district president, perform the duties of his office, or in the event the
office is for any reason vacated, the district president shall appoint a successor to
serve for the unexpired term.
SECTION 7. DISTRICT COORDINATOR FOR ANY PORTFLIO
The district coordinator for any portfolio, as deemed necessary and appointed by the
Leo district president, subject to the supervision and direction of the district president,
shall be the chief administrative officer in his portfolio. His specific responsibilities
shall be to:
(a) Further the purpose of this organization;
(b) Play an active role in planning any Leo activities related to his portfolio;
(c) Participate in the regular and special meetings, and report in the meetings any
issue or latest news related to his portfolio;
(d) Perform such additional assignments as shall be given to him from time to time
by the district president;
In the event the district coordinator for any portfolio for any reason cannot or does
not, in the judgment of the district president, perform the duties of his office, or in the
event the office is for any reason vacated, the district president shall appoint a
successor to serve for the unexpired term.
ARTICLE IV
LEO DISTRICT FUND
(A)To provide revenue to defray the administrative expenses of this district.
Expenditures there from shall be for such items only as are approved by the Leo
district cabinet, which cabinet shall not incur any financial liability in excess of funds
realized in the fiscal year in which it serves.
(B) A banking account shall be opened for the purpose of receiving monies and all
checks and negotiable instruments drawn thereon shall be signed by the Leo district
treasurer and countersigned by a designee of the district governor.
(C) The Leo district cabinet shall provide for an annual audit of the Leo district
accounts by an auditor appointed by the Leo district cabinet. Audited balance sheets
and income and expenditure accounts for the previous fiscal year shall be submitted
at each annual Sub-District Leo Forum, and to the Lions district cabinet.
(D) Any undeposited Leo district administration fund collections remaining at the end
of each fiscal year shall be turned over forthwith to the incoming Leo district
president's cabinet by the person or persons holding the same, and such collections
together with any Leo district administration fund account balances then remaining
shall be considered as funds realized by the incoming Leo district president's cabinet.
(E) Not more than RM 500 shall be hold by district treasurer. If there is any excess, it
shall be deposited in the bank account.

(F) The bank signatories shall comprises of 2 out of 3 namely district president,
district secretary, district treasurer from Leo district and 1 out of 3 namely district
governor, cabinet treasurer and district chairperson for Leo clubs from lions district.
(G) Any claim more than RM 500 shall be approved by the Leo district cabinet in the
meeting. Other than that, district president shall have the right to approve on behalf
of Leo district.
ARTICLE V
DURATION
(A) This Leo district shall cease to exist upon the first to occur of the following:
1. Vote of the said Leo district to terminate.
2. Receipt by the Leo district president of written notice of the withdrawal of
sponsorship by the Lions district cabinet.
3. Receipt by the Leo district president of a written notice of cancellation by The
International Association of Lions Clubs.
(B) By virtue of this termination, provided in Section A, all rights and privileges
relating to the use of the Leo name and the Leo emblem on a district level shall
thereon be relinquished and surrendered by the members of said district, individually
or collectively. All monies on deposit to the credit of said Leo district shall be
remitted to the Lions district cabinet.
ARTICLE VI
TITLES
Only the titles designated in this constitution may be used by Leo district officers.
Titles such as district governor, district chairman, zone chairman and any other
terminology used by or appropriate to Lions district officers shall not be used.
ARTICLE VII
RULES OF PROCEDURE
Except as otherwise specifically provided in this constitution and by-laws, or in the
rules of procedure adopted for a meeting, all questions of order and procedure
adopted for a meeting, all questions of order and procedure in any district meeting or
convention, any meeting of the district cabinet, region, zone or member club or of
any group or committee of any one of them shall be determined by ROBERT'S
RULES OF ORDER, NEWLY REVISED.
ARTICLE VIII
FISCAL YEAR
The fiscal year of this Leo district shall run from July 1 to June 30.
ARTICLE IX
AMENDMENTS

SECTION 5. EFFECTIVE DATE
Each amendment shall take effect after the endorsement by the District 308 B2
Lions Cabinet at which it has been adopted unless otherwise specified in the

Article III DISTRICT ORGANIZATION
Section 2
Item 1: The members of this organization shall be all officially recognized Alpha
&Omega Leo clubs sponsored by Lions clubs in said Lions district (single or
sub).The said club will be represented by the club president or representative that
appointed by the Board of Directors or the club.
Article V AMENDMENT should be changed to PROCEDURE OF AMENDMENT
BY-LAWS
ARTICLE I MEETINGS
Section 1
Invite the Alpha and Omega Leo Presidents to attend the cabinet meeting for twice
for a fiscal year.
ARTICLE II LEO DISTRICT NOMINATIONS, ELECTIONS & APPOINTMENTS.
Section 1: NOMINATION COMMITTEEcan be changed to ELECTION
COMMITTEE(as the appointed committee only involved in the election process,
whereby the nomination usually done by District President).
Article IX AMENDMENT should be changed to PROCEDURE OF AMENDMENT
