Introduction of the Companies Act, 2013 has deeply impacted the entire gamut of Indian
businesses and strategies adopted around it and functioning of business managers. The new act
is promoting best governance practices all across the Company and ensures effective
compliances and transparency through built in mechanism and involvement of professionals at
various levels in various roles. The secretarial standards issued by the government through
Institute of Company Secretaries of India set in motion new governance regime for holding
board and general meetings.
It has effectively instilled the concept of board Independence, gender diversification, patterned
disclosures and stakeholders protection. However on the other hand legislation is bit harsh on
compliance side for activities like fund raising, investments, related party transactions and
general compliances for small companies.
Very recently government has consider the proposal to revise the Companies Act 2013 to
address the difficulties being faced by stakeholders in its implementation and introduced the
Companies Amendment bill, 2016. The said bill is pending for its ascent at Parliament.
Government has proposed few fundamental changes in relationship matrix of holding and
subsidiary. On applicability of the amendments the same is going to hit on the business
strategies.
The government is also very keen to identify wrongdoers and has placed in stricter mechanism
under the Companies Act.
On this background it would be crucial for business managers, promoters, directors and KMPs
to understand the important provisions under the Companies Act with special reference to
Companies Bill 2016 and Secretarial Standards and to take a call on reworking of the business
strategies.
