Dear Sir,

ENGAGEMENT LETTER FOR THE PROVISION OF ACCOUNTING SERVICES


We refer to our discussions of recent date in connection with the above subject.
This letter is to confirm our understanding of the contents of our discussions, and the terms and objective of our
engagement, as well as the nature and limitations of the services we will provide.
A] GENERAL COVERAGE
It is agreed between Messrs XXXX (hereinafter called The Accountants), and GGG Systems and Services,
(hereinafter called The Client), that The Accountants will provide the following services to The Client:
1. Design an Accounting System for The Client to permit the preparation of The Clients Financial Statements for
tax purposes.
2. Reconcile current account with the bank statement each month for proper account balance and to identify any
errors.
3. Review, analyse and reconcile general ledger accounts for accuracy and confer with The Client regarding any
items not fully understood.
4. Prepare and record all necessary journal entries to reflect correct accounting records.
5. Prepare and present Financial Statements to The Client.
6. Prepare The Clients Payroll and its PAYE Returns for submission to The Ghana Revenue Authority, (The
GRA).
7. Review Sales Journal and prepare VAT Returns (if applicable) for submission to The Ghana Revenue Authority,
(The GRA).

In order that The Accountants may be able to execute their work under the engagement, The Client will ensure the
provision of the following documents to The Accountants:
1. Cash receipt reports and bank deposit slips.
2. Cash disbursements and bank statements.
3. Cheques issued register.
4. Cheques received register.
5. Prior years tax returns.
6. Copies of loan agreements, (if any).
7. Copies of employee engagement contracts.
8. Detailed list of The Clients Assets (description, date of acquisition, original cost, and current value).
9. Detailed list of The Clients Liabilities (description, date incurred and amount).
10. Other documents necessary for correct account reporting.
The Client agrees that the above-listed documents will be made available to The Accountants, PERIODICALLY, on a
monthly basis, as that procedure will enable The Accountants to provide The Client with current, meaningful and useful
financial statements.
The Client agrees to inform The Accountants, immediately, of any incidents, occurring either on the premises of The
Client or not, which have the potential of affecting the meaningfulness or usefulness of financial statements prepared
from any documents given to The Accountants.

B] RETENTION POLICY
It is the policy of The Accountants to keep work papers related to the engagement for TWO years. When records
on the engagement are returned to The Client, however, it is the responsibility of The Client to retain and protect
them for future internal use, potential examination by a government or regulatory body, a prospective buyer and
the acquisition of business loans.

C] FEE POLICY
The Accountants fee for the bookkeeping service will be GHS 125.00 per hour plus out-of-pocket expenses. Ongoing
bookkeeping services will be billed monthly.
Deposit of Fee
A commitment payment of GHS 200.00 will be due at the time of the engagement.
Any additional accounting services which The Client may request, outside those listed above, will be billed
separately.
D] GENERAL SCOPE OF WORK
This engagement does not include business management. Thus, The Accountants will not review the payment of any
invoices or bills. However, if a payment amount appears unusual or out of the ordinary, The Accountants will bring it
to The Clients attention but will not take any responsibility in the discovery of any errors, irregularities or fraud.
All invoices for work done by The Accountants are due and payable upon presentation. Billings become
delinquent if not paid within 15 days of the receipt of the invoice. If billings are past due in excess of 40 days,
The Accountants will stop all work until the account of The Client is brought current, or The Client withdraws
from the engagement, at which point The Accountants acquire the right to seek redress for any unpaid bills.
The Client acknowledges and agrees that The Accountants are not required to continue work in the event of failure
by The Client to pay on a timely basis for services rendered as required by this engagement letter.
The Client further acknowledges and agrees that in the event that The Accountants stop work or withdraw from this
engagement, as a result of The Clients failure to pay on a timely basis for services rendered, as required by this
engagement letter, which action shall be notified to The Client in writing by The Accountants, the latter shall not be
liable for any damages that occur as a result of ceasing to render services.
D] DISPUTE RESOLUTION
If a dispute arises between the parties hereto, the parties agree first to try in good faith to settle the dispute by
recourse to The Alternative Dispute Resolution Act, 2010, (Act 798), of Ghana, before resorting to litigation. All
parties shall share the costs of any mediation proceeding equally.
Further, both parties agree that any dispute over fees charged shall also be submitted to arbitration, under Act 798, and
such arbitration shall be binding and final.
In agreeing to arbitration, The Accountants and The Client acknowledge that, in the event of a dispute over fees
CHARGED BY THE ACCOUNTANTS, they are both giving up the right to have the dispute decided in a court of law
before a judge or jury and instead will be accepting the use of arbitration for resolution.
AGREEMENT TO TERMS & UNDERSTANDING OF ENGAGEMENT
If the foregoing is in accordance with your understanding, please sign the Engagement Letter in the space provided
below and return same to XXXX, Chartered Accountants.
