Minimum Requirements for LLP

1 Minimum 2 Designated Partners
2 Atleast 1 of the DP shall be Indian resident
3 If a body corporate is DP then it has to nominate a natural person
4 Director Identification No.(DIN) has to be obtained by 2 partners
5 Digital Signature Certificate of any one of the DP

of application for Trademark registration/
authorization to use trademark
Copy of approval from the competent authority in
case of collaboration with foreign country
Copy of board resolution of the existing company in
form of NOC
Address Proof (Electricity/Telephone Bill) not older
than 2 months
If the Designated Partner is body corporate, copy of
resolution on letterhead of such body corporate to
become a partner and name & address of the
individual nominated to act as DP on its behalf
Incorporation Form & Subscription Statement
(Signed by Designated Partner & Witnessed by a
Professional)
In principle approval of regulatory authority, if
required
Detail of LLP(s) and/or companies in which partner
is a director or a partner

Sent by Government in form 16 via email and physical copy

by post
LLP Agreement to be printed on Stamp Paper, duly signed
and witnessed
Agreement to be filed to govt. within 30 days of receiving the
certificate of incorporation
Approval of e-form 3 by government.
