FINDER FEE AGREEMENT

OBJECT OF THE CONTRACT

The COMPANY delegate the
FINDER to identify the potentials
sellers,agents,commisionars , brokers who facilitate, intermediate and sell to the
COMPANY the product cement Portland origin Russia or Ucraina,or
anothers surces ,and to comunicate him personal or with mediaton of anothers
agents or finders the obtained results and to make all the approaches who
conssider to be necesary to conclude the PURCHASE AGREEMENT to the
product Cement Portland 42,5 N.
In the conditions that between the potentially cement seller,identify by the
COMPANY and the FINDER,conclude a business,COMPANY Kabew
Construction PLC due to the FINDER a Finder fee of 4 USD/To.This fee will be
due for every metric tone and for any busienss concluded to any period with the
seller.
It is forbidden to the Company to work through intermediary or anothers
companies ,individual or legal persons with the seller identify by the FINDER a
period of 5 (five) years for the date of the colclude of the present agreement .
In the case that the COMPANY violate this obligation,the COMPANY due
to the FINDER a penalty like special damage equal with one monthly goods
delivery.
PAYMENT AND TERMS OF PAYMENT
The payment of the fee due by the COMPANY will be made after the conclude of
the purchase agreements , at every cement delivery. The FINDER will issue the
invoices to cash the due fee from the documentary ,transferable and divisible
L/C issued by
Buyer , at the every payment day of the every goods
delivery .
The payment will be made in the FINDER account, from the
documentary ,transferable and divisible L/C by the base of the present Finder fee
agreement and to the invoices issued between every one delivery ,this invoice
represented payment document enclosed under the another payment
documents. The purchase agreements will be refer to the finder fee agreement
and its payment.

VALIDITY
This agreement comes into force from the moment of signing it by both
contracting parties and it is valid for the period of the fulfillment of the business
of the two parts of the Purchase Agreement.
ANOTHER TERMS
All amendments or and Addenda to this Agreement are valid if made in written
form and signed by the authorized representatives of the parties and form
integral part of the contract. Any changes , appendixes ,addendums to the
present Agreement are considered valid only provided that are made in writing
and signed by the duly authorized representatives of both parties concerned.
The parts must to respect the contractual discipline required by the existent law .
Providing any disputes arise according the present Agreement , both parties
strive to resolution and in the event the resolution fails, the legal process is
accomplished regarding the Romanian Law ,and the disputes will be resolved by
the competent instance of the Finder centre.
The Finder Fee Agreement is drawn in English language.
The Finder Fee Agreement have Addenda Non circumvention and non
disclosure working agreement ,and its stipulations will be suitable respected
and it make integral part of the Agreement.
Signatures on this Agreement received by the way of Facsimile, Mail and/or
Email shall be deemed to be an executed contract.
Present Agreement is concluded today 25 October 2007 in two originals, one for
the COMPANY and the other one for the FINDER.
