LEASE DEED

This Deed of Lease is made and executed on this the ___ day of May, 2015 at
Hyderabad by and between:
Smt. N.Neeraja W/o N.S.R. Krishna Prasad, aged about 44 years, R/o H.No.16-1116/6/1, Sripuram Colony, Malakpet, Hyderabad-36.
(Henceforth, The LESSOR which expression shall, unless repugnant to the context,
always mean and include his representatives, attornies, executors, legatees, legal
heirs and successors in interest and title etc.,)
In Favour Of
M/S.Varun Motors Pvt., Ltd.,. a company incorporated and registered under the
provisions of the Indian Companies Act 1956 having its office at #1-10-177, Varun
Towers, Begumpet, Hyderabad 500016 represented by its Director and Authorized
Signatory Sri D.K.Raju,S/o. D.S.Rao, aged about 45 years.
(Henceforth, the LESSEE which expression shall, unless repugnant to the context,
always mean and include their representatives, attorneys, executors, legatees, legal
heirs and successors in interest etc.,)
WHEREAS the Lessor is the sole and absolute owner and possessor of the entire
property bearing House No. 3-1/2 on plot No. 93/MIG in Survey No. 143 and 144,
admeasuring 300 sq.yds or 250.8 sq.mtrs, situated at Dharmareddy Colony, Phase II,
Hydernagar Village, kukatpally Municipality, R.R.District ( Henceforth the Scheduled
Property, more fully described in the schedule annexed hereto ), having acquired the same
from Sri K. Prabhakar S/o Dr. K. Suryanarayana vide Registered Sale Deed dt: 24.04.1993
bearing number _______________.
And therefore, The LESSEE approached the LESSOR offering to take the entire
Scheduled Property on lease basis from the Lessor for their business purpose, and
negotiations and discussions on the subject culminated in the LESSORS agreeing to deliver
the Scheduled Property to The LESSEE, albeit on certain terms and conditions mutually
agreed by the parties which both considered expedient should be reduced into writing.

Thus, This Lease Deed WITNESSETH


1. That in pursuance of the said offer and acceptance ,the LESSORS hereby delivers the
Scheduled Property by way of Lease to the LESSEE for a period of 5 (Five) years
i.e., from ____________ to ___________ commencing from ____________ as per
English calendar subject to the terms, conditions and covenants hereinafter contained
during the currency of the lease.

2. In case lessee opts to continue in the schedule property for any reason after the expiry
of this indenture the lessee should convey their intention and execute a renewal lease
deed with revised terms and conditions mutually agreed by lessor and lessee then
applicable three months notice in advance before the date of expiry.
3. Monthly Rentals:
(a) It is hereby mutually agreed that the consolidated monthly rental for the leased
Scheduled property shall be Rs. 10,000/- (Rupees Ten Thousand only ) per month
and the said monthly rental shall be subject to escalation at the end of every year
of the Lease @ 5% on the last due montly rental as per the following schedule.
(b) It is mutually agreed that the LESSEE shall regularly remit the monthly rents,
positively by 07th of following month of tenancy by way of cheque.
4. That the LESSOR promises the LESSEE that she is the lawful owner of the
scheduled property free of pending litigations and LESSOR is enjoying it peacefully.
In the event of any charges, claims, litigations from Government Authorities
/Agencies and /or Third Parties arising on the scheduled property, The LESSOR shall
be responsible towards such charges, claims, litigations and shall ensure peaceful
possession / occupation by the LESSEE and shall also keep the LESSEE indemnified
against all losses arising out of such charges, claims, litigations from Government
authorities / agencies and /or Third Parties.
5. Subject to condition No.7that if the Lessee is deprived of from the peaceful
enjoyment of the possession of the schedule property or any part thereof from the
date of execution of this indenture, by the Lessor or for the reason of any charges,
claims, litigation, any other legal issue whatsoever from Government agencies and/or
third parties or due to any defect in the possession conveyed by the Lessee to the
Lessor, the Lessor shall compensate and indemnify the Lessee, the entire payment
made to the Lessor till then, within Fifteen (15) days from the date of such
deprivation during the subsistence of this indenture.
6. That the lessee shall use the scheduled property for stock yard purpose, the lessee
shall conduct its operations smoothly and peace fully in the schedule property.
7. It is hereby mutually agreed that the lessee has agreed to remit the monthly
electricity, water charges if any which may be levied or imposed by the respective
Departments or any other statutory body or corporation supplying water and
electricity and shall pay the same directly to the concerned departments from the date
of execution of this indenture. However the lessor are agreed to pay the property tax
and any other taxes from time to time related to the scheduled property.
8. That the Lessee is entitled to erect and install name boards, sign boards, hoardings
etc to full extent on the faade, road sides and any other part of the Leased premises

for its business purpose during the period of Lease without disturbing other lease
holders / tenants in the leased premises. With regard to the boards installed any
demands raised by the Government department/agencies, the same shall be borne by
the Lessee only.
9. That the lessee hereby covenants with and assures the lessor that the schedule leased
property shall be maintained in a habitable and decent condition during the tenure of
this lease and to allow the lessor or his representatives to inspect the schedule
premises at all reasonable times.
10. It is hereby mutually agreed that in the event of the leased premised being effected
by road widening whereby, the scheduled premises or any part or portion is
demolished, and the subject lease shall be re-negotiated by the parties herein.
11. It is hereby mutually agreed that this document is executed in two original sets and
the LESSOR is retaining one of the original documents and the LESSEE is retaining
another.
12. It is mutually agreed that this indenture shall be governed by and construed in
accordance with the Laws of India. Any dispute under this Agreement which the
parties are not able to settle amicably within Thirty (30) days from the date of arising
of such dispute shall be referred to arbitration by a sole arbitrator in accordance with
the Arbitration and Conciliation Act 1996 at Hyderabad and the proceedings shall be
conducted in English and the Arbitration Award shall be final and binding on the
parties. Subject to the above, if any appeals shall be the exclusive jurisdiction of the
Courts in Hyderabad.
13. It is hereby mutually agreed that the Lessor is handing over vacant and peaceful
possession of the scheduled leased property to the Lessee on ____________ in terms
of these presents. The rent period will commence from ____________.
14. The Schedule property is not prohibited for registration under any statute or law or
court orders i.e., Government Lands / Assigned Lands / Wakf Lands / Endowments
Lands etc. This declaration is made in accordance with the section 82 of the Indian
Registration Act 1908.

Hydernagar Village, kukatpally Municipality, R.R.District bounded by:
NORTH : Plot No. 55/MIG
SOUTH : 30 Wide Road
EAST : Plot No. 94/MIG
WEST : Neighbours House in Plot No. 92/MIG

In witness whereof the lessors and lessee have signed on this deed of lease with free will
and sound mind on the above said date in the presence of the following witnesses.
