ThisUserAgreement("Agreement")isacontractbetweenyouandPayPal,Inc.("Company")andapplies
toyouruseofFriendlyLoansproductsandservicesandanyotherFriendlyLoansfeatures,
technologies,and/orfunctionalitiesofferedbyCompanyonourwebsiteorthroughanyothermeans(the
"FriendlyLoansServices").TheFriendlyLoansServicesareprovidedtoyousubjecttothisAgreementas
wellasourPrivacyPolicy("PrivacyPolicy")whichisavailableathttps://FriendlyLoans.com/legal/us
privacypolicy/andisincorporatedinthisAgreementbythisreference.
A.THIRDPARTYAGREEMENTS
YouacknowledgeandagreethatthisAgreementisbetweenyouandCompany,notwithanythirdparty
(including,butnotlimitedto,Apple,Google,oranymobilecarrier),andthatCompanyissolely
responsiblefortheFriendlyLoansServices.YouruseoftheFriendlyLoansServicesmaybesubjectto
separateagreementsyoumayenterintowithyourmobiledeviceoperatingsystemprovider(e.g.,Apple,
GoogleorMicrosoft),yourmobiledevicemanufacturer(e.g.,Apple,Samsung),yourmobileservice
carrier(e.g.,AT&TorVerizon),andotherpartiesinvolvedinprovidingyourmobiledeviceservice.
ThirdpartyoperatingsystemproviderssuchasApple,Google,andMicrosoft,yourphoneorothermobile
devicemanufacturer,yourwirelesscarrierorothernetworkprovider,anyotherproductorserviceprovider
relatedtoyourmobiledeviceservicearecollectivelyreferredtoas"CoveredThirdParties."Youagreeto
complywithallapplicablethirdpartytermsofagreementwhenusingtheFriendlyLoansServices.
Companyisnotapartytothoseagreementsandhasnoresponsibilityfortheproductsandservices
providedbythirdparties.
PleasenotethatCompanyhasopeneditsFriendlyLoansapplicationprogramminginterface("API"),so
youmaybesubjecttoagreementswiththirdpartieswhenusingaservicethatwasnotcreatedbyCompany.
Companyhasnoliabilityorresponsibilityforyouruseofthesethirdpartyservices.
B.FRIENDLYLOANSSERVICETERMS
1.TermsforFriendlyLoansServices
TheFriendlyLoansServicesallowyoutomakepaymentstoandacceptpaymentsfromthirdparties.You
mayusetheFriendlyLoansServicesonyourmobiledeviceorthroughawebbrowser,or,ifyouarean
approvedmerchant,youmayacceptFriendlyLoanspaymentsthroughyourmobileapplicationorwebsite.
PayPal,Inc.isalicensedproviderofmoneytransferservicesandallmoneytransmissionisprovidedby
PayPal,Inc.,pursuanttoPayPal,Inc.slicenses.
Seehttps://FriendlyLoans.com/legal/uslicenses/foradditionalinformationandfordisclosuresthat
Companyisrequiredtopostbycertainjurisdictions.Companyhasnoresponsibilityfortheactionsofyour
transferrecipientorforthesubjectofthetransfer.Wedonotguaranteetheidentityofanyuserofthe
FriendlyLoansServicesorthatasenderorarecipientcanorwillcompleteatransaction.
a.EligibilityandAccountRegistration
TobeeligibletousetheFriendlyLoansServices,youmustbearesidentoftheUnitedStates,be18years
orolder,usetheFriendlyLoansServicesintheUnitedStates,andcreateanaccountwithacellular/wireless
telephonenumberthatyouown.Youmayalsoinitiateaccountregistrationbyconnectingwithyour
Facebookaccount,however,wewillstillneedadditionalinformationtocreateyouraccount.Asfurther

detailedinourPrivacyPolicy,inordertoregister,createanduseanaccount,Companymayrequirethat
yousubmitcertainPersonalInformation(asdefinedinthePrivacyPolicy),includingbutnotlimitedto
yourname,emailaddress,textenabledcellular/wirelesstelephonenumber,streetaddressorzipcode,date
ofbirth,andsocialsecuritynumbertoCompany.Duringtheregistrationprocess,orwhenyouaccessthe
FriendlyLoansServicesfromaphone,yourphone'sdeviceIDisalsostored.YouagreethatthePersonal
InformationyouprovidetoCompanyuponregistrationandatallothertimeswillbetrue,accurate,current
andcomplete,andyouagreetomaintainandupdatethisPersonalInformationwithusasnecessary.
b.TypesofAccounts
Weoffertwodifferenttypesofaccounts,personalandbusinessaccounts.Youmayhaveonlyonepersonal
account.Personalaccountsareforuseinpersontopersontransferswithfriendsandfamily,andother
peoplewhomyouknow.Somefeaturesofpersonalaccountsmaybelimitedbasedonhowyouwishtouse
theFriendlyLoansServices,howmuchyouneedtosendandwhatweknowaboutyou.Wemayrequire
thatyouprovidemoreinformationinordertocompleteatransaction.Personalaccountsmaynotbeusedto
receivebusiness,commercialormerchanttransactions.
Foreachbusinessyouareinvolvedwith,youmayhaveonlyonebusinessaccount.Businessaccountuseis
limited.Businessaccountsmustbeappliedforandexplicitlyauthorized.Byopeningabusinessaccount
andacceptingthetermsasoutlinedinthisAgreement,including,butnotlimitedto,theRulesand
RestrictionsforBusinessAccountssetforthbelow,youattestthatneitheryounoryourbusinessis
establishingabusinessaccountprimarilyforpersonal,familyorhouseholdpurposes.Wemayreverseor
placeaholdonyourtransactionsorplaceareserveonyourfundsifyouareinbreachofthisAgreement,
including,butnotlimitedto,ifyouareusingapersonalaccountforbusinesspurposesorabusiness
accountforpersonal,familyorhouseholdpurposes.
c.IdentityAuthentication
YouherebyauthorizeCompany,directlyorthroughthirdparties,tomakeanyinquiriesweconsider
necessarytovalidateyouridentityand/orauthenticateyouridentityandaccountinformationand,for
businessaccounts,yourcompanyoremployer.Thismayincludeaskingyouforfurtherinformationand/or
documentationaboutyouraccountusageoridentity,orrequiringyoutotakestepstoconfirmownershipof
youremailaddress,wireless/cellulartelephonenumberorfinancialinstruments,andverifyingyour
informationagainstthirdpartydatabasesorthroughothersources.Thisprocessisforinternalverification
purposes.
d.TransactionHistory
Youhavetherighttoreceiveanaccountstatement.Youmayviewyouraccountstatementbylogginginto
yourFriendlyLoansaccount.
e.SendingMoney
i.SendingLimits
Wemay,atourdiscretion,imposelimitsontheamountofmoneyyoucansendorreceivethroughthe
FriendlyLoansServices.PleaseseeourHelpCenterherehereformoredetailsonlimits.Ifwehave
authenticatedyouridentity,wemayincreaseyoursendingand/orreceivinglimits.Theselimitsmaychange
fromtimetotimeinCompanyssolediscretion.Youmaynotsendmoneytoyourownaccount.
ii.DefaultFundingSources

YourFriendlyLoansbalanceconsistsofthefundsyouhaveinyourFriendlyLoansaccountthatare
availablefornewtransfersandarenotsubjecttopendingtransfers.
WhenyoumakeapaymentthroughtheFriendlyLoansServices,wefirstseeifyourFriendlyLoans
balancecancoverthetransaction.Youcanalsofundpaymentswithabankaccount,debitcardorcredit
card,designatingoneofthesetobeyourprimaryfundingsource.
WealwaysuseyourFriendlyLoansbalancefirstifthebalanceissufficienttocoveryourpayment.Ifthere
isnotenoughmoneyavailableinyourFriendlyLoansbalancetocoverthetransaction,weuseyour
designatedprimaryfundingsourcetomakethepaymentinitsentirety.
Ifyoudon'twanttouseyourbalance,youcanwithdrawitatanytime.Ifyourbalanceisnotusedwithin30
dayswemayremindyoutowithdrawfundsorreturnthefundstoyourattachedbankaccount.
iii.FundingSourceLimitations
Inordertomanagerisk,Companymaylimitthefundingsourcesavailableforyourusetofundany
particulartransaction.Forexample,wemaylimityourfundingsourcesforaparticulartransactiontodebit
cardsoryourcheckingaccount.
Pleasenotethatthevariousfundingsourceshavedifferentdisputeresolutionrightsandproceduresinthe
eventyourtransactionturnsouttobeunsatisfactory.Yourdisputeresolutionrightsaredeterminedbythe
fundingsourceusedtofundyourtransaction.
iv.BankTransfers
Whenyourcheckingaccountisusedasyourfundingsource,youarerequestingthatweinitiateonyour
behalfanelectronictransferfromyourbankaccount.Forthesetransactions,Companywillmakeelectronic
transfers(viatheAutomatedClearingHouse("ACH")ofNACHATheElectronicPaymentAssociation
("NACHA"))fromyourbankaccountintheamountyouspecify.Youagreethatsuchrequestsconstitute
yourauthorizationtoCompanytomaketheACHtransfer,andonceyouhaveprovidedyourauthorization
forthetransfer,youwillnotbeabletocanceltheelectronictransferandCompanymayresubmitanyACH
debityouauthorizedthatisreturnedforinsufficientoruncollectedfunds,exceptasotherwiseprovidedby
NACHA'sACHrules(collectively,the"ACHRules"),orapplicablelaw.
v.RefusedandRefundedTransactions
Whenyousendmoney,therecipientisnotrequiredtoacceptit.YouagreethatyouwillnotholdCompany
liableforanydamagesresultingfromarecipient'sdecisionnottoacceptapaymentmadethroughthe
FriendlyLoansServices.
IfarecipientoffundsisnotaFriendlyLoansuseranddoesnotregisterfortheFriendlyLoansServices,
Companywillreturnyourfundsin30days.Iftherecipientdoesnotregister,setupanemailaddressor
mobilenumberandacceptthetransferwithin30days,thetransactionwillbecancelled.Duringthisperiod,
aholdwillbeplacedonyouraccountfortheamountofthetransferandtheapplicablefee,ifany.Oncethe
recipienthassuccessfullyregisteredasaFriendlyLoansuser,transferswillautomaticallybedebitedfrom
youraccountandcreditedintherecipient'saccount.Wewillreturnanyunclaimed,refundedordenied
paymentwithin30daysofthedateyouinitiatepayment.Ifapaymentisunclaimed,deniedorrefundedfor
anyreason,wewillreturnthemoneytoyourbalanceortotheoriginalfundingsource.
vi.DebitCardProcessing

Companywillprocessyourdebitcardfundedtransactionsthrougheitherthedebitcard'sATMdebit
networkortheVisa/MasterCardnetwork,asCompanymayelectatitsdiscretion.
vii.CreditCardInformation
Ifyourcreditcardaccountnumberchangesoryourcreditcardexpirationdatechanges,wemayacquire
thatinformationfromourfinancialservicespartnerandupdateyouraccountaccordingly.
viii.FeesforSendingMoney
YoumayusetheFriendlyLoansServiceswithoutchargetosendmoneywhentransactionsarefundedbya
bankaccountorFriendlyLoansbalance.Pleaseseehereformoreinformationonfees.Thesefeesmay
changefromtimetotimeinCompany'ssolediscretion.Youmaybesubjecttothirdpartyfees,suchas
insufficientfundfees,reversalfees,orACHinsufficientfundfeesthatabankmaychargeifyourpayment
isrejected.
f.PaymentInvestigation
PaymentinvestigationisaprocessbywhichCompanyreviewscertainpotentiallyhighrisktransactions.If
apaymentissubjecttopaymentinvestigation,Companywillplaceaholdonthepaymentandmayprovide
noticetotherecipient.Companywillconductareviewandeitherclearorcancelthepayment.Ifthe
paymentiscleared,Companywillprovidenoticetotherecipient.Otherwise,Companywillcancelthe
paymentandthefundswillbereturned.Companywillprovidenoticetoyoubyemailand/orintheaccount
historytabofyourFriendlyLoansaccountifthepaymentiscanceled.
g.RiskofReversals,ChargebacksandClaims
Whenyoureceiveapayment,youareliabletoCompanyforthefullamountofthepaymentplusanyfeesif
thepaymentislaterinvalidatedforanyreason.Thismeansthat,inadditiontoanyotherliability,youwill
beresponsiblefortheamountofthepayment,plusapplicablefeesifyouloseaclaimorachargeback,orif
thereisareversalofthepayment.Ifasenderofapaymentlaterdisputesthepaymentorfilesaclaimfora
chargeback,thedebitorcreditcardissuerortheoriginatingbank,notCompany,willdeterminewhether
thedisputeisvalidandtowhompaymentisdue.YouagreetoallowCompanytorecoveranyamountsdue
toCompanybydebitingyourbalance.Ifthereareinsufficientfundsinyourbalancetocoveryourliability,
youagreetoreimburseCompanythroughothermeans.IfCompanyisunabletorecoverthefundsfrom
yourprimaryfundingsource,Companymayattempttocontactyou,Companymayrecoverthefundsfrom
youralternatefundingsources,ormaytakeotherlegalactionstocollecttheamountdue,totheextent
allowedbyapplicablelaw.
h.AccountBalances
i.Balances
Youdonotneedtomaintainabalanceinyouraccountinordertomakepayments.Ifyoudoholda
balance,Companywillholdyourfundsseparatefromitscorporatefunds,willnotuseyourfundsforits
operatingexpensesoranyothercorporatepurposes,andwillnotvoluntarilymakeyourfundsavailableto
itscreditorsintheeventofbankruptcy.Whileyourfundsareinourcustody,Companywillcombineyour
fundswiththefundsofotherusersandplacethosepooledaccountsinoneormorebankaccountsin
Company'sname.

Companyisnotabankorotherchartereddepositoryinstitution.FundsheldbyCompanyoritsservice
providers(includinganybankserviceproviders)inconnectionwiththeprocessingoftransactionsarenot
depositobligationsandarenotinsuredforthebenefitoftheuserbytheFederalDepositInsurance
Corporationoranyothergovernmentalagency.Fundsheldinbalanceareanancillaryfunctionofenabling
moneytransmissionandnotforotherbenefit.
ii.AssignmentofInteresttoCompany
YouagreethatyouwillnotreceiveinterestorotherearningsonthefundsthatCompanyhandlesandplaces
inpooledaccounts.Companydoesnottypicallyreceiveinterestonfundsheldforitsusers.However,in
considerationforyouruseoftheservice,youirrevocablytransferandassigntoCompanyanyownership
rightthatyoumayhaveinanyinterestthatmayaccrueonfundsheldinpooledaccounts.Thisassignment
appliesonlytointerestearnedonyourfunds,andnothinginthisAgreementgrantsCompanyany
ownershiprighttotheprincipalofthefundsyoumaintainwithCompany.
iii.NegativeBalances
Ifthebalanceinyouraccountisnegativeforanyreason,Companymaysetoffthenegativebalanceby
deductingamountsyouoweCompanyfrommoneyyoureceiveintoyouraccount,ormoneyyouattemptto
withdraworsendfromyouraccount.YouagreetoallowCompanytorecoveranyamountsdueto
Companybydebitingyourbalance.Ifthereareinsufficientfundsinyourbalancetocoveryourliability,
youagreetoreimburseCompanythroughothermeans.IfCompanyisunabletorecoverthefundsfrom
yourprimaryfundingsource,Companymayattempttocontactyou,Companymayrecoverthefundsfrom
youralternatefundingsources,ormaytakeotherlegalactionstocollecttheamountdue,totheextent
allowedbyapplicablelaw.
iv.SetoffofPastDueAmounts
IfyouhaveanegativebalanceorotherpastdueamounttoCompany,Companymaymakeattemptson
yourfundingsourcetocovertheamounts.IfCompanyisunabletorecoverthefundsfromyourprimary
fundingsource,Companymayattempttocontactyou,Companymayrecoverthefundsfromyouralternate
fundingsources,ormaytakeotherlegalactionstocollectanyamountsthataremorethan14dayspastdue,
totheextentallowedbyapplicablelaw.
v.SecurityInterest
TosecureyourperformanceofthisAgreement,youherebygranttoCompanyalienonandsecurity
interestinyouraccountandagreetoexecuteanyfurtherdocumentationtoperfecttheseCompanyrights.
i.WithdrawingMoney
i.HowtoWithdrawMoney
YoumaywithdrawfundsfromyourFriendlyLoansaccountbyelectronicallytransferringthemtoyour
bankaccount.Wemayprovidelimitedwithdrawalstodebitcarddependingonwhatproductisenabledand
approvedonyouraccount.
ii.WithdrawalLimits
PleaseseeourHelpCenterhereformoredetailsonlimits,includinganyapplicablewithdrawallimits.We
reservetherighttodelaywithdrawalswhilewescreenforrisk,orrequestyouprovideadditional

informationtoverifyyouridentityandwemaylimittheamountyoucanwithdrawuntiltheinformationis
verified.
iii.TransferstoYourLinkedFinancialInstitutionAccounts
WhenyoutransfermoneyfromyourFriendlyLoansbalancetoyourlinkedfinancialinstitutionaccount(s),
theACHRuleswillgovernthetransfer.
j.ClosingYourAccount
i.HowtoCloseYourAccount
Aslongastherearenopendingorinprogresstransactions,youmaycloseyouraccountatanytime.You
maycloseyouraccountbyloggingintoyouraccountfromawebbrowser,clickingonthe"Settings"tab,
clickingonthe"DeletemyFriendlyLoansAccount"link,andthenfollowingtheinstructions;however,
youmustwithdrawyourbalancepriortoclosingyouraccount.
ii.LimitationsonClosingYourAccount
Youmaynotcloseyouraccounttoevadeapaymentinvestigation.Ifyouattempttocloseyouraccount
whileweareconductinganinvestigation,wemayholdyourfundsforupto180daystoprotectCompany
orathirdpartyagainsttheriskofreversals,chargebacks,claims,fees,fines,penaltiesandotherliability.
Youwillremainliableforallobligationsrelatedtoyouraccountevenaftertheaccountisclosed.
k.ItemHold
Company,initssolediscretion,mayplaceaholdonapaymentyoureceiveforatransactionwhen
Companybelievestheremaybeahighlevelofriskassociatedwiththetransaction.IfCompanyplacesa
holdonyourpayment,itwillshowas"pending"inyourFriendlyLoansaccount.
i.ReleaseofItemHold
Companywillreleasethepaymentholdafter21daysunlesswereceiveadispute,claim,chargeback,or
reversalonthetransactionsubjecttothehold.Companymayreleasetheholdearlierifthesenderoffunds
providesusconfirmation,Companyisabletoconfirmproperdelivery,orCompanyotherwisecompletesits
investigation.
ii.Additionalholdperiod
Ifyoureceiveadispute,claim,chargeback,orreversalonthetransactionsubjecttotheitemhold,
CompanymayholdthepaymentinyouraccountuntilthematterisresolvedpursuanttothisAgreement.
l.AccountHoldandReserves
Forhighvolumeaccounts,includingbusinessaccounts,Companymay,initssolediscretion,placea
reserveonfundsheldinyouraccountwhenitbelievestheremaybeahighlevelofriskassociatedwith
youraccount.Ifyouraccountissubjecttoareserve,Companywillprovideyouwithnoticespecifyingthe
termsofthereserve.Thetermsmayrequirethatacertainpercentageoftheamountsreceivedintoyour
accountareheldforacertainperiodoftime,orthatacertainamountofmoneyisheldinreserve,or
anythingelsethatCompanydeterminesisnecessarytoprotectagainsttheriskassociatedwithyour

account.Companymaychangethetermsofthereserveatanytimebyprovidingyouwithnoticeofthe
newterms.
m.Termination
UponterminationofthisAgreementforanyreason,wehavetherighttoprohibityouraccesstothe
FriendlyLoansServices,includingwithoutlimitationbydeactivatingyourusernameandpassword,andto
refusefutureaccesstotheFriendlyLoansServicesbyyouorifabusinessentity,itsparent,affiliatesor
subsidiariesoritsortheirsuccessors.
n.RulesandRestrictionsforPersonalAccounts
ThefollowingRulesandRestrictionsforpersonalaccountsapplytoyouruseofapersonalaccountunder
thisAgreement.
i.ReceivingMoney
PleaseseeHelpCenterhereformoredetailsonlimits,includinglimitsonreceivingandsendingmoney.
TheselimitsmaychangefromtimetotimeinCompany'ssolediscretion.
ii.TransactionFeesforReceivingMoney
Pleaseseehereformoredetailsonfees.ThesefeesmaychangefromtimetotimeinCompanyssole
discretion.
iii.ErrorinReceivingMoney
Intheeventofanerror,yougiveCompanypermission,subjecttoCompany'scompliancewithapplicable
law,tomakeappropriatecorrectionsbydebitingorcreditingyourFriendlyLoansbalance,ordebitingor
creditingyourprimaryoralternatefundingsourcesasapplicable.
iv.AccountErrors
Ifyouraccounthistoryshowstransfersyoudidnotmake,followtheproceduresoutlinedinSectionD.11of
thisAgreement.
o.RulesandRestrictionsforBusinessAccounts
ThefollowingRulesandRestrictionsforBusinessAccountsapplytoyouruseofabusinessaccountunder
thisAgreement.
i.ReceivingMoney
Exceptasmaybeotherwiseprovidedbyapplicablelaw,thereisnopresetlimittotheamountoffundsyou
canreceiveusingtheFriendlyLoansServices.TherearelimitsontheamountyoumaysendusingFriendly
LoansServices.Therearealsolimitsontheamountyoucanwithdraw.PleaseseeourHelpCenterherefor
moredetailsonlimits,includinglimitsonreceivingandsendingmoney.Theselimitsmaychangefrom
timetotimeinCompany'ssolediscretionandtherequirementstoliftthoselimitsmayvarybasedon
productusage.
ii.ErrorinReceivingMoney

Intheeventofanerror,yougiveCompanypermission,subjecttoCompanyscompliancewithapplicable
law,tomakeappropriatecorrectionsbydebitingorcreditingyourFriendlyLoansbalance,ordebitingor
creditingyourprimaryoralternatefundingsourcesasapplicable.
iii.CreditAuthorization
Ifyouopenabusinessaccount,youareprovidinguswithwritteninstructionsandauthorizationin
accordancewiththeFairCreditReportingActtoobtainyourpersonaland/orbusinesscreditreportfroma
creditbureau.Youarealsoauthorizingustoobtainyourpersonaland/orbusinesscreditreport:(a)when
youupgradeyourpersonalaccounttoabusinessaccount,oratanytimewereasonablybelievetheremay
beanincreasedlevelofriskassociatedwithyouraccount.Anincreasedlevelofriskincludes,butisnot
limitedto,ahighnumberofchargebacksorreversals,orsuspiciousactivityassociatedwithyouraccount.
iv.Representations
Ifyouareabusinessentity,yourepresentthatyouaredulyauthorizedtodobusinessintheUnitedStates;
andyouremployees,officers,representatives,andotheragentsaccessingtheFriendlyLoansServicesare
dulyauthorizedtoaccesstheFriendlyLoansServicesandtolegallybindyoutothisUserAgreementand
alltransactionsconductedunderyourusernameandpassword.
v.AuthorityofOfficersandEmployees
Ifyouareabusinessentity,youagreethatallofficers,employees,agents,representativesandothershaving
accesstotheusernameand/orpasswordshallbevestedbyyouwiththeauthoritytousetheFriendlyLoans
Servicesandtolegallybindyou.Youshallberesponsibleforallactionsbycurrentandformerofficers,
employees,agents,representativesandothers,regardlessofwhetherauthorizedbyyou,thataccessthe
FriendlyLoansServicesusingyourusernameandpassword.YOUASSUMETHEENTIRERISKFOR
THEFRAUDULENT,UNAUTHORIZEDOROTHERWISEIMPROPERUSEOFYOURPASSWORD.
WESHALLBEENTITLEDTORELYONTHEGENUINENESSANDAUTHORITYOFALL
INSTRUCTIONSRECEIVEDBYUSWHENACCOMPANIEDBYSUCHPASSWORD,ANDTOACT
ONSUCHINSTRUCTIONS.
C.MOBILEAPPLICATIONS
1.ThirdPartyOperatingSystemProviders,PhoneManufacturers,andWirelessCarriers
TheFriendlyLoansmobileapplicationworksonanapplicationlinkedtoaparticulardeviceandoperating
system,suchasApple'siOSoperatingsystem.Companyissolelyresponsibleforprovidingmaintenance
andsupportservicesfortheFriendlyLoansServices.CoveredThirdPartieshavenoobligationtoprovide
maintenanceorsupportservicesfortheFriendlyLoansServices.
CoveredThirdPartieshavenowarrantyobligationswhatsoeverwithrespecttotheFriendlyLoansServices

orOtherErroraslongasyoufollowtheproceduresdiscussedbelow.
AnUnauthorizedTransactionisatypeoferrorthatoccurswhenmoneyissentfromyouraccountthat
youdidnotauthorizeandthatdidnotbenefityou.Forexample,ifsomeonestealsyourpassword,usesthe
passwordtoaccessyouraccount,andsendsapaymentfromyouraccount,anUnauthorizedTransactionhas

Wewillrectifyanyprocessingerrorthatwediscover.Iftheerrorresultsinyourreceiptoflessthanthe
correctamounttowhichyouareentitled,Companywillcredityouraccountforthedifference.Iftheerror
resultsinyourreceiptofmorethanthecorrectamounttowhichyouareentitled,Companywilldebitthe
extrafundsfromyouraccount.Iftheerrorresultedinournotcompletingatransactionontimeorinthe
correctamount,wewillbeliableforyourlossesordamagesdirectlycausedbythisfailure,unless:(a)
throughnofaultofours,youdidnothaveenoughavailablefundstocompletethetransaction,(b)our
systemwasnotworkingproperlyandyouknewaboutthebreakdownwhenyoustartedthetransaction,or
(c)circumstancesbeyondourcontrol(suchasfire,floodorlossofInternetconnection)preventedthe
transaction,despiteourreasonableprecautions.
12.RestrictedActivities
Inconnectionwithyouruseofourwebsite,youraccount,ortheFriendlyLoansServices,orinthecourse
ofyourinteractionswithCompany,auserorathirdparty,youwillnot:

breachthisAgreement,thecardprocessingAgreement,oranyotherAgreementthatyouhave
enteredintowithCompany(includingapolicy);

violateanylaw,statute,ordinance,orregulation(forexample,thosegoverningfinancialservices,
consumerprotections,unfaircompetition,antidiscriminationorfalseadvertising);

infringeCompany'soranythirdparty'scopyright,patent,trademark,tradesecretorother
intellectualpropertyrights,orrightsofpublicityorprivacy;

actinamannerthatisdefamatory,tradelibelous,unlawfullythreateningorunlawfullyharassing;

providefalse,inaccurateormisleadingPersonalInformation;

createmorethanoneFriendlyLoansaccountforyourself,through,amongothermethods,usinga
namethatisnotyours,usingtemporaryemailaddress(es)orphonenumber(s),orprovidingany
otherfalsifiedPersonalInformation;

sendorreceivewhatwereasonablybelievetobepotentiallyfraudulentfunds;

refusetocooperateinaninvestigationorprovideconfirmationofyouridentityoranyPersonal
Informationyouprovidetous;

attempttodoubledipduringthecourseofadisputebyreceivingorattemptingtoreceivefunds
frombothCompanyandtherecipientoffunds,bank,orcreditcardissuerforthesametransaction;

useananonymizingproxy;

controlanaccountthatislinkedtoanotheraccountthathasengagedinanyoftheserestricted
activities;

controlorpossessmorethanoneaccountwithoutauthorizationfromCompany;

conductyourbusinessorusetheservicesinamannerthatresultsinormayresultincomplaints,
disputes,claims,reversals,chargebacks,fees,fines,penaltiesandotherliabilitytoCompany,a
user,athirdpartyoryou;

usetheServicetomaketransactionsforthepurposeofearningrewards,perks,miles,points,etc.
withyourcreditcard,debitcard,orbankaccount;

haveacreditscorefromacreditreportingagencythatindicatesahighlevelofriskassociatedwith
youruseoftheservices;

useyouraccountortheservicesinamannerthatCompany,Visa,MasterCard,AmericanExpress
orDiscoverreasonablybelievetobeanabuseofthecreditcardsystemoraviolationofcredit
cardassociationrules;

allowyourFriendlyLoansaccounttohaveanegativebalance;provideyourselfacashadvance
fromyourcreditcard(orhelpotherstodoso);

discloseordistributeanotherFriendlyLoansuser'sPersonalInformationtoathirdparty,oruse
theinformationformarketingpurposesunlessyoureceivetheusersexpressconsenttodoso;

sendunsolicitedemailtoauserorusetheservicestocollectpaymentsforsending,orassistingin
sending,unsolicitedemailtothirdparties;

takeanyactionthatimposesanunreasonableordisproportionatelylargeloadonour
infrastructure;

facilitateanyviruses,Trojanhorses,wormsorothercomputerprogrammingroutinesthatmay
damage,detrimentallyinterferewith,surreptitiouslyinterceptorexpropriateanysystem,dataor
information;

useanyrobot,spider,otherautomaticdevice,ormanualprocesstomonitororcopyourwebsite
withoutourpriorwrittenpermission;

useanydevice,softwareorroutinetobypassourrobotexclusionheaders,orinterfereorattempt
tointerfere,withourwebsiteortheservices;

takeanyactionthatmaycauseustoloseanyoftheservicesfromourinternetserviceproviders,

YouagreeyouwillnotusetheFriendlyLoansServicestoviolateanylaw,statute,ordinance,orregulation

counterfeitgoods;

narcotics,steroids,certaincontrolledsubstancesorotherproductsthatpresentarisktoconsumer
safety;

drugparaphernalia;

itemsthatencourage,promote,facilitateorinstructotherstoengageinillegalactivity;

itemsthatpromotehate,violence,racialintolerance,orthefinancialexploitationofacrime;

itemsthatareconsideredobscene;

itemsthatinfringeorviolateanycopyright,trademark,rightofpublicityorprivacyoranyother
proprietaryrightunderthelawsofanyjurisdiction;

certainsexuallyorientedmaterialsorservices;

ammunition,firearms,orcertainfirearmpartsoraccessories;or

certainweaponsorknivesregulatedunderapplicablelaw;

Relatingtotransactionsthat:

showthepersonalinformationofthirdpartiesinviolationofapplicablelaw;

supportpyramidorponzischemes,matrixprograms,other"getrichquick"schemesorcertain
multilevelmarketingprograms;

areassociatedwithpurchasesofannuitiesorlotterycontracts,layawaysystems,offshore
bankingortransactionstofinanceorrefinancedebtsfundedbyacreditcard;

areforthesaleofcertainitemsbeforethesellerhascontrolorpossessionoftheitem;

arebypaymentprocessorstocollectpaymentsonbehalfofmerchants;

areassociatedwiththesaleoftraveler'schecksormoneyorders;

involvecurrencyexchangesorcheckcashingbusinessesordigitalcurrenciessuchasbitcoins;

providecertaincreditrepairordebtsettlementservicesinvolvethesalesofproductsorservices
identifiedbygovernmentagenciestohaveahighlikelihoodofbeingfraudulent;

racing,lotterytickets,otherventuresthatfacilitategambling,gamesofskill(whetherornotitis
legallydefinedasalottery)andsweepstakesunlesstheoperatorhasobtainedpriorapprovalfrom
Companyandtheoperatorandcustomersarelocatedexclusivelyinjurisdictionswheresuch
activitiesarepermittedbylaw;or

providecertaincreditrepairordebtsettlementservicesinvolvethesalesofproductsorservices
identifiedbygovernmentagenciestohaveahighlikelihoodofbeingfraudulent.

14.LegalCompliance
YouaresolelyresponsibleforensuringthatyouruseoftheFriendlyLoansServicesisinconformancewith
applicablefederal,stateandlocallawsandregulations.ByusingtheFriendlyLoansServices,youwarrant
andrepresentthat(i)youarenotlocatedinacountrythatissubjecttoaU.S.Governmentembargo,orthat
hasbeendesignatedbytheU.S.Governmentasa"terroristsupporting"country;and(ii)youarenotlisted
onanyU.S.Governmentlistofprohibitedorrestrictedparties.
15.YourLiabilityActionsWeMayTake
YouaresolelyresponsibleforensuringthatyouruseoftheFriendlyLoansServicesisinconformancewith
applicablefederal,stateandlocallawsandregulations.ByusingtheiFriendlyLoansServices,youwarrant
andrepresentthat(i)youarenotlocatedinacountrythatissubjecttoaU.S.Governmentembargo,orthat
hasbeendesignatedbytheU.S.Governmentasa"terroristsupporting"country;and(ii)youarenotlisted
onanyU.S.Governmentlistofprohibitedorrestrictedparties.
a.YourLiability
Youareresponsibleforallreversals,chargebacks,claims,fees,fines,penaltiesandotherliabilityincurred
byCompany,aFriendlyLoansuser,orathirdpartycausedbyorarisingoutofyourbreachofthis
Agreement,and/oryouruseoftheFriendlyLoansServices.YouagreetoreimburseCompany,auser,ora
thirdpartyforanyandallsuchliability.
YouacknowledgethatyouareresponsiblefortheaccuracyofallpaymentssentusingtheFriendlyLoans
Services,includingbutnotlimitedtotheaccuracyoftheamountpaidandtherecipient.Companyshallnot
beresponsibleorinanywayheldliableduetoinaccuratepayments,includingbutnotlimitedtosendingan
incorrectamountofmoneyorsendingmoneytoanincorrectrecipient.
b.ActionsbyCompany

Ifwehavereasontobelievethatyouhaveengagedinanyrestrictedactivities,madeexcessiveor
unexplainabletransactions,violatedanypartsofthisAgreementorprovidedanyincorrectinformation,we
maytakevariousactionstoprotectCompany,anotherFriendlyLoansuser,athirdparty,oryoufrom
reversals,chargebacks,claims,fees,fines,penaltiesandanyotherliability.Theactionswemaytake
includebutarenotlimitedtothefollowing:

otherusers,lawenforcement,orimpactedthirdpartiesofyouractions;

mayupdateinaccurateinformationyouprovidedus;

wemayrefusetoprovideourFriendlyLoansServicestoyouinthefuture;

wemayholdyourfundsforupto180daysifreasonablyneededtoprotectagainsttheriskof
liability;and

wemaytakelegalactionagainstyou.

Company,initssolediscretion,reservestherighttoterminatethisAgreement,accesstoitswebsite,or
accesstotheServiceforanyreasonandatanytimeuponnoticetoyouandpaymenttoyouofany
unrestrictedfundsheldincustodyforyou.
16.AccountClosure,TerminationofService,orLimitedAccountAccess
IfwelimitorcloseyouraccountorterminateyouruseofourServicesforanyreason,youmaycontactus
andrequestrestorationofaccessifappropriate.However,ifwedeemyouviolatedthisAgreement,
restorationisatoursolediscretion.
YoumaystopusingtheFriendlyLoansServicesatanytimeormaycloseyouraccountsbycontactingus.
Company,initssolediscretion,reservestherighttoterminatetheFriendlyLoansServices,toterminate
thisAgreement,ortoterminateyouraccesstotheFriendlyLoansServicesforanyreasonandatanytime.
IfweterminateorlimityouruseofourFriendlyLoansServicesforanyreason,wewillusecommercially
reasonableeffortstoprovideyouwithnoticeofouractions.
17.PolicyViolationUserFines
IfCompanyincursanydamagesbecauseyouviolateourpolicies,breakanylaws,orotherwisecause
Companytosufferanydamagesorincuranyexpensesthenwemayholdyourfundsupto180days,fine
youforeachsuchviolationandtakelegalactionagainstyoutorecoveradditionallosses,investigation
costs,finds,orlegalfeeswemayincur.YouacknowledgeandagreethatafineofUS$2,500.00for
violationsofourAgreementispresentlyareasonableminimumestimateofCompany'sdamages,
consideringallcurrentlyexistingcircumstances,includingtherelationshipofthesumtotherangeofharm
toCompanythatreasonablycouldbeanticipatedandtheanticipationthatproofofactualdamagesmaybe
impracticalorextremelydifficult.Companymaydeductsuchfinesdirectlyfromanyexistingbalancein
theoffendingaccount,oranyotherFriendlyLoansaccountyoucontrol.
18.DisputeswithCompany

a.DisputewithCompany
IfadisputearisesbetweenyouandCompany,ourgoalistolearnaboutandaddressyourconcernsand,if
weareunabletodosotoyoursatisfaction,toprovideyouwithaneutralandcosteffectivemeansof
resolvingthedisputequickly.DisputesbetweenyouandCompanyregardingourservicesmaybereported

b.LawandForumforDisputes;Arbitration
ThisUserAgreementshallbegovernedinallrespectsbythelawsoftheStateofNewYork,withoutregard
toconflictoflawprovisions,excepttotheextentthatfederallawapplies.
ANYCLAIMSARISINGOUTOF,RELATINGTO,ORCONNECTEDWITHTHISUSER
AGREEMENTMUSTBEASSERTEDINDIVIDUALLYINBINDINGARBITRATIONCONDUCTED
BYASINGLEARBITRATORWITHEXPERIENCEINCONSUMERONLINEPAYMENTSERVICES
DISPUTESADMINISTEREDBYTHEAMERICANARBITRATIONASSOCIATION("AAA")IN
ACCORDANCEWITHITSCOMMERCIALARBITRATIONRULESANDTHEAAA
SUPPLEMENTARYPROCEDURESFORCONSUMERRELATEDDISPUTES.Theforumfor
arbitrationshallbeinthecityclosesttoyourresidencehavingafederaldistrictcourthouse.Thearbitrator
shallnotconductanyformofclassorcollectivearbitrationnorjoinorconsolidateclaimsbyorfor
individuals.Totheextentallowedbyapplicablelaw,theArbitrator,andnotanyfederal,state,orlocal
courtoragency,shallhaveexclusiveauthoritytoresolveanydisputerelatingtotheinterpretation,
applicability,enforceabilityorformationofthisUserAgreementincluding,butnotlimitedto,anyclaim
thatalloranypartofthisUserAgreementisvoidorvoidable.Judgmentontheawardrenderedbythe
arbitratormaybeenteredinanycourtofcompetentjurisdiction.Foranynonfrivolousclaim,Company
willpaythecostsofthearbitration(butnotyourattorneyfees),upto$3,000.
ThisUserAgreementandeachofitspartsevidenceatransactioninvolvinginterstatecommerce,andthe
UnitedStatesArbitrationActshallapplyinallcasesandgoverntheinterpretationandenforcementofthe
arbitrationrulesandarbitrationproceedings.
Thereareonlytwoexceptionstothisagreementtoarbitrate.First,ifwereasonablybelievethatyouhavein
anymannerviolatedorthreatenedtoviolateourintellectualpropertyrights,wemayseekinjunctiveor
otherappropriatereliefinanycourtofcompetentjurisdiction.Second,anyclaimof$500orlessmay,at
theoptionoftheclaimingparty,beresolvedinsmallclaimscourtinNewYorkCity,NewYork,ifthe
claimandthepartiesarewithinthejurisdictionofthesmallclaimscourt.Forthesetwoexceptions,you
agreetosubmittothepersonaljurisdictionofthecourtslocatedwithinNewYorkCity,NewYorkforthe
purposeoflitigatingsuchclaimsordisputes.

19.LiabilityofCompanyforFailuretoCompleteTransfers

IfCompanydoesnotcompleteatransfertoorfromyouraccount,orusingyoursavedpayment
information,ontimeorinthecorrectamountaccordingtothisAgreement,Companywillbeliableforyour
lossesordamagestotheextentrequiredbylaw.Companywillnotbeliable:

If,throughnofaultofCompany's,youdonothaveenoughmoneyinyourbalance,andCompany
isunabletochargethetransactiontoyourlinkedcreditcard,forreasonsincludingbutnotlimited
toyouexceedinganyapplicablecreditlimit;

thefundsinyouraccountaresubjecttolegalprocessorotherencumbrancerestrictingtheiruse;

IftheFriendlyLoansServiceswerenotworkingproperlyandyouknewaboutthebreakdown
whenyoustartedthetransfer;

Ifthefailureresultsfromafailureofafinancialinstitutionthatissuesthecreditcardordebitcard
linkedtoyouraccount,orCompanyisunabletoaccessalinkedcreditcardforanyreasonother
thanduetoCompany'sfault;

Ifyouprovidedinaccurateorincompleteinformationregardingthetransfer;

Ifthetransferappearssuspicious,fraudulent,orunauthorized,andCompanycannotconfirmthatit
isalegitimatetransfer,oriftheaccountofeitheruserinvolvedinthetransferisunder
investigationbyCompanyorifthetransferisorappearstobeprohibitedbyanyapplicablelawor
rules

20.DisclaimersofWarranty;DamagesExclusions
Unlessotherwiseprohibitedbylaw,youassumeallresponsibilityforyouruseoftheFriendlyLoans
Servicesandusethematyourownrisk.Tothefullestextentpermissibleunderapplicablelaw,allsuch
representations,warranties,guaranteesandconditionsaredisclaimed,including,butnotlimitedto,any
impliedwarrantiesofmerchantability,fitnessforaparticularpurpose,title,noninfringementofintellectual
propertyrights,orothertermswhichmightotherwisebeimpliedbystatute,commonlaworinequity.
Companydoesnotwarrantthattheserviceswillbeuninterruptedorerrorfree,thatdefectswillbe
corrected,orthattheservices,ortheserversthatprocessinformationfortheservices,arefreeofviruses,
bugsorotherharmfulcomponents.OnbehalfofCompany,CoveredThirdParties,andeachofour
respectiveaffiliates,vendors,agentsandsuppliers,Companymakesthefollowingdisclaimerssetforthin
thissection:theservicesareprovidedonan"asis","asavailable"and"withallfaults"basis,without
anyrepresentations,warranties,guarantees,orconditionsofanykind,express,impliedorstatutory,
including,butnotlimitedto,anywarrantyastotheuseoroperationoftheservices,ortheinformation,
contentorothermaterialsrelatedtotheservices,whetherprovidedbyCompanyoranyoftheCovered
ThirdParties.NeitherCompanynoranyoftheCoveredThirdPartieswarrantnormakeanyrepresentations
regardingtheuseortheresultsoftheservicesintermsofcorrectness,accuracy,timeliness,reliability,or
otherwise.Youassumetheentirecostofallnecessarymaintenance,repair,orcorrectiontoanyequipment
youuseinaccessinganyoftheservices,including,butnotlimitedto,yourmobilephoneorotherdevice.
COMPANYISNOTLIABLEFORTHECONSEQUENCESOFYOUCHOOSINGTOSHAREANY
PAYMENTDETAILSONSOCIALMEDIAORWITHINTHEFRIENDLYLOANSSERVICES,AND
YOUAGREETOHOLDCOMPANYHARMLESSANDINDEMNIFYCOMPANYFROMANY
LIABILITYarisingfromtheactionsorinactionsofanyexternalsocialmedianetworkinconnectionwith
thepermissionsyougranttotheexternalsocialmedianetwork.

NeitherCompany,theCoveredThirdPartiesnoranyoftheirrespectiveaffiliates,vendors,agentsor
supplierswillbeliablefor,andyouagreenottoseekagainstanyoftheforegoing,anydamagesofanykind
arisingfromtheuseoftheservices,including,butnotlimitedto,indirect,special,incidental,punitive,
exemplary,consequentialdamagesordamagesresultingfromtheuseofservice,lossofuseoftheservice,
lostdata,lostprofits,orbusinessinterruptionarisingoutoforinanywayconnectedwiththeuseofthe
services,anydelaysintheservices,ortheinabilitytousetheservices,oranyportionthereof,whether
basedoncontract,tort,negligence,strictliabilityorotherwise,evenifalloranyofushavebeenadvisedof
thepossibilityofsuchdamagesandevenifanyremedyfailsofitsessentialpurpose.
Companydoesnothaveanycontroloveranyproductsorservicesthatarepaidforwithourservicesand
Companycannotensurethatanypartyyouaredealingwithwillactuallycompletethetransactionoris
authorizedtodoso.
Companywillmakereasonableeffortstoensurethatrequestsforelectronicdebitsandcreditsinvolving
bankaccounts,creditcards,andcheckissuancesareprocessedinatimelymannerbutCompanymakesno
representationsorwarrantiesregardingtheamountoftimeneededtocompleteprocessingbecause
Companyisdependentuponmanyfactorsoutsideofourcontrol,suchasdelaysinthebankingsystemor
theU.S.orinternationalmailservice.
SOMESTATESOROTHERJURISDICTIONSDONOTALLOWTHEDISCLAIMEROFIMPLIED
WARRANTIESORTHEEXCLUSIONOFCERTAINDAMAGES,SOTHEABOVEDISCLAIMERS
ANDEXCLUSIONSMAYNOTAPPLYTOYOU.YOUMAYALSOHAVEOTHERRIGHTSTHAT
VARYFROMSTATETOSTATEANDJURISDICTIONTOJURISDICTION.
21.LimitationsonLiability
ExceptasotherwiseEXPRESSLYprovidedinthisagreement,andtotheextentpermissibleunder
applicablelaw,Company'scumulativeliabilitytoyouforanyclaimsordamagesarisingoutoforrelatedto
youruseoftheFriendlyLoansServicesshallnotexceedthegreaterofthefeeyoupaidtoCompanyforthe
useoftheFriendlyLoansServicesor$1.00USD.
Theselimitationsonliabilityapplyto:anythingrelatedtoaserviceoranyapplicationorcontentmade
availablethroughanysuchservice;andclaimsforbreachofcontract,breachofwarranty,guaranteeor
condition,strictliability,negligence,orothertorttotheextentpermittedbyapplicablelaw.These
limitationsonliabilityalsoapplyevenif:repair,replacementorarefundfortheservicedoesnotfully
compensateyouforanylosses;orCompanyoraCoveredThirdPartykneworshouldhaveknownabout
thepossibilityofthedamages.
Theselimitationsonliabilitywillapplytothemaximumextentpermittedbyapplicablelaw,evenifany
remedyfailsofitsessentialpurpose.
Somestatesorotherjurisdictionsdonotallowthelimitationofliabilitysotheforegoinglimitationsmay
notapplytoyou.Youmayalsohaveotherrightsthatvaryfromstatetostateandjurisdictionto
jurisdiction.
22.LicenseGrant
CertainoftheServicesrequiretheuseofsoftwareandsoftwareapplicationsprovidedtoyoubyCompany
(collectively"Software").Companyanditslicensorsgrantyoualimited,nonexclusivelicensetouse
Company'sSoftwareintheUnitedStatesthatweprovidetoyousolelyinaccordancewiththisAgreement
andanyuserdocumentationwemayprovide,includingallupdates,upgrades,newversionsand
replacementsoftheSoftware(allofwhichbecomepartofthe"Software")foryourpersonaluseonlyin

accordancewiththisAgreement.IftheSoftwarewillbedownloadedtoamobiledevice,thislicense
extendstoyouruseoftheSoftwareonadevicethatyouownorcontrol,aslongasyouruseispermittedby
theusagerulessetforthforyourparticulardevice(forexample,theAppleAppStoreTermsofUse).You
maynotrent,leaseorotherwisetransferyourrightsintheSoftwaretoathirdparty.Youmustcomplywith
theimplementationanduserequirementsfortheSoftwarecontainedinthisAgreementorinanyFriendly
LoansServicesdocumentationweprovidetoyou.Ifyoudonotcomplywithsuchimplementationanduse
requirements,youwillbeliableforallresultingdamagessufferedbyyou,Companyoranythirdparties.
Youagreenottoalter,reproduce,adapt,distribute,display,publish,reverseengineer,translate,
disassemble,decompileorotherwiseattempttocreateanysourcecodewhichisderivedfromthesoftware.
Youacknowledgethatallrights,titleandinteresttoCompany'ssoftwareareownedbyCompany.Your
rightstousetheSoftwareceaseimmediatelyuponterminationofthisAgreementandyoumustdeleteallof
yourcopiesoftheSoftware.
23.Indemnification
Youagreetodefend,indemnifyandholdharmlessCompanyanditsparent,affiliates,officers,directors
andemployeesfromanyclaimordemand(includinganydamages,losses,expensesandattorneysfees
resultingtherefrom)madeorincurredbyanythirdpartyduetoorarisingoutofyourbreachofthis
Agreementand/oryouruseoftheFriendlyLoansServices.
24.AssumptionofRights
IfCompanymakesapaymenttoyouforaclaim,reversalorchargebackthatyoufilewithusagainsta
recipientofyourpayment,youagreethatCompanyassumesyourrightsagainsttherecipientandthird
partiesrelatedtothepayment,andmaypursuethoserightsdirectlyoronyourbehalf,inCompany's
discretion.
25.ReleaseofCompany
Ifyouhaveadisputewithoneormoreusersrelatingtopayment,Companyisnotresponsibleforanysuch
disputeandyouherebyreleaseCompany(andourofficers,directors,agents,jointventuresandemployees)
fromanyandallclaims,demandsanddamages(actualandconsequential)ofeverykindandnaturearising
outoforinanywayconnectedwithsuchdisputes.
26.ModificationofTerms
WemayamendthisAgreementatanytimebypostingarevisedversiononourwebsite.Therevised
versionwillbeeffectiveatthetimewepostitunlessitcontainsmaterialchanges.Ifwemakechangesto
ourAgreementswithyouthateitherreduceyourrightsorincreaseyourresponsibilities,wewillprovide21
daysnoticetoyoubeforethechangesbecomeeffective.ByusingtheFriendlyLoansServicesafteranew
Agreementhasbeenposted,youagreetotherevisedAgreement.
27.Survival
IntheeventofterminationofthisAgreementortheFriendlyLoansServices,thetermsinthisAgreement
thatbytheirnaturearecontinuingshallsurvivesuchtermination,includingbutnotlimitedtothe
disclaimersandlimitationsofliabilities.
28.ForceMajeure

Weshallnotbeliableforanydelayorfailureintheperformanceorindeliveryorshipmentofmaterials,or
foranydamagessufferedbyyoubyreasonofsuchdelayorfailures,directlyorindirectlycausedbyorin
anymannerarisingfromorconnectedwithactsofGod,actsofpublicenemies,riots,strikes,actsof
governmentalagencies,labordifficulties,failureofourpower,telecommunicationsorothersuppliers,
delaysinsecuringorshortagesofrawmaterials,breakdownordestructionofanysystemorequipment,or
anyothercauseorcausesbeyondourcontrol,whetherornotsimilartothoseenumeratedherein.
29.Miscellaneous
ThisAgreementandotherdocuments(includingbutnotlimitedtothePrivacyPolicy)referencedinor
linkedtothisAgreement,whichareherebyincorporatedhereinandmadeapartofthisAgreementbythis
reference,containyoursandourentireAgreementregardingyouruseoftheFriendlyLoansServices.If
anyprovisionofthisAgreementisdeemedtobeillegalorunenforceable,suchprovisionshallbeenforced
totheextentpossible,andanyremainingillegalityorunenforceabilitywillnotaffectthevalidityor
enforceabilityofanyotherprovisionsofthisAgreement,whichtogetherwillbeconstruedasifsuchillegal
orunenforceableprovisionhadnotbeenincludedinthisAgreement.Anylegalactionarisingoutofyour
useoftheFriendlyLoansServicesmustbebroughtwithinoneyearafterthecauseofactionhasarisen.The
sectionheadingsinthisAgreementareforconvenienceofreferenceonlyandarenottobeconsideredas
parts,provisionsorinterpretationsofthisAgreement.Youmaynottransferorassignanyrightsor
obligationsyouhaveunderthisAgreementwithoutCompany'spriorwrittenconsent.Companyreserves
therighttotransferorassignthisAgreementoranyrightorobligationunderthisAgreementatanytime.
Ourfailuretoactwithrespecttoabreachbyyouorothersdoesnotwaiveourrighttoactwithrespectto
thatbreachorsubsequentorsimilarbreaches.
30.IndependentContractors
IndependentContractors.Thepartiesagreetheyareindependentcontractorstoeachotherinperforming
theirrespectiveobligationshereunder.NothinginthisAgreementorintheworkingrelationshipbeing
establishedanddevelopedhereundershallbedeemedorisintendedtobedeemed,norshallitcause,the
partiestobetreatedaspartners,jointventurers,orotherwiseasjointassociatesforprofit.
