STAYZILLA.

COM B2B CONTRACT


This agreement (Agreement) is made on this ______ day of _______________ 2016 by and between:
Inasra Technologies Private Limited (hereinafter referred to as "COMPANY", which expression shall, unless
contrary to the context hereof, mean and include its successors and permitted assigns); and
____________________________________________, having PAN Card Number __________________________ (hereinafter
referred to as "TRAVEL AGENT", which expression shall, unless contrary to the context hereof, mean and include
its successors, heirs and permitted assigns).
The COMPANY and the TRAVEL AGENT are hereafter individually referred to as a Party and collectively as
Parties.
WHEREAS
A.

The COMPANY is engaged in the business of owning and operating an e-commerce platform currently through
its website www.stayzilla.com (Website) and mobile application titled Stayzilla (Mobile App) (E Platform)
through which it allows, amongst others, hotels, guesthouses and homestays to list their properties and permit
end-users to make accommodation bookings/reservations at such properties.
B. The TRAVEL AGENT is the owner of and/or operates the Travel Agency, individually or as a COMPANY.
C. The TRAVEL AGENT is entering into this Agreement with the COMPANY to make stay accommodation bookings
on behalf of its customers, on the COMPANYs e-commerce platform currently through its website
www.stayzilla.com (Website) and mobile application titled Stayzilla (Mobile App) (E Platform).
THE PARTIES WITH THE INTENT TO BE LEGALLY BOUND HEREBY COVENANT AND AGREE AS FOLLOWS:

EFFECTIVENESS, TERM AND LISTING

This Agreement shall come into full force and become effective and binding on the Parties from Date: ____________ and shall continue to remain in full force and effect until the expiry of 1 (one) year, unless
terminated earlier in accordance with the terms hereof (Term).

The COMPANY intends to appoint TRAVEL AGENTs for extending its booking facilities, currently through its
e-commerce platform currently through its website www.stayzilla.com (Website), mobile application titled
Stayzilla (Mobile App) (E Platform) and through an offline mode supported by a centralized B2B
Support Team.
COMPANYs B2B Support Team will communicate on Email: b2b@stayzilla.com and Phone: +91
7899739349
TRAVEL AGENT will email all booking requests to the B2B Support Teams email ID. Response to the request
and continued support will be provided through a Centralized B2B Support Team.
TRAVEL AGENT shall at all times during the continuance of this Agreement, obey and observe all
reasonable directions and instructions which may be given by COMPANY concerning the conduct of
business as agreed under this Agreement.
TRAVEL AGENT shall pay to COMPANY the consideration value of bookings/transactions made in the
COMPANYs website either through TRAVEL AGENTs credit card / net banking (NEFT Transfer)/ debit card,
as described under the section of FEES, COLLECTION AND PAYMENTS.
TRAVEL AGENT shall be responsible to its customers and COMPANY will not be responsible or liable for the
acts of TRAVEL AGENT or for any due payable by TRAVEL AGENT to any other party.
TRAVEL AGENT agrees that there can be exceptional circumstances where the Service Providers on the
COMPANYS e-commerce platform may be unable to honor the confirmed bookings due to various reasons
like climatic conditions, labor unrest, insolvency, business exigencies, government decisions, operational
and technical issues, route and flight cancellations etc. If COMPANY is informed by the Service Providers in
advance of such situations where dishonor of bookings may happen, it will make its best efforts to provide
similar alternative to TRAVEL AGENT or refund the booking amount, if supported and refunded by that
respective service operators. TRAVEL AGENT agrees that COMPANY shall not be responsible for any such
circumstances and shall not be liable for any refund to TRAVEL AGENT.
COMPANY shall provide to the TRAVEL AGENT a weekly MIS Report on the status of consumed and future
bookings, payments made and payment receivable by the TRAVEL AGENT.
The TRAVEL AGENT agrees that in no circumstances or incident will they approach the service providers on
the Stayzilla e-commerce platform. All communications with the service provider will be routed through the
Centralized Agent Booking Support Team.

III. FEES, COLLECTIONS AND PAYMENTS

1. For bookings generated through the TRAVEL AGENT, the COMPANY agrees to pay a TAC (Travel
AGENT Commission) of ______%
2. For bookings made by the TRAVEL AGENT, a minimum of 30% of the total Booking Tariff should be paid to
the COMPANY to confirm any bookings made. This is subject to change depending on seasonality and/or
property owners acceptance. Remainder of the 70% to be paid 3 (three) Days/72 Hours before the checkin date of the booking.
3. If the bookings check-in date is less than 48 hours from the date of booking, 100% (full payment) of the
Booking Tariff will have to be paid for confirmation of the booking.
4. The COMPANY will pay the applicable TAC to the TRAVEL AGENT on the 15 th and 30th of each month. The
payments will be ONLY on realized bookings in the previous fortnight. TAC Payments to the TRAVEL AGENT
will be made by NEFT Transfers only.

If the TRAVEL AGENTS payment due date falls on a Public Holiday and/or Bank Holiday, payments to the
COMPANY will only be accepted via Credit / Debit Card

IV. INDEMNITY
1.

The TRAVEL AGENT shall indemnify and hold harmless the COMPANY, its affiliates, directors, employees
and/or representatives from and against any Losses suffered or incurred by the COMPANY and/or such
affiliates, directors, employees and/or representatives in connection with any action, suit, proceeding,
claim or demand, which directly or indirectly arises from or relates to any action or omission under, in
connection with or pursuant to this Agreement, except in case of COMPANY's own willful misconduct or
gross negligence.

V. TERMINATION
1.

Either parties, the TRAVEL AGENT and the COMPANY, at any time in their own sole discretion have the right
to terminate this Agreement with a 15 days notice, provided that:
(i) There are no outstanding payments to be made by the TRAVEL AGENT to the COMPANY under this
Agreement; and vice versa
(ii) There are no current/future bookings through the E Platform / Offline Bookings which are yet to be
consumed by the Guests and/or Guest related to some or many bookings have not yet checked-out of
the Properties.

2.

In case of termination of this Agreement, if any amounts are due from either the TRAVEL AGENT to the
COMPANY or vice versa, then all such amounts to the other party should be made within 15 (fifteen) days
from the date of termination of this Agreement.

VI. MISCELLANEOUS
1.

In case of any complaint/ grievance from the Guests, the TRAVEL AGENT is responsible to resolve all such
complain/ grievance, directly with the Guests. COMPANY shall have the option to (but not an obligation to)
intervene and assist in resolving any such grievance/ complaint and where the COMPANY intervenes to
resolve any such grievance/ complaint, the decision of the COMPANY regarding the resolution of such
grievance/ complaint shall be final and binding on the TRAVEL AGENT.

2.

The TRAVEL AGENT shall not, without the prior written permission of the COMPANY, directly or indirectly
disclose or cause to be disclosed any Confidential Information to any third party except as may be
necessary in the performance of its obligations hereunder or to its employees or advisors on a need- toknow basis or as may be required by Applicable Law.

3.

Confidential Information for the purposes of this Agreement means all information and data that is either
directly or indirectly disclosed to TRAVEL AGENT by the COMPANY (through the Website, Mobile App or
otherwise).

4.

Any waiver should be in writing and be signed by both the parties.

5.

This Agreement shall be governed by and construed in accordance with the laws of India and the courts at
Chennai shall have exclusive jurisdiction in respect of any matter under this Agreement. In the first

instance, any dispute between the Parties under this Agreement shall be resolved by mutual discussions
and negotiations.

ANNEXURE I
CANCELLATION POLICY

For any cancellation of a confirmed booking, the Cancellation Policy adopted by the host/service provider
will be applied. Cancellation Policy of the host/service provider will be clearly mentioned on the Stayzilla ecommerce platform
Where applicable, if the remainder 70% of the booking amount is not remitted by the TRAVEL AGENT to the
COMPANYs account by the timeline specified, the booking will automatically be cancelled with the full
retention of the 30% advance paid by the TRAVEL AGENT towards confirming the booking
