FACTS: The defendants, as sellers, and plaintif
corporation as buyer by its President plaintif
Zaragoza entered into an agreement to Buy and
Sell two parcels of land with two houses erected
thereon. Said agreement bears a stipulation that
the seller will apply the payment of the cash
portion of the purchase price to the removal of
any and all liens on the properties; plaintif paid a
downpayment upon signing of the aforesaid
agreement; during the negotiation and conclusion
of the agreement, the defendant repeatedly
warranted that except for a mortgage in favor of
BPI and the deeds of restriction annotated at the
back of the title.
