Dear Sir,
As per your kind inquiry and recent meeting on the 18th of August last, thank you very much for that,
herewith we are sending you offer no.2016.5350 Rev.0 relevant to C-PVC de-bagging, silo filling and
storing and extrudes feeding. Our proposal refers to your inquiry as well Penta long and qualified
experience in this field and covers the flexibility and reliability a C-PVC system and extruders feeding
system would need. Penta is highly specialized in design and manufacturing of automation systems
for the handling of raw materials that are mostly used by the plastic converting industries where
efficiency, flexibility, reliability and end product competitiveness are fundamental requirements for a
long lasting success.
For a better understanding of the proposed system, you may refer to the here listed main features of
our equipment & solutions.
a) De-bagging: For the incoming C-PVC by jumbo bags (bags too) a large 1.500 l hopper has been
offered. This hopper is complete with self-cleaning automatic filter, fan and min. level indicator. In
this way max de-dusting efficiency and lowest possible raw material waste will be ensured. An
extraction device, fitted at the bottom of each hopper, ensures a proper and safe material flow.
A rotary valve ensures the consistent feeding of the debagged C-PVC into the pneumatic conveying
line filling the silo .
b) Silos filling: An independent pressure pneumatic conveying system, having an approx. conveying
capacity of 10.000 kg/h driven by a heavy-duty Root type blower, transfers the C-PVC resin from
the debagging hopper into the relevant C-PVC silo.
c) C-PVC resin silos: One existing C-PVC silo will be filled. Assuming that Customer will be
offering the silo body only, Penta scope includes the following :
- A high efficiency / heavy-duty automatic self-cleaning filter
- Over-Under pressure safety valve
- Max level indicator
- Min level indicator
- Continuous level indicator that shows te actual level of product stored into the silos
- Product extraction aid that ensures consistent feeding of stored material
- Suction pot from where the suction nozzles the vacuum loaders are equipped with .

General notes about our equipment and solutions

Referring to the offered equipment and solutions, the following would have to be noted:
De-dusting filters: all filters are automatic ones, i.e. are fitted with filtering elements that are
automatically cleaned by means of compressed air controlled by an electronic timer.
Pre-assembling: in order to reduce the erection time the major equipments are, as far a
technically and logistic possible, delivered pre-assembled.
De-bagging: the de-bagging system raw materials consists of compact and flexible unit suitable for
bags and 1,000 Kg big-bags.
Components: along with a well-designed system we do offer high quality equipment.
Electric panels and management control: The design of the electrical control panels and the
management system is based on tailor made software, we design, based on the specific process. The
hardware is sourced out from worldwide well reputable companies as Siemens, HP, Compaq, etc.
Further features:
Expandability of the system in case of upgrading of the plant;
Automatic control of the whole process as well as manual one of the various equipment
composing the plant;
Management control as stock, raw materials consumption, formulations, trouble shooting,
preventive maintenance, etc.;
Centralised control system and operators interface, by using a OP with a dedicated video graphic
system, that will enable a friendly operation of the raw materials preparation plant as well.

Pricing

The grand total has to be understood CIF Jeddah - K.S.A. seaport delivered in box containers
according to INCOTERMS 2010 including packing as far as necessary and usual for container
transport. Buyer shall pay any taxes, customs duties, fees and other costs

be paid by the customer), issued at order and payable as follows:
- 30 % down-payment at order
- 70 % against shipping documents.

C.6

Guarantee

The Seller guarantees that all goods supplied under this contract shall be free from all defects in
design, workmanship and materials and shall be of appropriate quality in accordance with the
present technological standards.
This guarantee shall be for a period of twelve months from date of completion of erection, however, at
the latest eighteen months from shipping date.
Any defect covered by the aforesaid guarantee shall be remised at Seller's expense arranging the
replacement ex-works of damaged parts only.
The guarantee mentioned above shall not be applicable to the following:
C.6.1 Damage or defects which result from wear and tear.
C.6.2 Damage or defects resulting from modification of the supplies by the Buyer without the consent
of the seller.
C.6.3 Damage of defects which result from operation, maintenance and servicing not in accordance
with the instructions of the seller's supervising staff and / or the operating manuals and / or the
operating manuals and / or any other relevant instruction books supplied by the seller.
C.6.4 Damage or defects due to causes attributable to the Buyer's personnel and / or to the third
parties after delivery ex seller's works of the said supplies.
C.6.5 Damage or defects which result from causes under Force Majeure.
C.7

Liability clause

Penta liability is limited to services and / or supplies the present proposal / order confirmation refers
to. Excluded is any real and/or alleged liability claims that might be directly and/or indirectly
attributed to Penta in connection to the here offered/confirmed services or supplies for directed and / or
indirect damages resulting from loss of production, loss of profit, loss of image as well as
deterioration / loss of raw materials and/or finished products.
C.8

Miscellaneous

All disputes, controversies of differences which may arise between the parties in connection with this
contract shall be settled amicably. Should the parties not come to an amicable settlement, such cases
shall be finally settled under the Rules of Conciliation and Arbitration Chamber of Commerce by one
or more Arbitrators appointed in accordance with the said rules. The Court of Arbitration shall hold its
meeting at Milan, Italy.
The Seller's liability towards the Buyer shall only be as expressively set out in this contract.
The Seller shall in no event be liable for any consequential damages such as loss of profit, loss of
production, etc.
The Seller may adjust the technical specification if such modifications constitute an improvement of
the supplies in line with the technical progress provided that the contract price and the mechanical
guarantees remain unchanged.

engineered components (if any ) that would have to be incorporate in our design.

steel frame of any nature for equipment and / or for piping.
mechanical installation of the supplied equipment, to be executed as per our drawings and
indications, as well as fork lifts, cranes and / or scaffoldings.
electrical wiring, to be executed as per our indications, from the main supply to the
electrical panels and from the electrical panels to all electrical utilities as motors, switches,
coils, etc.
compressed air distribution system, to be executed from your compressor to all pneumatic
utilities as pneumatic cylinders, automatic filters, fluidising devices, etc, accordingly to the
pneumatic utilities features (list of connecting point and relevant size, individual consumption,
features and pressure of the air etc.) indicated on our P&ID.
legalization of any documents including certificate of origin, invoices, etc.. called by the L/C.
transport of equipment from Jeddah K.S.A. seaport to your factory.
mechanical erection supervision.
local transportations, hotel, food, beverage and laundry, local taxes (if due) of our technicians.
whatever else not specified in this offer.

Existing equipment

It has been assumed that all existing equipment and / or equipment supplied by others are perfectly
working and fit to the offered system. However, in case Penta will be requested to perform any
modifications / repairs / replacements of existing equipment and / or equipment supplied by others the
relevant cost will be invoiced as per actual costs for labour and / or required parts.

The engineering details of the equipment / plant will be developed according to the technical notes of
the following paragraphs as well as the following complementary data you will provide us (products
samples, products data sheets, recipes details (minimum and maximum quantity), etc.).
Please note that not having these data could prejudice the correct design of the plant and might lead to
not proper functioning of the system. In the latter case further costs, if any, which might be needed in
order to rectify equipment and/or technical solutions cant be directly and/or indirectly attribute to
Penta and would have to be bear by others.

Rheological features of raw material: For this project it is been temporarily assumed that the raw
materials correspond to comparable products of general industrial origin currently used in well
comparable automatic compounding plants with regard to their quality and processing behaviour and
rheological features. For all powdered materials it has been assumed that normal flow characteristics
are granted and the moisture content is below 0.3 %. Samples as well as data sheet of each of the a.m.
raw materials would have to be provided to supplier prior to beginning of the detailed engineering of
the plant especially bulk density, flow ability and (for solid additives) the relevant melting point. If not
differently specified melting point over 85C will be considered. Based on that we reserve the right to
change the design accordingly: any impact on costs would have to be re-adjusted accordingly.
Note: in case of order a sample and the relevant data sheet (rheological features, etc.) will be required
for further evaluation and proper design of the various parts of the plant.

Differently the requested data concerning distance, pneumatic transport capacity, pipe diameters,
blowers, etc. would be needed in order to check the conveying features of the system and reconfirm if
they are suitable or not. In the latter case, the conveying systems would have to be upgraded as needed
and a fresh new technical and economical proposal would have to be submitted.

The individual noise level of the machines and apparatus is normally less than 85 Db.

Filtration

At the end of the pneumatic transports and at on the de-bagging units a dedicated automatic jet filters
will be provided; therefore the powder emissions will be less of 15 mg / Nm3 of filtered air.

Compressed air production and distribution system.

We exclude materials for carrying out the pneumatic distribution system from your
compressed air network close to the plant, to users such as galvanised pipes, pipe fittings and joints,
reducers, filter' s lubricators, cocks and valves, flexible connections, etc.
To enable you to locally procure the necessary materials and design the compressed air
distribution system, we will supply the following:
- list of connecting point;
- individual consumption;
- features and pressure of the compressed air.

Electrical wiring.

We exclude materials for carrying out the electric wiring from your net to new switchboard and
from this one to all the users and in particular: cables raceway, lids, conduits, shunting boxes,
flexible connections, pipe fittings power cables, special cables (wherever required).
To enable you to locally purchase the necessary materials and perform the electrical wiring, we will
supply the list, features and consumption of the electrical users.

Supporting frameworks.

We exclude all the supporting framework.

To enable you to procure the a.m. parts, our scope of supply includes the relevant system drawings
that consist in detail of:
Dimensional drawings complete with equipment bearing points and relevant weights.
Consequently, the following is specifically excluded from our scope of supply:
- static calculations of the frames as well as sizing of beams, profiles, plates, etc.
- workshop drawings;
- material list and relevant specifications.

Safety and hazardous areas and materials

According to our knowledge and experience made on similar plants, there arent hazardous areas
within our battery limits of the plant. Thus, such kind of plants would have to be classified as SAFETY
AREAS.
Differently, detailed information about raw materials along with features and data sheets relevant to
hazardous features / behaviours of the handled products would have to be submitted for further
evaluations that might lead to different technical solutions than the proposed ones and relevant impact
of given prices.

The a.m. plant will be manage by a new electrical control panel / management system

Start up and commissioning.
Our scope of supply include the supervision during start up & commissioning
operations as following:
N 1 technician for start up & commissioning for up to 7 days including travel
time. Customer will provide local workers.
The number and qualification as well as equipment and tools will be informed later
based on the commissioning schedule.
The time of commissioning will depend from the local skilled workers and available
equipment and tools.
During start up operation, our technicians will put in operation the equipment, first
without products, and then they will test the plant capacity and performances as per
paragraph D of the present offer.
In addition to our technicians costs, entry working visa included, n 1 air tickets
are already included in our scope of supply, as described in the paragraph
exclusions, the buyer will be paying the following only:
- hotel, food, beverage and laundry
- local transportation
- any local expenses related to the presence / works of our technicians.
Remarks
Our technicians have to complete their job in a better way and as soon as possible.
In case they have to stay in the yard inoperative not due to sellers responsibility, this
time will be charge to buyer as working time. Any additional days based on tariffs in
force.
