MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:


This Memorandum of Agreement (MOA) made and entered into this
_________________, 2016
By and between:
The Department of the Interior and Local Government Regional Office
XI, with office address at 58 McArthur Highway, Matina, Davao City, herein
represented by Ananias M. Villacorta, Regional Director and herein to as the
DILG-RO XI;
The Municipality of Malita, Davao Occidental, a Local Government Unit
with office address at _______________, herein represented by Honorable Municipal
Mayor Bradly L. Bautista, and herein referred to as the LGU;
The DILG-RO XI and LGU shall be hereinafter collectively to as the Parties
WITNESSETH
Whereas, the Department of the Interior and Local Government (DILG)
is responsible in strengthening the capability of Local Government Units to become
business-friendly and economically competitive by promoting and implementing
programs and projects that will boost their economic and business potentials which
includes introducing and implementing reforms to their current systems for
processing business licenses and permits or adopting practices that would enable
them to attract more businesses and investments in their communities;
Whereas, the Local Government Academy (LGA), implemented the
Regulatory Simplification for LGUs (RS4LGUs): Enhanced BPLS (Business
Permit and Licensing System) Program to support the LGUs in improving their
regulatory systems & process relating to starting a business and complements the
BPLS program by providing an-in depth analysis of the LGUs regulatory framework,
hereinafter referred to as the Project;
Whereas, the LGU is ready and willing to enter into an agreement with the
DILG-Regional Office concerning the implementation of the Project and to
comply with all the requirements as may be required;
Whereas, the DILG-Regional Office and the LGU will ensure the
effective implementation of the Project;
NOW THEREFORE, for and in consideration of the foregoing premises, the
parties hereto agree to enter in this MOA under the following terms and conditions.
Article 1-Appoinment of the LGU

1. The DILG hereby jointly appoints the LGU which is expected to assist in
undertaking the following activities and the corresponding outputs:
a. Selection and mobilization of concerned stakeholders to support the
RS4LGUs;
b. Assign Simplification Management Team & Simplification Project
Team through issuance of an Executive Order;
c. Develop a Detailed Work and Financial Plan of the Project;
d. Conduct and participate reform activities covered by the Project;
e. Implement the regulatory reforms generated by the Project;
f. Establish a structure that will support the reformed/improved system;
and
g. Provide counterpart resources for the activities by the Project.

The LGU hereby accepts the said appointment, including all the
responsibilities specified in this MOA.
Article IIa Rights and Responsibilities of the LGU
The LGU hereby agrees to undertake the following responsibilities:
1. The LGU shall designate a Project Team Leader to act as a single point of
contact for DILG in respect of any communication between DILG and the LGU
relating to the Project. The LGU may likewise designate any staff as may be
necessary for purposes of supporting and assisting DILG in the
implementation of the Project;
2. Organize a Simplification Management Team (SMT) and Simplification
Project Team (SPT). The SPT will work with the DILG Coaches in the
implementation of the activities under the Project. This will be composed of
dedicated cross-functional members from the different department or office
concerned with business registration.
3. With the assistance of DILG Coaches, develop a work and financial plan that
will articulate the activities and fund requirements of the Project;
4. Make available appropriate resources, including personnel and office space, if
needed, for the use of the project team and coaches for the implementation
of the Project;
5. Provide supplies and equipment, if necessary, in the conduct of any activity
during the project implementation.
6. Manage effective and timely delivery of outputs and deliverables of the
project; and
7. Subject to the approval of the LGU, and as may be allowed by relevant laws,
resolutions, or ordinances, invests and put in place technology an office
improvements that will facilitate the implementation of the reforms identified
by the project.
Article IIb Rights and Responsibilities of the DILG- Regional Office
1. The DILG Regional Office shall undertake the following responsibilities:

a. Manage and oversee the overall implementation of the Project in the


LGU;
b. Conduct the selection of the LGUs to the Project based on the
established guidelines;
c. Conduct briefing to LGUs and determine their readiness and
willingness to participate in the Project;
d. Provide technical/coaching assistance to the LGU;
e. Ensure that the LGU shall participate in all activities and to deliver the
expected output;
f. Resolve operational issues and concerns that may arise and to deliver
all the expected output;
g. Conduct monitoring and evaluation, and prepare the regional report to
be submitted to the SILG, through the Local Government Academy
(LGA), on the project implementation.
Article III Ownership
1. The full ownership of the outputs derived from this MOA and
accountabilities shall remain jointly with the LGU, DILG & LGA.
2. Ownership if intellectual property rights of reports, studies,
documents and other written materials generated and brought into
existence in connection with this Project shall jointly rest upon the
LGU, DILG & LGA.
3. All reports, studies, documents and written materials are therefore
not to be used, copied, sold or published without written approval
from the LGU, DILG & LGA.
Article IV Commencement of Work
Implementation shall immediately commence upon the effectivity of this
MOA.
Article V - Settlement of Disputes
Any controversy or claim arising out of or in connection with this MOA, or any
breach thereof,
shall first be settled amicably by the parties.
Article VI Termination
This agreement may be terminated through a written advanced notice to be
issued by any PARTY to the other PARTIES only on the following grounds and
premises:
1. Gross violation of any of the terms and conditions of this MOA;
2. Failure of any PARTY to execute its assigned responsibilities and noadherence to all provisions herein stated.
Article VII Amendments and Severability

1. Any amendment, modification, addition or deletion from this MOA,


or any scope of work or other matters concerning the project
covered by this MOA, shall be undertaken jointly by the DILG-RO,
and the LGU.
2. If any provision of this MOA is held invalid and unenforceable by any
court for any reason, the remainder remains valid and shall
continue to be in full force and effect.
3. The voluntary commitments herein shall continue to be in force and
effective even if any entity undergoes any changes in its
organizational structures/officials or its functions assumed by
another agency office.
Article VIII Effectivity and Validity
1. This Agreement shall take effect upon signing of the parties herein
and shall continue to be in force until 2016.
Article IX General Provision
1. This agreement and Terms of Reference attached hereto shall form
the entire MOA between the DILG-RO and LGU superseding the
contents of any other agreements earlier undertaken by the parties,
whether oral or in writing, pertaining to the subject of this MOA.

duly authorized for this purpose, affix their signatures, this ____________day of
