EmploymentAgreement

THISAGREEMENTmadeasofthe______dayof__________________,20__,betweenNed
Purinton(the"Employer");andJoanChaplin(the"Employee").
WHEREAStheEmployerdesirestoobtainthebenefitoftheservicesoftheEmployee,andthe
Employeedesirestorendersuchservicesonthetermsandconditionssetforth.
INCONSIDERATIONofthepromisesandothergoodandvaluableconsideration(the
sufficiencyandreceiptofwhichareherebyacknowledged)thepartiesagreeasfollows:
1.Employment
TheEmployeeagreesthathewillatalltimesfaithfully,industriously,andtothebestofhisskill,
ability,experienceandtalents,performallofthedutiesrequiredofhisposition.Incarryingout
thesedutiesandresponsibilities,theEmployeeshallcomplywithallEmployerpolicies,
procedures,rulesandregulations,bothwrittenandoral,asareannouncedbytheEmployerfrom
timetotime.ItisalsounderstoodandagreedtobytheEmployeethathisassignment,dutiesand
responsibilitiesandreportingarrangementsmaybechangedbytheEmployerinitssole
discretionwithoutcausingterminationofthisagreement.
2.PositionTitle
AsGeneralCounsel,theEmployeeisrequiredtoperformthefollowingdutiesandundertakethe
followingresponsibilitiesinaprofessionalmannerforthetermofoneyear.
(a)Serveaslegalcounselandadvisor.
(b)Otherdutiesasmayarisefromtimetotimeandasmaybeassignedtotheemployee.
3.Compensation
1. (a)Asfullcompensationforallservicesprovidedtheemployeeshallbepaidattherate
of$500,000peryear.
2. (b)Employeewillberequiredtoworka40hourweekwithadditionaltimeasneeded
(withnoincreaseincompensation).
3. (c)SuchpaymentsshallbesubjecttosuchnormalstatutorydeductionsbytheEmployer.
4.Vacation
TheEmployeeshallbeentitledtovacationsintheamountofthreeweeksperannumaswellas
fivedaysofsickleaveperannum.
5.Termination

1. (a)TheEmployermayterminatethisAgreementandtheEmployeesemploymentatany
time,withoutnoticeorpaymentinlieuofnotice,forsufficientcause.
2. (b)TheEmployermayterminatetheemploymentoftheEmployeeatanytimewithout
therequirementtoshowsufficientcausepursuantto(a)above,providedtheEmployer
paystotheEmployeeanamountthatwouldotherwisehavebeendueasandwhenthey
wouldhavebeendue.Thepaymentsshallconstitutetheemployeesentireentitlement
arisingfromsaidtermination.
6.Confidentiality
EmployeerecognizesthatEmployerhasandwillhavevitalinformationitems(collectively,
Information),whicharevaluable,specialanduniqueassetsofEmployer.Employeeagreesthat
Employeewillnotatanytimeorinanymanner,eitherdirectlyorindirectlydivulge,disclose,or
communicateanyInformationtoanythirdpartywithoutthepriorwrittenconsentofEmployer.
EmployeewillprotecttheInformationandtreatitasstrictlyconfidential.Aviolationby
EmployeeofthisparagraphshallbeamaterialviolationofthisContractandwilljustifylegal
and/orequitablerelief.
7.UnauthorizedDisclosureofInformation
IfitappearsthatEmployeehasdisclosed(orhasthreatenedtodisclose)Informationinviolation
ofthisContract,EmployershallbeentitledtoaninjunctiontorestrainEmployeefrom
disclosing,inwholeorinpart,suchInformation,orfromprovidinganyservicestoanypartyto
whomsuchInformationhasbeendisclosedormaybedisclosed.Employershallnotbe
prohibitedbythisprovisionfrompursuingotherremedies,includingaclaimforlossesand
damages.
8.ConfidentialityAfterTerminationofEmployment
TheconfidentialityprovisionsofthisContractshallremaininfullforceandeffectfora____
periodafterthevoluntaryorinvoluntaryterminationofEmployeesemployment.Duringsuch
____period,neitherpartyshallmakeorpermitthemakingofanypublicannouncementor
statementofanykindthatEmployeewasformerlyemployedbyorconnectedwithEmployer.
9.NonCompetition
(1)ItisfurtheracknowledgedandagreedthatfollowingterminationoftheEmployees
employmentwithemployerforanyreasontheemployeeshallnothireorattempttohireany
currentemployeesofEmployer
(2)Itisfurtheracknowledgedandagreedthatfollowingterminationoftheemployees
employmentwithEmployerforanyreasontheemployeeshallnotsolicitbusinessfromcurrent
clientsorclientswhohaveretainedEmployerinthe6monthperiodimmediatelyprecedingthe
employeestermination.

10.EntireAgreement
Thisagreementcontainstheentireagreementbetweentheparties,supersedinginallrespectsany
andallpriororalorwrittenagreementsorunderstandingspertainingtotheemploymentofthe
EmployeebytheEmployerandshallbeamendedormodifiedonlybywritteninstrumentsigned
bybothofthepartieshereto.
INWITNESSWHEREOFtheEmployerhascausedthisagreementtobeexecutedbyitsduly
authorizedofficersandtheEmployeehassethishandasofthedatefirstabovewritten.
