IRREVOCABLE SPECIAL POWER OF ATTORNEY

KNOWN ALL MEN BY THESE PRESENTS:


I,_________________________________, Filipino, of legal age, with residence
address ________________________________________ do hereby irrevocably name,
constitute and appoint ____________, Filipino, of legal age, with residence
address at ______________ (whose signature appears herein below and which
signature I now hereby attest to be true, genuine and authentic), to be my
true and lawful Attorney-in-fact, for me/us and in my/our name, place and
stead, to do, and perform the following special powers, to wit:

To sell, transfer and convey all whatever price and terms and
conditions that he/she may deem proper and fit, to whosoever may but

To accept and collect full payment in his name and/or in our joint

To pay any and all unpaid or accrued property taxes including such
capital gains and documentary stamp taxes necessary to effect the
registration of the sale and the transfer of title of the said property to
the buyer or purchaser of the same;

To engage the services of a reputable real estate broker, a lawyer, a


tax professional and such professional real estate practitioner, if
necessary, to ensure the expeditious and smooth sale of the property
and to pay their respective fees and/or commissions from out of the
proceeds of the sale of the same;

6.

To do and perform any and all other lawful act and deeds necessary to
undertake the execution and finalization of sale, transfer or
conveyance of the said property;

This Irrevocable Special Power of Attorney is coupled with


consideration and it is agreed that this Irrevocable Special Power of
Attorney shall not be revoked or cancelled without the prior written
consent of the undersigned principal.

HEREBY GIVING AND GRANTING unto our said attorney-in-fact full


powers and authority to do and perform all and every act requisite or
necessary to carry into effect the foregoing powers, as fully to all intents and
purposes as we might or could lawfully do if personally present, with full
power of substitution and revocation, and hereby ratifying and confirming all
that my said attorney or his substitute shall lawfully do or cause to be done
by virtue hereof.
