On behalf of our client, SPENSERV, Road # 32, House # 488, New DOHS, Mohakhali, Dhaka1205, Bangladesh we, The City Bank Limited, Trade Services Division, Al-Amin Center (7TH
Floor), 25/A, Dilkusha C/A, Dhaka-1000 Bangladesh do hereby issue this irrevocable &
unconditional Bank Guarantee for Tk.12,29,426.00 (Taka Twelve Lac Twenty Nine Thousand
Four Hundred Twenty Six) only favoring UNITEX COMPOSITE MILLS LTD against contract
dated 10-09-2016 for procurement of sales and purchase goods under the sales contract
agreement under the following terms and conditions:
1. To make unconditional payment of Tk. 12,29,426.00 (Taka Twelve Lac Twenty Nine
Thousand Four Hundred Twenty Six) only to you on your demand without any question and
without any reference whatsoever to our client.
2. This guarantee shall remain valid for 1 (One) years from the date of its issuance i.e. up to 2510-2017.
3. The period of validity of this guarantee is further may extendable if desired by our client and
agreed upon by you and such extension will be at the sole discretion of The City Bank Limited.
4. The guarantee shall remain in force on us and shall be irrevocable and confirmed.
5. This guarantee shall not be affected by any change in the constitution of the Guarantor Bank,
its successors or assigns or by any absorption of or by any absorption with any other Bank or
Banks and the guarantee shall continue in force and be applicable, notwithstanding any change
in the composition of the contracting company.
6. That our liability under this guarantee is restricted up to Tk. 12,29,426.00 (Taka Twelve Lac
Twenty Nine Thousand Four Hundred Twenty Six) only. Any claim under this guarantee must
be presented along with original Guarantee to us on or before the date of expiry of this
guarantee. No claim will be entertained by us after expiry of this guarantee if not extended
before hand.
7. After expiry of this guarantee, we shall be released and discharged from liabilities within this
guarantee and the same shall become null and void forthwith.

Notwithstanding anything to the contrary contained herein above:

1. This instrument set forth the terms and conditions of the undertaking of The City Bank Ltd
and such undertaking shall not in any way be modified, amended, or amplified by reference to
any document or instrument referred to herein or to which this guarantee relates.
2. This guarantee cannot be assigned without The City Banks prior consent or
acknowledgment.
3. Every demand made hereunder shall be in writing for specific amounts and claims (if any)
shall be addressed to the Manager, The City Bank Limited, Trade Services Department, Al-Amin
Center (7TH Floor), 25/A, Dilkusha C/A, Dhaka-1000 Bangladesh. Such claims should be
presented along with original instrument and shall be delivered at The City Bank Limited, Trade
Services Department, Al-Amin Center (7TH Floor), 25/A, Dilkusha C/A, Dhaka-1000 on or before
the end of working hours of the date 25-10-2017..
4. This guarantee shall remain valid up to 25-10-2017.. The guarantee shall not thereafter be of
any force or avail in law (whether or not returned to us original) except in respect of any demand
made by you on or before the close of business of the date 25-10-2017..
5. This guarantee shall be governed by and construed in accordance with the laws of Peoples
Republic of Bangladesh.
