CONSTITUTION AND BY-LAWS

WOMEN IN MINISTRY DEVELOPMENT ASSOCIATION (WIMDA)


Brgy. Sapang, Sta. Barbara, Pangasinan
ARTICLE I
NAME AND DOMICILE
SECTION I - NAME OF ASSOCIATION: This association shall be known as
The WOMEN IN MINISTRY DEVELOPMENT ASSOCIATION (WIMDA)
SECTION 2- DOMICILE: The principal address of the association shall be
Barangay Sapang, Sta. Barbara, Pangasinan
ARTICLE II
NATURE AND PURPOSE
SECTION 1 - NATURE: The association shall be civic, social, spiritual and non-political in
nature.
SECTION 2 - PURPOSE: The purposes of the association shall be as follows:
1. To foster closer relationship and understanding among members;
2. To promote mutual understanding among members to know more about the
objectives of the association and to cooperate for the realization of the objectives;
3. To encourage thrift, savings and spiritual upliftment among members.
4. To serve as channel of all assistance coming from either government or private
agencies/sectors deemed necessary to promote the welfare of the members.
5. To serve as venue for continuing education activities such as training and seminars or
any venture relevant to members growth conducted by any government or private
agencies.
6. To serve as venue to venture into any lawfull project that will enhance/uplift the
socio-economic and spiritual well being of the members.
7. To promote livelihood and income generating projects designed to enhance economic
empowerment of the members.
8. To promote health and nutrition projects, gender and development and environmental
awareness among the members.
ARTICLE III
MEMBERSHIP
SECTION 1 - QUALIFICATION FOR MEMBERSHIP: membership in the association shall
be open for the following:
1. Any bonafide resident of a barangay covered by the Christ Our Life Ministries,
International.
2. Must be a member of Christ Our Life International Ministries, International
SECTION 2 - RIGHTS OF MEMBERS: Every member of the association shall have the
following rights:

1. To participate in the deliberation and meetings of the association.


2. To vote and be voted upon as officers of the association.
3. To inspect/examine the books of the association.
4. To obtain from the association any or all the services that are deemed necessary to
help in their social, economic and spiritual state of being, .

SECTION 3 - DUTIES OF MEMBERS: Every member of the association shall have the
following duties:
1. To attend all meeting and activities called for by the officers/members of the Women in
Ministry Development Association (WIMDA) and other government and nongovernment agencies supportive to the objectives of the association.
2. To pay the Membership Fee of P100.00 and P10.00 monthly dues to the association.
2. To pay all contributions or any fees due to the association in connection with projects
and programs that may be implemented.
3. To cooperate in all ventures and undertakings as maybe planned and implemented by
the association.
SECTION 4 - LIABILITY OF MEMBERS:
1. All members of the association shall be liable collectively for any indebtedness of the
association.
2. Any member shall likewise be liable individually for indebtedness of the association.
SECTION 5 - GROUNDS FOR DIS-MEMBERSHIP:
1. Withdrawal
2. Expulsion
3. Dissolution/inactivity of members
4. Habitual repeated absence of the members whether it is special meeting or General
Assembly Meeting for three (3) consecutive times.

Any member desiring to terminate her/his membership by withdrawal shall do so by


writing the officers of the association.
The following shall be valid grounds for expulsion:
1. Commission of acts prejudicial to the good name or orderly conduct of the affairs of
the association.
2. Willful violation of the Constitution and By-laws of the Association and rules and
regulations set forth by General Assembly and the Officers of the Association.
ARTICLE I
STRUCTURE AND OFFICIALS
SECTION 1 - MEMBERSHIP and final authority is vested in the General Assembly.
SECTION 2 - GENERAL ASSEMBLY: The General Assembly of the Association shall be
composed of all duly elected officers and the duly constituted members.
SECTION 3 - POWER OF THE GENERAL ASSEMBLY: The General Assembly has the
following powers:

1. To select and remove officers and members for valid cause.


2. To hear and pass upon reports of the officers.
3. To take final decisions regarding any change in the institutional policies, systems and
procedures of the association subject to legal restrictions.
4. To exercise final authority on all matters affecting the association.
5. To exercise all rights and privileges appurtenant to the members.

SECTION 4 - DUTIES OF OFFICERS: All duly elected officers of the association shall
perform their respective duties and functions:

A. THE PRESIDENT
1. Represent the association in all social, economic, spiritual and developmental
activities.

2. Preside on over-all meetings/special meetings of the association.
3. Exercise general supervision on over-all activities of the association.
4. Conducts consultation/dialogues with the officers and members re: yearly program
activities.

B. THE VICE PRESIDENT

1.Shall act as the President in the absence of the first or in case of incapacity of

B. THE SECRETARY
1. Shall serve as the custodian of all records of the association.
2. Records all minutes of meetings conducted.

4.Prepare monthly report/activities of the association to be signed by the President.

1. Serve as the custodian of all financial records of the association.


2. Collect all fees and monthly dues or any other monetary funds due the association.
3. Prepare financial reports of the association.
4. Maintain an updated list of general Membership of the association.

E. AUDITOR
22 1. Review/audit all financial records of the association.
22 2. Submit to the general membership its findings.
F. THE PRESS RELATIONS OFFICER
22 1. Serve as the liaison officer of the association.
2. Serve notices to the members.
3. Inform the members of the organization on all activities undertaken.
SECTION 5 - STANDING COMMITTEE: The Standing Committee shall assist the Officers,
in the implementation of association programs and projects.
ARTICLE V
ARTICLE OF THE ASSOCIATION
SECTION 1 - Calendar Year- It will start January and will end December of the same year.
SECTION 2 - General Assembly Meetings will be conducted months as scheduled by the
officers.
SECTION 3 - Regular meetings will be conducted every first Sunday of the month at the Christ
Our Life Ministries, International compound.
SECTION 4 - Special Meetings.

A special meeting may be called as the need arises with notices to be served to all
members.
ARTICLE VI
TERM OF OFFICERS
SECTION 1 - Term of office of the duly elected officers will be for two (2) years but revocable
if officers commit fault or negligence of duty as a ground for termination.
SECTION 2 - Whenever vacancy occurs in any position thru death, resignation, and removal or
for other causes, the general assembly shall convene to elect a successor who
shall serve for the unexpired term only.
ARTICLE VII
ELECTORAL PROCEDURES AND POLICIES
SECTION 1- Membership fees and dues. Membership fee shall be due from a member in the
amount of One Hundred Pesos (P100.00) payable upon joining the association
and the amount of Ten Pesos (P10.00) as monthly dues to be paid monthly.
SECTION 2 -Penalties; A fine of P50.00 shall be charged to the officers for non-attendance to
all meetings and any activities of the association without any justifiable cause.
SECTION 3 - A fine of P50.00 shall be collected from any member who fails to express her
reason for non-attendance to General Assembly meetings.
ARTICLE VIII
DISPOSITION OF ORGANIZATION FUNDS
SECTION 1 - All financial matters accruing to the association in the form of fees; contributions,
donations, subsidies and fines shall be deemed the property of the association.
SECTION 2 - Funds can only be disbursed with the signature of the President, Treasurer and the
Auditor.
SECTION 3 - Any loans, grants and other financial assistance granted to the association shall be
spent solely for the purpose that has been stipulated in its terms of references.
ARTICLE IX
MISCELLANEOUS PROVISIONS
SECTION 1-Affiliation/Federationn. The association may affiliate with other
organization with similar purposes/objectives in the province or in the region.
SECTION 2 - Other benefits/Dues
1. The association will provide a death aid to any member who is active upon
his/her death in the amount of______________per member.
2. Any member who is seriously ill will also be provided with financial
assistance in the amount of_____________per member.
SECTION 3 - Dissolution: Dissolution may be affected upon writing to the Department of
Labor and Employment (DOLE) stating therein the dissolution of the
association.

22 3. Inactivity of the majority of the members provided further that the association
shall not have any outstanding debt assigned to any debtor or a legitimate
lending entity.
SECTION 4 - Rules and other regulations as well as directive to the association as issued by the
debtor (DA, DOLE) shall be part of this Code of By-Laws.
ARTICLE X
AMMENDMENTS
SECTION 1 - This Constitution and By-Laws may be amended, altered or replaced at any
regular meeting called for the purpose by the vote of majority of all members and
subject to the approval of the General Assembly.
SECTION 2 - This Constitution and By-Laws was adopted and ratified by majority of the
members on October 12, 2008 which will be in full force starting on said date.
