TheCityBankofNewYorkwasfoundedonJune16,1812.Thefirst
presidentoftheCityBankwasthestatesmanandretiredColonel,
SamuelOsgood.[5]Ownershipandmanagementofthebankwastaken
overbyMosesTaylor,aprotgofJohnJacobAstorandoneofthe
giantsofthebusinessworldinthe19thcentury.DuringTaylor's
ascendancy,thebankfunctionedlargelyasatreasuryandfinancecenter
forTaylor'sownextensivebusinessempire.[6]
In1863,thebankjoinedtheU.S.'snewnationalbankingsystemand
becameTheNationalCityBankofNewYork.By1868,itwasoneof
thelargestbanksintheUnitedStates,andin1897,itbecamethefirst
majorU.S.banktoestablishaforeigndepartment.

WhentheFederalReserveActallowedit,[7]NationalCityBankbecame
thefirstU.S.nationalbanktoopenanoverseasbankingofficewhenit
openedabranchinBuenosAires,Argentina,in1914.ManyofCiti's
presentinternationalofficesareolderofficesinLondon,Shanghai,
Calcutta,andelsewherewereopenedin1901and1902bytheInternationalBankingCorporation(IBC),a
companycharteredtoconductbankingbusinessoutsidetheU.S.,whichwasforbiddentoU.S.nationalbanks.
In1918,IBCbecameawhollyownedsubsidiaryandwassubsequentlymergedintothebank.By1919,the
bankhadbecomethefirstU.S.banktohave$1billioninassets.[8]
CharlesE.Mitchellwaselectedpresidentin1921andin1929wasmadechairman,apositionhehelduntil
1933.UnderMitchellthebankexpandedrapidlyandby1930had100branchesin23countriesoutsidethe
UnitedStates.ThepoliciespursuedbythebankunderMitchell'sleadershipareseenbyhistoricaleconomistsas
oneoftheprimecausesofthestockmarketcrashof1929,whichledultimatelytotheGreatDepression.In
1933aSenatecommittee,thePecoraCommission,investigatedMitchellforhispartintensofmillionsof
dollarsinlosses,excessivepay,andtaxavoidance.SenatorCarterGlasssaidofhim:"Mitchell,morethanany
50men,isresponsibleforthisstockcrash."[9]
OnDecember24,1927,itsheadquartersinBuenosAires,Argentina,wereblownupbytheItaliananarchist
SeverinoDiGiovanni,intheframeoftheinternationalcampaignsupportingSaccoandVanzetti.[10][11]
In1952,JamesStillmanRockefellerwaselectedpresidentandthenchairmanin1959,servinguntil1967.
StillmanwasadirectdescendantoftheRockefellerfamilythroughtheWilliamRockefeller(thebrotherofJohn
D.)branch.In1960,hissecondcousin,DavidRockefeller,becamepresidentofChaseManhattanBank,
NationalCity'slongtimeNewYorkrivalfordominanceinthebankingindustryintheUnitedStates.
FollowingitsmergerwiththeFirstNationalBankin1955,thebankchangeditsnametoTheFirstNational
CityBankofNewYork,thenshortenedittoFirstNationalCityBankin1962.
Thecompanyorganicallyenteredtheleasingandcreditcardsectors,anditsintroductionofUSdollar
denominatedcertificatesofdepositinLondonmarkedthefirstnewnegotiableinstrumentinthemarketsince
1888.LatertobecomepartofMasterCard,thebankintroduceditsFirstNationalCityChargeServicecredit
cardpopularlyknownasthe"EverythingCard"in1967.[12]
In1976,undertheleadershipofCEOWalterB.Wriston,FirstNationalCityBank(anditsholdingcompany
FirstNationalCityCorporation)wasrenamedCitibank,N.A.(andCiticorp,respectively).Bythattime,the
bankhadcreateditsown"onebankholdingcompany"andhadbecomeawhollyownedsubsidiaryofthat
company,Citicorp(allshareholdersofthebankhadbecomeshareholdersofthenewcorporation,which
becamethebank'ssoleowner).

ThenamechangealsohelpedtoavoidconfusioninOhiowithClevelandbasedNationalCityBank,thoughthe
twowouldneverhaveanysignificantoverlappingareasexceptforCiticreditcardsbeingissuedinthelatter
NationalCityterritory.(Inaddition,atthetimeofthenamechangetoCiticorp,NationalCityofOhiowas
mostlyaClevelandareabankandhadnotgoneonitsacquisitionspreethatitwouldlatergooninthe1990s
and2000s.)AnypossiblenameconfusionhadCitinotchangeditsnamefromNationalCityeventuallybecame
completelymootwhenPNCFinancialServicesacquiredtheNationalCityofOhioin2008asaresultofthe
subprimemortgagecrisis.

Automatedbankingcard
Shortlyafterward,thebanklaunchedtheCiticard,whichallowedcustomerstoperformalltransactionswithout
apassbook.Branchesalsohadterminalswithsimpleonelinedisplaysthatallowedcustomerstogetbasic
accountinformationwithoutabankteller.Whenautomatictellermachines(ATMs)werelaterintroduced,
customerscouldusetheirexistingCiticard.

Creditcardbusiness
Inthe1960sthebankenteredintothecreditcardbusiness.In1965,FirstNationalCityBankboughtCarte
BlanchefromHiltonHotels.Threeyearslater,thebank(underpressurefromtheU.S.government)soldthis
division.By1968,thecompanycreateditsowncreditcard.Thecard,knownas"TheEverythingCard",was
promotedasakindofEastCoastversionoftheBankAmericard.By1969,FirstNationalCityBankdecided
thattheEverythingCardwastoocostlytopromoteasanindependentbrandandjoinedMasterCharge(now
MasterCard).Citibankunsuccessfullytriedagainin19771987tocreateaseparatecreditcardbrand,the
ChoiceCard.
JohnS.ReedwasselectedCEOin1984,andCitibecameafoundingmemberoftheCHAPSclearinghousein
London.Underhisleadership,thenext14yearswouldseeCitibankbecomethelargestbankintheUnited
States,thelargestissuerofcreditcardsandchargecardsintheworld,andexpanditsglobalreachtoover90
countries.[12]
Asthebank'sexpansioncontinued,theNarreWarrenCarolineSpringscreditcardcompanywaspurchasedin
1981.In1981,CitibankcharteredaSouthDakotasubsidiarytotakeadvantageofnewlawsthatraisedthe
state'smaximumpermissibleinterestrateonloansto25percent(thenthehighestinthenation).Inmanyother
states,usurylawspreventedbanksfromcharginginterestthatalignedwiththeextremelyhighcostsoflending
moneyinthelate1970sandearly1980s,makingconsumerlendingunprofitable.Currently,thereisno
maximuminterestrateorusuryrestrictionunderSouthDakotalawwhenawrittenagreementisformed.[13]

Inthe1970sCitibankwasoneofthefirstU.S.bankstointroduceautomatictellermachines,inordertogive
24houraccesstoaccounts.CustomerscouldusetheirexistingCiticardinthismachinetowithdrawcashand
makedeposits.InApril2006,Citibankstruckadealwith7EleventoputitsATMsinmorethan6,700
conveniencestoresintheUnitedStates.

Citibank.comwasregisteredin1991,[14]existingontheinternetyearsbeforetheworldwidewebwaslaunched.

Nationwideexpansion
Citibank'smajorpresenceinCaliforniaisfairlyrecent.Thebankhad
onlyahandfulofbranchesinthatstatebeforeacquiringtheassetsof
CaliforniaFederalBankin2002withCiticorp'spurchaseofGolden
StateBancorpwhichhadearliermergedwithFirstNationwide
MortgageCorp.
In2001,Citibanksettleda$45millionclassactionlawsuitfor
improperlyassessinglatefees.FollowingthisCitibanklobbiedthe
UnitedStatesCongresstopasslegislationthatwouldlimitclassaction
lawsuitsto$5millionunlesstheywereinitiatedonafederallevel.Some
consumeradvocatewebsitesreportthatCitibankisstillimproperly
assessinglatefees.
InAugust2004,CitibankenteredtheTexasmarketwiththepurchaseof
FirstAmericanBankofBryan,Texas.ThedealestablishedCiti'sretail
bankingpresenceinTexas,givingCitibankover100branches,
$3.5billioninassetsandapproximately120,000newcustomersinthe
state.FirstAmericanBankwasrenamedCitibankTexasafterthetake
overwascompletedonMarch31,2005.

FormerUnitedStatesSecretaryoftheTreasuryRobertRubintookoverthechairmanship,subsequentlyhiring
VikramPanditaschiefexecutive.
InJanuary2008CitibanksolditsbranchesinPuertoRicotoPopular,Inc.
InAugust2008,afterathreeyearinvestigationbyCalifornia'sAttorneyGeneralCitibankwasorderedtorepay
the$14million(closeto$18millionincludinginterestandpenalties)thatwasremovedfrom53,000customers
accountsoveran11yearperiodfrom1992to2003.Themoneywastakenunderanelectronic"account
sweepingprogram"whereanypositivebalancesfromoverpaymentsordoublepaymentswereremoved
withoutnoticetothecustomers.[21]
OnNovember23,2008,Citigroupwasforcedtoseekfederalfinancingtoavoidacollapsesimilartothose
sufferedbyitscompetitorsBearStearnsandAIG.TheU.S.governmentprovided$25billionandguaranteesto
riskyassetstoCitigroupinexchangeforstock.Thiswasoneofaseriesofcompaniesreceivingfinancialaid
fromthegovernmentthatbeganwithBearStearnsandpeakedwiththecollapseofLehman,AIG,andthe
GSE's,andthestartoftheTARPprogram.
OnJanuary16,2009,Citigroupannouncedthatitwassplittingintotwobusinesses.Citicorpwillcontinuewith
thetraditionalbankingbusinesswhileCitiHoldingsInc.operatesnoncorebusinessessuchasbrokerage,asset
management,andlocalconsumerfinanceaswellasmanagingasetofhigherriskassets.Thesplitwas
presentedasallowingCitibanktoconcentrateonitscorebankingbusiness.[22]
