AGREEMENT OF NON-DISCLOSURE

AND
ANTI-CORRUPTION UNDERTAKING
In consideration of my employment with KEO International Consultants W.L.L. or any of its related bodies corporate
(herein referred to collectively as the FIRM) I acknowledge and agree as follows:
i.

The protection of the FIRMs confidential business information, trade secrets and reputation is vital to the
interests and the success of the FIRM.

ii.

I have read the FIRMs Ethical and Professional Standards policy and agree to comply with and abide by
the FIRMSs Confidentiality and Proprietary Policy and its Anti-Corruption and Anti Bribery Policy (and
as may be amended/updated from time to time)

iii.

The FIRM regards its entire business as strictly confidential and requires me to honor my duties and
obligations of confidentiality both during and after completing the period of employment with the FIRM and
to refrain from disclosing the FIRMs Confidential Information to any third party unless expressly authorized
by the FIRM. Failure to do so could result in immediate dismissal of employment with loss of all rights and
legal action subsequently being taken against me.

iv.

For the purpose of this Agreement, the FIRMs Confidential Information includes any and all verbal and/or
written information which at the time concerned, is not generally known to any person engaged in business
similar to that conducted by the FIRM including but not limited to commercial or technical know-how and
data, drawings, systems, methods, software processes, client lists, KEOs clients project
information/documentation, business affairs, suppliers list, employee, marketing or financial information,
price lists, calculations, documents, details of any offers, proposals, contractual terms and conditions, product
information, information related to prices, fees, bank accounts, financial transactions, investment plans,
codes or references, schedules KEOs employees data relating to salaries and benefits, business plans,
work in progress, market share, product knowledge, samples, devices, specifications, proprietary data, costs
and other materials of whatever description, whether or not protected by copyright, patent or other intellectual
property rights or any other information marked as confidential or privileged or which reasonably under the
prevailing circumstances is to be considered as confidential whether or not stated as being proprietary or
confidential.

Anti-Corruption and Anti-Bribery Undertaking

v.

The FIRM believes that the success of its business operations and reputation is built upon the principles of
honesty, fair dealing, ethical conduct and compliance and takes a zero-tolerance approach to bribery and
any other form of corruption in its practices.
The FIRM requires me to honor my duties and obligations to refrain from / avoid making or accepting any
bribes or participating any corrupt conduct or practice during the term of my employment with the FIRM.
Failure to do so could result in immediate dismissal of employment with loss of all rights and legal action
subsequently being taken against me.

This includes in any way showing favor or unwarranted/ unsubstantial preferential treatment towards any
government official or to the products of services provided by a vendor or former employee of the FIRM.
vi.

Furthermore, should I accept any commissions, gifts, gratuity or rewards in any form, from either a vendor or
former employee of the Firm, I will be subject to disciplinary action, up to and including termination of
employment with loss of all rights, even if they do not actually benefit from the disclosed information.

By counter signature of this Agreement and Undertaking I accept the obligations of confidentiality and anti-corruption
/ anti-bribery and acknowledge that they are a condition of ongoing my employment with the FIRM.
