(Party A and Party B hereinafter referred collectively as the Parties)
Sau khi tho lun v cn nhc k lng, Cc Bn cng nht tr k kt Hp ng ny (Hp ng)

Having discussed and carefully considered the terms and conditions stated herein (the
Agreement), the Parties agree as follows:
iu 1:
Article 1:
1.1

Phm vi Dch v
Scope of the Services

Bn A cung cp cho Bn B cc dch v sau (Dch v):

Party A shall provide to Party B the following services (Services):
a) T vn cho Bn B cc bc thc hin, quy trnh cng nh thu nhn kin, yu cu ca Bn
B v sn phm cui cng;
Advise Party B procedures for the photo shoot as well as listen to your ideas and
requirements for the final product;
b) Thc hin gi dch v theo nh la chn bn B xc nhn trong Bn bo gi trong Ti liu
b sung s 1;
Provide the Service according to the selection that Party B has confirmed in Proposal in
Supplementary Documents No.1;
c) i chp nh s n a dim theo gi hn thc hin bui chp nh;
Our photographer team visits the shooting location at the agreed time for the photo shoot;
d) ng ti hnh nh ln cc dch v lin quan ca Facebook.
Upload the final images onto relevant Facebook services.

iu 2: Sn phm ca Dch V v Thi gian thc hin

Article 2: Deliverables and Duration
2.1

Sn phm Dch v
Deliverables from Services

Bn A s bn giao cho Bn B cc sn phm (Sn phm) sau nh l kt qu ca Dch v:

Party A will handover Party B the following deliverables (Deliverables) as a result of the Services:
a) Quyn s dng v tch hp hnh nh ton cnh thng qua cc dch v ca Facebook;
Rights to use the images and integrate them through services of Facebook;
b) Bn B nhn quyn s hu bn quyn tt c hnh nh sau khi thanh ton ton b ph dch v.
Party B owns the copyright for all images after payment for the Services.

2.2

Thi gian thc hin Dch v v bn giao cc sn phm ca Dch V

Duration of Service Performance and Deliverables of Services
Thi hn thc hin bui chp nh ph thuc vo xc nhn ca bn B trong n ng k
trong Ti liu b sung s 2;
Time of photo shoot depends on the selection that Party B has confirmed in Appoinment
order in Supplementary Documents No.2;

iu 3: Ph dch v
Article 3: Service fees
3.0

Bn B ng thanh ton cho Bn A mt khon ph bng tin ng Vit Nam theo nh la

chn bn B xc nhn trong Bn bo gi trong Ti liu b sung s 1 (sau y gi l Ph
Dch v).
Party B agrees to pay Party A a fee in Vietnnamese Dong according to the selection that
Party B has confirmed in Proposal in Supplementary Documents No.1 (hereunder referred
as Service Fees).

iu 4: Hnh thc v tin thanh ton

Article 4: Mode and schedule of payments
1.

Ph dch v c thanh ton bng tin ng Vit Nam Nam vi hnh thc theo nh la chn
bn B xc nhn trong n ng k trong Ti liu b sung s 2;
The payment of the Service Fees shall be made in Vietnamese dong with the mode according
to the selection that Party B has confirmed in Appointment order in Supplementary
Documents No.2;

Ph dch v c thanh ton theo tin nh sau:

The Service Fees shall be paid according to the followings schedule:
a) Vo ngy k Hp ng, Bn B tm ng cho Bn A mt khon ph chun b tng ng
50% ph ca gi dch v m Bn B la chn;
On the date of signing this Agreement, Party B shall make advance payment equivalents to
50% of the service package fee that Party B chosen for preparation;
b) Khi chp nhn hnh nh v quyn s dng dch v lin quan, Bn B s thanh ton cho Bn A
phn ph cn li (50%) ca gi dch v s hu ton b bn quyn.
On the day that Party B accepted the final images and relevant services, Party B shall pay
Party A the remaining fee (50%) for all the rights to use the service package.

iu 5: Trch nhim ca Cc Bn
Article 5: Responsibilities of the Parties
5.1

Trch nhim ca Bn A:
Responsibilities of Party A:
a) Thc hin cc dch v nu ti iu 1 v 2 ca Hp ng theo ng tiu chun v thi gian
ra trong hp ng;
Perform the services stated in Article 1 and 2 of the Agreement according to the schedule
and guidelines;
b) Trong mi trng hp c s thay i, Bn A phi thng bo cho Bn B trc khi thc hin
bui chp v cng b sn phm cui cng;
If there are any changes, Party A has to inform to Party B before performing the photoshoot
or finalizing the products;
c) Bn A c ngha v tn trng nhng tng v gp ca Bn B trong thi gian thc hin
dch v;
Party A obligates to respect the ideas and suggestions of Party B during the service
progress;
d) Nhn y v ng hn cc khon ph dch v theo Hp ng.
Receives Service Fees fully and timely in accordance to the Agreement.

5.2

Trch nhim ca Bn B:
Responsibilities of Party B:
a) H tr Bn A thc hin cc dch v nu ti iu 1 v 2 ca Hp ng theo ng tiu chun
v thi gian ra trong hp ng;
Support Party A to perform the services stated in Article 1 and 2 of the Agreement according
to the schedule and guidelines;
b) Thanh ton y v ng hn cc khon ph dch v theo Hp ng;
Pay the Service Fees fully and timely in accordance to the Agreement;
c) Thng bo cho Bn A t nht 7 ngy khi c thay i lin quan n lch chp nh;
Notify Party A at least 7 days if there are any changes relating to the photo shoot schedule;
d) Bn B c quyn nu tng v gp trong thi gian Bn A thc hin dch v.
Party B has the right to show ideas and suggestions to Party A during the service progress.

iu 6: Chm dt hp ng
Article 6: Termination of the Agreement
Hp ng ny c chm dt trong cc trng hp nu di y:
This Agreement shall be terminated under the following circumstances:
6.1

Bn B c quyn n phng chm dt Hp ng ny trong cc trng hp sau:

Party B shall unilaterally terminate this Agreement in the following cases:
a) Bn A khng thc hin cc dch v theo Hp ng ny. Trong trng hp ny Bn B c
quyn yu cu v Bn A c ngha v hon tr li ton b Ph Dch v m Bn B thanh
ton; hoc
Party A fails to perform the Services in accordance to this Agreement. In such case, Party B
shall be entitled to request and Party A shall be obliged to reimburse the Service Fees, which
have been paid by Party B; or
b) Bn B khng mun tip tc thc hin dch v. Trong trng hp ny Bn A khng hon tr
li khon Ph Dch v thanh ton.
Party B does not wish to pursue the service. In such case, Party A shall not reimburse the
Service Fees, which Party B has paid.

6.2

Bn A c quyn n phng chm dt Hp ng ny trong cc trng hp sau:

Party A may unilaterally terminate this Agreement in the following cases:
a) Bn B khng cung cp thng tin, khng h tr Bn A thc hin cc quy trnh dch v
thng nht trong hp ng;
Party B fails to provide information or supporting Party A to perform the requested
procedures according to this Agreement;
b) Bn B khng c kh nng hoc khng thanh ton Ph Dch v theo Hp ng.
Party B is unable or fails to pay the Service Fees according to the Agreement.

Trong mi trng hp nu trn, Bn A c quyn n phng chm dt hp ng v khng hon

tr li Bn B nhng khon ph Bn B thanh ton.
In any of the above mentioned cases, Party A shall have the right to unilateral terminate the
agreement and shall not reimburse Party B the Service fees, which have been paid by Party B.
6.3

Hai Bn cng ng tha thun chp dt Hp ng.

Both Parties agree to terminate the Agreement.

iu 7: Lut p dng
Article 7: Applicable Laws
Hp ng ny c iu chnh bi php lut nc Cng ha x hi ch ngha Vit Nam.
This Agreement is governed by the laws of the Socialist Republic of Vietnam.

iu 8: Gii quyt tranh chp

Article 8: Settlement of Disputes
Cc Bn ng gii quyt mi tranh chp thng qua thng lng v ha gii. Trong trng hp
thng lng khng t kt qu, mt trong Cc Bn c quyn yu cu Trung tm trng ti quc t
Vit Nam (VIAC ti 171 V Th Su, Qun 3, Tp. HCM, Vit Nam). Phn quyt ca trng ti l quyt
nh cui cng c hiu lc bt buc thc hin i vi Cc Bn. Cc Bn ng khng gii quyt
tranh chp thng qua ta n. Ch trong trng hp VIAC t chi khng th l n kin, Cc Bn
hoc mt trong Cc Bn mi c quyn a tranh chp ra gii quyt trc ta n Vit Nam c thm
quyn.
The Parties shall agree to resolve any disputes through negotiation and mediation. In case
negotiations fail, one of the Parties shall have the right to request the Vietnam International
Arbitration Center (VIAC located at 171 Vo Thi Sau, District 3, Ho Chi Minh City, Vietnam) to rule.
The judgment of the arbitrator shall be final and binding the Parties. The Parties agree not to settle
any disputes through the courts. Only the case that VIAC refuses to accept the petition, Parties or
one Party have the right to dispute resolved before the competent court in Vietnam.
iu 9: Cc iu khon khc
Article 9: Miscellaneous
9.1

The Parties have read and understood the contents and sign this Agreement on a voluntary
basis, not imposed by any Party.

9.2

Hp ng ny c lp bng c ting Anh v ting Vit. Trong trng hp c mu thun

gia bn ting Anh v ting Vit th bn ting Vit s c s dng iu chnh.
The Agreement is made in both English and Vietnamese. In case there is a conflict between
English and Vietnamese versions, the Vietnamese version shall prevail.

9.3

Hp ng ny c hiu lc k t ngy k.
This Agreement shall be effective as from the signing date.

9.4

Hp ng ny c lp thnh hai (02) bn, c gi tr nh nhau. Mi Bn gi mt (01) bn.

The Agreement is made in two (02) copies having equal binding effect. Each Party shall keep
one (01) copy.
