This document contains the terms and conditions governing your online savings deposit accounts (each an Online
Savings Account) and your certificate of deposit accounts (each a CD Account and, together with Online Savings
Accounts, referred to as your Account) with Goldman Sachs Bank USA and other important information and related
agreements for your Account, including our Funds Availability Policy, Electronic Funds Transfer Disclosure, Truth-inSavings Disclosure, Substitute Checks and Your Rights Disclosure, Wire Transfer Terms, Schedule of Fees, and Privacy
Policy which are incorporated herein by reference (Agreement). By using your Account or any related services, you
agree to the terms and conditions of this Agreement. Please read this document carefully and keep it in a safe place. In
this Agreement, the words you and your mean the person(s) who maintains an Account with us, individually and
collectively, and any person authorized to use this Account, and we, us, or the Bank means Goldman Sachs Bank
USA.

ACCOUNT OPENING
Who May Open an Account: Accounts may be opened
by a citizen or a legal permanent resident of the United
States (U.S.), who is at least 18 years old and who has a
Social Security Number and physical street address in the
U.S. We will not accept a post office box as an address to
open an Account.

TRUTH-IN-SAVINGS DISCLOSURE
New Accounts.
Account owners solely holding
Accounts opened after April 15, 2016 (New Account
Owners) are subject to a maximum deposit balance
of $250,000 per Account owner for individual
Accounts and $250,000 per Account owner for joint
Accounts, for a maximum aggregate deposit balance
limit per Account owner of $500,000 (inclusive of
Online Savings and CD Accounts). With respect to
joint New Accounts, for purposes of determining the
maximum deposit balance permissible per Account
owner, each joint Account owner will be attributed an
equal portion of the balance of the joint Account.
Calculation of Limits.
For purposes of
calculating the maximum aggregate deposit
balance permissible, for each Account owner
and in each Account, deposit balances
include: (i) all Accounts (i.e., Online Savings

Legacy Accounts.
Legacy Account Owners will
continue to have a maximum aggregate deposit
balance limit per Account owner of $3,000,000
(inclusive of Online Savings and CD Accounts), with a
$1,000,000 per Account maximum. With respect to
joint Legacy Accounts, for purposes of determining
the maximum deposit balance permissible per
Account owner, each joint Account owner will be
attributed the full amount of the balance in the joint
Account. For the avoidance of doubt, joint Accounts
with at least one Legacy Account Owner will be
treated as joint Legacy Accounts for purposes of the
maximum deposit limits.

CERTIFICATE OF DEPOSIT
Minimum Deposit: When opening a CD, a minimum
deposit of at least $500 is required. If you fail to fund your
Account within 30 days of Account opening, the Bank may
consider your Account closed.
Calculation of Limits.
For purposes of
calculating the maximum aggregate deposit
balance permissible, for each Account owner
and in each Account, deposit balances
include: (i) all Accounts (i.e., Online Savings
and CD Accounts) held by the same Account
owner at the Bank and (ii) principal plus
interest earned and credited but not
withdrawn.
Interest: The interest rate and APY is fixed for the term of
your CD. The stated APY in your deposit Account
confirmation notice assumes interest remains on deposit

The Bank will notify you by mail if such action is taken and
inform you of your funds availability. Funds will generally
th
be available no later than the sixth (6 ) Business Day after
the day of your deposit.

If you do not tell us within two (2) Business Days after you
learn of the unauthorized transfer of funds, and we can
prove that we could have stopped the unauthorized
transfer, your liability may be as much as, but not more
than, $500.
Limitation of Transfers:
You may not transfer funds electronically to and from an
account at another financial institution unless the
account is a linked account with the Bank. See section
entitled Registering an External Account above for
details.
Each electronic transfer from your Account at the Bank
to a linked account may not exceed your account
balance.
From time to time we will place limits on the number and
dollar amount of electronic transfers that you can make.
These limits are for security reasons and may change

error. The Bank will notify you of the results within three
(3) Business Days after the Bank completes its
investigation. If the Bank determines that there was no
error, the Bank will send you a written explanation and
may reverse any credit provided. You may ask for copies
of the documents that the Bank used in its investigation.
ACH Transfers: All outgoing ACH transactions are limited
to domestic transactions. You acknowledge that when you
send and receive ACH transfers between accounts you
own through financial institutions who are members of the
National Automated Clearing House Association
(NACHA), they will be processed under the Operating
Rules of NACHA.

Recording
Telephone
Calls
and
Electronic
Communications: For quality control purposes, you
permit us to record and monitor our telephone
conversations and electronic communications with us.
Unless the law requires otherwise, you consent in
advance to such recording and monitoring and we do not
need to remind you of these activities at the time of the
call or communication.

SUBSTITUTE CHECKS AND YOUR RIGHTS
What Is a Substitute Check?
To make check processing faster, federal law permits
banks to replace original checks with "substitute checks."
These checks are similar in size to original checks with a
slightly reduced image of the front and back of the original
check. The front of a substitute check states: "This is a
legal copy of your check. You can use it the same way
you would use the original check." You may use a
substitute check as proof of payment just like the original
check.

(b) You agree that we may record and retain all telephone
conversations,
data
transmissions
or
other
communications between you and us relating to or in
connection with the security procedures by any
reasonable means. We may retain such recorded
communications
and
may
use
such
recorded
communications for the purpose of demonstrating that
such communications occurred, and to prove that a
security procedure was used in connection with the receipt
and execution of a payment order or that the Bank has
otherwise complied with the terms of the Wire Transfer
Terms.

ARBITRATION
READ THIS ARBITRATION PROVISION CAREFULLY
AS IT WILL HAVE A SUBSTANTIAL IMPACT ON HOW
LEGAL CLAIMS YOU AND WE HAVE AGAINST EACH
OTHER ARE RESOLVED.
ARBITRATION PROVISION: YOU HAVE THE RIGHT TO
REJECT THIS ARBITRATION PROVISION AS SET
FORTH BELOW. If you do not reject this Arbitration
Provision, or a Claim subject to arbitration, neither
you nor we will have the right to: (1) have a court or a
jury decide the Claim; (2) engage in informationgathering (discovery) to the same extent as in court;
(3) participate in a class action, private attorney
general or other representative action in court or in
arbitration; or (4) join or consolidate a Claim with
claims of any other person. The right to appeal is
more limited in arbitration than in court and other
rights in court may be unavailable or limited in
arbitration.

SCHEDULE OF FEES
Effective April 15, 2016
Currently, the Bank does not impose service fees or other periodic fees on your Account(s). Should the
Bank decide to impose a service fee or periodic fee, the Bank will provide you notice as required by law.
Please note that if you withdraw funds from your CD before maturity, an early withdrawal penalty applies.
