RENTAL AGREEMENT

This Deed of Rent Agreement is made and executed at Hosur on 29 th day of


November 2004, BETWEEN : Mr. P. SIVA KUMAR, S/o. Mr. N. Pichakuppan,
residing at No. 17, Rajiv nagar, Hosur 635 109, Krishnagiri district, Tamil Nadu.
(Hereinafter called the LESSOR) which term shall mean and include his heirs,
executors, legal representatives, administrators and assigns of the FIRST PART.

TO AND INFAVOUR OF :
Mr. K. GIRI, S/o. Mr. H. Krishnan working as Sr. Engineer-EBAUCHE (with Emp cd :
595934) at M/s. TITAN INDUSTRIES LIMITED, No.3, SIPCOT Industrial complex,
Hosur 635 126, Krishnagiri district, Tamil Nadu. (Hereinafter called the LESSEE)
which term shall mean and include his heirs, executors, legal representatives,
administrators and assigns of the OTHER PART.

Whereas the Lessor is the absolute owner of the premises at No. 2/749, Ground
floor, 4th cross, NGOS Colony, Hosur 635 109, Krishnagiri district, Tamil Nadu.
WHEREAS the Lessor has agreed to letout the said Premises to the Lessee for rental
purpose on the following terms and conditions :

1. The Tenancy/Lessee shall commence from 01 st Dec 2004, and the lessee
shall occupy the Premises on the same day.

2. The Lessee shall pay monthly rent of Rs. 2,500/- (Rupees Two
Thousand Five Hundred only) to the lessor on or before 5 th of every
month without any delay.
3. The Lessee has paid an advance amount of Rs. 15,000/- (Rupees
Fifteen Thousand only) to the Lessor by way of Cash, towards as
(ADVANCE) security Deposit. This amount will be refundable to the
Lessee by the Lessor at the time of vacating the Premises. It shall
not carry any interest.
4. The Lessee shall pay the Electric Bill & Water Bill every month
separately as per the Bill when demanded by the Department.
5. The Lessee shall not sub-let nor assign his interest to anybody. He
shall deliver the premises to the Lessor in good condition.
6. The Lessee shall not put up any damages to the premises during his
stay. If any such damages caused by him the same will be replaced
by him.
7. The Lessee shall pay the monthly rent to the lessor every month
regularly without any delay, if any such default; the lessor shall
terminate the Tenancy without any notice.
8. The Lessee shall keep the premises in good tenantable condition
and shall deliver the premises to the lessor in good similar
condition.
9. If the lessee wants to vacate the premises before the tenancy
period, he should give two months prior notice to the Lessor. And in
the meantime, the lessor need the premises for his use and
approach the lessee to vacate the premises, the lessor should give
two months prior notice to the Lessee and settle the advance
amount to the lessee without any balance at the time of vacating.

10. The lesser has delivered the above said premises along with
three bulbs (2 - 60 Watts & 1 - 40 Watts), one in the varandha and
two in the main hall. And two Zero Watt Fused bulbs in the Pooja
room. The above said items belongs to lessor and while vacating the
said premises by the lessee, he has to redeliver all the items
mentioned above without any damages.

SCHEDULE OF PROPERTY
No. 2/749, Ground floor, 4th cross, NGGOs colony, Hosur, Krishnagiri
district, PIN 635 109, covered under this Deed of Rent agreement.

IN WITNESSES WHEREOF THE LESSOR AND LESSEE HAVE AGREED


THE ABOVE SAID CONDITIONS AND SIGNED THIS DEED OF RENT
AGREEMENT ON THE DAY, MONTH AND YEAR FIRST ABOVE WRITTEN.
