DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

This DEED OF ABSOLUTE SALE is made, executed and entered into by:

BELYGORIO M. DELBO, married to JACKELYN M. DELBO of


legal age, Filipino, with residence and postal address at
Napacao, Siaton, Negros Oriental, hereinafter referred to as the
SELLER

-AND-

Sps. AMADO V. CABALLERO III & MERLITA N. CABALLERO, of


legal age, Filipino with residence and postal address at Lo-oc,
Sibulan, Negros Oriental, hereinafter referred to as the BUYER;

WITNESSETH;

WHEREAS, the SELLER is the absolute and registered owner of a


parcel of land consisting of TWENTY NINE THOUSAND SEVEN HUNDRED
EIGHT (29,708) square meters, more or less, located at Brgy Napacao,
Siaton, Negros Oriental and covered by Transfer Certificate of Title No.
TCT 2014000114 issued by the Registry of Deeds of Negros Oriental with
Lot no. 5791-A-2, Psd 07-068490; more particularly described as:

A parcel of land (Lot 5791-A-2 of subdivision plan Psd 07-


068490 (AR) being a portion of Lot 5791-A, Csd 07-02-001363),
situated in Barangay Napacao (Bondo before) Municipality of Siaton,
Province of Negros Oriental, Island of Negros, bounded on the SW,
along line 1-2 by Provincial Road, along line 2-3-4-5 by Lot 5791-B,
Csd 07-02-03-001363, on the NW, NE, along line 5-6-7 by Lot 5791-

cyl conc mons 15x60 cm Bearing true . Date of original survey
October 9-10, 1981 and was approved on November 12, 1984.

WHEREAS, the BUYER has offered to buy and the SELLER has agreed to
sell the above mentioned property for the amount of SIX HUNDRED
THOUSAND PESOS (P600,000.00) Philippine Currency;

NOW, THEREFORE, for and in consideration of the foregoing premises,


the Parties have agreed to the following terms and conditions:

1. Subject of Sale. - For and in consideration of the amount stated, the


SELLER hereby sells, transfers, conveys and disposes, absolutely and
unconditionally, unto the BUYER, its assignees and successors-in-interests,
the said parcel of land, together with all the improvements and crops found
thereon.

2. Payment. The SELLER agrees to sell, transfer, convey and dispose the
PROPERTY for the amount of SIX HUNDRED THOUSAND PESOS
(P600,000.00) Philippine Currency; The amount hand paid by the BUYER to
the SELLER upon signing of this Deed.

3. Possession. - Upon signing of this Deed, full possession over the


PROPERTY shall be vested upon the BUYER and the SELLER guarantees the
peaceful, continuous and adequate possession and enjoyment by the BUYER
over the PROPERTY.

The SELLER guarantees to defend the BUYER from all claims and
challenges on its possession and to protect and defend the PROPERTY from
any claims and challenges questioning SELLER's ownership over the
PROPERTY and BUYER'S right to purchase the same.

The SELLER hereby additionally covenants to the BUYER that it will


provide all assistance needed by the BUYER in transferring the title to the
PROPERTY in the name of BUYER.

4. Representations and Warranties. - The SELLER represents and warrants


that he is the registered, lawful and beneficial owner of the PROPERTY and he
has good and marketable title to and full and complete physical possession
and control of the PROPERTY. The title covering the PROPERTY is genuine,
valid and subsisting. There is no law, ruling, regulation or fact, attributable to
or in connection with the title to PROPERTY or the right to transfer the same,
which will prevent the Buyer from acquiring good and marketable title to the
PROPERTY.

The SELLER represents and warrants that all the requisite consents,
permits, licenses and governmental authorizations necessary for the sale
and transfer of the PROPERTY in the name of the BUYER, its assigns and
successors in interest have been secured and shall be in full force and effect
at the time of the commencement of the sale.

The SELLER also represents and warrants that property is free from any
tenants, liens and encumbrances.

The SELLER finally represents and warrants that this Deed has been
read and translated to him by his own counsel in a language or dialect known
to him and that he fully understands the contents hereof.

These warranties and representations shall survive the execution of


this Deed and any breach thereof shall entitle the BUYER to the rescission of
this Deed and the return from SELLER of all sums paid and all expenses
incurred in the execution hereof, without prejudice to other remedies
provided for in law.
