On January 8, 2009 M.Rammohan Rao resigned as the dean Indian School of Business. The
resignation followed the announcement the previous day by B.RamalingaRaju, Founder
chairman of the Indias fourth largest IT services company, Satyam Computer Services
Limited, that the company had been inflating the revenue and profit for the past several
years. In his resignation letter, Rao an independent director said, Unfortunately
yesterdays shocking revelations of which I had no prior knowledge mean that we are far
from seeing the end of controversy surrounding Satyam computers. My continued concern
and preoccupation with the evolving situation are impacting my role as dean of ISB at a
2 critical time for the school On December 30, 2008 Rao resigned from the board of Satyam.
With him two other independent directors, Vinod Dham, inventor of the Pentium chip and
Krishna Palepu, Professor at Harvard Business also submitted their resignation to the board
of the company. Another independent director Mangalam Srinivasan resigned from Satyam
board a few days earlier, on December 25. The resignations of these directors were the result
of an aborted deal by Satyam to acquire two companies run by Maytas Properties Ltd. And
Matyas Infrastructure Limited. Offer your comments regarding Business ethics, failure of

This case describes a meeting with software engineer Suzanne Chalmers and Thomas Chan,
the vice-president of software engineering at Advanced Photonics Inc. (API).Chalmers
arranges the meeting to indicate her intention to leave API. Chan tries to keep her by
offering better conditions and, eventually, more money and share options. But Chan knows
that Chalmers is already a millionaire from her share options and the appreciation of APIs
share price. The case highlights the difficulty in motivating people to stay and the relative
1 importance of financial rewards compared to other sources of motivation. Soon after the
meeting, Chalmers submits her resignation and, after a few months rest, takes up a position
at a start-up company.

company is listed in BSE and NSE. On BSE the Satyam stock crashed down by 70 percent
to Rs.52 from a high of Rs. 188.70. It had a client list that boosted of Fortune 500
companies. The emotionally charged letter shock the entire corporate world when he
1 admitted of cooking the account by Rs. 5040 crore. He tried to purchase Maytas Infra by
committing this fraud. This scam is being equated with Enron of USA because here also
the scam was orchestrated by its Auditor Arthur Anderson in Satyam, Price Water cooper.
