INTRODUCTION
Corporate Governance is a system where stakeholders of LANDBANK ensure that management
enhances the value of the Bank as it competes in an increasingly global market place. This
Manual shall institutionalize the principles of good corporate governance in the Bank. It adheres
to the LANDBANK Charter (RA 7907), GCG Memorandum Circular No. 2012-07, Bangko
Sentral ng Pilipinas (BSP) Circular and Securities and Exchange Commission (SEC)
Memorandum Circular No. 2 dated April 5, 2002 which seeks to actively promote corporate
governance reforms aimed to raise investor confidence, develop the capital market and help
achieve high sustained growth for the corporate sector and the economy. This Manual lays down
broad principles on good corporate governance to be implemented in the Bank. It does not
prescribe any detailed step-by-step procedure. Rather, it seeks to establish the ideals, the spirit,
the tone, the style and the overall policies by which the Bank operates. The Corporate
Governance Committee shall undertake an annual review of this Manual and propose revisions
as needed. The Corporate Governance Committee Secretariat shall assist the committee in
