SOFTWARELICENSEAGREEMENT
PLEASE READ THE SOFTWARE LICENSE AGREEMENT (AGREEMENT OR EULA) CAREFULLY BEFORE
USING THE ACRONIS SOFTWARE (SOFTWARE). ACRONIS INTERNATIONAL GMBH (ACRONIS OR
LICENSOR) IS WILLING TO LICENSE THE SOFTWARE TO YOU AS AN INDIVIDUAL OR LEGAL ENTITY
(LICENSEEORYOU),ANDTOPROVIDEYOUWITHSUPPORTANDMAINTENANCESERVICES(SERVICES),
PROVIDED,ANDONLYONTHECONDITIONTHAT,YOUACCEPTANDAGREETOCOMPLYWITHALLOFTHE
TERMSANDCONDITIONSOFTHISAGREEMENT.THISAGREEMENTAPPLIESTOANYUPDATESORSERVICES
FOR THE SOFTWARE OR FOR THE SERVICES PROVIDED TO YOU BY ACRONIS, UNLESS OTHER TERMS
SPECIFICALLYCOVERTHOSEITEMS.
BYCLICKINGIACCEPTTHISAGREEMENTOROTHERWISEDOWNLOADING,INSTALLING,AND/ORUSING
THESOFTWAREORBYUSINGTHESERVICES,YOUACKNOWLEDGETHATYOUHAVEREADANDACCEPTED
ALL OF THE TERMS AND CONDITIONS SET FORTH IN THIS AGREEMENT AND THAT THIS ACTION
ESTABLISHESALEGAL,ENFORCEABLE,ANDBINDINGAGREEMENTBETWEENYOUANDACRONIS.IFYOUDO
NOTACCEPTALLOFTHETERMSOFTHISAGREEMENT,YOUSHALLHAVENORIGHTTOUSETHESOFTWARE,
YOU MUST IMMEDIATELY CEASE USING THE SOFTWARE AND YOU MUST DELETE OR REMOVE ALL
ASSOCIATEDSOFTWAREANDASSOCIATEDFILES.

1. SOFTWARELICENSEGRANT
SubjecttothetermsandconditionsofthisAgreement,uponpaymentofalllicensefeesowedfortheSoftware,Licensorgrantsand
Licenseeacceptsanonexclusive,nontransferable,nonassignable(unlesssuchprohibitionisotherwiseprohibitedbylocallaw),limited
license(SoftwareLicense)tousetheSoftwaresolelyinaccordancewiththetermsandconditionsofthisAgreement.TheSoftwareis
tobeinstalledand/ordeployedonthespecificnumberofmachinesorvirtualenvironmentsforwhichaSoftwareLicensehasbeen
purchasedandpaidfor.ThenumberofphysicalmachinesandvirtualenvironmentsonwhichYouarepermittedtoinstalltheSoftware
alsodependsonthetypeofproductthatYouhavepurchased. YoumayuseasingleSoftwareLicenseforonephysicalmachineor
virtual environment unless otherwise specified under the Acronis Licensing Policy, which can be found at
www.acronis.com/legal/licensing.htm.
IfyourSoftwareLicenseisdesignatedforonlyonephysicalmachineorvirtualenvironmentatatime,youmaytransferyoursoftware
Licensetoanewmachineprovidedtheoriginalinstallationiscompletelyremovedandnolongerinuse. Ifyouwishtodeploythe
Software on multiple machines, you must purchase the appropriate license (or additional software licenses) for the additional
deployments.Certaintypesofproductsmayonlybedeployedonceandcannotbereusedonceused;furtherinformationregardingthese
productscanbefoundundertheAcronisLicensingPolicy.

2. SCOPEOFLICENSE
Notwithstandinganyreferencestopurchase,theSoftwareislicensedandnotsoldpursuanttothisAgreement.ThisAgreementconfers
alimitedlicensetotheSoftwareonlyanddoesnotconstituteatransferoftitleto,orsaleof,alloraportionoftheSoftwareorthe
underlyingintellectualproperty.YouacknowledgethatAcronisorthirdpartiesownallright,title,andinterestinandtotheSoftwareand
Servicesandallassociatedmaterialsandservices,includingwithoutlimitation,thestructure,organization,sourcecode,allcopyrights,
patents,tradesecrets,andotherintellectualpropertyrightsthroughouttheworld,inandtotheoriginalandallcopies,portions,extracts,
selections,arrangements,adaptations,compilations,andanyderivativesoftheSoftwareandServices,orsoftwareorcontentprovided
throughorinconjunctionwiththeSoftwareorServices,andallfeatures,updates,releases,enhancements,bugfixes,workarounds,
patches,updates,andallassociateddocumentationandproductpackaging.ExceptforthelicensegrantedinthisAgreement,allrightsin
andtotheSoftwareandServicesarereserved,andnoimpliedlicensesaregrantedbyAcronis. Acronisretainssoleownershipofall
copyrights,patents,tradesecrets,andotherintellectualpropertyrightsthroughouttheworldinandtotheoriginalandallcopiesand
portionsoftheSoftware(includinganyfeaturesandassociatedservices)andallassociateddocumentationandproductpackaging.This
Agreementgovernsallupdates,upgrades,releases,orenhancementstotheSoftwarethatmaybeprovidedtoyou.TheSoftwarecontains
certain technologies that are protected by United States patents, a full list of such patents may be found at
www.acronis.com/company/ipnotice.html.
Youagreenottoconduct,cause,consentorpermitothersto(1)sublicense,lease,rent,loan,transfer,ordistributetheSoftware,orany
portion,extract,selection,arrangement,adaptation,compilation,orderivativethereof,toanythirdparty;(2)makeerrorcorrections,
modify,adapt,translate,orpreparederivativeworksfromtheSoftware;(3)decompile,reverseengineer,disassemble,orotherwise
attempttoderivesourcecodefromtheSoftwareorreducetheSoftwaretohumanreadableform,orattempttoreconstructordiscover
anysourcecodeorunderlyingideas,algorithms,fileformats,orprogrammingorinteroperabilityinterfacesofSoftwareorofanyfiles
containedorgeneratedusingSoftwarebyanymeanswhatsoever,excepttotheextentotherwiseexpresslypermittedunderapplicable
law,notwithstandingthisrestriction,withoutthepriorexpresswrittenconsentoftheLicensor,anysuchcreatedworksarederivative
worksandassucharethesoleandexclusivepropertyofLicensor;(4)decryptdataorextractportionsoftheSoftware'sfilesforusein
otherapplications,(5)remove,obscureoralterAcronisoranythirdparty'sproductnames,trademarksorpatent,copyright,orother

proprietaryrightsnotices,orownershipattributionstatementsaffixedtoorcontainedwithinoraccessedinconjunctionwithorthrough
theSoftware;(6)useorpermittheSoftwaretobeusedtoperformservicesforthirdparties,whetheronaservicebureauortimesharing
basisorotherwise,withouttheexpresswrittenauthorizationofAcronis;or(7)publiclydisseminateperformanceinformationoranalysis
(including,withoutlimitation,benchmarks)fromanysourcerelatingtotheSoftware.Youshallberesponsibleandliablefortheactions
ofYouraffiliates,employees,agents,andanythirdpartywhoobtainsaccesstotheSoftwarelicensedtoLicensee.
Inaddition,certainthirdpartycodemaybeprovidedwiththeSoftware.Thethirdpartylicensetermsaccompanyingsuchcode,foundat
http://kb.acronis.com/content/7696andinthelicense.txtfilelocatedintherootinstallationdirectory,willgovernyouruseofsuchcode.

3. SOFTWAREUPDATES,SUPPORTANDMAINTENANCE
IfyouregisteryourSoftwarewithAcronis,youareentitledto(a)patchordotreleasesofSoftware;and(b)otherelectronicservices
Acronismakesgenerallyavailabletoitscustomers,includingitsknowledgebase,whichcanassistinansweringgeneralquestionsabout
theSoftware.AnyunauthorizedmodificationstotheSoftwarewillvoidthisprovisionandAcronisobligationstoprovideanytechnical
supportormaintenanceservicesrelatedtotheSoftware.
Thesupportandmaintenancepoliciesareupdatedfromtimetotime.Thecurrentpoliciescanbefoundat www.acronis.com/support.
AcronisprovidesstandardServices(includedinyourpaidSoftwareLicensefees)for(a)thefirstyearfromthedateofdeliveryfor
CorporateProducts;and(b)30daysfromdeliveryforanyHomeorHomeOfficeproducts.AdditionalServicesforCorporateProducts
areavailableforpurchaseandinformationrelatedtotheseadditionalservicescanbefoundatwww.acronis.com/support.
UponexpirationofServicesforyourCorporateProducts,Servicescanbecontinueduponpaymentofanannualfee(nomorethan30%
ofthethencurrentlicensefeelistedfortheCorporateProduct).Feesarebilledonanannualbasisandtherearenorefundsforearly
cancellationofServices.AcronisreservestherighttodenyanyServicesifYouarenoteligibleforServices.
ACRONIS MAY AUTOMATICALLY INVOICE YOU THE CONTINUATION OF SERVICES FEE PRIOR TO THE
EXPIRATIONOFSERVICES(ANDONEACHANNIVERSARYDATE).YOUMAYOPTINOROPTOUTOFAUTO
RENEWWHENYOUREGISTERYOURPRODUCTORBYLOGGINGINTOYOURACRONISACCOUNT.

4. ACCEPTABLEUSEANDCONDUCT
Byregisteringforand/orbyusingtheSoftwareorServices,yourepresentandwarrantthatyouhavethelegalcapacityandauthorityto
enterintoabindingagreementandtoadheretothisAgreement,andthatyouwillusetheSoftwareandtheServicesonlyinaccordance
withthisAgreementandwithallapplicablelaws.IfanindividualisregisteringorusingtheSoftwareorServicesonbehalfofanentityor
organization,thatindividualwarrants,represents,andcovenantstoAcronisthatsuchindividualisdulyauthorizedtoagreetothisEULA
onbehalfoftheorganizationandtobindtheorganizationtothem.TheSoftwareandServicesareintended,andoffered,onlyforlawful
usebyindividualsororganizationswiththelegalcapacityandauthorityunderapplicablelawtoenterintoacontractforsuchproducts
andservices.AcronisdoesnotoffertheSoftwareorServicestominorsorwhereotherwiseprohibitedbylaw.
Withoutlimitingtheforegoing:
(1) YouacknowledgeandagreethattheSoftwaremaybesubjecttoexportcontrolsintheUnitedStatesandothercountries.
YouagreetocomplywithallUnitedStatesexportlawsandregulationsandwithallexportorimportregulationsofother
countries,andyoushallnotandshallnotallowanythirdpartytoremoveorexportfromtheUnitedStatesorallowthe
exportorreexportofanypartoftheSoftwareorServicesoranydirectproductthereof(a)into(ortoanationalor
residentof)anyembargoedorterroristsupportingcountry;(b)toanyoneontheU.S.CommerceDepartmentsTableof
DenialOrdersorU.S.TreasuryDepartmentslistofSpeciallyDesignatedNationals;or(c)toanycountrytowhichsuch
exportorreexportisrestrictedorprohibited,orastowhichtheUnitedStatesgovernmentoranyagencythereofrequires
anexportlicenseorothergovernmentalapprovalatthetimeofexportorreexportwithoutfirstobtainingsuchlicenseor
approval.Youassumesoleresponsibilityforanyrequiredexportapprovaland/orlicensesandallrelatedcostsandforthe
violationofanyUnitedStatesexportlaworregulation.
(2) YoumaynotusetheSoftwareand/orServicesifyouareacitizen,national,orresidentof,orareundercontrolofthe
governmentof:Cuba,Iran,Sudan,NorthKorea,Syria,oranyothercountrytowhichtheUnitedStateshasprohibited
export.EachtimeyouusetheSoftwareorServicesyourepresent,warrant,andcovenantthat(a)youarenotacitizen,
national,orresidentof,norunderthecontrolofthegovernmentofanysuchcountrytowhichtheUnitedStateshas
prohibitedexport;(b)youwillnotdownloadorotherwiseexportorreexporttheSoftware,directlyorindirectly,tothe
abovementionedcountriesnortocitizens,nationalsorresidentsofthosecountries;(c)youarenotlistedontheU.S.
Department of Treasury's Lists of Specially Designated Nationals, Specially Designated Terrorists, and Specially
Designated Narcotic Traffickers, the U.S. Department of State's List of Statutorily Debarred Parties, or the U.S.
DepartmentofCommerce'sDeniedPersonsList,EntityList,orUnverifiedListTableofDenialOrders;(d)youwillnot
downloadorotherwiseexportorreexporttheSoftware,directlyorindirectly,topersonsontheabovementionedlists;(e)
youwillneitherusenorallowtheSoftwaretobeusedforanypurposesprohibitedbyUnitedStatesfederalorstatelaw,
including,withoutlimitation,forthedevelopment,design,manufacture,orproductionofnuclear,chemical,orbiological
weaponsofmassdestruction;(f)theSoftwareandtheServiceswillnotbeexported,directly,orindirectly,inviolationof
these laws, nor will the Software or Services be used for any purpose prohibited by these laws including, without

 limitation,nuclear,chemical,orbiologicalweaponsproliferation;and(g)youarenotusingorpermittingotherstousethe
SoftwareorServicestocreate,store,backup,distribute,orprovideaccesstochildpornographyoranyothercontentor
datawhichisillegalundertherelevantlawsoftheUnitedStates,Switzerland,SingaporeandLicenseesjurisdiction.
Acroniswillnotdecryptyourfilesunless(a)itreasonablybelievesthatitmustdosototroubleshootproblemswiththeSoftwareor
Services;or(b)itreasonablybelievesitmustdosoinordertocomplywithanylaw,subpoena,warrant,order,orregulation.Acronis
mayalsoprovideaccesstoyourdatatogovernmentauthoritiesifAcronissuspectsorbelievesthatthedatacontainschildpornographyor
otherprohibitedcontentordataorthattheDataisbeingusedforillegalpurposes.YouacknowledgethatAcronisorAcronisaffiliates
mayuseserversandotherequipmenttoprovidetheSoftwareorServicesthatarelocatedintheUnitedStatesorinothercountrieswhere
litigants,lawenforcement,courts,andotheragenciesofthegovernmentmayhavetherighttoaccessdatastoredwithintheirjurisdictions
upontermsandconditionsprovidedbylocallaw,andthat,asaresult,theymaygainaccesstoyourbackupdataasprovidedby
applicablelocallaw.
ACRONISSHALLHAVETHEABSOLUTEANDUNILATERALRIGHTINITSSOLEDISCRETIONTODENYUSEOFAND
ACCESSTOALLORANYPORTIONOFTHESOFTWAREORSERVICESTOLICENSEEOROTHERUSERSWHOARE
DEEMEDORSUSPECTEDBYACRONISTOBEUSINGTHESOFTWAREORSERVICESINAMANNERNOTREASONABLY
INTENDED BY ACRONIS OR IN VIOLATION OF LAW OR THIS AGREEMENT, INCLUDING BUT NOT LIMITED TO
SUSPENDINGORTERMINATINGALICENSEES,ORANOTHERUSER'S,ACRONISACCOUNTWITHACRONISANDTHE
LICENSETOUSETHESOFTWAREORSERVICES.

(3) PRIVACYANDDATAPROTECTION
Except as otherwise stated in this Agreement, the Software is subject to Acronis Privacy Statement at
www.acronis.com/legal/privacy.htm. ACRONISASSUMESNORESPONSIBILITYFORTHEDELETIONOFDATA,LOSSOF
DATA,ORTHEFAILURETOSTOREDATA.AcronishasnoobligationtomonitortheuseoftheServicesand/orDatatransmittedor
stored through the Services. To the maximum extent possible under applicable law and notwithstanding the provisions of this
Agreement,Acronisreservestherightatalltimestomonitor,review,retainand/ordiscloseanyDataorotherinformationasnecessaryto
satisfyanyapplicablelaw,regulation,legalprocess,orgovernmentalrequest,ortoinvestigateanysuspectedbreachoftheseTermsand
Conditions.
(4) CONFIDENTIALITY
TheSoftwareandServicescontaintradesecretsofLicensorandareproprietarytoLicensor.LicenseeshallmaintaintheSoftwareand
theServicesinconfidenceandpreventdisclosureoftheSoftwareandServicesusingatleastthesamedegreeofcareitusesforitsown
mostcriticalproprietaryinformation,butinnoeventlessthanareasonabledegreeofcare.Licenseeshallnotdiscloseorprovideaccess
totheSoftwareorServicesoranypartthereoftoanyoneforanypurpose,otherthantoemployeesorotherpartiesauthorizedunderthis
AgreementforthepurposeofexercisingtherightsexpresslygrantedunderthisAgreement.
(5) WARRANTY
IfAcronisprovidesYouwithSoftwareintheformoftangiblemedia,AcroniswarrantsthatthemediauponwhichtheSoftwareis
recordedwillnotbedefectiveundernormaluseforaperiodofninety(90)daysfromdelivery.Acroniswillreplaceanydefectivemedia
returnedtoAcroniswithinthewarrantyperiodatnochargetoyou.AcroniswarrantsthattheSoftware,asdeliveredbyAcronisand
whenusedinaccordancewiththesoftwaredocumentationprovidedbyAcronis,willsubstantiallyconformtothesoftware
documentationprovidedwiththeSoftwareforaperiodofninety(90)daysfromthedateofdelivery.IftheSoftwaredoesnotcomply
withthiswarrantyandsuchnoncomplianceisreportedbyYoutoAcroniswithinthewarrantyperiod,Acroniswilldooneofthe
followinginitssolediscretion(a)repairtheSoftware;or(b)replacetheSoftwarewithsoftwarethathassubstantiallythesame
functionality.Thiswarrantyexcludesdefectsresultingfromaccidents,abuse,unauthorizedrepairormodification,enhancementsor
misapplicationoftheSoftware.THEFOREGOINGWARRANTYSETFORTHINTHISSECTION7ISYOURSOLEAND
EXCLUSIVEREMEDYFORACRONISBREACHOFTHISWARRANTY.

(6) DISCLAIMEROFWARRANTIES
YOUEXPRESSLYACKNOWLEDGEANDAGREETHATUSEOFTHEACRONISSOFTWAREANDSERVICESANDANY
THIRD PARTY SOFTWARE AND SERVICES IS AT YOUR SOLE RISK AND THAT THE ENTIRE RISK AS TO
SATISFACTORY QUALITY, PERFORMANCE, ACCURACY AND EFFORT IS WITH YOU. EXCEPT FOR THE LIMITED
WARRANTYONMEDIASETFORTHABOVE7ANDTOTHEMAXIMUMEXTENTPERMITTEDBYAPPLICABLELAW
THEACRONISSOFTWAREANDSERVICESAREPROVIDED"ASIS,"WITHNOWARRANTIESWHATSOEVER.ACRONIS
ANDSUCHTHIRDPARTIESEXPRESSLYDISCLAIMTOTHEFULLESTEXTENTPERMITTEDBYLAWALLEXPRESS,
IMPLIED, AND STATUTORY WARRANTIES, INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF
MERCHANTABILITY,SATISFACTORYQUALITY,FITNESSFORAPARTICULARPURPOSE,ANDNONINFRINGEMENTOF
INTELLECTUALPROPERTYRIGHTS.ITISATYOUROWNDISCRETIONANDRISK,THATYOUDOWNLOADAND/OR
USETHESOFTWARE.YOUWILLBESOLELYRESPONSIBLEFORANYDAMAGESTOYOURCOMPUTERSYSTEMOR
LOSSOFDATATHATRESULTS.ACRONISMAKESNOWARRANTIESORREPRESENTATIONSTHATTHEFUNCTIONS

CONTAINEDINTHESOFTWAREORSERVICESWILLMEETYOURREQUIREMENTS,THATTHEOPERATIONOFTHE
SOFTWAREORSERVICESWILLBEUNINTERRUPTEDORERRORFREE,ORTHATDEFECTSINTHESOFTWAREOR
SERVICESWILLBECORRECTED.YOUMAYHAVEOTHERWARRANTYRIGHTS,WHICHMAYVARYFROMSTATETO
STATEANDCOUNTRYTOCOUNTRY.
(7) LIMITATIONOFLIABILITY
UNDERNOCIRCUMSTANCESSHALLACRONISORITSAFFILIATES(INCLUDINGSUPPLIERS,RESELLERS,OR
PARTNERS) OR THEIR RESPECTIVE EXECUTIVES, EMPLOYEES, SHAREHOLDERS OR CONTRACTORS BE
LIABLE FOR PERSONAL INJURY, OR ANY INCIDENTAL, SPECIAL, DIRECT OR CONSEQUENTIAL DAMAGES
WHATSOEVER, INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA,
BUSINESSINTERRUPTIONORANYOTHERCOMMERCIALDAMAGESORLOSSES,ARISINGFROMORRELATED
TO YOUR USE OR INABILITY TO USE THE ACRONIS SOFTWARE AND SERVICES OR THIS AGREEMENT,
HOWEVERCAUSED,REGARDLESSOFTHETHEORYOFLIABILITY(CONTRACT,TORT,OROTHERWISE)AND
EVENIFANYSUCHPARTYHASBEENADVISEDOFTHEPOSSIBILITYOFSUCHDAMAGES.INNOEVENTSHALL
ACRONIS,ORITSAFFILIATES,TOTALLIABILITYTOYOU,FORALLDAMAGESEXCEEDTHEAMOUNT,IF
ANY, PAID BY YOU TO ACRONIS FOR THE SOFTWARE AND/OR SERVICES DURING THE TWELVE MONTHS
PRIORTOTHEEVENTWHICHGAVERISETOTHEDAMAGESINQUESTION.IFTHESOFTWAREANDSERVICES
ARE PROVIDED WITHOUT CHARGE, THEN THERE SHALL BE NO LIABILITY TO YOU WHATSOEVER. THE
FOREGOINGISYOURSOLEANDEXCLUSIVEREMEDYFORANYBREACH. THISLIMITATIONOFLIABILITY
FOR PERSONAL INJURY OR EXCLUSION OF INCIDENTAL, CONSEQUENTIAL, OR DIRECT DAMAGES, WILL
APPLYONLYTOTHEEXTENTPERMITTEDUNDERAPPLICABLELAW.THEDISCLAIMERSANDLIMITATIONS
SETFORTHABOVEWILLAPPLYREGARDLESSOFWHETHERORNOTYOUACCEPTTHESOFTWARE,UPDATES
ORUPGRADES.
(8) GOVERNMENTENDUSERS
This Agreement applies to all Software and Services acquired directly or indirectly by or on behalf of the United States Government. The
Software and Services are commercial products and services as defined in FAR 12.212 and subject to restricted rights as defined in FAR
Section 52.227-19 and DFARS 227.7202, as applicable, and any successor regulations. Use, modification, duplication, or disclosure by
the U.S. Government shall be solely in accordance with the terms of this Agreement and is subject to the restrictions set forth in
subparagraph (c) of the Commercial Computer Software Restricted Rights clause of FAR 52.227-19.
(9) MISCELLANEOUSPROVISIONS
This Agreement shall be governed by the laws of the Commonwealth of Massachusetts, USA, exclusive of its conflicts of laws
provisionsandwithoutregardtotheUnitedNationsConventiononContractsfortheInternationalSaleofGoods,andanysuitunderthis
AgreementshallexclusivelybebroughtinafederalorstatecourtinMassachusetts.ThefailureofAcronistoexerciseorenforceany
rightorprovisionofthisAgreementdoesnotconstituteawaiverofsuchrightorprovision.Anywaiverofanyprovisionofthis
AgreementwillbeeffectiveonlyifinwritingandsignedbyAcronis. Ifforanyreasonacourtofcompetentjurisdictionfindsany
provisionorportionofthisAgreementtobeunenforceable,theremainderofthisAgreementwillcontinueinfullforceandeffect.This
Agreement,whichincorporatesthecurrentandallfutureupdatestotheAcronisPrivacyStatementandtheAcronisLicensingPolicy,
eachofwhichmaybeupdatedfromtimetotime(see:http://www.acronis.com/Legal.htm),constitutestheentireagreementbetweenthe
partieswithrespecttothesubjectmatterhereofandsupersedesandreplacesallpriororcontemporaneousunderstandingsoragreements,
writtenororal,regardingsuchsubjectmatter.YoumaynotassignortransferanyofyourrightsorobligationsunderthisAgreementtoa
