Fee Agreement

The undersigned, plaintiffs in the case entitled "ANACLETO R. MENESES


vs. SECRETARY OF AGRARIAN REFORM AND LAND BANK OF THE
PHILIPPINES" docketed as Civil Case Nos. 574-M-93 and 33-M-94 and
pending before Branch 10 of the Regional Trial Court of Malolos, Bulacan,
(hereinafter known as Client) requests the legal services of Atty. Edmond
Edward M. Flaminiano and Atty. Tricia Santos (hereinafter known as
Attorneys) for representation to assert and defend their claims, rights and
interests in the aforesaid civil suit in which Client property or properties was
expropriated by the government. Attorneys shall perform all reasonable,
necessary and usual services in matters of this kind including, but not limited
to: investigation of facts, gathering of evidence, preparation of exhibits,
interviewing witness(es), compiling records of expenses, and negotiations
with the representatives of the opposing party. If a settlement is not effected
which is satisfactory to the Client, Attorneys agree to pursue the clients'
claim in the subject civil suit particularly on the issue of just compensation.
In connection with this, Attorneys will file all necessary court papers, attend
pretrial conferences and status conferences, prepare appropriate pleadings,
requests for admissions and requests for production of documents, attend
and take appropriate depositions, and start or continue settlement
negotiations. If a settlement satisfactory to Client cannot be attained,
Attorneys agrees to try or pursue the case in the trial court unless asked or
permitted to withdraw. If a judgment in favor of Client is obtained in the trial
court and the adversary appeals, Attorneys shall provide all appropriate
services in resistance to the appeal, including review of the trial courts
record, preparation of appropriate briefs, and oral argument in the reviewing
courts. If the trial of the case should result in a judgment that is adverse to
Client, Attorneys shall not be obligated to appeal. Attorney shall advise Client
of the opinion concerning the advisability of appeal and may undertake to
provide services as appellate counsel under a new, separate and distinct FEE
AGREEMENT. The fee of Attorneys shall be semi-contingent upon the result
obtained. There shall be no legal obligation by Client to pay Attorneys any
acceptance and success fees if nothing is recovered from the adversary or
from the government. However, Client is responsible for all expenses
incurred in the prosecution of the claim including the Three Thousand
Pesos (PHP3,000.00) appearance fees. Client acknowledges that it
remains solely responsible for payment of litigation costs and expenses and
agrees to reimburse Attorneys for any such costs and expense for which the
Attorneys may advance in unavoidable instances. Client shall reimburse

Attorneys as costs and expenses are incurred. The legal fee of Attorneys
shall be TEN (10) PERCENT of the gross amount recovered or just
compensation paid. In the event of discharge by Client and in the event
Client subsequently recovers money or gets paid just compensation, Client
shall be indebted to Attorneys for legal fees based upon what was agreed
upon and for any costs and expenses advanced by Attorneys. Attorneys
reserves the right to withdraw from representation if Client fails to cooperate
or follow Attorneys' advice on a material matter, or if any fact or
circumstance arises or is discovered that would, in Attorneys view, render
continuing representation unlawful or unethical.
