Today, both sides have agreed to sign and complement the contract whereby the
Seller wishes to sell and the Buyer wishes to buy hereunder mentioned goods in
accordance with terms and conditions as follows:
Article I: Commodity, specification, quantity and price:
- The exact commodities, quantities, colors and prices will be mentioned in the Annex.
- The shipment details is mentioned in the annexes.
- Tolerance of +/ - 3 % in quantity and amount should be acceptable.
Article II: Quality - color
- Quality and colors must be same as the sample confirmed by TNG or customer if the
supplier is nominated.
- The exact quantity and price of the commodity will be mentioned in the Annex.

- Place of departure: Any port in China

- Notice of shipment: Within 2 working days after departure date of carrying vessel, the
Seller shall notify the Buyer via email the following information:
Name and Nationality of Vessel.
Contract No. and amount.
Bill of lading No./date.
Port of loading and port of destination.
Date of shipment.
Article V: Payment

Article VI: Inspection goods

After goods have been imported and sent to the Buyer, the Buyer shall inspect the
quantity and quality of fabric and accessories as the first agreed together.
During production, if problems such as risk of cotton yard, shading colors, short
line, short length on roll were undiscovered in the first inspection, the buyer shall notify
the seller to confirm together on base according to fact and sensibility.
In case of defect in quality and color, claim should be filed by the Buyer within 05
days after the arrival of the goods at port of destination; while for quantity discrepancy,
claim should be filed by the Buyer within 07 days after the arrival of the goods at port of

destination. It is understood that the Seller shall not be liable for any discrepancy of the
goods shipped due to causes for which the Insurance Company, Shipping Company and
other transportation organization or post office are considered liable.
Article VII: Arbitration
All disputes arising out of or in relation to this contract shall be settled by the
Vietnam International Arbitration Centre at the Vietnam Chamber of Commerce and
Industry in accordance to its Arbitration Rules.
Article VIII: General conditions
By signing this contract, previous correspondences and negotiations connected
herewith shall be null and void.
This contract shall not be changed, modified or amended by the parties of this
contract provided that such change, modification or amendment is written and signed by
both parties.
This contract comes into effect from the signing date and shall be valid until the
31th of December 2017. Any amendment and additional clause to these conditions shall
be valid only if made in written form and duly confirmed by both parties.

This contract is made in 04 copies, 02 for each party.
