Memorandum of Understanding

1. THIS MEMORANDUM OF UNDERSTANDING made this 27th day of November 2015

between

M/s. KD Practice Associates LLP having their office at G6, Padmavati Tower CHS Ltd,
Balaji Nagar, Station Road, Bhayandar (W), Thane 401101, Maharashtra, India
hereinafter referred to as "KDP" or KD Practice (which expression shall unless it be
repugnant to the context or meaning thereof be deemed to mean and include the firm, its
partner, and their nominees to the extent specified herein and their respective heirs,
executors, administrators and assigns) of the One Part and

M/s. Your construction guru Inc. having their office at 215-A, jaina tower-2 , janak puri
district center, New Delhi-58 , hereinafter referred to as "YCG" (which expression shall
unless it be repugnant to the context or meaning thereof be deemed to mean and include
the firm, himself and his nominees to the extent specified herein and their respective
heirs, executors, administrators and assigns) of the SECOND PART;

KDP and YCG shall be hereinafter singularly referred to as Party or Partner and together
referred as Parties or Partners

2. Underpinning Principles

Working arrangements will protect the interests of these Parties by:

Protecting the autonomy, reputation and brand of both partners;
Providing the potential to complement and build on both partners strengths;
Protecting the intellectual property of both partners;
Providing the opportunity for further business cooperation and growth; and
Ensuring confidentiality of discussions and proposals.

3. Shared Endeavours
KDP and Your Construction Guru Inc. are committed to working in partnership in
recognition of:
the synergies gained from working in a spirit of mutual benefit;
the importance of contributing to the profession; and
the cross-cultural understanding that comes from working in partnership with peoples of
other cultures.

As a reflection of ongoing commitment to these shared endeavours, the parties wish to

work together, although not exclusively, to carry out audit/advisory/tax work for them in
the areas served by them respectively. The Parties agree not to engage in anti-
competitive practices and not to solicit existing clients.

4. Purpose of MOU
This Memorandum of Understanding is intended to:
provide a framework within which KDPand Your Construction Guru Inc can work
collaboratively together;
establish a basis to further develop the relationship and achieve greater collaboration;
confirm a shared intention to work together with other relevant professional partners; and
define common objectives for joint participation and engagement.

5. Common Approach
KDP and Your Construction Guru Inc undertake to ensure the integrity of this
partnership.

Therefore, the Memorandum of Understanding:

embodies values that emphasise respect, mutual benefit, participation and dialogue;
will be characterised by a willingness to work together to resolve differences and conflict
in a manner consistent with the above values;
will be characterised by open communication between the parties utilising identified
people as contact points;
ensures that KDP and Your Construction Guru Inc comply with their applicable codes of
conduct and organisational guidelines.

6. Coordination & Cooperation

In recognition of the Purpose and Standards of the Memorandum of Understanding, the
parties agree to:
exchange and share relevant information;
explore and develop potential areas of future collaboration, including joint ventures and
national and international networks;
provide mutual support in areas of common interest;
establish a close working relationship on an equal partnership basis through regular
formal and informal communication and activities; and
assist each other in networking with other relevant organisations.

8. Term
This Memorandum of Understanding will be current for two (2) years from the date of
signing.

9. Review
The parties will review this Memorandum of Understanding after two (2) years. The
parameters of this review will be agreed by both parties.

10. Variation
The parties may vary this Memorandum of Understanding through an exchange of
letters/emails between authorised representatives of the parties.

11. No Legal Effect

The parties acknowledge that this Memorandum of Understanding is not intended to
have legal effect and does not create a legal relationship, rights or obligations between
the parties. Additionally, the parties are not joint venturers or partners (in the legal sense
of creating joint and several liability and being able to legally bind the other).
