in favour of CHAKSHU FOODS PRODUCTS

In considerations of your issuing at my/our request a guarantee or counter guarantee and / or Indemnity for
Rs.THREE LAKHS in favour of CHAKSHU FOODS PRODUCTS inter-alia on the following
lines ............................................................................................................................................... ......................
..............................................................................................................................I/we hereby undertake and
agree as follows :

1. That I/we and my/our successors and assigns shall hold you harmless and indemnify and keep indemnified
you and your administrators, representatives and assigns against all liabilities, claims, suits, actions,
proceedings, losses, damages, costs, and expenses in relation to and arising out of your issuing the aforesaid
guarantee / indemnity.

2. I/we also undertake that I/we will procure that return or discharge of the said guarantee on expiry of the
period of validity/enforcement and that till compliance of the above, my/our this counter
guarantee/Indemnity to you will remain in full force.

3. That I/we shall, as soon as demanded by you, forthwith do and execute cause to be done and executed and
further acts, deeds and things which, during the continuance of this security, you may at your absolute
discretion, think to be necessary for better securing your interest in relation to your issuing the aforesaid
guarantee.

4. That I/we hereby unconditionally authorize you to pay on demand any claim(s) arising out of the said
guarantee without making any reference to us and notwithstanding any dispute or disputes raised by me/us
against the aforesaid beneficiary in any suit or proceeding pending before any court or Tribunal in
connection with or relating to the contractor(s) entered between myself/ourselves and the said beneficiary
and in respect whereof you have furnished the guarantee to the beneficiary at my/our request, as my/our
liability under this counter guarantee/indemnity being absolute and unequivocal. The payment so made by
you shall be a valid discharge of your liability under the said guarantee and I/we shall have no claim
whatsoever against you in any way for making such payment.

5. I/we further undertake and assure in connection with the said guarantee that on demand from the
beneficiary, you will be entitled in your own absolute and unfettered discretion to make payment of the said
guarantee as you may be called upon to do you the beneficiary without going into the question of validity,
propriety or legality of the said demand. I/we shall not have any right to question in any way whatsoever
your making such payment but shall be and by it.

6. That in the event of your being called upon to pay any sum under the said guarantee/indemnity, you shall
be at full liberty to pay such sum or sums by debiting my/our Current Account or any other account/
accounts including loan account(s).

7. That I/we undertake to pay you forthwith, without any demur and protest upon the receipt of demand
being made on me/us, the amount that has been paid by you under the said guarantee and / or amounts of all
claims which may be made or preferred against you under or in relation to the said guarantee including all
your interests, cost, charges and expenses incurred in connection with the said guarantee and / or any
increase in the amount of the guarantee due to exchange fluctuation and / or any sums incurred by you in
recovering due from me/us.

We further undertake and assure to pay you any money so demanded notwithstanding any dispute or disputes
raised by us or the beneficiary /beneficiaries of the said guarantees or any of them in any suit or proceedings
pending before any Court or Tribunal or otherwise relating thereto, our liability under the presents being
absolute and unequivocal. In the event of my/our default to pay such demanded amount, you may recovery
such sums from any property of mine/ours including any credit balance and the securities
pledged/charged/assigned/mortgaged /hypothecated or to be
pledged/charged/assigned/mortgaged/hypothecated by me/us to you and I/we undertake that I/we shall be
liable to pay the amount due from us where such amount(s) /securities are insufficient to meet our claims
with interests, costs and charges. We further undertake and assure to pay commission to the Bank
@............................% p.a. payable quarterly in advance in consideration of the Bank furnishing or agreeing
to furnish guarantee(s) and agree to pay such other commission as may be agreed. In the event of default of
payment, the bank shall be entitled to realize the amount of commission due to it from any of our securities
mentioned and / or by debiting any of our accounts and dues recoverable by the bank from us. That for
securing my/our obligations to indemnify you and your administrators, representatives and assigns, I/we
hereby also authorize you to debit the sum of Rs............................... to pay from my/our current deposit A/c.
No................................ with you and keep the same in a marginal deposit a/c. with you and in the event of
your being called upon to pay any sum under this guarantee/indemnity, you shall be at liberty to pay such
amount on demand by appropriation of the said sum held in the marginal deposit a/c. with you and incase of
any shortfall to realize and pay by debiting our current deposit a/c. or any other account including loan a/c(s)
with you without any reference to me/us.

We further undertake and agree that you shall be entitled in your absolute discretion to demand from me/us,
at any time during the continuance of said guarantee and / or till the same is discharged and/or redeemed,
any outstanding monies arising out of any of our credit facilities obtained by me/us from you.

8. This counter guarantee-cum-indemnity will extend to any extensions/amendment(s) of the guarantee/s for
which we may apply from time to time and which the bank any agree to grant at our request subject to the
banks absolute right and discretion whether to extend amend the guarantee/s or not and without casting any
obligation on the Bank for extending/amending the said guarantee/s.

9. We further agree that this counter guarantee-cum-indemnity shall not be prejudiced or affected by any
change in the Constitution of my/our firm/company howsoever arising and that my/our successors and
assigns shall continue to be liable in terms thereof by treating this guarantee as a continuing guarantee.
Further, this Counter Guarantee-cum-Indemnity will remain in force until you are finally discharged by the
said beneficiary of all liabilities under the said guarantee and I/we have got the said guarantee redeemed
from them and all your dues and claims hereunder or relating to the said guarantee have been paid and
satisfied in full by me/us.

10. We further undertake and assure to perform and observe all the terms, conditions and covenants of the
contract for the performance of which and / or in connection with which you have given the said guarantee.

11. We further undertake to furnish you from time to time with all information regarding the performance of
the said contract by me/us.

In consideration of the President of India (hereinafter called the Government) having agreed to
exempt .......................................................................... (Hereinafter called the said Contractors) from the
demand, under the terms and conditions of an Agreement dated 01.01.2017 made between CHAKSHU
FOODS PRODUCTS and MAA DURGA AGENCIES for CONSIGNEE SALES AGENT AGREEMENT
(hereinafter called the Said Agreement), of security deposit for the due fulfillment by the said Contractor
(s) of the terms and conditions contained in the said Agreement, on production of a Bank Guarantee for
Rs.300000/-(Rupees THREE LAKHS only) we, UNITED BANK OF INDIA (hereinafter referred to as "the
Bank") at the request of MAA DURGA AGENCIES Contractor(s) do hereby undertake to pay to the
Government an amount not exceeding Rs.300000/- against any loss or damage caused to or suffered or
breach by the said Contractor (s) of any of the terms and conditions contained in the said agreement.
2. We UNITED BANK OF INDIA (Name of the Bank) do hereby undertake to pay the amount due and
payable under this guarantee without any demur merely on a demand from the Government stating that the
amount claimed is due by way of loss or damage caused to or would be caused to or suffered by the
Government by reason of breach by the said contractor (s) of any of the terms or conditions contained in the
said Agreement or by reason of the contractor (s) failure to perform the said Agreement. Any such demand
made on the bank shall be conclusive as regards the amount due and payable by the Bank under this
guarantee. However, our liability under this guarantee shall be restricted to an amount not exceeding
Rs.300000/-
3. We undertake to pay to the Government any money so demanded notwithstanding any dispute or disputes
raised by the contractors/supplier(s) in any suit or proceeding pending before any court or Tribunal relating
thereto, our liability under this present being absolute and unequivocal. The payment so made by us under
this bond shall be a valid discharge or our liability for payment there under and the contractor (s) /
supplier(s) shall have no claim against us for making such payment.
4. We UNITED BANK OF INDIA (Name of the Bank) further Agree that the guarantee herein contained
shall remain in full force and effect during the period that would be taken for the performance of the said
Agreement and that it shall continue to be enforceable till all the dues of the Government under or by virtue
of said Agreement have been fully paid and its claims satisfied or discharged or
till.......................................................... Office/ Department Ministry of ......................... certify that the terms
and conditions of the said Agreement have been fully and properly carried out by the said contractor(s) and
accordingly discharge this guarantee.
5. We UNITED BANK OF INDIA (Name of the Bank) further agree that Government shall have the fullest
liberty without our consent and without affecting in any manner our obligations hereunder to vary any of the
terms and conditions of the said Agreement or to extend time of performance by the said contractor(s) from
time to time or to postpone for any time or from time to time any of the powers exercisable by the
Government against the said Contractor (s) and to forbear or enforce any of the terms and conditions relating
to the said Agreement and we shall not be relieved from our liability under terms and conditions relating to
the said Agreement and we shall not be relieved from our liability by reason of any such variation, or
extension being granted to the said Contractor(s) or for any forbearance, act or omission on the part of the
Government or any indulgence by the Government to the said Contractor(s) or by any such matter or thing
whatsoever which under the law relating to sureties would, but for this provision, have effect of so relieving
us.
6. This guarantee will not be discharged due to the change in the constitution of the Bank or the
Contractor(s)/Supplier(s).13
7. We UNITED BANK OF INDIA (Name of the Bank) lastly undertake not to revoke this guarantee during
its currency except with the previous consent of the Government in writing. 8. Notwithstanding anything
contained herein :- i) Our liability under this Bank Guarantee shall not exceed Rs.300000/- (Rupees THREE
LAKHS only) ii) This Bank Guarantee shall be valid up to............................................ and iii) We are liable
to pay the guaranteed amount or any part thereof under this Bank Guarantee only and only if the
Government serve upon us a written claim or demand on or before........ ............................................ (Date of
