1. YOURRELATIONSHIPWITHTRADINGVIEW.
1.1UseoftheServiceissubjecttotheseTerms.YouruseofanyoftheTradingViewChartingLibrary("TVCL")oritsAPI("TVCLAPI")(collectively
referredtointhisdocumentasthe"Service")issubjecttothetermsofalegalagreementbetweenYouandTradingView(the"Terms").
"TradingViewmeansTradingView,Inc.,withofficesat470OldeWorthingtonRd.,Suite200,WestervilleOH43082USA.
"YoumeansindividualorlegalentityasdetailedonthelastpageofthisAgreement.
1.2TheTermsincludeTradingView'sLegalNoticesandPrivacyPolicy.
a) UnlessotherwiseagreedinwritingwithTradingView,theTermswillincludethefollowing:
i) thetermsandconditionssetforthinthisdocument(the"TVCLAPITerms");
ii) theTradingViewTermsofUsePolicy(https://www.tradingview.com/policies/).
b) BeforeyouusetheTVCLAPI,youshouldreadeachofthedocumentscomprisingtheTerms,andprintorsavealocalcopyforyour
records.
1.3UseofOtherTradingViewServicesandAdditionalTerms.IfyouusetheTVCLAPIinconjunctionwithanyotherTradingViewproductsor
services,includinganyotherTradingViewAPIs,(collectively"TradingViewServices"),youragreementwithTradingViewwillalsoincludetheterms
applicabletothoseTradingViewServices("AdditionalTerms").IfthereisanycontradictionbetweentheAdditionalTermsandtheTVCLAPITerms,
thentheTVCLAPITermswilltakeprecedenceonlyastheyrelatetotheTVCLAPI,andnottoanyotherTradingViewServices.
1.4PrecedenceofTVCLAPITerms.IfthereisanycontradictionbetweentheTVCLAPITermsandanyotherdocumentsrelatedtoTVCLAPI
(includingbutnotlimitedtotheTVCLAPIDocumentation),thentheTVCLAPITermswilltakeprecedence.
1.5ChangestotheTerms.TradingViewreservestherighttomakechangestotheTermsfromtimetotime.Whenthesechangesaremade,
TradingViewwillmaketheupdatedversionoftheTermsavailableatappropriatepageonhttp://www.TradingView.comwebsite.Youunderstand
andagreethatifyouusetheServiceafterthedateonwhichtheTermshaveupdated,TradingViewwilltreatyouruseasacceptanceoftheupdated
Terms.Ifamodificationisunacceptabletoyou,youmayterminatethisagreementbyimmediateceasinguseoftheTVCLAPIandYourTVCLAPI
Implementation.

2. ACCEPTINGTHETERMS.
2.1ClickingtoAcceptorUsingtheTVCLAPI.InordertousetheTVCLAPIyoumustagreetotheTerms.YoucanaccepttheTermsby:
a) clickingto"Accept"or"AgreetotheTerms"or"Download"oranyothersimilar,wherethisoptioncanbemadeavailabletoyouby
TradingViewintheuserinterfacefortheService;or
b) usingtheTVCLAPI.Inthiscase,youunderstandandagreethatTradingViewwilltreatyouruseoftheTVCLAPIasacceptanceofthe
Termsfromthattimepointonwards,or.
c) signingthisAgreement.
2.3AuthoritytoAccepttheTerms.Yourepresentthatyouhavefullpower,capacityandauthoritytoaccepttheseTerms.Ifyouareacceptingon
behalfofyouremployeroranotherentity,yourepresentthatyouhavefulllegalauthoritytobindyouremployerorsuchentitytotheseTerms.

3. PRIVACYPOLICY.
3.1YourPrivacyPolicy.TradingView'sdataprotectionpracticesarerelatedonlytohttp://www.TradingView.comwebsite.Wearenotresponsible
foryourPrivacyPolicyonyourwebsite.Howeveryoushouldpostandabidebyanappropriateprivacypolicyonyourwebsite.

4. PROVISIONOFTHESERVICEBYTRADINGVIEW.
4.1LimitsonYourUseoftheService.YouacknowledgeandagreethatTradingViewmaychangetheseTermsatanytime,atTradingView's
discretion.
4.2ChangestotheService;DeprecationPolicy.
TradingViewwillannounceifitintendstodiscontinueormakebackwardsincompatiblechangestothisAPIorService.TradingViewwilluse
commerciallyreasonableeffortstocontinuetosupportTradingViewTVCLAPIversionswithoutthesechangesunless(asTradingViewdeterminesin
itsreasonablegoodfaithjudgment):
requiredbylaworthirdpartyrelationship(includingifthereisachangeinapplicablelaworrelationship),or
doingsocouldcreateasecurityriskorsubstantialeconomicormaterialtechnicalburden.
Theabovepolicyisthe"DeprecationPolicy."

5. TRADINGVIEW'SPROPRIETARYRIGHTS.
YouacknowledgeandagreethatTradingView(orTradingView'slicensorsandtheirsuppliers,asapplicable)ownalllegalright,titleandinterestin
andtotheServiceandContent,includinganyintellectualpropertyrightsthatsubsistintheServiceandContent(whetherthoserightshappentobe
registeredornot,andwhereverintheworldthoserightsmayexist).

6. PERMITTEDUSES.
YouagreetousetheServiceonlyforpurposesthat:
a) arepermittedbytheTerms(includingtheLicensesinSection7);
b) arepermittedbyanyapplicablethirdpartycontract,law,orregulationintherelevantjurisdictions;and
c) complywithallapplicablepoliciesorguidelinesmadeavailablebyTradingView.

7. LICENSESFROMTRADINGVIEWTOYOU.
7.1Definitions.
a) "Branding"meansthetradenames,trademarks,logos,domainnames,andotherdistinctivebrandnamesofeachparty,respectively,as
securedbysuchPartyfromtimetotime.
b) "Content"meansanycontentprovidedthroughtheService(whethercreatedbyTradingVieworitsthirdpartylicensors),includingthe
TradingViewChartingLibraryanditssourcecode,theAPIdocumentation,oranyothercontent.
c) "TVCLAPIImplementation"meansanapplicationorwebsitethatusestheTVCLAPItoobtainanddisplayContentinconjunctionwith
YourContent,accordingtotheseTerms.
d) "YourContent"meansanycontentthatyouprovideinyourTVCLAPIImplementation,includingdatathatyoufeedtothecharts,orthe
datafeedwrapperyoucreatethroughusingtheAPI.YourContentdoesnotincludetheContent.
7.2ServiceLicense.SubjecttotheseTerms(includingbutnotlimitedtoSection8(LicenseRequirements)andSection9(LicenseRestrictions)),
TradingViewgivesyouapersonal,worldwide,royaltyfree,nontransferable,nonassignableandnonexclusivelicensetousetheServiceasprovided
byTradingView,inthemannerpermittedbytheTerms.
7.3ContentLicense.SubjecttotheseTerms(includingbutnotlimitedtoSection8(LicenseRequirements)andSection9(LicenseRestrictions)),
TradingViewgivesyouapersonal,worldwide,royaltyfree,nontransferable,nonassignable,andnonexclusivelicensetoaccess,use,publicly
performandpubliclydisplaytheContentandYourContentinyourTVCLAPIImplementation,astheContentisprovidedintheService,andinthe
mannerpermittedbytheTerms.
7.4BrandingLicense.
a) Grant.SubjecttotheseTerms(includingbutnotlimitedtoSection8(LicenseRequirements)andSection9(LicenseRestrictions)),
TradingViewgivesyouaworldwide,royaltyfree,nontransferable,nonassignable,nonsublicenseable,andnonexclusivelicenseto
displayTradingView'sBrandingsolelyforthepurposeofpromotingoradvertisingyourauthorizeduseoftheServiceinaccordancewith
thisSectionandforthepurposeoffulfillingyourobligationsundertheTerms.
b) Restrictions.InusingTradingViewBranding,youwillnot:
i) displayaTradingViewBrandinginanymannerthatimpliesarelationshiporaffiliationwith,sponsorship,orendorsementby
TradingView,otherthanyouruseoftheService,orthatcanbereasonablyinterpretedtosuggesteditorialcontenthasbeen
authoredby,orrepresentstheviewsoropinionsof,TradingVieworTradingViewpersonnel;
ii) displayaTradingViewBrandinginamannerthatismisleading,defamatory,infringing,libelous,disparaging,obsceneorotherwise
objectionabletoTradingView;
iii) useTradingViewBrandingstodisparageTradingView,itsproducts,ortheTradingViewServices;
iv) displayaTradingViewBrandinginyourTVCLAPIImplementationoronasitethatviolatesanylaworregulation;or
v) remove,distortoralteranyelementofaTradingViewBranding(i.e.squeezing,stretching,inverting,discoloring,blocking,etc.).
c) NoFurtherLicenseGrant;NoChallenges.ExceptassetforthinthisSection,nothingintheTermswillgrantorwillbedeemedtogrant
youanyright,titleorinterestinortoTradingView'sBranding.AllusebyyouofTradingView'sBranding(includinganygoodwillassociated
therewith)willinuretothebenefitofTradingView.Tothemaximumextentpermittedbyapplicablelaw,thefollowingwillapply:atno
timeduringoraftertheTermwillyouchallengeorassistotherstochallengetheBrandingofTradingViewortheregistrationthereofby
TradingView,norwillyouattempttoregisteranyBranding(includingdomainnames)thatareconfusinglysimilartothoseofTradingView
inanyway(includingbutnotlimitedtosound,appearanceandspelling).
7.5ProprietaryRightsNotices.Youagreethatyouwillnotremove,obscure,oralteranyproprietaryrightsnotices(includingcopyrightand
trademarknotices,TermsofUse(https://www.tradingview.com/policies/)links,orBranding)thatmaybeaffixedtoorprovidedthroughtheService.
WheresuchnoticesarenotaffixedwithintheService,youagreetoalwaysdisplaysuchnoticesaccordingtotheTVCLAPIDocumentation.
7.6DeterminationofCompliance.TradingViewreservesthesolerightanddiscretiontodeterminewhetheryouruseoftheService,Content,and
BrandingsisincompliancewiththeseTerms.

8. LICENSEREQUIREMENTS.
TradingView'slicensesabovearesubjecttoyouradherencetothefollowingrequirements:
8.1FreeAccess,PaidAccess,PublicAccessibilitytoYourTVCLAPIImplementation.
a) yourTVCLAPIimplementationmayoperateasafreeaccessservice.
b) yourTVCLAPIimplementationmayoperateasapaidaccessservice(i.e.youcanchargeafeeforaccessingyourTVCLAPI
Implementation).
c) yourTVCLAPIimplementationalsomayoperate:(i)onlybehindafirewall;or(ii)onlyonaninternalnetwork;or(iii)inaclosed
community(forexample,throughinvitationonlyaccess).
d) youcanrequireuserstologintoyourTVCLAPIImplementationwhetherornotyourequireuserstopayafee.
e) ifyouareaconsultantwhocreatesorhostsTVCLAPIImplementationsforthirdpartycustomers,youmaychargesuchcustomersafee
foryourconsultingorhostingservices.
8.2EndUserTermsandPrivacyPolicy.IfyoudevelopaTVCLAPIImplementationforusebyotherusers,youmustexplicitlystateinyourwebsite
PrivacyPolicythatTradingViewsPrivacyPolicyisnotrelatedtoyourwebsitePrivacyPolicy.
8.3Attribution.
a) ContentprovidedtoyouthroughtheServicemaycontainthetradenames,trademarks,servicemarks,logos,domainnames,andother
distinctiveBrandingsofTradingView,itspartners,orotherthirdpartyrightsholdersofcontentprovidedbyTradingView.When
TradingViewprovidesthisattribution,youmustdisplayitasprovidedthroughtheServiceorasdescribedintheTVCLAPIDocumentation
andmaynotdeleteorinanymanneralterthesetradenames,trademarks,servicemarks,logos,domainnames,andotherdistinctive
Brandings.
b) Youagreetoincludeanddisplaythe"PoweredbyTradingView"orsimilarattribution(and/oranyotherattribution(s)requiredby
TradingViewasdescribedintheTVCLAPIDocumentation)inyourTVCLAPIImplementationasdescribedintheTVCLAPI
Documentation.Suchattributioncanbeincludedorgeneratedautomatically,andyouagreenottomodifyorobscurethisautomatically
generatedattribution.
c) YouunderstandandagreethatTradingViewhasthesolerightanddiscretiontodeterminewhetheryourattribution(s)areincompliance
withtheaboverequirements.
8.4ResponsibilityforBreaches.Youagreethatyouaresolelyresponsiblefor(andthatTradingViewhasnoresponsibilitytoyouortoanythirdparty
for)anybreachofyourobligationsundertheTermsandfortheconsequencesofanysuchbreach(includinganylossordamagethatTradingView
maysuffer).

9. LICENSERESTRICTIONS.
ExceptasexpresslypermittedundertheTerms,orunlessyouhavereceivedpriorwrittenauthorizationfromTradingView(or,asapplicable,from
theproviderofparticularContent),TradingView'slicensesabovearesubjecttoyouradherencetoalloftherestrictionsbelow.
9.1RestrictionsonHowYouMayUsetheTVCLAPI.ExceptasexplicitlypermittedinSection8(LicensesfromTradingViewtoYou)ortheTVCLAPI
Documentation,youmustnot(normayyoupermitanyoneelseto)doanyofthefollowing:
a) NoAccesstoTVCLAPIexceptthroughtheService.YoumustnotaccessorusetheTVCLAPIoranyContentthroughanytechnologyor
meansotherthanthoseprovidedintheService,orthroughotherexplicitlyauthorizedmeansTradingViewmaydesignate.
b) NoHidingofIdentity.YoumustnothideormaskfromTradingViewtheidentityofyourTVCLAPIImplementationasitusestheService.
c) NoReverseEngineering.YoumustnotattempttoreverseengineerordecompiletheServicesoranycomponent,orattempttocreatea
substituteorsimilarservicethroughuseoforaccesstotheServices.
 d) NoModificationofLinks.Youmustnotmodify,replace,obscure,orotherwisehinderthefunctioningoflinkstoTradingVieworthird
partywebsitesprovidedintheContent.
e) NoViolationofTradingViewPolicies.YoumustnotviolateanypoliciesintheTVCLAPIDocumentationandotherpoliciesasTradingView
maydevelopfromtimetotime,includingbutnotlimitedtotheTradingViewpoliciesbelow,underwhichyouagreenotto:
i) defame,abuse,harass,stalk,threatenorotherwiseviolatethelegalrights(suchasrightsofprivacyandpublicity)ofothers;
ii) upload,post,transmitorotherwisemakeavailableanyinappropriate,defamatory,obscene,orunlawfulcontent;
iii) upload,post,transmitorotherwisemakeavailableanycontentthatinfringesanypatent,trademark,copyright,tradesecretor
otherproprietaryrightofanyparty,unlessyouaretheowneroftherights,orhavethepermissionoftheownerorotherlegal
justificationtousesuchcontent;
iv) upload,post,transmitorotherwisemakeavailablemessagesthatpromotepyramidschemes,chainletters,ordisruptive
commercialmessagesoradvertisements;
v) upload,post,email,transmitorotherwisemakeavailableanyothercontent,message,orcommunicationprohibitedbyapplicable
law,theTermsoranyapplicableServicepoliciesorguidelines;
vi) downloadanyfilepostedbyanotherthatyouknow,orreasonablyshouldknow,cannotlegallybedistributedinsuchmanner;
vii) impersonateanotherpersonorentity,orfalsifyordeleteanyauthorattributionsorlabelsoftheoriginorsourceofContent,or
othermaterial;
viii) restrictorinhibitanyotheruserfromusingandenjoyingtheServiceoranyotherTradingViewServices;
ix) delete,obscure,orinanymanneralteranyBrandings,logos,warnings,notices(includingbutnotlimitedtoanycopyrightor
otherproprietaryrightsnotices),orlinksthatappearintheServiceortheContent; otherwise you will be charged at then
current rates for Commercial version of TV CL (i.e. no-logo) for the whole period since the signing this Agreement.
x) displaycontentinyourTVCLAPIImplementationthatfalselyexpressesorimpliesthatsuchcontentissponsoredorendorsed
byTradingView;
xi) upload, host, post, transmit, deposit or otherwise make yourTVCLAPIImplementation(s) available for any other third parties.

f) NoUseBeyondTradingView'sUsagePolicies.TradingViewreservestherighttosetusagepoliciesintheTVCLAPIDocumentationfrom
timetotime.Ifyouwanttoengageinuseoutsidetheseusagepolicies,youneedcontacttheTradingViewsalesteamforinformationon
licensingoptionstoaddressyourneeds.
10. LICENSESFROMYOUTOTRADINGVIEW.
10.1ContentLicense.TradingViewclaimsnoownershipoverYourContent,andyouretaincopyrightandanyotherrightsyoualreadyholdinYour
Content.
10.2MarketingLicense.YougranttoTradingViewaworldwide,royaltyfree,nontransferable,andnonexclusivelicenseduringtheTermtouseYour
BrandingsandYourContenttopublicizeoradvertisethatyouareusingtheService(forexample,byusingyourmarksinpresentations,marketing
materials,customerlists,financialreportsandwebsitelistings(includinglinkstoyourwebsite),orbycreatingmarketingoradvertisingmaterials
thatshowscreenshotsoftheServiceinwhichYourContentisfeatured).
10.3AuthoritytoGrantLicenses.YourepresentandwarranttoTradingViewthatyouhavealltherights,powerandauthoritynecessarytograntthe
abovelicenses.
11. TERMINATINGTHISAGREEMENT.
11.1TheTermswillcontinuetoapplyuntilterminatedbyeitheryouorTradingViewassetoutbelow.
11.2YoumayterminateyourlegalagreementwithTradingViewbyremovingtheTVCLAPIcodefromyourImplementationanddiscontinuingyour
useoftheServiceatanytime.YoudonotneedtospecificallyinformTradingViewwhenyoustopusingtheService.
11.3TradingViewreservestherighttoterminatetheseTermsordiscontinuetheServiceoranyportionorfeatureforanyreasonandatanytime
withoutliabilityorotherobligationtoyou.
11.4NothinginthisSectionwillaffectTradingView'srightsregardingprovisionoftheServiceunderSection4(ProvisionofServiceByTradingView)
oftheTerms.
11.5Whenthislegalagreementends,thoseTermsthatbytheirnatureareintendedtocontinueindefinitelywillcontinuetoapply,includingbutnot
limitedtoSections:5(TradingView'sProprietaryRights);11.4and11.5(TerminatingthisAgreement);12(ExclusionofWarranties);13(Limitationof
Liability);14(Indemnity);and15(GeneralLegalTerms).

12. EXCLUSIONOFWARRANTIES.
12.1NOTHINGINTHESETERMS,INCLUDINGSECTIONS12AND13,WILLEXCLUDEORLIMITTRADINGVIEW'SWARRANTYORLIABILITYFORLOSSES
THATMAYNOTBELAWFULLYEXCLUDEDORLIMITEDBYAPPLICABLELAW.SOMEJURISDICTIONSDONOTALLOWTHEEXCLUSIONOFCERTAIN
WARRANTIESORCONDITIONSORTHELIMITATIONOREXCLUSIONOFLIABILITYFORCERTAINTYPESOFLOSSORDAMAGES.ACCORDINGLY,ONLY
THELIMITATIONSTHATARELAWFULINYOURJURISDICTIONWILLAPPLYTOYOU,ANDTRADINGVIEW.SLIABILITYWILLBELIMITEDTOTHE
MAXIMUMEXTENTPERMITTEDBYLAW.
12.2YOUEXPRESSLYUNDERSTANDANDAGREETHATYOURUSEOFTHESERVICEANDTHECONTENTISATYOURSOLERISKANDTHATTHESERVICE
ANDTHECONTENTAREPROVIDED"ASIS"AND"ASAVAILABLE."INPARTICULAR,TRADINGVIEW,ITSSUBSIDIARIESANDAFFILIATES,ANDITS
LICENSORSANDTHEIRSUPPLIERS,DONOTREPRESENTORWARRANTTOYOUTHAT:
a) YOURUSEOFTHESERVICEWILLMEETYOURREQUIREMENTS;
b) YOURUSEOFTHESERVICEWILLBEUNINTERRUPTED,TIMELY,SECUREORFREEFROMERROR;
c) THEINFORMATIONOBTAINEDBYYOUASARESULTOFYOURUSEOFTHESERVICEWILLBEACCURATEORRELIABLE;AND
d) DEFECTSINTHEOPERATIONORFUNCTIONALITYOFANYSOFTWAREPROVIDEDTOYOUASPARTOFTHESERVICEWILLBECORRECTED.
12.3ANYCONTENTOBTAINEDTHROUGHTHEUSEOFTHETRADINGVIEWSERVICESISDONEATYOUROWNDISCRETIONANDRISKANDYOUWILLBE
SOLELYRESPONSIBLEFORANYDAMAGETOYOURCOMPUTERSYSTEMOROTHERDEVICE,LOSSOFDATA,ORANYOTHERDAMAGEORINJURYTHAT
RESULTSFROMTHEDOWNLOADORUSEOFANYSUCHCONTENT.
12.4NOADVICEORINFORMATION,WHETHERORALORWRITTEN,OBTAINEDBYYOUFROMTRADINGVIEW,ORTHROUGHORFROMTHESERVICE
ORCONTENT,WILLCREATEANYWARRANTYNOTEXPRESSLYSTATEDINTHETERMS.
12.5TRADINGVIEW,ITSLICENSORS,ANDTHEIRSUPPLIERSFURTHEREXPRESSLYDISCLAIMALLWARRANTIESANDCONDITIONSOFANYKIND,
WHETHEREXPRESSORIMPLIED,INCLUDINGBUTNOTLIMITEDTOTHEIMPLIEDWARRANTIESANDCONDITIONSOFMERCHANTABILITY,FITNESSFOR
APARTICULARPURPOSEANDNONINFRINGEMENT.

13. LIMITATIONOFLIABILITY.
13.1SUBJECTTOSECTION13.1,YOUEXPRESSLYUNDERSTANDANDAGREETHAT,TOTHEMAXIMUMEXTENTPERMITTEDBYAPPLICABLELAW,
TRADINGVIEW,ITSSUBSIDIARIES,ANDAFFILIATES,ANDTRADINGVIEW'SLICENSORSANDTHEIRSUPPLIERS,WILLNOTBELIABLETOYOUFOR:
 a) ANYDIRECT,INDIRECT,INCIDENTAL,SPECIAL,CONSEQUENTIALOREXEMPLARYDAMAGESTHATMAYBEINCURREDBYYOU,HOWEVER
CAUSEDANDUNDERANYTHEORYOFLIABILITY(INCLUDING,BUTNOTBELIMITEDTO:CONTRACT,TORT,COMMONLAW,ORSTATUTORY
DAMAGES;ANYLOSSOFPROFIT(WHETHERINCURREDDIRECTLYORINDIRECTLY),ANYLOSSOFGOODWILLORBUSINESSREPUTATION,
ANYLOSSOFDATA,COSTOFPROCUREMENTOFSUBSTITUTEGOODSORSERVICES,OROTHERINTANGIBLELOSS);OR
b) ANYLOSSORDAMAGEASARESULTOF:
i) ANYRELIANCEPLACEDBYYOUONTHECOMPLETENESS,ACCURACYOREXISTENCEOFANYADVERTISING,ORASARESULTOFANY
RELATIONSHIPORTRANSACTIONBETWEENYOUANDANYADVERTISERORSPONSORWHOSEADVERTISINGCANAPPEARONTHE
TRADINGVIEWSERVICES;
ii) ANYCHANGESTHATTRADINGVIEWMAYMAKETOTHESERVICE,ORANYPERMANENTORTEMPORARYCESSATIONINTHE
PROVISIONOFTHESERVICE(ORANYFEATURESWITHINTHESERVICE);
iii) THEDELETIONOF,CORRUPTIONOF,ORFAILURETOSTORE,ANYCONTENTANDOTHERCOMMUNICATIONSDATAMAINTAINEDOR
TRANSMITTEDBYORTHROUGHYOURUSEOFTHESERVICE;
iv) YOURFAILURETOPROVIDETRADINGVIEWWITHACCURATEACCOUNTINFORMATION.
13.2THELIMITATIONSONTRADINGVIEW'SLIABILITYTOYOUINSECTION13.1ABOVEWILLAPPLYWHETHERORNOTTRADINGVIEW,ITS
SUBSIDIARIES,AFFILIATES,LICENSORSORTHEIRSUPPLIERSHAVEBEENADVISEDOFORSHOULDHAVEBEENAWAREOFTHEPOSSIBILITYOFANY
SUCHLOSSESORDAMAGES.

14. INDEMNITIES.
14.1 Youherebyagreetodefend,indemnify,andholdTradingView,itsofficers,directors,agents,affiliates,strategicpartners,licensorsandtheir
suppliers("theIndemnifiedParties")harmlessfromandagainstanyclaimorliabilityarisingoutof:
a) youruseoftheTVCLAPIinbreachoftheTermsorapplicablepolicies;
b) yourTVCLAPIImplementation;
c) anyusebyusersofyourTVCLAPIImplementation;
d) anyclaimthatyourTVCLAPIImplementationorYourContentviolatesanyapplicablelaw,includingbutnotlimitedtoanyclaimthat
yourTVCLAPIImplementationinfringestherightsofathirdparty.
14.2 Youwillcooperateasfullyasreasonablyrequiredinthedefenseofanyclaim.TradingViewreservestheright,atitsownexpense,toassume
theexclusivedefenseandcontrolofanymattersubjecttoindemnificationbyyou.YouacknowledgethatdamagesforimproperuseoftheTV
CLAPImaybeirreparable;therefore,TradingViewisentitledtoseekequitablerelief,includingbutnotlimitedtopreliminaryinjunctionand
injunction,inadditiontoallotherremedies.

15. GENERALLEGALTERMS.
15.1 Notices.YouagreethatTradingViewmayprovideyouwithnotices,includingthoseregardingchangestotheTerms,byemail,regularmail,or
postingsontheServiceorhttp://www.TradingView.comwebsite.
15.2 NoWaiver.YouagreethatifTradingViewdoesnotexerciseorenforceanylegalrightorremedyavailabletoitundertheTerms(orany
applicablelaw),TradingViewwillnotbedeemedtohavewaiveditsrightsorremedies,andthoserightsandremedieswillstillbeavailableto
TradingView.AnywaiverofanyprovisionoftheseTermswillbeeffectiveonlyifTradingViewexpresslystatesinasignedwritingthatitis
waivingaspecifiedTerm.
15.3 Severability.IfanycourtoflawthathasjurisdictionrulesthatanyprovisionoftheseTermsisinvalid,thenthatprovisionwillberemovedfrom
theTermswithoutaffectingtherestoftheTerms.TheremainingprovisionsoftheTermswillcontinuetobevalidandenforceable.
15.4 Assignment.TheTermsmaybeassignedbyTradingViewandwillinuretothebenefitofTradingView,itssuccessors,andassigns.
15.5 Language.WhereTradingViewhasprovidedyouwithatranslationoftheEnglishlanguageversionoftheTerms,youagreethatthetranslation
isprovidedforyourconvenienceonlyandthattheEnglishlanguageversionoftheTermswillgovernyourrelationshipwithTradingView.If
thereisanycontradictionbetweentheEnglishlanguageversionoftheTermsandatranslationoftheTerms,theEnglishlanguageversionwill
takeprecedence.
15.6 GoverningLawandJurisdiction;InjunctiveRelief.TheTerms,andyourrelationshipwithTradingViewundertheTerms,aregovernedbythe
lawsoftheStateofOhio,USA,withoutregardtoitsconflictoflawprovisions.YouandTradingViewagreetosubmittotheexclusive,personal
jurisdictionofthefederalorstatecourtsofDelawareCounty,Ohio,USA,toresolveanylegalmatterarisingfromorrelatedtotheTerms.
Notwithstandingthis,youagreethatTradingViewwillbeallowedtoapplyforinjunctiveremedies(oranequivalenttypeofurgentlegalrelief)
inanyjurisdiction.
15.7 CompleteAgreement.TheseTermsconstitutethewholelegalagreementbetweenyouandTradingViewinconnectionwith,andgovernyour
useof,theServiceandContent.TheseTermscompletelyreplaceandsupersedeanyprioragreementsbetweenyouandTradingView,written
ororal,inconnectionwiththeServiceandContent.
