This Partnership Agreement is entered into on January 1, 2014 between Jane A.

Jones and
Diane B. Doe, herein referred to as Partners, who will work together in accordance with the
terms and conditions set forth in this document.

1. The Partnership will be known as Super Trendy Gear N Stuff, and the head office and
principal place of business will be located at 2000 Main Street, Anytown, NJ, 10000.

2. The Partnership has been formed in order to design, manufacture, and sell casual,
active clothing to the teenage female demographic.

3. The Partnership will be in effect starting January 1, 2014 and will remain in full effect
unless and/or until it is dissolved by the mutual written agreement of the partners.

4. The stated and verified initial capital contribution of the partners are as follows: Jane A.
Jones contributed $20,000; Diane B. Doe contributed $20,000.

a. Each partner is required to deposit her initial contribution to the partnership at the
Friendly Business Bank, 1 Blank Street, Anytown, NJ, 10000 on or before
12/29/2013.
b. Neither partner will be entitled to withdraw her initial contribution from the capital
of the Partnership, without the written formal consent of the other.
c. Neither partner is entitled to claim any interest earned on these contributions as
their own.

5. Any and all profits and losses will be divided equally between the partners.

6. Each partner has a contractual duty to devote the appropriate time and attention needed
to promote the interests of the Partnership.

7. The partners will maintain a proper book of accounts at their main office. An accurate
account of the profits, losses, assets and expenditures are to be entered in these books.

8. The fiscal year for the Partnership shall end on the 31st day of December.

9. The partners shall meet on a monthly basis to discuss any and all matters related to the
management of the business. Each partner has equal rights and responsibilities.

10. A new partner may be admitted to the Partnership with the written formal consent of all
other partners.

11. If so desired, the partners may reach a mutual agreement to terminate the Partnership.
In this instance, the assets of the Partnership business would be sold to pay off the
liabilities and obligations of the business and any balance remaining divided equally
between partners.
This agreement shall be governed in accordance with the laws of the state of New Jersey. This
agreement can only be amended or changed with the mutual written consent of all the partners.

IN WITNESS WHEREOF, the parties have executed this agreement on this 10th day of
November, 2013 in Anytown, NJ 10000.
