Preface

This Philippine Bidding Documents (PBDs) for the procurement of Works


through Competitive Bidding has been prepared by the Government of the Philippines
(GOP) for use by all branches, agencies, departments, bureaus, offices, or
instrumentalities of the Government, including government-owned and/or -controlled
corporations (GOCCs), government financial institutions (GFIs), state universities and
colleges (SUCs), and local government units (LGUs). The procedures and practices
presented in this document have been developed through broad experience, and are for
mandatory1 use in projects that are financed in whole or in part by the GOP, the Asian
Development Bank (ADB), the Japan Bank for International Cooperation (JBIC), or the
World Bank (WB) in accordance with the provisions of the latest editions of:

This PBDs is intended as a model for admeasurements (unit prices or unit rates
in a bill of quantities) types of Contract, which are the most common in Works
contracting.

In order to simplify the preparation of Bidding Documents for each


procurement, the PBDs groups the provisions that are intended to be used unchanged in
Section II. Eligibility Documents of Part I; and Error: Reference source not found
(ITB) and Error: Reference source not found (GCC) of Part II. Data and provisions
specific to each procurement and contract should be included in the Error: Reference
source not found (EDS) of Part I, Error: Reference source not found (BDS), and Error:
Reference source not found (SCC) of Part II. The forms to be used are provided in the
attachments.

Care should be taken to check the relevance of the provisions of the Bidding
Documents against the requirements of the specific Works to be procured. The
following directions should be observed when using these documents:

(a) All the documents listed in the Table of Contents are normally required for
the procurement of Works. However, they should be adapted as
necessary to the circumstances of the particular Project.

(b) This PBDs is divided in two (2) parts, namely Part I and Part II. Documents
under Part I shall be made available to all entities who intend to respond
to the Invitation to Apply for Eligibility and to Bid (IAEB). The

PROCURING ENTITY shall make the documents under Part II of this
PBDs available to eligible Bidders determined in accordance with
Section II. Eligibility Documents of Part I.

(c) Specific details, such as the name of the PROCURING ENTITY and
address for proposal submission, should be furnished in the ITB, BDS,
and SCC. The final documents should contain neither blank spaces nor
options.

(d) This Preface and the footnotes or notes in italics included in the Invitations
(Invitation to Apply for Eligibility and to Bid and Letter of Invitation to
Bid), BDS, SCC, Specifications, Drawings, Bill of Quantities are not
part of the text of the final document, although they contain instructions
that the PROCURING ENTITY should strictly follow. The Bidding
Documents should contain no footnotes except Section VII. Forms and
Qualification Information since these provide important guidance to
Bidders.

(e) The cover should be modified as required to identify the Bidding


Documents as to the names of the Project, Contract, and PROCURING
ENTITY, in addition to date of issue.

(f) If modifications must be made to bidding procedures, they can be presented


in the BDS. Modifications for specific Project or Contract details should
be provided in the SCC as amendments to the Conditions of Contract.
For easy completion, whenever reference has to be made to specific
clauses in the EDS, BDS, or SCC these terms shall be printed in bold
type face on Section II. Eligibility Documents, Section I. ITB, and
Section III. GCC, respectively.

and to Bid

Notes on the Invitation to Apply for Eligibility and to Bid

The IAEB provides information that enables interested Bidders to decide whether to
participate in the procurement at hand. The Invitation to Apply for Eligibility and to
Bid (IAEB) shall be:

(a) Advertised at least twice within a maximum period of fourteen (14) calendar
days, with a minimum period of six (6) calendar days between publications, in a
newspaper of general nationwide circulation which has been regularly
published for at least two (2) years before the date of issue of the advertisement,
subject to Section 21 of the IRR-A of R.A. 9184;

(b) Posted continuously in the website of the PROCURING ENTITY concerned, if


available, the website of the PROCURING ENTITYs service provider, if any,
and the Government Electronic Procurement System (G-EPS) during the
maximum period of fourteen (14) calendar days stated above;

(c) Posted at any conspicuous place reserved for this purpose in the premises of the
PROCURING ENTITY concerned, as certified by the head of the Bids and
Awards Committee (BAC) Secretariat of the PROCURING ENTITY during the
maximum period of fourteen (14) calendar days stated above;

Apart from the essential items listed in the Bidding Documents, the IAEB should also
indicate the following:

(a) The Bidding Documents shall be issued within thirty (30) calendar days from
the last day of the period of advertising and/or posting of the IAEB; In the case
of the ADB, JBIC, and WB, the Bidding Documents must be available for
purchase for a minimum of thirty (30) days;

(b) The deadline for the submission of Bids from the last day of the period for
advertising and/or posting of the IAEB shall be in accordance with the
following schedule:

(c) Any important Bid evaluation criteria (for example, the application of a margin
of preference in Bid evaluation) or qualification requirement (for example, a
requirement for a minimum level of experience in constructing similar works
for which the IAEB is issued).

The IAEB should be incorporated into the Bidding Documents. The information
contained in the Invitation must conform to the Bidding Documents and in particular to
the relevant information in the BDS.

In the case of ADB, JBIC, or WB funding, the Invitation for Bids shall be sent to all
who have expressed an interest in undertaking the works as a result of any General
Procurement Notice issued. In addition, it shall be sent to all heads of associations of
contractors within the area where the project is to be undertaken.

2. Select one of the following two paragraphs, depending on the funding Source:

If the Funding Source is GOP:

The [insert name of the PROCURING ENTITY] now calls for the submission of
Letters of Intent (LOIs) from potential Bidders to apply for eligibility for [insert
brief description of works to be procured]. Bidders should possess a valid PCAB
license applicable to the above type and cost of the contract, have completed a
similar contract with a value of at least fifty percent (50%) of the ABC, and meet
the other minimum eligibility requirements stated in the Eligibility Documents.
Interested Bidders must submit their LOIs on or before [insert date and time] at
[insert address for place of submission] and secure the Eligibility Documents
therefrom. Applications for eligibility will be evaluated on a pass/fail basis.
The last day for the submission of the accomplished Eligibility Documents shall
be on the date of the opening of Eligibility Documents: [insert date and time] at
[insert address for place of submission]. Only those Bidders passing the
eligibility check will be entitled to purchase the Bidding Documents.

Or, if the Funding Source is ADB, JBIC, or WB:

The [insert name of PROCURING ENTITY] now invites sealed Bids from
eligible Bidders for [insert brief description of works to be procured].4
Completion of the Works is required by [insert the required delivery date or
expected contract duration].

3. Select one of the following four paragraphs, deleting the other three depending
on the Funding Source:

If the Funding Source is GOP:

Bidding will be conducted through open competitive bidding procedures as


specified in the Implementing Rules and Regulations Part A (IRR-A) of Republic
Act 9184 (R.A. 9184), otherwise known as the Government Procurement
Reform Act, and is restricted, unless otherwise stated, to organizations with at
least seventy-five percent (75%) interest or outstanding capital stock belonging to
citizens of the Philippines. In accordance with the IRR-A of R.A 9184, only Bids
from eligible Bidders will be opened. In accordance with the IRR-A of R.A. 9184
a contract will only be awarded to the Lowest Calculated and Responsive Bidder
who was determined as such during post-qualification.

Or, if the Funding Source is ADB:

Bidding will be conducted in accordance with relevant procedures for open


competitive bidding as specified in the Implementing Rules and Regulations
(IRR) of Republic Act 9184 (R.A. 9184), otherwise known as the Government
Procurement Reform Act, to the extent it is consistent with Asian Development
Banks procurement procedures and is open to all Bidders from eligible source
countries as defined in Guidelines for Procurement Under Asian Development
Bank Loans.

Or, if the Funding Source is JBIC:

Bidding will be conducted in accordance with Japan Bank for International


Cooperations Local Competitive Bidding procedures and is open to all Bidders
from eligible source countries as defined in Guidelines for Procurement under
JBIC Loans

Or, if the Funding Source is WB:

Bidding will be conducted through open competitive bidding procedures as


specified in the Implementing Rules and Regulations (IRR) of Republic Act No.
9184 (R.A. 9184), otherwise known as the Government Procurement Reform Act.
Subject to exceptions stated in this Bidding Documents, only Bids from Bidders
who pass an eligibility check will be opened. The Bidder with the Lowest
Calculated Bid (LCB) shall advance to the post-qualification stage in order to
finally determine its responsiveness to the technical and financial requirements of
the project. The contract shall then be awarded to the Lowest Calculated
Responsive Bidder (LCRB) who was determined as such during post-
qualification. The ABC is [insert here the amount of the ABC].

If the Funding Source is GOP:

Interested Bidders shall submit their accomplished Eligibility Documents to the

Section II. Eligibility Documents

Notes on the Eligibility Documents


This Section provides the information necessary for prospective bidders to prepare
responsive Eligibility Documents in accordance with the requirement of the PROCURING
ENTITY.

The provisions contained in this Section are to be used unchanged. Section III. Eligibility
Data Sheet consists of provisions that supplement or specify in detail the information or
requirements included in this Section which are specific to each procurement.

In case of ADB, JBIC, or WB funded projects, there will be no eligibility check prior to the
submission of Bids. Therefore, the Eligibility Documents required under this Section shall
be submitted as part of the Technical Proposal of a Bidders Bid documents.

Eligibility Criteria

A Bidder, and all parties constituting the Bidder, shall be considered eligible if
it has satisfied the requirement provided in the Eligibility Data Sheet
(EDS) as defined by the Funding Source indicated in the Invitation to
Apply for Eligibility and to Bid (IAEB).

A Bidder shall be deemed to have the nationality of a country if the Bidder is a


citizen or is constituted, or incorporated, and operates in conformity
with the provisions of the laws of that country. This criterion shall also
apply to the determination of the nationality of proposed
subcontractors or suppliers for any part of the Contract, including all
related services.

Bids submitted by a Joint Venture (JV) of two or more entities as partners,


shall comply with the following requirements:

the Bid, and in case of a successful Bid, the Contract Agreement, shall
be signed so as to be legally binding on all partners;

one of the parties to the JV shall be authorized to be the lead partner;


and this authorization shall be evidenced by submitting a
special power of attorney signed by legally authorized
signatories of all the partners;

the lead partner shall be authorized to incur liabilities, receive


payments and receive instructions for and on behalf of all
partners to the JV;

all partners of the JV shall be jointly and severally liable for the
execution of the contract in accordance with the contract terms,
and a relevant statement to this effect shall be included in the
authorization mentioned in item (b) above as well as in the Bid
Form and the Contract Agreement (in case of a successful Bid);
and

a copy of the notarized Joint Venture Agreement (JVA) to be entered


into by the JV partners shall be submitted with the Bid.

Subject to the provisions in the EDS, a Bidder (including all members of a JV


and subcontractors) shall not be presently associated, or shall not have
been associated in the past, directly or indirectly, with the consultant or
any other entity that has prepared the design, specifications, and other
documents for the Project; neither to those being proposed as the
representative of the PROCURING ENTITY for the contract.

A Bidder shall not have a conflict of interest. All Bidders found to have a
conflict of interest shall be disqualified. A Bidder may be considered to
have conflicting interests with another Bidder in any of the events
described in paragraphs (a) through (c) below and a general conflict of
interest in any of the circumstances set out in paragraphs (d) through
(g) below:

have common controlling shareholders;

receive or have received any direct or indirect subsidy from any of the
Bidders;

have the same legal representative for purposes of this Bid;

have a relationship with each other, directly or through common third


parties, that puts them in a position to have access to
information about or influence on the Bid of another Bidder, or
influence the decisions of the PROCURING ENTITY
regarding this bidding process;

submit more than one Bid in this bidding process. However, this does
not limit the participation of subcontractors (if indicated in the
EDS) in more than one Bid, or as Bidders and subcontractors
simultaneously;

participated as a consultant in the preparation of the design or technical


specifications of the goods and related services that are the
subject of the Bid; or

a firm or an organization who lends, or temporarily seconds, its


personnel to firms or organizations which are engaged in
consulting services for the preparation related to procurement
for or implementation of the project, if the personnel would be
involved in any capacity on the same project.

Bidders shall not be under a declaration of ineligibility for corrupt, fraudulent,


or coercive practices. For purposes of this clause, corrupt, fraudulent,
and coercive practices are defined as follows:

"corrupt practice" means behavior on the part of officials in the public


or private sectors by which they improperly and unlawfully
enrich themselves, others, or induce others to do so, by
misusing the position in which they are placed, and includes the
offering, giving, receiving, or soliciting of anything of value to
influence the action of any such official in the procurement
process or in contract execution; entering, on behalf of the
PROCURING ENTITY, into any contract or transaction
manifestly and grossly disadvantageous to the same, whether or
not the public officer profited or will profit thereby; and similar
acts as provided in Republic Act 3019;

"fraudulent practice" means a misrepresentation of facts in order to


influence a procurement process or the execution of a contract
to the detriment of the PROCURING ENTITY, and includes
collusive practices among Bidders (prior to or after Bid
submission) designed to establish Bid prices at artificial, non-
competitive levels and to deprive the PROCURING ENTITY
of the benefits of free and open competition;

collusive practices means a scheme or arrangement between two or


more Bidders, with or without the knowledge of the
PROCURING ENTITY, designed to establish Bid prices at
artificial, non-competitive levels; and

coercive practices means harming or threatening to harm, directly or


indirectly, persons, or their property to influence their
participation in a procurement process, or affect the execution
of a contract.

All Bidding Documents shall be accompanied by a sworn affidavit of the


Bidder that it is not related to the Head of the PROCURING ENTITY
by consanguinity or affinity up to the third civil degree or any of the
PROCURING ENTITYs officers or employees having direct access to
information that may substantially affect the result of the Bidding, such
as, but not limited to, the members of the Bids and Awards Committee
(BAC), the members of the Technical Working Group (TWG), the
BAC Secretariat, the members of the Project Management Office
(PMO), and the designers of the Project. This clause shall apply to the
following persons:

If the Bidder is an individual or a sole proprietorship, to the Bidder


himself;

If the Bidder is a partnership, to all its officers and members;

If the Bidder is a corporation, to all its officers, directors, and


controlling stockholders; and

If the Bidder is a JV, the provisions of items (a), (b), or (c) of this
clause shall correspondingly apply to each of the members of
the said JV, as may be appropriate.

Relationship of the nature described above or failure to comply with


the provisions of this clause will result in the rejection of a Bidders
Bid.

Unless otherwise indicated in the EDS, Government-Owned and/or


Controlled Corporations shall be eligible only if, in addition to
conformance with all of the above requirements, they are also:

commercially-oriented legal entities distinct from the PROCURING


ENTITY, and not a National Government Department;

financially autonomous, as demonstrated by requirements in their


statutes or by-laws to provide separate audited accounts and
return on capital, powers to raise loans and obtain revenues
through the sale of goods or services;
managerially autonomous; and

possess additional eligibility requirements indicated in the EDS.

Eligibility Requirements

Unless otherwise indicated in the EDS, the eligibility requirements listed in


the following clause shall be submitted to the BAC in advance of the
Pre-Bid Conference in a sealed eligibility envelope duly marked as
such. These eligibility envelopes of prospective Bidders shall be
submitted on or before the date of the Eligibility Check specified in the
Invitation to Apply for Eligibility and to Bid for purposes of
determining eligibility of prospective Bidders.

Prospective Bidders shall submit the following Eligibility Requirements,


unless otherwise stated in the EDS:

Class "A" Documents

Legal Documents

Department of Trade and Industry (DTI) business name


registration or Securities and Exchange Commission
(SEC) registration certificate, whichever may be
appropriate under existing laws of the Philippines;

Valid and current Mayors permit/municipal license;

Taxpayers Identification Number;

Statement of the prospective Bidder that it is not blacklisted


or barred from Bidding by the Government or any of its
agencies, offices, corporations or LGUs, including non-
inclusion in the Consolidated Blacklisting Report issued
by the GOP;

Technical Documents

Statement of the prospective Bidder of all its ongoing and


completed government and private contracts within the
relevant period pursuant to Clause , where applicable,
including contracts awarded but not yet started, if any.
The statement shall state for each contract whether it is
ongoing, completed or awarded but not yet started; and
identify whether such contracts are similar or not
similar in nature and complexity to the project. The
statement shall include, for each contract, the following:

the name of the contract;

date of award of the contract;


contract duration;

owners name and address;

nature of work;

contractors role (whether sole contractor, sub-


contractor, or partner in a JV);

total contract value at award;

date of completion or estimated completion time;

total contract value at completion, if applicable;

percentages of planned and actual accomplishments, if


applicable;

value of outstanding works, if applicable;

the statement shall be supported by the notices of award


and/or notices to proceed issued by the owners;
and

the statement shall be supported by the Constructors


Performance Evaluation System (CPES) rating
sheets, and/or certificates of completion and
owners acceptance, if applicable.

A valid Philippine Contractors Accreditation Board (PCAB)


license and registration for the type and cost of the
contract to be Bid;

Other appropriate licenses stated in the EDS;

The Bidders statement of: availability of the prospective


Bidders key personnel, such as project engineers,
materials engineers and foremen, that may be used for
construction contracts;

The Bidders statement of: availability of equipment that he


owns, has under lease, and/or has under purchase
agreements, that may be used for construction contracts,
provided that ownership of equipment is not a requisite
for eligibility;

Financial Documents

The prospective Bidders audited financial statements, stamped


received by the Bureau of Internal Revenue (BIR) or
its duly accredited and authorized institutions, for the
immediately preceding calendar year, showing, among
others, the prospective Bidders total and current assets
and liabilities;

Prospective Bidders computation of its Net Financial


Contracting Capacity (NFCC) as described in the EDS,
or at the Bidders option a commitment from a licensed
bank to extend a credit line, in the event of an award in
the Bidders favor, or at the Bidders option a cash
deposit certificate, of not less than the amount shown in
the EDS;

Class "B" Documents

A valid JVA;

A letter authorizing the BAC or its duly authorized


representative/s to verify all of the documents
submitted; and

Any other document described in the EDS.

A Bidder portions of the Works, subject to the maximum allowable limit for
subcontracting of Works as specified in EDS Clause . Subcontracting
of any portion of the Works shall not relieve the Bidder from any
liability or obligation that may arise from its performance. The Bidder
shall be responsible for the acts, defaults, and negligence of any
subcontractor, its agents, servants or workmen as fully as if these were
the Bidders own acts, defaults, or negligence, or those of its agents,
servants or workmen.

Subcontractors must comply with the provisions of Clause herein. For this
purpose, the Bidder shall include in Technical Proposal of its Bid all
the documents required under Clause herein. If the PROCURING
ENTITY determines during Post-qualification that a subcontractor is
ineligible, the subcontracting of such portion of the Works assigned to
the ineligible subcontractor shall be disallowed.

If a Bidder has previously secured a Certification from the PROCURING


ENTITY to the effect that it has previously submitted the above-
enumerated Class A documents, the said Certification may be
submitted in lieu of the requirements enumerated in Clauses to .

In case of a prospective foreign Bidder, if allowed, the eligibility requirements


described in Clause herein may be substituted with the appropriate
equivalent documents issued by the prospective Bidders home
country, such documents must be duly acknowledged or authenticated
by the appropriate Philippine Consulate therein.

To be considered eligible and qualified for contract award, a Bidder must meet
the minimum qualifying criteria stated in the EDS. The use of
specialist subcontractors shall also be stated in the EDS.
The Bidders authorized signatory must certify all copy documents as true and
correct copies of the original document(s). Bidders must follow the
format and sequence set out above. Should a Bidder fail to do so the
PROCURING ENTITY will accept no liability for the rejection of a
Bidders Bid in accordance with the corresponding clause in the
Instructions to Bidders.
