more temporary work, period of your temporary employment may be accordingly extended but
your appointment will continue to be temporary only.
2. During the period of temporary employment, you will be entitled to a consolidated salary of

to permanent employees except the statutory benefits, if any. You will observe punctuality and be
regular in your attendance.
3. Your services are liable to be transferred to any other section/department in the same
Establishment or to any other Establishment (existing or which may be set-up in future) anywhere
in the county.
4. You may also be sent on deputation to any other organisation under the same management or
under different management any where in the country.
4a. You will keep us informed of any change in your residential address.
5. On Expiry of period of temporary employment your services will automatically come to our end.
5a. During the tenure of temporary employment, your services are liable to be terminated without any
notice if found unsuitable for the job.
6. On termination of your employment you will immediately hand over any property or article or
document entrusted to you by the Company to enable the company to settle your accounts and the
company reserves its right to deduct from the dues payable to you for any loss or damage caused
to the companys property on account of any act or negligence on your part, in addition to any
other methods of recovery.
7. You are not entitled for claiming absorption against regular vacancy.
8. During the tenure of your service, you will not, without our consent, allow yourself to be
employed by any one or carry on any business or trade.
9. You will be bound by the Standing Orders / Rules or Regulation of the company.

(9) As a part-time employee, you are not entitled to the status of a workman within the meaning of
the Industrial Disputes Act, 1947.
(10) As a part-time employee, you are not entitled to any rights benefits, or privileges like bonus or any
other allowances etc. admissible to whole-time employees of the establishment.
(11) The Management reserves its right to terminate your services at any time without assigning any
reasons thereof at (indicate the paid of notice) notice or wages in lieu thereof.
(12) That your employment in the establishment shall be at the sole discretion of the management.

8. Restrictive While undergoing training, you will not take up any other course, study, training
Covenant assignment, job or any other kind of vocation or business, part-time or full time,
non disclosure without written permission of the management. Membership of Local/public
bodies without management permission.
9. Scope of On successful completion of training and on obtaining Certificate of Training you
Employment may apply for employment in the Company provided there exists a vacancy. The
above training will neither create any right of employment or right of preference
in the Company.

decided by our company. However you will receive instructions for
day to day performance of your duties from companys client and you

5 Responsibilities 5.1 While rendering __________ services, you must effectively, diligently
and to the best of your ability perform all responsibilities implicit in the
_________ job and you will ensure results. You will be expected to
work extra hours to achieve the results whenever the job so requires.
5.3 You will ensure that you will not directly or indirectly engage in any
activity or have any interest in or perform any service for any person
who is involved in activities which are or shall be in conflict with the
interest of our company or interest of our client where you are deputed.
6. Compensation : While in employment of our company, you will be eligible to receive
the following:

7. Confidentiality : The nature of your job demands highest level of honesty, integrity,
secrecy and confidentiality and you will maintain the same and you
will not use or divulge or disclose any such confidential information

client in the course of your deputation. This covenant shall endure
during your employment and for a period of one year from the
cessation of your employment on deputation (irrespective of the
circumstances or the reasons for the cessation)
8. General 8.1 We trust that you have not provided us with any false declaration or
willfully suppressed any material information. If you have, you will be
liable for removal from services without notice.
8.2 Please note that you are required to inform us if there are any
agreement oral or written which you have entered into and which relate
to your commitment under this agreement.
8.3 While in employment if you indulge in any act of misconduct, you may
be suspended pending enquiry without salary and the matter will be
dealt with as per the relevant standing orders/ Rules/Regulations.
8.4 If during the tenure of your employment, while on deputation or
otherwise, if no work is available for any reason whatsoever you may
be laid off without any salary or compensation.
8.5 During the tenure you may be sent on deputation to any other client of
the company located anywhere in India.
8.6 You will not be entitled to any salary if you refuse to do any work
assigned to you or refuse to join duty when sent on deputation. You
shall also work on shifts if so required.
9. Separation : Notwithstanding what is stated hereinabove, if during the period of
deputation, your services are not found satisfactory, the same may be
terminated with 24 hours notice and without any extra compensation.
Similarly you will be at liberty to resign from services by giving 24
hours notice.
10. Handing Over of : On cessation of your employment at the clients establishment, you
charge will hand over charge to the client truthfully and sincerely and return
all the documents or properties of client in your possession. In
discharge of the above obligation, you will obtain a No-objection
certificate from the client company. On receipt of the above No-
objection certificate, your full and final dues will be settled.

6. Notwithstanding anything contained in the above terms, your services can also be terminated

You can resign by giving one month notice or the company will have the right to deduct one

7. You will not be entitled to wages or salary on your refusal to do the assigned work or refusal to
work at the transferred place for the period of such refusal and will also be liable for disciplinary
action.
8. While on duty you will not indulge in any act adversely affecting our rendering of services to our
client or by any other acts of misconduct.
9. You will not seek employment in our Principals Establishment in which you are deputed.

1. Your contract of employment is for a stipulated period i.e. w.e.f. _______to _____ and it will
come to an end at the expiry of the above period unless renewed or extended in writing and the

2. You will be paid minimum wages as prescribed by the Government of Maharashtra and your other

there is any requirement, you can be assigned job with new firm/company/factory and in event
when there is no work, your services are not required. In other words, you will be assigned work
for stipulated period only.
2. You will act within the frame-work of organisational structure and policies and directions as may
be laid down by the management from time to time. During your tenure of employment, you will
be governed by the Standing Orders / Rules or Regulations of the company.

3. You will be awhole time employee and will not undertake any other business, work or public
office on payment or otherwise except with the written permission of the Management.
4. The management may transfer you for work in any section/department assigned from time to time
with different establishment/companies where it has undertaken contract work in any part of India
as it may consider necessary in its discretion from time to time.
5. In the event of any misconduct committed by you, you are liable to be suspended from service
without pay pending inquiry into any charges of misconduct against you till the final decision in
the matter.
6. Your continuance in service of the management is subject to your remaining physically and
mentally fit. As and when required by the management, you will submit yourself to medical
examination by a physician of the choice of the management.
7. Your appointment is terminable either by the management or by yourself without assignment of
any reason on either side, after giving one months notice or of one month salary in lieu thereof.
8. In case there will be any change in your address, you will intimate us in writing within three days
from the date of such change.
9. Your absence for a continuous period of 8 days (including absence when leave though applied for
but not granted) or over-stay for a period of 8 days would make you to lose your lien on the job
and your services shall automatically come to an end without any notice or intimation from the
managements side.
10. Grant of earned leave will depend upon the exigencies of work and shall be at the discretion of the
management. For availing leave, you will have to apply in the prescribed form to the appropriate
authority and seek prior approval for such leave. Similarly, for extension of leave, an application
will have to be made in writing before the expiry of the leave originally sanctioned. While making
such application you will state your address during the leave period. Mere submission of
application will not mean that the leave has been sanctioned.
11. Sick leave exceeding two days shall be granted only for certified sickness. Application for grant to
sick leave must, therefore, be accompanied by a medical certificate acceptable to the management.
If no medical certificate is submitted, leave application will not normally be considered for
adjustment against sick leave. Proper leave application must be submitted immediately upon
falling sick together with the medical certificate. Late submission of application may be liable to
be marked absent. On returning from sick leave, if not found medically fit, you will not be allowed
to resume duty until completely recovered from sickness and on production of a certificate of
fitness from the medical practitioner acceptable to the management.
Note : Please note that in case the contract worker is employed in a factory he is governed by
leave provisions of Factories Act and in case of establishment within a meaning of Shops and
Establishments Act he is governed by the leave provision of the respective Shops Act.
12. You will be bound by any rules and regulations enforced by the management from time to time
in relation to conduct, discipline, medical leave and holidays on any matters relating to service
conditions which will be deemed as rules, regulations and order in the part of these terms of
employment.
13. That the continuation of your service is subject to your being found medically (physically and
mentally) fit.
14. You are liable to retire on your attaining the age of ____ years or earlier if found medically unfit.
15. In matters not herein specified, you will be governed by such rules of the management as are in
force from time to time.
16. You will be governed by Labour Laws applicable to our Company and will be covered under
E.P.F. applicable to our Company.

Fund Act.

c) You will be responsible for keeping your place of work neat and clean.
d) You will not cause any hindrance to the movement of men, materials and vehicles to and from the
Establishment.
e) You will not indulge in any act prejudicial to the business or goodwill of the Company.
11. You will adhere to regularity and punctuality. You will be liable to be shut out if you fail to report
within 15 minutes of the scheduled time. In the event you are permitted to report late, such late
reporting will be adjusted against your casual leave at the rate of 4 days late reporting in a month per
one day of casual leave.
12. Transfer : You are liable to be transferred to any other Section or Department in the same
Establishment or you may be transferred to any other establishment (existing or which may be set up in
future) under the same management anywhere in the country without any extra remuneration or
benefits.
Your refusal to join duty at the transferred place will be deemed as break in service.
You will not be entitled to make any claim of salary, or wages or allowances or benefits till you first
resume duty at the transferred place.
13. Deputation : You may be sent on deputation to any other organisation anywhere in the country which
may be under the same management or under different managements. (Existing or New).
14. Retirement : You will retire from services of the Company on attaining the age of _____ years or
_____ years of service in the Company, whichever is earlier. Date of Birth i.e. ________entered in
your service record will be considered for the purpose of determining your date of retirement.
Date of birth on the basis of which you are appointed will not be permitted to be altered.
Your full and final accounts will be settled on furnishing a certificate from the Head of Accounts
Department of the Company that you do not owe any loan or amount to the Company and you have
handed over the possession of vehicle or residential premises or any other property of the Company
including utility kit and equipment entrusted to you by the Company.
15. Your continuance in service of the management is subject to your remaining physically and mentally
fit. As and when required by the management, you will submit yourself to medical examination at the
cost of the Company by a physician appointed by the Company for the purpose.
16. Termination:
Your appointment is terminable either by the management or by yourself without assignment of any

case of any damage or loss, the management shall have the right to deduct the money value of

18. That in your capacity as you will maintain high standard of efficiency, integrity and
secrecy and will keep liaison between the company and the workers working under your
supervision and control and will be responsible for the execution of the decisions taken by the

19. That besides supervision, it will also be your duty to keep and maintain true accounts of the goods
produced by the workers under your supervision.
20. That you will maintain all records of incoming and outgoing materials.

(i) You must protect confidential information and trade secrets and prevent such information from
being improperly disclosed to others inside or outside the company. During the course of
employment, you may learn confidential information about the company that is not known to the
general public or to competitors. Information of this sort is considered the trade secret if it
provides the company with a competitive or economic advantage over its competitors.
Confidential information or trade secrets should not be disclosed outside the company or use for
your own or someone elses benefit. This obligations apply both during and subsequent to your
employment with the company.
(ii) You will treat all matters relating to the company in strict confidence and not disclose them to
outsiders except with the prior written authorization of the Company. In particular, you are
expected to maintain complete confidentiality in respect of methods of work at our Company,
systems developed/modified by the Company for its clients including that of software.
(iii) You are prohibited to Copy sell companys software packages outside without Companys
permission. You acknowledge that condition of this appointment are reasonable and necessary to
protect disclosure of confidential information belonging to the company and any revelation there
of will cause irreparable damages, hardship, injury to the company.
(iv) You are made aware that your obligations relating to confidentiality survive the termination of
your employment and you will be liable to pay damages and be subject to injunctive or other relief
for any breach of aforesaid obligation.
(v) You are responsible for protecting the privacy, confidentiality and security of information
entrusted by the company.
(vi) All Intellectual property Rights (IPRS) such as copy right, patents, trade marks, trade secrets,
design rights, logos, knowhow and intangible industrial or commercial property etc. with respect
to all products developed in the Company shall remain the exclusive ownership of the Company
and you will prevent their dissemination or disclosure to any competitor. In other words you must
protect and when appropriate enforce companies intellectual property rights. The companies
intellectual property is among its most valuable assets. It refers to creations of the human mind
that are protected by various national laws and international treaties, in a fashion similar to real
property (i.e. land).
(vii) You will protect from disclosure all information regarding quality control, business, financial
information, places, customers list, marketing data and any other information that are generally not
known to the public. You will maintain the confidentiality of all information that you will be
exposed to and will not divulge any information pertaining to the operations of the company or
any of its affiliates to anyone without express written permission of the company.
(viii) You will treat all client information as confidential and not disclose them to outsiders except when
authorized. You must be alert to any situation that could compromise the position of trust you hold
as an employee of the company and avoid any kind of conflict between your personal interest and
those of the company. You may engage in outside activities that do not conflict with the companys
interest, interfere with responsibilities of its employees or damage or misuse its reputation, trade
marks, relationship, confidential information or other property. You should avoid damaging the
conflicts of interest and from situations that create a perception of impropriety.
(ix) You will be bound by all rules, regulations, policies and other orders issued/amended by the
company from time to time in relation to working hours, conduct, discipline, leave, medical,
retirement and any other matter as though these rules, regulations, policies and orders were part of
this contract of employment.
(x) Any information data made available to you by the company or by the customers or by any other
party, or any innovation or improvement in process, design etc. effected in the course of your
association with us will belong to the company and will be kept by you in strict confidence and
will not be used by you to the detriment of the companys interest at any time.
(xi) In the course of your services with us or even after your discharge for whatever reasons, if it is
established that due to your malafide intention the functioning of the Company was crippled and
company suffered financial loss or damage to its image or to its reputation and good will, then the
Company has the right to sue you under relevant laws.
(xii) You should never use your position with the company, or information acquired during your
employment in a manner that may create a conflict or the appearance of a conflict between your
personal interest and the interests of your company or its customers, associates and clients.
(xiii) You will authorize the Company and also authorize and request each former employer persons,
firms or corporation given in the application form as reference to answer any and all questions that
may be sought in connection with this application or concerning you or your work, habit, character
any transaction.
(xiv) You should declare your interest, financial otherwise in any company or firm or any other
individuals who have dealings with us in any capacity. In the event of yourself acquiring or
becoming interested in future in such a company or partnership or firm or individual you should
individually disclose the nature and extent of your interest.
(xv) In Consideration of your employment with the company, the receipt of salary and other
employment benefits from the company and other good and valuable consideration and for reasons
more specifically set out in the agreement/Bond, you during your employment with the Company
and for a period 3 years after you cease to be an employee of the Company for any reason
whatsoever shall not_________
(1) Take up employment with any other person firm, company, body corporate or
organization of any kind whatsoever, engaged in or proposed to be engaged in any
activity similar or substantially similar to the one of the company
(2) Involve yourself directly or indirectly alone or in association with others, whether as
principal officer, sole proprietor director, agent, partner, joint venturer, investor, lender,
lessor, consultant, or having any interest in any business similar to or substantially
similar to the company.
(3) Carry on either yourself or in association with any other person any business or be
associated in any manner with any business which in the opinion of the company is
similar to or competitive with that carried by the company. Such opinion of the company
shall be final conclusive and binding on the employee.
(4) In the event a dispute arises in connection with any of the terms of the contract of
employment as set out in the agreement separately either as to interpretation or
implementation or alleged breach of the provisions, you will attempt in the first instance
to resolve such dispute through friendly consultations and if the dispute is not resolved
through friendly consultations then either party may refer the dispute for resolution by
binding arbitration to a Director in charge of the affairs of the company.
(5) On receipt of a request to refer the dispute to arbitration from the company or the
employee, the said Director shall with in 7 days propose 3 names for acting as Arbitrator.
And from and out of the said 3 persons the employee shall nominate one person to be the
sole Arbitrator. In the event of the Employee not choosing one among the 3 persons with
in a period of 7days of their nomination, then the said Director shall nominate one among
the three persons to act as sole Arbitrator to adjudicate the dispute.
(xvi) Please go through the contract and sign the duplicate copy of this appointment letter and return it
to us as your acceptance of the appointment and the terms and conditions thereof.

efficiency, integrity and secrecy.
9. That in your capacity as Secretary-cum-Stenographer you will take down dictation in stenography,
to transcribe, type letters, memorandum, reports etc.; to receive, open, sort, distribute letters and
other incoming mail; to maintain files of letters, reports, catalogues and other documents; to attend
to telephone calls and take message; to receive visitors; to arrange hotel accommodation and/or
travel reservations for the visitors, to maintain visitors diaries; to compose and type routine
letters, to take follow up action; and/or to issue reminders: to compile routine departmental
reports; to keep the typewriter in a neat and clean condition; to do any other duties which are
ancillary and incidental thereto; and also to perform the duty or duties which are specifically
entrusted or assigned to you from time to time by the management.
10. That you shall not divulge and/or disclose any secret or know-how of the business of the company
during or after leaving service of the company.
11. That you shall at all times, abide and/or be governed by the rules and regulations formed from
time to time by the company and/or instructions issued in this behalf by your superiors from time
to time.
12. That in case of any change of address while in service of the company, it shall be your duty to
intimate the same in writing to it within three days from the date of such change and shall also get
the change so effected/recorded in the Register of Addresses maintained for the purpose by the
company.
13. That all communications sent to you by the company at your last given address shall be deemed to
have been delivered to you at the correct address.
14. That you shall receive any communication whenever one is offered or delivered to you personally
or otherwise and shall sign the duplicate or the peon book in token of its having been received by

15. That in case any act or omission constituting misconduct is alleged against you, you shall be
placed under suspension pending enquiry and you shall not be entitled to any salary during the
period of such suspension.
16. That your services shall be liable to be transferred from one place to another; and/or from one
department to another; and/or from one post to another purely at the discretion of the company;
and/or due to exigencies of work.

(Note : This appointment will be in accordance with the provisions of Section 2(oo) and 2(bb) of
Industrial Disputes Act, 1047)
1. You will be paid salary as per grade applicable to you and increment will be granted on
your satisfactory and loyal discharge of duties at the place you have been assigned the
work and the same can be withheld in case the standard of work and/or your conduct is
found substandard and accelerated if the same is found commendable at the sole
discretion of the management.
2. You are aware that the Company is taking contract at different places and you can be
deputed in any of the establishment where the Company has taken the contract doing
certain jobs whether it is in town/out of town, whether in city/out city and/or any where
in India.
3. You will act within the frame-work of organisational structure and policies and directions
as may be laid down by the management from time to time.
4. You will be whole time employee and will not undertake any other business, work or
public office on payment or otherwise except with the written permission of the
Management.
5. The management may transfer you for work in any section/department assigned from
time to time with different establishment/companies where it has undertaken contract
worker in any part of India as it may consider necessary in its discretion from time to
time.
7. You are liable to be suspended from service without pay, pending inquiry for charges of
misconduct against you, till the final decision in the matter.
10. In case there will be any change in your address, you will intimate us in writing within
three days from the date of such change.
11. Your absence for a continuous period of 8 days (including absence when leave though
applied for but not granted) or over-stay for a period of 8 days would make you to lose
your lien on the job and your services shall automatically come to an end without any
notice or intimation from the side of the management.
12. Grant of earned leave will depend upon the exigencies of work and shall be at the
discretion of the management. For availing leave, you will have to apply in the
prescribed form to the appropriate authority and seek prior approval for such leave.
Similarly, for extension of leave, an application will have to be made in writing before
the expiry of the leave originally sanctioned. While making such application you will
state your address during the leave period. Mere submission of application will not mean
that the leave has been sanctioned.
13. Sick leave exceeding two days shall be granted only for certified sickness. Application
for grant to sick leave must, therefore, be accompanied by a medical certificate
acceptable to the management. If no medical certificate is submitted, leave application
will not normally be considered for adjustment against sick leave. Proper leave
application must be submitted immediately upon falling sick together with the medical
certificate. Late submission of application may be liable to be marked absent. On
returning from sick leave, if not found medically fit, you will not be allowed to resume
duty until completely recovered from sickness and on production of a certificate of
fitness from the medical practitioner acceptable to the management.
14. You will be bound by any rules & regulations enforced by the management from time to
time in relation to conduct, discipline, medical leave and holidays on any matters relating
to service conditions or Model Standing Order or Certified Standing Order etc which will
be deemed as rules, regulations and order in the part of these terms of employment.
15. Annual increment will be based on performance of duty, if found satisfactory during the
past year of service in terms of efficiency, regularity, punctuality and discipline and the
same may be withheld if the performance is found unsatisfactory or accelerated in case of
exceptionally good performance.
16. You are liable to retire on your attaining the age of 58 years or earlier, if a found
medically unfit.
17. In matters not herein specified, you will be governed by such rules of the management as
are in force from time to time.
18. You will be governed by Labour Laws applicable to our Company and will be covered
under E.P.F., ESIS applicable to our Company.
This letter is being sent to you in triplicate. Please return two copies of the same, duly signed, in
token of your acceptance of the above terms and conditions for our records.
