CONTRACT OF LEASE

KNOW ALL MEN BY THESE PRESENTS:

This Contract of Lease made and executed in the City of Zamboanga,


Philippines, by and between:

THE ROMAN CATHOLIC ARCHBISHOP of Zamboanga City represented by


THE MOST REVEREND ROMULO T. DELACRUZ. of legal age, single, Filipino citizen
and a resident of Archdiocese of Zamboanga, Governor Camins, Zamboanga City,
Philippines, hereinafter referred to as the LESSOR;

-and-
BUDGET WISE, Pricewise Marketing Corp. represented by its President
EDWIN G. TO, of legal age, ____, Filipino citizen and with office address at Veterans
Ave. Cor. Campaner Ext. Zamboanga City, Philippines, hereinafter referred to as the
LESSEE;
WITNESSETH THAT-:

WHEREAS, the LESSOR is the registered owner of a parcel of land covered by


Transfer Certificate of Title No. T-147,826, more particularly described as follows,to wit:

A parcel of land (Lot 229-C) of the subdivision plan Psd 09-037728,


being a portion of lot 229containing an area of FIFTY ONE THOUSAND SIX
HUNDRED NINETY SEVEN (51,697) SQUARE METERS situated in the
Barangay of Ayala, City of Zamboanga, Island of Mindanao..

WHEREAS, the LESSEE has offered to lease that portion of the above
mentioned parcel of land;

NOW, THEREFORE, for and consideration of the foregoing and the terms and
condition herein below more particularly specified, the LESSOR hereby leases, lets,
suffers the use of and deliver unto the LESSEE the portion of that commercial space
subject to strict compliance by the LESSEE of then following terms and conditions, to
wit:

1. RENTALS: Rentals and monthly lease shall be paid at the office of the Financial
Secretary of the Archdiocese of Zamboanga at Centro Pastoral, Gov. Camins
Extension, Zamboanga City in cash or managers check according to the
summary specified hereunder as follows, to wit:

2. PERIOD: The term of this lease is TWENTY FIVE (25) YEARS, commencing
on_____ and expiring on ________. The term may be extended under such
conditions as the parties may agree, provided written notice to extend is given to
the LESSOR at least three (3) months prior to the expiration of this lease.
Provided further, that should the term be extended , the amount of rentals may
be increased at the minimum of Ten (10%) Percent but not more than Twenty
(20%) or such percentage as the parties may agree in the future;
3. PURPOSE OF LEASE: The lease shall be exclusively for legitimate and legal
use and purpose specifically the sub-lease for the operation of regular business
stalls dealing in the regular and legal goods for sale to the general public ;
Provided, that no enterprise, business or operation which runs in conflict with the
teachings, values and ideals of the Catholic church may be sold or dispensed in
the premises; Provided, that it is the responsibility of the Lessee to implement
this provision strictly and to monitor such practices; Provided, finally, that in any
violation of this provision shall be a ground to terminate this Contract of Lease by
the Lessor;

4. IMPROVEMENTS: The lessee shall be responsible to introduce any or all
improvements for the structural security and integrity of the building, and other
improvements for the better use of the premises for the purpose for which it was
made;
5. Provided, that at the end of the period of lease, all improvements shall belong to
the Lessor without deductions from any rentals due; Provided, further, that no
improvement that will affect the structural and subterranean sufficiency and
integrity of the premises will be introduced in the area of lease;
6. INSPECTION OF PREMISES: The Lessee shall allow periodic inspection of the
premises by the Lessor, any of its duly authorized representatives or any
personnel of any government office or agency during office hours of any day;
7. TERMINATION OF LEASE: That should any portion of the leased premise be
destroyed by any event including but not limited to those agreed upon by the
parties may then agree to a reduction of the rent until the premises is restored;
Provided, that should the government or any of its agencies expropriate the
premises or any portion thereof, the provisions of the preceding paragraph shall
apply; Provided, finally, that at the expiration of the lease the lessee shall
peacefully surrender the possession of the premises to the Lessor without any
need of any demand and the continued occupation of the Lessee after the
expiration of the period shall be on a daily basis with an increase of rentals by ten
(10%) per cent per month computed daily until the Lessee vacates the premises
plus whatever damages that the Lessor may suffer as a result of the withholding
of possession of the premises;
8. ACTION FOR EJECTMENT: That in the event of any refusal on the part of
Lessee to vacate the premises for any reason whatsoever, the Lessor is hereby
authorized to take possession over the premises at the expiration of the Lease by
giving the Lessee a fifteen (15) Day notice to vacate and to post the same notice
at any conspicuous place in the premises without need of Court order the filing of
any action before the Courts or Barangays. For this purpose , the Lessor has the
right to employ every reasonable force and means to gain entry of the premises
in the presence of police authorities and the Barangay who will maintain peace
and order in the process; Provided, should the Lessee have any claim or claims
against the Lessor, the same shall not be a ground to withhold possession over
the premises;
