TOTAL PRICE: 609.000,00 EURO

EXCLUSIONS:
- All those works or modifications that need to be carried out to insert the machines within any already existent processing lines and
that have not been taken in consideration when placing the order.
- All building works that might become necessary to carry out.
- Any hoisting equipment and means and any labour that might be necessary for the emplacement and assembling of machines.
- Anchoring the machines to the floor.
- Auxiliary installations and connections (such as suction and water systems and equipment, etc.)..
- Mains supply lines to the machines (such as power, compressed air, steam, water supplies, etc.
- Whatever else is not specifically mentioned in the order placed.

WARRANTY:
The Warranty period lasts 12 months, starting the date of the delivery and considering the machine as to be used 8 working hours per
day. Should the machine be used more than the said 8 working hours per day, the warranty should be intended proportionally
reduced.
The warranty provides for eventual construction faults or defects caused by low quality material and equipment employed to build the
machines. For the equipment supplied by third parties (such as gear reducers, motors, electric and electronic equipment) and
employed by TECNOCEAM SRL to build the machines, TECNOCEAM SRL will extend to its client the same warranty conditions that
the supplier offers to TECNOCEAM SRL. For the warranty to be applied for the faulty or damaged equipment or components will
need to be acknowledged as such by TECNOCEAM SRL or one of its Representatives or Agents.
The warranty does not provide for damages caused by incorrect maintenance service or lack of attention of personnel in charge of
running the machines. The warranty also provides for the expenses required to replace faulty material or equipment in the premises
stated by TECNOCEAM SRL. Travel, board and lodging expenses necessary to eventually replace the faulty material or equipment in
the location where the machines are actually installed are to be charged on the Purchasers account. All faulty equipment or
components will have to be returned to TECNOCEAM SRL and all transportation expenses are to be on the Purchasers account.
Contract Warranty provides for replacing only faulty equipment or components but not for the whole machinery.

INSTALLATION AND GENERAL OPERATIVE TEST AND INSPECTION:

On the Purchasers account.
The general operative test and inspection trial is to be executed within 15 days after the date of delivery. Otherwise, passed the 15th
days after the date of delivery without that the said General Operative Test and Inspection Trial have been executed, the payment
terms bound to the General Operative Test and Inspection Trial and the warranty period will take effect from that same date.

DELIVERY:
To be agreed upon.
For delivery date it is understood the date in which TECNOCEAM SRL informs the Purchaser that the machines are in TECNOCEAM
SRLs premises, ready to be delivered.
The afore said data will be settled only the date the order is officially placed (upon receiving the signed due order and the agreed
advance payment) and upon receiving the samples and any other necessary items needed to build the machinery.

RESERVED PROPERTY:
Every machine remains the propriety of TENOCEAM SRL until the whole agreed purchase price has been fully paid. The lack of full
payment on the due dates will be considered as a breach of the sales contract and will give TECNOCEAM SLR the right to rescind
unilaterally the sales contract with effect from the date the intention to rescind the sales contract is communicated to the Purchaser.

INNOVATION:
TECNOCEAM SRL will not feel compelled to inform the Purchaser of any modifications it considers necessary to apply to the original
or precedent versions of the machinery while building it in order to improve the machinerys construction or operativeness while
keeping unchanged the purchased items intended use and efficiency.

The seat, or legal place, of arbitration shall be Parma.

In case of controversies and/or withdrawing the purchase of machinery by the Purchaser, the Constructor will have the right to keep
any advanced payment without the Purchaser having any right to claim any return.

VALIDITY OF THE OFFER: 60 days
