001.01 General Conditions

1.
The vessel will be delivered alongside the yard, where redelivery will also take place.

2.
A detailed time schedule covering each tendered repair item shall be submitted from the yard after firm booking.

3.
The vessel to be docked and properly shored in dry-dock.

4.
During the vessel's stay, the yard must accept any requirement to perform repairs in excess of the specified work,
and to open machinery, tanks and spaces in the vessel for examinaition as requested by Owner's representative.

5.
The Shipyard is to specify the number of days requred:
1) In the dry dock.
2) Alongside at the repair berth.

The Yard is also to state:


3) Normal working periods.
4) Overtime periods.

6.
The Shipyard is to arrange necessary tug boats and line handlers to manoeuvre the vessel for:
1) Arrival and departure at the Yard.
2) Mooring and unmooring at repair berth.
3) Entering and departing from the dry dock.

Tender to include all costs for mooring and unmooring.

At arrival to yards wharf, from wharfe to dry-dock, and from dry-dock to


sailing.

Vessel is expected to sail directly from dry dock.

7.
The vessel to be accepted by the shipyard at the yard's full responsibility concerning workmanship and quoted
number of running days for carrying out full and complete works to the extend specified.

8.
The yard is also to be responsible for safety during repairs including frequency of checks in the vicinity of repairs
and stand-by capacity to deal with whatever may arise, for example, fire or evacuation of personnel in emergency
situation.

9.
The yard must supply safety control and hazard prevention measures, in accordance with modern safety
principles, and is held responsible for aforesaid for the vessel and personnel working on board during the stay at

the yard.

10.
Where specified "to be opened up for inspection", possible repairs must be carried out within the offered time.

11.
Tank cleaning of oil tanks adjacent to areas where hot work will be carried out, to be included in the tender.

12.
Measurements in the specification are approximate and not guaranteed, wherefore yard to take final working
measurements.

13.
Prices for work carried out in excess of this specification are to be based on the unit prices previously tendered.
For items where less work than specified has been carried out the previously tendered unit prices will be the basis
for recalculation.

14.
Additional work may only be ordered by Owner's representative. He must also be notified immediately by the
yard if any damage is discovered or extra work is necessary.

15.
The Owner reserve the right to alter or exclude any of the items contained in the following specification.

16.
The Owner reserve the right to employ, without any surcharge from the yard, their own work force and service
engineers for maintenance and repairs during the vessels stay at the yard.

17.
All access work, staging and cleaning in way of repairs necessary for safe burning and welding to be performed by
the yard and included in the tender.

18.
All renewed material and affected adjacent areas are to be treated according to the original specifications, or as
instructed by the Owner's representative.

19.
All material utilised to be of similar quality, strength and size as the original material. Certificates to be supplied
when necessary.

20.
Renewal of bolts, studs, nuts and gaskets where necessary during overhaul/repair of valves, pumps, sw. pipes, etc.
to be included in the tender

21.
All repairs to be carried out to first class standards of workmanship and to the satisfaction of the Class surveyor
and Owner's representative.

All transport of machinery parts, tools, steel etc. to be carried out as necessary, and to be included in tender.

23.
Earth connection from shore to be established after the vessel is dry in the dock.
If welding shall take place on rudders, propeller blades, or any machinery, direct earth connection must be
established and connection verified by the chief prior to welding commenced.

24.
All expenses to Class Society are Owner's account.

25.
All removed parts and machinery items remain the Owner's property.

26.
Any damage caused by the yard's negligence arising during the repairs or shifting of the vessel to be repaired by
the yard without any extra charge or time beeing used.

27.
In the tender also to be included all dirt and rubbish caused by the repairs to be removed and disposed of during
and on completion of the repairs.
Vessel is to be cleaned to the satisfaction of the Owner's representative upon completion of all repairs.

28.
The vessel to be properly cleaned on deck and in engine room before redelivery.
Price to be included in the tender

29.
Work completion list is to be presented to the Owner's representative prior to the vessel's departure from the
Shipyard.

30.
All items to be marked in the final docking bill in accordance with numbers used in the specification.

31.
Yard to present draft to the final invoice for Owners representative with description of work and price item by
item within 2 days after the vessel's departure.

32.
Where a Drydock and repair agreement already exist between Clipper Marine Service A/S and the Shipyard then
conditions as stated in said Agreement will supersede the aforementioned where applicable.

001.02 Clipper Standard Repair Contract

1.
General Terms of Agreement:

Drawings to be approved by Classification and reviewed by owners 14 days prior to vessel arrival to shipyard.

Owner to supply shipyard with conceptional drawings, ships drawings, and technical information pertaining to
owner supplied equipment.

Owner to submit all changes to shipyard 30 days prior to arrival in shipyard.

All parts and materials outside the list of owners supplied parts to be supplied by the shipyard.

All installations to be in compliance with ABS Classification, IMO regulations for all applicable installations, and EC
MED 96/98 regulations.

The vessel will be delivered alongside the yard, Redelivery will also take place at same point of delivery.

The vessel to be docked and properly shored in dry-dock, if placed in docking facility.

The yard must, within the quoted time of repair, accept any requirement to perform repairs in excess of the
specified work, and to open machinery, tanks and spaces in the vessel for examinaition as requested by Owner's
representative and/or Classification Society.

All dirt and rubbish caused by repairs to be removed and disposed of during and after repairs.The vessel to be
properly cleaned on deck and in engine room before redelivery to a condition at least equal to that of vessel's
arrival in the yard. (to be confirmed by owners representative.)

For work done in excess of this specification, cost to be calculated at same unit price as offered in the yards
quotation. The Owner reserves the right to reject any oral bids. For work done less than specified, the same unit
price to be deducted accordingly. Refer to attached Std Terms of contract, ANNEX B. The mentioned form must be
properly completed and signed prior to comencement of additional works.

All renewed and touched up materials to be painted in accordance with the Clipper standard for new deck
Coatings and Coating repair.

All access work, staging and cleaning in way of repairs necessary for safe burning and welding to be performed by
the yard and included in the tender.

Any damage caused by the yard's negligence arising during the repairs or shifting of the vessel to be repaired by
the yard without any extra charge or time beeing used.

All materials used for repairs to be of the same strength, size and quality, and standard as original unless
otherwise specified.

Renewal of bolts, studs, nuts and gaskets where necessary during overhaul/repair of valves, pumps, sw. pipes, etc.
to be included in the tender, and to be to minimum of existing standard unless otherwise specified.

All repairs to be carried out to first class standards of workmanship and to the satisfaction of the Class surveyor,
Owner's representative and underwriter.

Measurements in the specification are approximate and not guaranteed, wherefore yard to take final working
measurements.

Where specified "to be opened up for inspection", possible repairs must be carried out within the offered time.

All transport of machinery parts, tools, steel etc. to be carried out as necessary and included in the tender. Owner
supplied equipment to be delivered to the shipyard for owners account.

The vessel to be accepted by the shipyard at the yard's full responsibility concerning workmanship and quoted
number of running days for carrying out full and complete works to the extend specified. (See std Terms of
Contract for Liability)

The yard is also to be responsible for safety during repairs including frequency of checks in the vicinity of repairs
and stand-by capacity to deal with whatever may arise, for example, fire or evacuation of personnel in emergency
situation.

The yard must supply safety control and hazard prevention measures, in accordance with modern safety
principles, and is held responsible for aforesaid for the vessel and personnel working on board during the stay at
the yard. If yard, due to unforeseen occurrences outside force mejeure clause should prolong specified work time,
this clause to be applied in full. If the Owner specifies additional work extending running quoted time, and this is
accepted as aforesaid, this clause to be applied in full.

Additional work may only be ordered by Owner's representative. He must also be notified immediately by the
yard if any damage is discovered or extra work is necessary. Yard personnel is to be warned not to accept
additional work unless authorised by Yard Sup. If no agreement has been secured beforehand, Owner will not be
liable to pay for the additional repair cost. No extension of time will be accepted unless mutually agreed that the
extra work cannot be carried out concurrently with the specified work.

The Owner reserve the right to alter or exclude any of the items contained in the following specification. The
Owner reserve the right to employ, without any surcharge from the yard, their own work force and service
engineers for maintenance and repairs during the vessels stay at the yard.

All items to be marked in the final docking bill in accordance with numbers used in the specification.

A Work Schedule Plan for hull treatment, Cargo hold treament, machinery and deck work, showing time allotted
for each major item, with start and finishing time based on realistic assessment of manhours and distribution of
manpower to be handed to the Owners Representative before work start.

A Work Schedule Plan for major steelworks and/or outfitting showing : Cleaning, staging, fitting, welding
inspection, testing and final cleaning including de-staging for each space under repair. All periods to be based on

realistic assessment of manhours and distribution of power to be handed to the OwnerRepresentative before
work start. Schedule to be delivered 10 days before vessel arrival, and/or before beginning of any prefabrications.
Shipyard to liaise with all sub-contractors regarding inspections, so as to prevent any missed inspection
opportunities or unnecessary delays.

Daily Safety and Production meeting to take place for evaluation of ongoing works.

Delivery of all associated safety documents to be presented and discussed as part of Daily Safety and Production
meeting.

Tank cleaning of oil tanks adjacent to areas where hot work will be carried out, to be included in the tender.
General plan of vessel, showing arrival, commencement of major work, docking, painting, undocking and
departure. This plan must be composed as to ensure that no interdependency and hindrance will occur, such as
ballasting, transport, etc.

Work Completion Lists to be submitted to vessels Master/Chief Engineer for


verification and signatures SUBJECT TO OWNERS APPROVAL prior
departure of vessel from Shipyard. Two (2) copies of same to be delivered to
vessel prior departure and one(1) copy to Owners Representative.

Record of Inspection for Hull and Machinery Repairs etc. to be completed and one set to be given to vessel prior
departure and one set to Owners Representative and Class Surveyor when required.

Unit prices for services and repairs to be specified in the tender where
applicable.

Yard to present final invoice for Owners representative with description of work and price item by item the day
after the vessel's departure.

All removed parts and machinery items remain the Owner's property.

All works to be properly documented, including all manufacturer supplied partsmanuals, M&Rmanuals. All steel
works, and engineering systems which have been installed or refit, to be properly documented with technical
drawings properly endorsed by attending classification society.

2.
Standard for New Deck Coatings, Coating repair:

All steel supplied to be pretreated and shop primed.

All pre-manufactured steel to be abrasive blasted to minimum Sa 2 acc ISO 8501-1 followed by minimum 300
modified epoxy. Assembling joint to be masked of.

All repaired areas to be cleaned with high pressure fresh water hosed for removal of contamination and salts. Oil
and grease to be removed with appropiate detergant.

After drying, spots of bare metal to be mechanically cleaned to minimum St-3 according to The Swedish Standard
ISO 8501-01. Surrounding epoxy coating to be roughened in order to secure proper adhesion.

Coating system to be applied is a modified epoxy with a minimum dry film thickness of 300 or in compliance to
Hempel's Maintenance Specification.

All shell coating, including vertical anti-corrosive, and certical-bottom anti-fouling to be in accordance with STX
Coating specification (See attached STX Coating specification)and shall be supplied by Sigma Kalon Coatings.

Owner to supply all coatings.

Shipyard to demonstrate proper DFT, and application methods upon completion of coating application to the
satisfaction of the attending Superintendent.

Shipyard to provide spot repair to any coatings belonging to owner supplied equipment to the standard of the
equipment manufacturer.

All difficult accessable areas, rough weldings, joints, sharp edges and lock holes to be stripe coated twice.

IF MORE THAN ONE PAINT SPECIFICATIONS ARE ATTACHED, YARD TO QUOTE FOR ALL.

Actual areas for blasting and other forms of surface treatment will be confirmed on site inspection with the
Owners Representative after consultation and agreement.

The Yard is not to appoint their Contractors representative to get engaged in negotiations over the extent of
areas chargeable.

If night work is required, the Yard must appoint a responsible foreman to oversee the work and to carry out joint
inspection with Owners and Paint Maker Representative. The Yard should not leave it to the Contractor
Supervisor who may not comply and attend to complaints of improper works.

Surface preparation must be examined by Owners Paint Specialist prior to application of paint and also each coat
applied to be examined before application of the next coat.

All grit blasting areas to be specified and agreed by Owners Representative prior to blasting works being carried
out.

Sensors for speedlog, echosounder, anodes and others to be shielded and protected against damage by grit
blasting and painting and thereafter to be removed before flooding of dock.

Necessary scuppers and overboard pipes to be plugged or extended in order not to wet hull during hull treatment.

Owner will supply all paints.

Empty paint drums to be kept aside after consumption and to be accounted for and witness by the Chief
Officer/Owner's Paint Specialist for calculating the actual total quantity of paint consumed.

Treatment of hull must be strictly controlled at each and every stage in


conjunction with Paint Specialist arranged by the Owner. Painting can only
commence after checking of surface by Paint Specialist with special tools whom will then give permission to
proceed with painting.
No painting is to be carried out without permission from Owners Paint Representative.

Please quote your unit prices inclusive of necessary staging and mobile cranes / cherry pickers necessary for the
painting works and removed on completion of works.

Structural works and equipment to be appropriately masked with canvas or similar to prevent 'overspray'.

Standards for Welding and Post treatment:

Welding proceedures to be in accordance with ABS rules. (See ABS Rules for Steel Hulls 2.4.1)

Post treatment processes to be in accordance with ISO standards. (See ISO 25.220

6.
Standard for Electrical cabling and Outfitting:

Electrical cabling to be in accordance with ABS Rules, IBC 2007 Code and SOLAS 2006. (See ABS Rules for steel
ships 4.8.1, IBC 2007 Ch10& Ch17, SOLAS ChII-I Reg.45)

Electrical Cabling to be in accordance with IEC Standards. (See attached dwg MPRXCX TCX Cable spec.pdf) ABS to
verify cabling installation. Cable certificates to be delivered to Owner.

7.
Required General Services:

Vessel to be shifted into and out of drydock and properly shored to avoid strain during drydocking. Docking plan
to be supplied by Owner.
Standard dock block arrangement to be checked, keel block in way of plugs to be lowered. Intermediate rows of

side blocks forward and aft to be adjusted to vessel's shape.

Necessary assistance to be provided for mooring and unmooring. Rigging assistance to be rendered.

Yard to ensure vessel berths alongside once, either before or after drydock. If more than one berthing, Yard will
have to bear all related expenses and cost of mooring operations.

Hire of tug and pilot service for vessel docking and undocking movements to be included in tender.

Electrical power supply as follows:


AC 3x440V - 60Hz -300 A is to be available during the vessel's stay at the Yard. Necessary cables to be connected
and disconnected in good order.
Meter readings to be recorded by Yard personnel in the presence of Chief Engineer and signed at end of dock stay.
Chief engineer to verify proper phase rotation prior to accepting shore services.

Necessary gas-free certificates for deck, tanks engine room and cargo tanks to be provided and also permission
for hotwork. All expenses involving marine chemist to be included in tender.

Sea water pressure from shore to be kept on vessel's fireline during time of repair.

Connection and disconnection of hoses to be included in the unit price.

Fireman to patrol entire vessel during repair period in the Yard.


Owner will not be liable to pay if no patrol man reports to duty officer on board or found not on board at all
times.

Fresh water to be supplied as requested during vessel's stay at yard.

Crane service and other transportation services for provisions, machinery parts and other stores to be provided as
requested. Yard to inform minimum notice required.

Garbage to be collected and disposed off daily during time of repairs as required. Owner will pay only for number
of disposals and not for the entire docking period simply because the garbage receptacle is placed on board the
vessel.

If required, connecting pipe to be fitted to ship's sewage tanks discharge and tanks to be emptied ashore as
necessary by ship's pump.
Connection and disconnection of hoses to be included in the unit price.

If necessary, steam to be supplied for heating of vessel's accommodation.

Cooling water to be supplied for engineering auxiliaries as needed while in docking facility.

Working air to be supplied during drydocking. Connection and hoses to be fitted and afterwards removed in good
order.
Connection and disconnection to be included in the unit price

Ballasting of vessel for drydocking. Cost of removal and refitting of air vent pipe for filling ballast water is to be
included in the unit price. When refilling of ballast water prior to undocking Owner can request for minimum

ballast water for vessels stability and vessel is to be permitted to use its own ballast pumps for filling additional
ballasts when suction valves are flooded by dock water.

Sufficient scuppers to be fitted in order to avoid running down ship's side during painting and removed after
completion of hull painting. All neccessary stagings and cherry pickers required to be included in the unit price.

005.01 Safety

1.
The vessel's CO-2 main delivery line to the engine room, engine control room, emergency diesel generator room
and cargo holds will be blanked off upon arrival at the Shipyard by the vessel's crew.

2.
The Shipyard will arrange a fire guard with the necessary fire fighting and communication equipment at the
location of all "hot work" areas. The fire guard is to make a frequent inspection of all work and adjacent areas
during meal hours and in the period after the work has been stopped or completed.

3.
The Shipyard will arrange that the vessel's main fire line is kept under pressure from the yard's sea water system
at a minimum of 7 bar for the periods that the vessel cannot pressurize its own firemain. In cases where the
vessel's firemain is being repaired the Shipyard will make alternative arrangements to ensure that fire fighting
water is available for distribution throughout the vessel.

4.
All accessory work to ensure absolute safety during the repair period, such as extra staging, local cleaning and
arrangement of access and escape routes is to be the Shipyard's responsibility.

5.
The Shipyard is to arrange for "Fit for entry" and "Gas Free" Certification prior to any work being caried out in
enclosed compartments. Ventilation of compartments is to be arranged by the Shipyard.

6.
The Shipyard is to ensure that Local Authority Regulations in relation to work being carried out in confined spaces
on board the Owner's vessel are adhered to.

7.
The Shipyard is not to remove any bottom plug from any tank until confirmation has been given by a member of
the Vessel's crew that it is safe to do so.

8.
The Shipyard is not to remove any manhole cover from any tank until confirmation has been given by a member
of the Vessel's crew that it is safe to do so.

9.
The Shipyard is not to dismantle any pipe work until confirmation has been given by a member of the Vessel's
