Memorandum of Understanding

Between

Retail Gurus (Partner 1)

and

Glitterz (Partner 2)

This Memorandum of Understanding (MOU) sets for the terms and understanding between the
Retail Gurus and the Glitterz to e-commerce operations.

Background
Retail Gurus are specialist and expert in performing e-commerce operations. It is specific to the
clientele which are using conventional method to market their products and have less/nil
experience to perform the above said operations.
Whereas, Glitterz is a named brand that deals in Luxury/Jewellery products whose range
includes and is not limited to Handbags, Clutches, and other such products.

Purpose
This MOU will help Glitterz expand its market dominance and expand the market both
domestically and internationally*. Thereby adding the footprints of Glitterz to digital space, we
are expected to raise the revenue of Glitterz. *If requirements are met by Glitterz

The above goals will be accomplished by Retail Gurus as per the companys policies.

Operation
All the e-commerce operations will be handled by Retail Gurus and Glitterz agrees to provide
with the following:
A. Product Updates (Inventory Update) regularly to Retail Gurus.
B. Products demanded by Retail Gurus as per online order.
C. Staff (if necessary and demanded) by Retail Gurus.
Products once dispatched goes outside the jurisdiction of Retail Gurus.
Products before being dispatched are under jurisdiction of Retail Gurus.
Any license renew/acquiring etc will be the responsibility of Glitterz and thus will be provided
to Retail Gurus if needed.
Retail Gurus will not start operation of any product whose license is not yet acquired by
Glitterz.

Funding
1. Whole of the revenue generated (through e-commerce) will be credit to the Current
Account of Glitterz. Glitterz also agrees to share the whole profit above the costing they
have charged for the products to Retail Gurus in its Account.
 2. Glitterz also agrees to do the payment within 15 days of the payment demanded by the
Retail Gurus.
3. Notwithstanding anything in this agreement, Packaging cost will be collective effort
between the parties and thus will be borne by both.
4. Retail Gurus take no responsibility of the replacement/refunds of the product and will be
borne completely by Glitterz.
5. Any loss of product once outside the jurisdiction of Retail Gurus (includes but not
limited to transit, customer fraud) will not be borne by it.
6. In case of termination of agreement (barring mutual termination) security deposit by any
partner is likely to be forfeited.

Duration
This MOU is at-will and may be modified by mutual consent of authorized officials from (list
partners). This MOU shall become effective upon signature by the authorized officials from the
(list partners) and will remain in effect until modified or terminated by any one of the partners by
mutual consent.

Termination
Notwithstanding, anything in this agreement the MOU stands terminated if :
1. Glitterz is unable to provide the payment to retail gurus within 15 days, from the 1st of
each month.
2. Any party violates any terms and condition as discussed above.
3. Glitterz engages into another Agreement/MOU with any entity that performs the
same/similar role as done by Retail Gurus.
