1. Parties. This memorandum of understanding (hereinafter referred to as

"MOU) is made and entered into by and between Zaireen Travels Mumbai
referred to as first party, whose address is ................................. and Clinic
Overseas (P) ltd (Govt. License No. 1121/073/74) referred to as second
party whose address is Tokha Road, Samakhushi, Kathmandu Nepal.

2. Purpose: The Purpose of this MOU Is to establish the term And Conditions
Under which Zaireen Travels and Clinic Overseas P. LTD. Would work
Together on Mutually Beneficially Business Projects Namely Employment
Opportunities for Nepalese Applicants.

Term & Conditions Of MOU.

a) This MOU is effective upon the day and date last signed, for duration of
Five Years (5) and Executed by the Legally Authorized Representatives of the
parties to this MOU. This MOU may be terminated, without cause or
penalty, by either party upon one months written Notice. This MOU may be
extended beyond the term stated above by written consent of the legally
Authorized Representatives of Both Parties.

b) Both Parties Agree to be associate partners in their geographical location

and extent assistance wherever possible (Globally).
Responsibilities of 1st party :
a. To tie up with GCC companies (Clients) for recruitment from Nepal.

b. Make sure the Nepal Government required documents will be obtained

from GCC countries.

c. Obtain need full attestation for the deployment of candidates.

d. Ensure the package, term and condition mentioned in the offer for
employees in received on timely manner.

e. To attend employees issue In case of any post recruitment challenges, 1st

Party shall involve & resolve it amicably.
f. To attend employees Insurance & other benefits to care the 1st party.
g. In case of death to attend employes to return his death body with Insurance
money to responsibilities of 1st party.

Responsibilities of 2nd Party :

a. Provide candidate as per the demand letter.

b. Insure that the candidates recruited as per the clients demand.
c. Insure the candidates have the said documents as per cvs in
fulfilling.
d. Take care of advertisement in Nepal and all the necessary work.
e. Adhere to the time frame given by the clint.
