MAINTENANCE OF SEWAGE TREATMENT PLANT (STP) WORKS WITH SKID
MOUNTED MBR SYSYTEM-300KLD AT TIDEL PARK, TARAMANI, CHENNAI
TIDEL Park Ltd. is a state-of-the-art IT Park with Built up area of 1.3 Million Sq.ft. TIDEL
invites Techno commercial tender for SUPPLY, ERECTION, COMMISSONING, AND
OPERATION & MAINTENANCE OF SEWAGE TREATMENT PLANT (STP) WORKS from
experienced Manufacturer / Contractors who meet the following criteria:
(a) The BIDDER should be a well established and reputed STP Contractor, based
either in India or a foreign country with Indian Branch and experience of minimum Five
years in the supply and installations of STP with SKID MOUNTED MBR SYSYTEM Works
of multi-storied buildings or industrial complex including allied works.
(b) Should have an annual turnover of Rs.3 Crores in all kinds of STP works during
any one of the past four financial years ending on 31st March, 2015.
(c) Shall produce Banker's Solvency Certificate of the value of Rs.60 Lakhs obtained
not earlier than three months from the last date for submission of tender.
(d) Should have installed minimum two numbers of STP SKID MOUNTED MBR
SYSYTEM of capacities not less than 3,00,000 litres per day and these plants
should be in operation for more than one year during the last five years.
(e) Should have undertaken Operation & Maintenance of STP for a minimum period of
2 years during last five years.
Tender documents can be purchased from the Tidel park office, Chennai, during office
hours before 3.00 PM on 18.08.2015 on payment of Rs.4,500/- including VAT (Cash/DD in
Favour of Tidel Park Ltd.Payable at Chennai).
Tender documents can be available in website viz www.tidelpark.com .The tenderers may
also download the documents from the above website and submit the bid along with
demand draft in favour of TIDEL PARK LTD payable at Chennai.
Tidel Park Ltd reserves the right to accept/ reject any one /all the tenders without assigning
any reason thereof.

Ltd., Chennai which amount is not to bear any interest. Should I/we fail to execute the
contract when called upon to do so, I/we do hereby agree that this sum shall be
forfeited by me/us to the TIDEL Park Chennai Ltd., Chennai

6. We agree to abide by this Bid for the period of ninety days from the date of opening of
bid and it shall remain binding upon us and may be accepted at any time before the
expiration of that period without any additional cost.
7. Unless and until a formal agreement is prepared and executed this Bid together with
your written acceptance thereof, shall constitute a binding contract between us.

covering conditions, the specifications the Scope of work and the Schedule of Quantities
initiated by TIDEL PARK LIMITED have been signed by or on behalf of the parties hereto.
AND WHEREAS the contractor in response to TIDEL tender, submitted their bids for
providing the aforesaid services. TIDEL finalized M/S.. as the
Contractor for such services with effect from .

AND WHEREAS the Contractor has supplied the TIDEL with a fully priced copy of the said

WHEREAS the said documents (hereinafter referred to as "the Contract Document") and the
Contract Bills have been signed by or on behalf of the parties hereto.
NOW IT IS HEREBY AGREED AS FOLLOWS:
1. For the consideration hereinafter mentioned the Contractor will upon and subject to
the Conditions annexed carry out and complete the job shown upon the Contract
Document and described by or referred to in the Contract Bills and in the said
Conditions.
2. The TIDEL will pay the Contractor the said contract amount Rs. ................. (Rs in

Contract Sum") or such other sum as shall become payable hereunder at the times
and in the manner specified in the said Conditions.
3. The said Condition and appendix thereto shall be read and construed as forming part

themselves to the Conditions and perform the agreements on their parts respectively
in such Conditions contained.

4 WHEREAS the TIDEL is desirous of operation and maintenance including Repairs
under STP system (hereinafter called the Work) and has caused documents and
schedule of Quantities showing and describing the work to be done from ---------------

5. And WHEREAS the contractor provided Bank quantities for a value of Rs. ---------------
6. And WHEREAS the contractor agreed to for with15 days before the aforesaid bank
guarantee a expires separate Bank Guarantee for a entire O& M Period plus six
months @10% of the highest value of 10 years O&M changes of agreed.
7. The agreement and documents mentioned herein shall form the basis of this
Contract.
8. This Contract is neither a fixed Lump sum Contract nor a Piece Work Contract but is
a Contract to carry out the work as detailed in the Tender document in respect of
provision for the above mentioned works / systems at TIDEL Park Building complex
and its services & Facilities to be paid for according to actual services performed and
works done at the lump sum rates contained in the Schedule of Quantities or as
provided in the said Conditions.
9. The TIDEL reserves to itself the right of altering the Documents and nature of the
work by adding to or omitting any items of work or having portions of the same carried
out without prejudice to this Contract. There shall be changes ordered by the TIDEL
on the scope and the Contractor shall not be entitled to any compensation or claim
due to such change (s) / Order (s) by the TIDEL. The Contractor will only be paid for
the actual services performed and works done payable at the accepted unit rates.
10. Time shall be considered as the essence of this contract and the contractor hereby
agrees to commence the work from the date of acceptance letter issued by TIDEL
PARK LTD as provided for in the said conditions and to complete the entire work
within the stipulated period or the extended period as granted by the TIDEL.
11. The contractor should have the required license to install the respective STP and
should have Insurance Policy to cover their workmen deployed and the associated
risk for the assigned work at TIDEL Park for Erection, Commissioning and Testing
etc.
12. This Contractor is neither a fixed Lump sum Contract nor a piece work contract but is
a contract but is a contract to carry out the work in respect of provision of operation
and maintenance services for the above mentioned works / systems at TIDEL
building complex and its services & facilities to be paid for according to actual
services performed and works done at the lump sum rates contained in the schedule
of quantities or as provided in the said conditions.
13. Timely performance of the contract obligation shall be considered as the essence of
the contract and contractor hereby agreed and commenced the work on _______as
provided for in the said conditions and to perform the job during and within stipulated
contract period.

14. All payments by the TIDEL under O & M contract will be made only at Chennai in
Indian rupees and shall be with in 14 (fourteen) days from submission of interim bills
(quarterly in arrears) including period of checking and certification shape and format
to be mutually agreed. The final payment will be made after 3 months after
completion of contract and due verification of final bill with all necessary supporting
documentation.
15. All payments by the TIDEL under this contract will be made only through Banking
Channel at Chennai in Indian Rupees.
16. Except as in the circumstances/manner below, all disputes and differences of any kind
whatsoever arising out of or in connection with the agreement shall be deemed to
have arisen at Chennai and only courts in Chennai shall have jurisdiction to resolve
the same.
17. On any dispute or difference whatsoever arising between the parties out of or relating
to the construction, meaning, scope, operations or effect of this contract or the validity
or the breach thereof, the parties shall first Endeavour to settle the same amicably in
a spirit of co-operation. If the dispute cannot be amicably settled either party shall as
soon as practicable give to the other party notice in writing of the existence of such
dispute or difference, specifying the nature and the point at issue and the same shall
be settled by Arbitration in accordance with the Arbitration and conciliation Act 1996
as amended time to time .This dispute or difference shall be referred to the sole
Arbitration of the Managing Director of TIDEL Park Ltd or his nominee including any
officer of TIDEL nominated by him and the Contractor shall not raise any
objection to such Arbitration on the ground that the Arbitrator is an officer of TIDEL
and as such is an interested party or that the Arbitrator so appointed has earlier dealt
with the subject matter of this agreement
18. That the several parts of this Contract have been read by the Contractor and fully
understood by the Contractor.

shall have the fullest liberty without our consent and without affecting in any manner our
obligations hereunder to vary any of the terms and conditions of the said Agreement or to
extend time of performance by the said Contractor from time to time or to postpone for any
time or from time to time any of the powers exercisable by the TIDEL against the said
Contractor and to forbear or enforce any of terms and conditions relating to the said
agreement and we shall not be relieved from our liability by reason of any such variation or
extension being granted to the said Contractor or for any forbearance act or omission on
the part of the TIDEL or any indulgence by the TIDEL to the said STP Contractor or by any
such matter or thing whatsoever which under the law relating to sureties would but for this
provision have effect of so relieving us.
This guarantee will not be discharged due to the change in the constitution of the Bank or
the Contractor.
We hereby waive the necessity of your demanding the Contractor before presenting us with
the demand.
This Bank Guarantee shall be valid up to ----------- (contract period plus six months) unless
this guarantee is extended for further period on demand from TIDEL Park Limited without
referring to Contractor.
We are liable to pay the guaranteed amount or any part thereof under this Bank Guarantee
only if you serve upon us a written claim or demand on or before ---------- or within the
period extended thereafter based on the demand from TIDEL Park Limited.

SECTION III
GENERAL INSTRUCTIONS AND NOTICE INVITING BID
1. Submission of Bid:
Sealed Bids should be addressed to The Managing Director, M/s. TIDEL PARK
LIMITED, First floor, TIDEL park, No.4, Rajiv Gandhi Salai, Chennai 600 113, and
super scribing the name of the Bid on the top left hand corner of the cover and the
name of the Bidder on the bottom left hand corner of the cover and sent so as to
reach him not later than 15-00 hours on 19.08.2015.
The Bid shall be two cover system / Two part bid system, Part I, the Technical and
Qualification Bid along with E.M.D. and Part II, the Price Bid. Both the Parts each in
separate sealed covers Part1 &Part 2 (i.e. Part I in cover 1 & Part 2 in cover 2) have
to be submitted together placed inside in a common sealed cover
Part I (Technical and Qualification Bid) of the Bid document consists of Part - I (A),
I(B) & I(C) pertaining to Conditions of Contract (I-A), Pre -Qualification criteria (I-B)
and Technical Specifications (I-C) and Part II (Price Bid) of Bid document pertaining
to Schedule of Quantities shall be submitted in duplicate i.e. one original and one
copy. All the enclosures Bidders wish to submit shall also be in triplicate. (Part 1-B
Technical Specifications : Duplicate copies need not be submitted.)
All Bid duly signed and affixed with the seal of the Bidder shall be returned in a
separate cover and need not be sealed., at the time of submission of the Bid.
The Bid document shall be submitted in duplicate. The original Bid document issued
to the Bidder shall be marked Original and copies marked as `Duplicate Should
there be any discrepancy/ies in filling / write-up among the original and the copy of the
Bid documents, the Original shall be given effect and the duplicate copies are
subject to amends as per Original.

A Bid, which is not accompanied by EMD in the approved form in a separate
envelope attached to the sealed cover, will be rejected.
The duly sealed Bids shall be submitted to The Managing Director, M/s. TIDEL
PARK LIMITED, First Floor, TIDEL Park, 4,Rajiv Gandhi Salai, Chennai 600 113,
after super scribing the name of work, Bid Part No. and name of Bidder so as to reach
him not later than the due date and time specified above.
No indication of Bid value or any financial aspect of Bid shall be made in any manner
in any of the enclosures, covering letter etc. in cover 1 containing Part-1(A), (B) & (C)
(Technical and Qualification Bid). If so, such Bid may be rejected.
2. Late Submission:
Interested parties may inspect & quote the rates in specified application format on
or before 19.08.2015 @ 3.00 P.M. In case of the last date stipulated is declared
as Public Holiday by the Government under Negotiable Instruments Act, the last
date will be the next working day @ 3.00 P.M.
The bidder shall make their arrangement to submit their bid after obtain gate pass or
any other procedure if any required to submit bid within stipulated time / date. Hence
it is advised to submit in advance without waiting for last date/ time. Under any
circumstance, Tidel will not accept any bid after the last date /time.
A Pre Bid meeting will be held at 03.00 P.M. on 30.07.2015 at the office of TIDEL
Park Limited, First Floor, TIDEL Park, No.4, Rajiv Gandhi Salai, Chennai
600 113. Clarifications required by the Bidders may be sought in writing from TIDEL
Park Limited and in any case not later than 3 (three) days before the date of pre-bid
meeting. Clarifications issued by TIDEL Park Limited and the minutes of pre-bid
meeting, which form part of the bid document will shall be sent to all Bidders who
have purchased documents. The minutes will also be posted in TIDELs website. No
queries written or oral shall be entertained after the Pre-bid meeting.
4. Opening of Bid :
Part I (Technical and Qualification Bid) of Bids shall be opened on the same day
19.08.2015 at 3.30 P.M. by TIDEL Park Limited in the presence of the Bidders or
their representatives who choose to be present. Part II, the Price bid of only those
Bidders who qualify in the Technical and Qualification Bid will be opened separately
on a date to be fixed by the TIDEL and intimated to all qualified bidders after scrutiny
of Part I of Bid and appraisal thereof and no intimation on account of this will be given.
If need be, the Bidders may be called for discussions, clarifications or negotiations
after tender evaluation.

5. Validity of Bid:
Bids shall remain valid for acceptance by TIDEL Park Ltd for a period of ninety days
from the date of opening of Technical bid, which period may be extended by mutual
agreement and the Bidder shall not cancel or withdraw the Bid during this period.
The Bidder must use only the prescribed forms issued by TIDEL Park Ltd., to fill in
the rates. The Bidder is to check that the Bid document is complete in the number of
pages, etc.BIDS are not transferable and will be accepted only from the parties who
have purchased from TIDEL Park Ltd. .
The BID is open to reputed, well established and experienced contractors, who
satisfy the qualifying criteria stipulated in Part 1-B.
The STP Contractor will cooperate and coordinate with the TIDEL to ensure
sequential, unhindered, and harmonious progress of work with the sole objective of
completion of the entire project including the services ,within the stipulated period
for Civil and allied works.
The BID shall be signed by the BIDDER or his Authorised signatory having power of
attorney subject to a copy of the power of attorney /authority by the authorized
signatory being enclosed.
9. Disputes
All disputes arising out of or in any way connected with this agreement shall be
deemed to have arisen at Chennai and only Courts in Chennai shall have jurisdiction
to resolve the same.
The BIDDERS shall themselves be responsible for all the costs incurred in
preparing, collecting information, providing clarifications or attending discussions,
conferences or in making presentations, site visits etc for submission of the BID. No
claim for reimbursement on this account will be entertained by the TIDEL.

12. Signing of Bid:
Bidders must sign and affix their seal in all pages of the original copy of the Bid and
also original Bid drawings. The name of the Bidder shall appear on each page of the
Bid documents.

Demand Draft for Earnest Money Deposit.
If the sealed Bids are sent by post or courier service, the Bidders shall ensure that the
Bids are posted or dispatched sufficiently early so that the Bids are received by the
TIDEL, at their office in Chennai, within the stipulated submitted deadline time. The
cover shall be addressed to The Managing Director, TIDEL Park Limited, First
floor, TIDEL Park, 4, Rajiv Gandhi Salai, Chennai-600 113. If the Bids are to be
delivered in person at the above address, the sealed Bids shall be deposited before
the stipulated deadline, at the aforesaid office.
Bids made by telegram, fax, e-mail or telex and those received late will be neither
opened nor considered.
TIDEL Park Ltd., have the right to reject any Bid that does not comply with the above
procedure and stipulations.
The TIDEL, reserves full discretion to award part of the work to any other agencies if
they so desire and the bidder shall not be entitled to withdraw his bid on this account
and any such withdrawal will entail forfeiture of the earnest money deposited with the
bid. No compensation or extension of time shall be granted under such
circumstances.
The Bid form must be filled in English and all entries must be made by hand and
written in ink. If any of the documents is missing, or unsigned, the Bid may be
considered invalid by the TIDEL, in its discretion.
Rates should be quoted both in figures and words in Indian Rupees (INR) in columns
specified. In case of discrepancy between the rates quoted in figures and words, the
lower of the two shall be considered. Where there is a discrepancy between the unit
rate and the line item total resulting from multiplying the unit rate by the quantity, the

unit rate as quoted shall govern. All erasures and alterations made while filling the
Bid must be attested by initials of the Bidder and stamped. Overwriting of figures and
the use of whiteners are not permitted. Failure to comply with these conditions will
render the Bid invalid and it will be the option of the TIDEL, to accept or reject the
Bid. No unsolicited advice of any change in rate or conditions after the opening of the
Bid will be entertained. Payments by TIDEL will be made in Indian Rupees only.
Each page of the Bid documents should be signed by the person or persons with
seal of authority submitting the Bid in token of his/their having acquainted
himself/themselves
with the General Conditions of Contract, Specifications, Special Conditions, etc., as
laid down. Bid documents not so signed will be rejected.
The Bid submitted on behalf of a firm shall be signed by all the partners of the firm or
by a partner who has the necessary authority on behalf of the firm to enter into the
proposed contract. Otherwise the Bid may be rejected by the TIDEL. Copy of Power
of Attorney shall be submitted.
The Earnest Money Deposit of the successful Bidder shall be returned without any
interest by the TIDEL, on furnishing a Performance Bond within 7 days of LOA in the
form of Bank Guarantee Indian Nationalized Bank in the format appended herein for
an amount of 10% of the contract sum, valid till the end of defect liability period of
one year from the date of satisfactory handing over of the completed works by the
STP Contractor to the TIDEL with provision for direct re-validation on demand by the
TIDEL, when so called for, for the execution and due fulfillment of the Contract. The

Performance Bond shall be returned after successful completion of Defect Liability
Period or two months after the last notified defect had been rectified, whichever is
later.
Performance Bond for O&M Contract excluding defect liability period, Performance
Bond with form of Bank Guarantee 15 days before expiry of Performance Bond
(including such extended up to as per clause 23) above @10% of the highest value of
5 years contract for O&M Charges as agreed initially.
25 Retention Money:
In addition to the Performance Bond in the form of Bank Guarantee as required under
Clause No.23 above, as a further security for the due fulfillment of the contract by the
STP Contractor, 10% of the value of the work done will be deducted by the TIDEL
from each payment to be made to the STP Contractor until the retention money
amounts to a maximum of 5% of the contract sum of the work. On Virtual completion
of the works, 50% of the retention money would be refunded and the balance after
due completion of all obligations under the contract agreement and one year defects
liability period commencing from the date of taking over by the TIDEL or two months
after the last notified defect pointed out had been rectified, whichever is later. The
amounts retained by the TIDEL shall not bear interest.
All compensation or other sums of money payable by the STP Contractor to the
TIDEL under the terms of this Contract may be adjusted / deducted from either cash
retention amount or by call of Performance Bank Guarantee if the amount so permits
and the STP Contractor shall, unless such deposit has become otherwise payable,
within ten days after such deduction make good in cash the amount so deducted.
The STP Contractor shall not assign the Contract. No portion of the Contract shall be
given on subcontract except with the prior written consent of the TIDEL. In case of
breach of these conditions, the TIDEL may serve a notice in writing on the STP
Contractor rescinding the Contract whereupon the Performance Bond and retention
money as contemplated in clause 25 above shall stand forfeited to the TIDEL, without
prejudice to his other remedies against the STP Contractor and specifically the
remedy under clause 42 of the General Instructions and Notice Inviting Bid.
The STP Contractor shall carry out all the work strictly in accordance, instructions of
the TIDEL. If in the opinion of the changes have to be made in the design and with
the prior approval in writing of the TIDEL they desire the STP Contractor to carry out
the same, the Contractor shall carry out the same without any extra charge. The
TIDEL decision in such cases shall be final and binding on the STP Contractor.

29. Bill of Quantities:
The scope of STP work is the electromechanical part and minor civil works connected
should contain not only the rates but also the value of each item of work entered in
the amount column and all the items should be totaled in order to show the aggregate
value of the entire Bid. The value of each item worked out shall be rounded off to a
nearest Rupee ignoring Paise below fifty.
The Bidder must obtain for himself on his own responsibility and at his own expense
all the information which may be necessary for the purpose of making a Bid and for
entering into a contract and must examine the Drawings and must inspect the site of
the work and acquaint himself with all local and site conditions, means of access to
the work, nature of the work, availability of any infrastructure and all matters
appertaining thereto. Ignorance of the site conditions shall not be accepted by the
TIDEL as a basis for any claim for compensation.
The rates shall also be firm and shall not be subject to variations in costs of any or all
inputs, such as but not limited to, materials, labour, exchange variations, labour
conditions, fluctuations in railway freights or any conditions whatsoever. Tenderers
must include in their rates, taxes and duties.
The Bidder shall note that the makes of materials mentioned in the Bid document are
intended for use on work. Any other equivalent product will be considered only (i) if
the product is not under production or (ii) if qualified/trained personnel are not
available as applicators and (iii)subject to the alternative product satisfying the
specified technical and operational parameters and (iv)subject to prior approval of the
TIDEL.
The rate should include in the quoted rates the cost of travel and accommodation for

a maximum of persons representing TIDEL for being present at the place of testing at
manufacturers factory / assembly shops, whether in India or abroad.
The rate shall include for arranging inspections by Chief Electrical Inspector to
Government and any Other Officer statutorily empowered to inspect and approve the
installations, and getting final approval for all the Electrical Installations related to STP
and STP installations in the Building complex of TIDEL Park Limited. No separate
payment will be made by the TIDEL towards this obligation of the contractor. However
statutory fees to be paid for the Electrical Installations and STP installations will be
paid by TIDEL on receipt of notice for the same from the statutory body.
The Bidder should note that unless otherwise stated the Bid is strictly on item rate
basis and his attention is drawn to the fact that rates for each and every item should
be correct, workable and self-supporting. The quantities in the Schedule of Quantities
approximately indicate the total extent of work but may vary to any extent and may
even be omitted thus altering the aggregate value of the Contract Sum. No claim
shall be entertained on this account.
Time allowed for carrying out the work as mentioned in the Memorandum in the Bid
form shall be strictly observed by the Contractor and it shall be reckoned from 15
days from the date of issue of LOA. The successful Bidder shall before commencing
work prepare a detailed work programme which shall be approved by the TIDEL. The
work shall throughout the stipulated period of the Contract be proceeded with all due
diligence and if the Contractor fails to complete the work within the specified period
he shall be jointly and severally with his partners, associates and agents etc. liable to
pay liquidated damages (not as penalty) as defined in clause 43.of the Conditions of
contract.
The Contractor shall not be entitled to any compensation for any loss suffered by
him on account of delays in commencing or executing the work, whatever the cause
of delays may be, including delays arising out of modifications to the work entrusted
to him or in any sub-contract connected therewith or delays in selection & nominating
agencies for other trades of the project or in commencement or completion of such
works or in procuring Government controlled or other building materials or in
obtaining water and power connections for construction purposes or for any other
reason whatsoever and the TIDEL shall not be liable for any claim in respect thereof.
The TIDEL does not accept liability for any amount besides the contract rates.
The successful Bidder is bound to carry out any item of work necessary for the
completion of the job even though such item(s) is or are not included in the quantities
and rates. Schedule of instructions in respect of such additional items and their
quantities at mutually agreed rates in writing will be issued by the TIDEL.

36. Specification:
The successful Bidder should note that all the works shall be carried out strictly in
accordance with the Indian Standard specifications / specifications made by the
TIDEL and also in compliance of the requirements of the local/ public authorities and
to the requirements of TIDEL and no deviation on any account will be permitted.
The Bidder shall furnish along with his Bid Basic prices of important material viz.,
Membrane for various makes be provided .
The basic cost of materials and labour quoted by the Bidder will be treated only as
information by the Bidder to evaluate his Bid rates and will not be considered for
any other purpose. TIDEL has the right to select any one of the make.
The Bidder shall indicate in Bill of Quantities the Type of Membrane he has
considered for arriving at the rate.
However, in case of unreasonably low or unreasonably high item rates in the bid,
the Bidder may be called to justify the same based on the basic cost of materials
and labour quoted.
39. Water & Power :
The rate quoted in the tender shall also include expenditure for providing for
Water and Power required for construction work and the Contractor shall have to
make his own arrangements to obtain power connections and maintain at his own
expense an efficient service of electric light and power and shall pay for the
electricity consumed. The TIDEL shall give all possible assistance to the
Contractor to obtain the requisite permission from the various Authorities, but the
responsibility for obtaining the same shall be that of the Contractor. Any shortfall
in quantum of electric power from local electric companys supply shall be made
up by necessary captive generators at site which the Contractor shall install at
site. All charges connected with installing, running and maintaining of the
generators, including all statutory approvals shall be borne by the Contractor.
If no such facility is available at the site of the work or , if available and found
inadequate ,it shall be the responsibility of the contractor to make his own
arrangement for obtaining WATER and POWER at his cost. The power required
for testing and commissioning of all other contractor work shall be arranged by the
contactor at a chargeable basis.

40. Compliance of Safety Code:
The Contractor shall strictly comply with the provision of safety code. The
Contractor shall keep the TIDEL fully indemnified against any claims or liabilities
arising out of Contractors lapse in safety practices.
The Contractor Safety officer and safety supervisor who shall be responsible for all
matter relating to overall safety at the site of work.
Instances of Non compliance to safety provisions called for as per this contract, by
the contractor, Shall warrant a penalty for every instance recorded by TIDEL. These
penalties shall be recovered from the contractors running Bills.
The amount covered by Performance Bond Bank Guarantee of the successful Bidder
and the Retention Money retained by the TIDEL under clause 25 of these instructions
will be forfeited if the Contractor fails to comply with any of the condition of the
Contract.

On completion of mobilization, the contractors shall have themselves issued with a
certificate, stating COMPLETION OF MOBILIZATION,
The acceptance of the First running bill by the Contractor shall be subject to
Completion of mobilization as certified by TIDEL.
Billing Frequency:

The contractor shall submit running bills for the extent of works completed once in
every month or for an amount not less than 5% of the contract sum , which ever is
earlier , for due scrutiny by TIDELs & further settlement by the TIDELs.
Payment at part rates for the supply of materials, erection & testing against
agreement
Rates may be made in the running account bills at the percentage quoted below
The part rate to be allowed for an item shall be as assessed and decided by the
TIDEL for the extent of work done and whether the item could be
Completed in all respects as per specification within the balance amount available.
Full rate shall be released in subsequent bills on completion of the item of work
in all respects as per specifications and the amount paid at part rate shall be duly
deducted.
60% of accepted rate of item Against delivery of all materials of item at site with

20% of accepted rate of item On erection.
10% of accepted rate of item On testing and successful commissioning after
erection
and handing over to the TIDEL.

TIDEL shall certify the running account bills within 15 days from the date of submission
of bills in complete shape by the STP Contractor with all required enclosures,
attachments etc. The TIDEL shall make payment within 15 days from the date of
certification of bills.
Deductions in Interim Payments:

a. 10% of the gross value of bill will be deducted towards retention money from each
running bill except on initial mobilization advance payment until the retention money
amounts to 5 % of the contract sum of work.

b. Secured advance, if any, paid on specified materials shall be recovered full in the
next Running bill on erection and billed
c. Any other applicable deductions as per Conditions of Contract.
d. Other applicable deductions.
e. Service tax & Cess there on as applicable will be paid extra.
f. The Owner will perform such duties in repeat to the deductions of such taxes at
source as applicable as per law.
The payment for operation & maintenance shall be made quarterly basis after submission
of all required supporting documents.
The STP WORKS Contractor shall submit his final bill for the works within three months of
Completion of works. The bill shall be based only on works as measured and at accepted
agreement rates including rates for any additional or extra work which might have been
sanctioned by the TIDEL. All deductions due under the contract shall be made.
Final bill shall be submitted by the STP/ETP WORKS Contractor within three months from
the
date of completion of works.
The contractors final bill shall be certified for settlement, within 30 days upon acceptance
by the
TIDEL, and payments on this shall be effected within 30 days thereon.
The TIDEL shall make payment for the final bill within one month from the date of
certification
of final bill by the TIDEL and validation by TIDELs Engineers.
High Seas Sale is not allowed for the importing of all items including membrane.
The Contractor shall draw a detailed schedule of programme in the form of PERT
CHART of the whole work, within one week after the award of the work and submit to
the TIDEL for approval.
Management Meeting:
Site meeting will be called at regular intervals and the Contractors or his senior
representative will be required to be present at such meetings to discuss progress of
the work and other matters including any deviation from the drawings or
specifications.
Quality assurance records shall be produced during site meetings.

46. Contract Sum:
The accepted contract sum as stipulated in the Letter of Award of work based on the
Schedule of Quantities and accepted unit rates shall be considered for the purpose
of determination of amount for Performance Bond, deductions of Retention Money
and determination of percentage amount for liquidated damages.
Quote Rate only (QRO) rates are negotiable at the time of evaluation of Bids.
Negotiated and accepted rates will be applicable as and when the item is operated.
Any discount offered by the Bidder will be applicable to QRO rates also.
The rates and amounts for the alternative items if any specified in the Schedule of
Probable quantities shall be filled in without which the Bid will not be considered.
The TIDEL reserves the right to adopt any of the alternative items, either during
scrutinizing and deciding upon the Bid or later when the works are being executed.

50. Qualifying Criteria
The TIDEL or his authorised representatives reserves the right to verify any part of
the information furnished by the bidder in the Document for Qualification without
any prejudice to the terms and conditions of the Contract. The bidder is deemed to
have given his consent for the right of verification by the TIDEL when the bidder
submits the particulars called for in the document for qualification.
55. Headings:
All headings and marginal notes in any part of Tender document are solely for the
purpose of facilitating reference and giving concise indication and not a summary of
the contents thereof, and they shall never be deemed to be part thereof or be used in
the interpretation or construction thereof or of the contract.

h) The Bankers certificate should bring out specifically, the financial strength of
the Bidder to sustain the required cash flow / initial capital, working capital
and other investments required for executing this work within the time

j) Detailed time schedule with break-up from start to finish (the Time Schedule
furnished in the Bid document is to be taken as a guideline). The bidder is
expected to elaborate on this and submit a detailed schedule with linkages
to quantity / rate of production / outturn and labour deployed.
k) Any other submissions not listed above, but which may have been called for
in any other part of this Bid documents (Bidder to verify and ensure
compliance). Bidder is also required to verify and include items listed in
Check list of submission .
l) In particular, the attention of the bidders is drawn to the financial and legal
status for which supportive documents shall be submitted without any defect
/ ambiguity / deficiency. If the documents submitted contain any deficiency,
the bid is likely to be rejected without warranting any further consideration.
5) Likewise, if it comes to the notice of the TIDEL that the bidder has suppressed any
information or furnished misleading or inaccurate information, or in case whether
any litigation currently in progress at the time of submission of bids lead to the
decree by the Court of Law against the bidder, the TIDEL reserves the right to
nullify the qualification and to disqualify the bidder at any stage of the project. If
such information becomes available to the TIDEL prior to issue of Letter of Intent,
the bidder will be disqualified and will not be considered for award of work, even
though the bidder is eligible for LOI. If such information comes to the knowledge of
the TIDEL after the award of work, the TIDEL reserves the right to terminate the
Contract unilaterally at the total cost and risk of the bidder and such action would
include but not limited to forfeiture of all deposits, guarantees etc. furnished in any
form. The TIDEL will also reserve the right to recover any Retention Money,
Guarantees submitted, including invoking of the Performance Bond.
6) The bidder shall be deemed to have waived rights if any that they may have or
perceive to have as a result of their not being pre-qualified and shall not hold TIDEL
for any loss they may have suffered due to their not being pre-qualified.
7) The second part of the Bid, namely Part - II (Price Bid) (Original) should be
submitted in a separate sealed cover superscribing Cover 2 Part II Price Bid.
TIDEL, will decide the time and place of opening of the Price bid and the names of
bidders whose Price bid will be opened on the basis of the method of evaluation
described elsewhere in this section.
8) Both the covers, i.e. Cover 1 and Cover 2 should be put in a common cover, which
should also be sealed and superscribing the name of work, Bid Part No., and name
of Bidder

9) Evaluation Method: The method of evaluation will consist of three stages.
9.1 First Stage: In this stage, the Cover 1 containing the EMD will be opened.
If EMD is not submitted or is deficient, TIDEL, reserves the right to reject the entire
Bid of the concerned bidder and no further evaluation will be done.
For the documents downloaded from the website, If DD for Rs. 4500/- is not
enclosed towards the cost of purchase of tender while submitting offer, TIDEL will
reject the said submission.
9.2 Second Stage: If the EMD submitted is acceptable, evaluation will be done
on the Technical cum Prequalification Bid to assess whether substantive response
has come from the Bidders to the basic prequalification criteria and the queries in
the bid document and whether supported by documentary evidence as called for.
9.3 Third Stage: In the Third and final stage, the PRICE BID of only those
BIDDERS who satisfy the basic prequalification criteria and have substantively
responded to queries and who have been prequalified in the second stage will be
opened and only the bidder who has complied with the tender conditions in full and
who is the lowest in price bid will be chosen as the Lowest Bidder for the award of
work subject nevertheless to the rights of TIDEL, to call for clarifications and
negotiations with the Lowest or any bidder before the award of work.
10) If it is found that the Bidder having been selected on the basis of his submissions
and support documents thereof in the Prequalification cum Technical bid but after
Award of Contract or during execution, his commitments of resources / levels of
performance falls short from what has been promised in the technical bid, TIDEL,
reserves the right to take any one or more of the following actions, as it deems fit :
a) Cancel / terminate the contract at the cost and risk of the bidder including re-
Bid and award to another bidder with all attendant consequences and
responsibilities being put on the terminated contractor, including forfeiture of
all bonds, guarantees, deposits etc.
b) Engage another vendor/ Direct Sub-Contractor / supplier / sub-agency
directly by TIDEL, if it is assessed the selected Contractor deviated from the
commitment made in the Technical bid. TIDEL, may even directly pay such
parties and recover costs from STP Contractor.
c) In case material procurement is not conforming to the technical submissions
/ technical specifications of the bid, TIDEL, reserves the right to procure
directly at the cost and risk of the STP Contractor and instruct the STP
Contractor to use such materials so procured without any costs
compensation to the STP Contractor, and recover costs incurred by TIDEL,
from the STP Contractor.
d) Engage additional labour either directly or through sub-contractors, if it is
seen that the Contractor fails to perform as committed in the technical bid, at
the cost and risk of the Contractor.
e) Procure or lease any equipment / formwork etc. in case of shortfall /
deficiency at the cost and risk of the Contractor.
11) TIDEL reserves the right to annul the process of Bid or to accept or to reject all
or any of the Bids without thereby incurring any liability to any applicant or any
obligation to inform any participant of the grounds for its action or assigning any
reasons thereof.

12) The Bidder hereby agrees to abide by TIDELs decision on prequalification and
on all matters pertaining to this bid and undertakes not to resort to any actions
either Legal or otherwise against TIDEL, in this regard, including direct / indirect
canvassing / influencing etc., Violation of this clause will lead to summary dis-
qualification of the bidder without any reference to them.

2. Definitions
U
All those mentioned as such in the Agreement and shall include their legal
representatives, assigns or successors. They are treated throughout the Contract Document
as if each were of the singular number and masculine gender.
"The Site" shall mean the site of the contract work including erections thereon and any
other land allotted by the TIDEL for Contractor's use.
The term "Sub-Contractor", as employed herein, includes those having a direct contract
with the Contract and it includes one who furnishes material worked to a special design
according to the plans or specifications of this work but does not include one who merely
furnishes material not so worked. Any one doing work on a piece rate basis shall be deemed
a Sub-Contractor.
The Term specialist contractor shall include such specialist agencies selected by the
TIDEL and inducted as Specialist contractor of a particular trade, and shall be known STP
contractor selected to execute SEWAGE TREATMENT PLANT (STP)works, and etc .
Written notice shall be deemed to have been duly served if delivered in person to the
individual or to a member of the firm or to an office of the corporation for whom it is intended,
or if delivered at or sent by registered mail to the last business address known to him who
gives the notice.
The term "Work" of the Contractor or Sub-Contractor includes labour or material or both.
All time limits stated in the contract document are of the essence of the contract.
The law of the place of work shall govern the construction under this contract.
The date of virtual completion of a project or specified area of a project is the date when
construction is sufficiently completed, in accordance with the Contract Documents as
modified by any change or variation orders agreed to by the parties, so that the TIDEL can
occupy the project for the use it was intended.
The word 'Client' finds elsewhere in the Bid documents/agreement is the term used
to address the TIDEL.
The words Bidder shall mean the short listed construction agency / agencies who Bid
for the work.

The Contract Document is complementary. What is called for in any one shall be as
binding as if called for by all.
The Contract Document shall remain in the custody of TIDEL Park Ltd.,., so as to be
available at all reasonable times for the inspection of the Contractor. Immediately after the
execution of the contract one copy of the Contract Document shall be supplied by the TIDEL
Park Ltd., to the Contractor.
4. Type_of_Contract
U
The Contract shall be an item-rate contract. The Contractor shall be paid for the actual
quantity of work done, as measured at site, at the rates quoted by him in the Contract Bills.
5. Schedule_of_Quantities
U
The schedule of Quantities given in Contract Bill is provisional and is meant to indicate
the intent of the work and to provide a uniform basis for Bidding. The TIDEL reserves the
right to increase or decrease any of the quantities or to totally omit any item of work and the
Contractor shall not claim any extras or damages on these grounds.
Where the STP Contractor has not quoted against and entered the bid, for item / items in
the Schedule of Quantities and the bid had been accepted on the basis that the cost of the
item / items of work was included in the rates of other items of the bid and thereafter
compared with other bids to ensure uniform basis of bidding and comparison, then the STP
Contractor shall execute the full quantity of the said item / items in the Schedule of Quantities
at his own cost without charging extra. If the said item / items of work cannot be executed in
full for any reason, the value of such work / works to the extent not executed as assessed by
the TIDEL, shall be deducted from any bills, notwithstanding the fact that the contract sum of
the value of work done exceeds or decreases from the value of work at the time of award of
work. The decision of the TIDEL in all such cases shall be final and binding on the parties.

Any variation either addition or deletion in any of the items required by the TIDEL during
execution of work will be based on the unit rates quoted.
Any error in description or in quantity or omission of items from the Contract Bill shall not
vitiate this Contract but shall be treated as a variation.
6. Contract Sum
U
The Contract sum shall not be adjusted or altered in any way whatsoever otherwise than
in accordance with the express provisions of these conditions, and subject to clause 5 of
these conditions any error whether of Arithmetic or otherwise in the computation of the
Contract Sum shall be deemed to have been accepted by the parties hereto.
7. Contract Bills
U
The quality and quantity of the work included in the contract sum shall be deemed to be
that which is set out in the Contract Bills which Bills unless otherwise expressly stated in
respect of any specified item shall be deemed to have been prepared in accordance with the
principles of the standard method of measurement of building works last before issued by the
Bureau of Indian Standards but save as aforesaid nothing contained in the Contract Bills
shall override, modify or affect in any way whatsoever the application or interpretation of that
which is contained in these conditions.
Any error in description or in quantity or omission of items from the Contract Bills shall not
vitiate this Contract but shall be corrected and deemed to be a variation required by the
TIDEL.
8. Scope_and_Intent

Scope_: The general character and the scope of the work is illustrated and defined by

the Specifications and the Bills of Quantities herewith attached and by the signed Drawings.
If the Contractor shall find any discrepancy in or divergence between the Contract Drawings
and/or the Contract Bills he shall immediately give to the TIDEL / TIDEL a written notice
specifying the discrepancy or divergence and the TIDEL shall issue instructions in regard
thereto.
Extent_:
U U
The Contractor shall carry out and complete the work in every respect in accordance
with this Contract and with the directions of and to the reasonable satisfaction of the TIDEL.
Intent_:
U U
The intention of the Document is to include all labour and materials, equipment and
transportation necessary for the proper execution of the work. All such drawings and
instructions shall be consistent with the Contract Document, true developments thereof and
reasonably inferable there from. Materials of work described in words which so applied have
a well known technical or trade meaning shall be held to refer to such recognized standard.

9. Facilities_and_Co-operation
U
In the case of works indicated on the Drawings but not included in the contract the
Contractor shall provide necessary facilities and co-operation for any Subcontractor or
supplier who may be approved by the TIDEL.
The Contractor shall not endanger any work by cutting, excavating or otherwise altering
the work and shall not cut or alter the work of any other Contractor save with the consent of
the TIDEL.
The Contractor shall set out and level the work and shall be responsible for the accuracy
of the same. He shall provide all the instruments and attendance required by the TIDEL
checking the work. He shall entirely at his own cost amend to the satisfaction of the
__________any error found at any stage which may arise through inaccurate setting.
Before Bidding, the Contractor shall have visited, examined the site and existing STP
System satisfied himself as to the nature of the modifications of existing system including the
character of the soil and of the excavations, the correct dimensions of the work and the
facilities for obtaining any special articles called for in the Contract Document and shall have
obtained generally his own information on all matters affecting the continuation and progress
of the works.
Possession:

Treasure:
U U
Any Treasures, Coins or objects of Antiquity, which may be found at site shall be
handed over to the TIDEL.
The Contractor shall prepare programme charts in the form of PERT CHART and submit
the same for approval of the TIDEL for his record within a week of the Award of the Contract.
The charts shall indicate the expected date of commencement and completion of each of the
items of the work and shall be in a form approved by the TIDEL.

13. Access for TIDEL/TIDEL to the Works
U
The TIDEL and his / their authorised representatives shall at all reasonable times have
access to the Works and to the workshops or other places of the Contractor where work is
being prepared for the Contract and when work is to be so prepared in workshops or other
places of a Sub- Contractor (whether or not a nominated Sub-Contractor as defined in clause
28 of these Conditions) the Contractor shall have a term in the Sub-contract so as to secure
a similar right of access to those workshops or places for TIDEL and his representatives and
shall do all things reasonably necessary to make such right effective.
Decision_:
U U
The TIDEL shall within a reasonable time make decisions on all claims the Contractor
and all other matters relating to the execution and progress of the work or the interpretation of
the Contract Document.
The TIDEL may in his absolute discretion and from time to time issue further, Details
and/or written instructions, written directions and written explanations in regard to:
A. Variation or modification of the design / integrating SKID Mounted MBR System with
existing STP System.
B. The quality or quantity of works of the additions or omission or substitution of any work.
G. The amending and making good of any defects under Defects Liability Period.
H. The removal from the site of any materials brought thereon by the Contractor and the
substitution of any other material there for.
J. Assessment of delay beyond stipulated contract period, and grant pf extension of time, or
levy of liquidated damages.
K. The postponement of any work to be executed under the provision of this Contract.
Dismissal_:
U U
The Contractor shall on the request of the TIDEL dismiss from the works any person
employed thereon by him who may in the opinion of the incompetent or misconducts himself
and such person shall not be again employed on the work without the permission of the
TIDEL.

14. Performance Bond
U
The Contractor shall deposit with the TIDEL for due performance of the Contract a Bank
Guarantee for a sum equal to that referred to in clause no. 23 of General Instructions and
Notice inviting Bid as "Performance Bond" before issue of work order for the work. Intimation
as to selection of Bid for acceptance shall however be made to the successful Bidder.
The Performance Bond shall be in the form of Bank Guarantee as approved by the TIDEL
and shall remain so deposited with the TIDEL till the end of Defects Liability Period of one
year after satisfactory completion as referred to clause no. 23 of General Instructions and
Notice inviting Bid.
The said Performance Bond in the form of Bank Guarantee shall indemnify the TIDEL
against loss from defects arising from any cause under this Contract or due to the failure of
the Contractor to promptly carry out any matters arising under this Contract.
Resident Engineer:
U
The Contractor shall constantly keep on his work during its progress one or more
qualified and competent Resident Engineer who will be responsible for the carrying out
of the works to the true meaning of the Drawings, Specifications and Schedule of the
Quantities, directions to the satisfaction of the TIDEL. Any directions or instructions
given to him by the TIDEL shall be deemed to have been issued to the Contractor.
Attention is called to the importance of requesting instructions from the TIDEL before
undertaking any work where TIDEL's directions or instructions are required. Any such
work done in advance of such instructions will be liable to be removed.
Equipment :
U U
The Contractor shall provide and install all necessary Lifts, hoists, ladders,
scaffolding, tools, tackles, plants, dewatering equipment, shoring, strutting etc., all transport
for labour, materials and plant necessary for the proper carrying on execution and completion
of the work to the satisfaction of the TIDEL.
U Watchmen_: U
The Contractor shall make his own security arrangements to guard the Site and
premises at all times, at his own expense. The security arrangements shall be adequate to
maintain strict control on the movement of material and labour. The Contractor shall extend
the security arrangements to guard the material stored and/or fixed on the premises by the
Subcontractor.
Storage_of_Materials_:
U U
The Contractor shall provide, erect and maintain proper sheds for the storage and
protection of the materials etc. and also for the execution of Work which may be prepared on
the Site.

Scaffolding, Staging, Guardrails_:
U U
The Contractor shall provide scaffolding, staging, guardrails, temporary stairs which
shall be required during construction. The support for the scaffolding, staging, guardrails and
temporary stairs shall be strong, adequate for the particular situation. The temporary access
to the various parts of the Building under construction shall be rigid and strong enough to
avoid any chance of mishaps. The arrangement proposed shall be subject to the approval of
the TIDEL.
House Keeping :
U U
The Contractor shall be required to maintain the site and surroundings in a neat and
orderly manner, free of accumulating debris, haphazard stacking of materials, unhygienic and
unsafe environment, cleaning of the site at all levels inside and outside, removal of unwanted
materials, packing cases etc., shall be undertaken once on daily basis. The Contractor shall
nominate the Safety Officer to be responsible for housekeeping.
There shall be maintained in a readily accessible place first aid appliances including
adequate supply of sterilized dressings and cotton wool.
An injured person shall be taken to a public hospital without loss of time, in cases where
the injury necessitates hospitalization.
Suitable and strong scaffolds should be provided for workmen for all works that cannot
safely be done from ground.
No portable single ladder shall be over 8 meters in length. The width between the side
rails shall not be less than 30 cm. (clear) and the distance between two adjacent rungs shall
not be more than 30cm. When a ladder is used an extra mazdoor shall be engaged for
holding the ladder.
Every opening in the floor of building or in a working platform be provided with suitable
means to prevent the fall of persons or materials by providing suitable fencing or railing
whose minimum height shall be one metre.
No floor, roof or other part of the structure shall be so overloaded with debris or materials
as to render it unsafe.
Workers employed on mixing and handling material such as asphalt, cement mortar or
concrete and lime mortar shall be provided with protective footwear and rubber hand gloves.
Those engaged in welding works should be provided with welder's protective eye shields
and gloves. All persons at site shall wear shoes and protective safety helmets approved for
construction sites.
No paint containing lead or lead products shall be used except in the form of paste or
readymade paint.

Suitable facemasks should be supplied for use by the workers when the paint is applied
in the form of spray or surface having lead paint dry rubbed and scrapped.
Overalls shall be supplied by the Contractor to the painters and adequate facilities shall
be provided to enable the working painters to wash during the period of cessation of work.
Hoisting machines and tackle used in the works, including their attachments,
anchorage and supports shall be in perfect condition.
2. All electrical equipment used by the Contractor will have double earthing and will be
connected through an ELCB.
3. No temporary electrical connections with loose wire will be permitted. For all
electrical connections, proper sockets and plugs will be used and wiring / cabling
clamped.
4. Electrical hand tools like drilling machine will be of 220 volts type.
5. ELCB's will be used wherever power & electrical connections are taken by the
Contract.
6. Fire fighting portable extinguishers will be used and located at appropriate locations.
7. All staff working at heights will use safety belts and standard platforms with one metre
height railing.
10. Standard ladders will be used, non standard ladders will not be permitted.
11. Inflammable materials like Petrol, Kerosene, Wax etc., will not be allowed to be stored
at site stores. Special storage space with fire protection arrangements will be
provided.
12. Each Contractor will keep a well furnished FIRST AID box with easy accessibility.
Respiratory protective equipment should be available with the Contractor.
14. Personal protecting equipment like Ear Muffler, Goggles, Gloves, Safety Belt, Safety
Helmet, Rubber Shoes, etc., should be used and available in Contractor's stores.

15. Use of asbestos to be prevented.
16. If correct manual handling is not used, it can result in back injuries. Therefore all
workers should be trained in safe manual handling. Special objects require special
handling.
18. Contractors to ensure that all equipment tools, brought on to the premises will be in a
safe condition have recently been checked and that all personnel using the
equipment and tools have been trained in their safe use.
19. Contractor to ensure that whilst on site premises, he will comply with all health and
safety legislation as required by the TIDEL.
20. All the platforms, scaffolding and catwalks should have railings of 1 Mt. height and
100 mm toe board. All the catwalks should be minimum 450 mm wide and of grill
type. All ladders should have hand rails.
The Contractors to do work in the project shall follow the guide lines given in the hand
book on health and safety at work appended herewith Appendix F during
execution.
All payments to local bodies towards ESI, PF etc., and for adhering to Contract
Labour Laws shall be borne by the Contractor within his quoted rates.
The Contractor shall comply with and give all notices required by any Government
authority, and instrument, rule or order made under any Act of Parliament or State Legislature
or any regulation or Bye-law of any local authority relating to the work or with whose system
the same is or will be connected. The Contractor before making any variation from the
Contract Drawings or Contract Bills necessitated by such compliance shall give to the TIDEL
a written notice specifying and giving reasons for such variations and the TIDEL may issue
instructions in regard thereto. If within 10 days of having given the said written notice the
Contractor does not receive any instructions in regard to the matters therein specified, he
shall proceed with the work conforming to the Act of Parliament, or State Legislature
instrument, rule, order, regulations or Bye-law in question and any variation thereby
necessitated shall be deemed to be a variation required by the TIDEL.
The Contractor shall pay and indemnify the TIDEL against liability in respect of any fees
or charges (including any rates and taxes) legally demandable under any Act of Parliament,
or State Legislature instrument, rule or order or any regulation or Bye-law or any local
authority in respect of the Work.

24. Royalties and patent rights
U
All royalties or other sums payable in respect of the supply and use in carrying out the
Work as desired by or referred to in the Contract Bills of any patented articles, process or
inventions shall be deemed to have been included in the Contract sum, and the Contractor
shall indemnify the TIDEL from and against all claims, proceedings, damages, costs and
expenses which may be brought or made against the TIDEL or to which he may be put by
reason of the Contractor infringing or being held to have infringed any patent rights in relation
to any such articles, processes and inventions. This clause shall apply equally to Trademarks
and Copyrights
Licenses and Permits for all materials under Government control shall be obtained by the
Contractor through the collaboration and help of the TIDEL, the Contractor shall include in his
Bid all transport charges and other expenses likely to be incurred to bring the materials to the
Site.
The Contractor shall not without the written consent of the TIDEL assign the whole or any
part of the Contract, and shall not without the written consent of the TIDEL (which consent
shall not be unreasonably withheld to the prejudice of the Contractor) be given on
sub-contract any portion of the work.
27. Deleted
a) Where the Contractor in the ordinary course of his business directly carried out works
for which Prime Cost or Provisional Sums are included in the Contract Bills and the
TIDEL is prepared to receive Bids from the Contractors for such items, then the
Contractor shall be permitted to Bid for the same or any of them but without prejudice
to the TIDEL's right to reject the lowest or any Bid. If the Contractor's Bid is accepted
he shall not assign the work without the consent in writing of the TIDEL.
b) It shall be a condition of any Bid accepted under this paragraph that clause 32 of
these conditions shall apply in respect of the Item Work included in the Bid as if for
the reference therein to the Contract Drawings and the Contract Bills there were
references to the equivalent documents included or referred in the Bid.
c) The Contractor shall afford general attendance upon Sub-Contractors including free
use of plant scaffolding and allow them the use of sanitary conveniences, storage
facilities for storing materials, other amenities and affording them all reasonable
facilities for carrying out their Contracts.
The following provisions of these conditions shall apply where Prime Cost sums are
included in the Contract Bills or arises as a result of TIDEL instructions given in regard
to the expenditure of provisional Sums in respect of any materials or goods to be fixed
by the Contractor.

Such sums shall be understood to mean the net cost to be defrayed as a Prime
Cost after deducting any trade or other discount and shall include sales tax (where
applicable) and other taxes and duties and the cost of packing carriage and delivery.
Provided that where in the opinion of the TIDEL. Contractor has incurred expense for
special packing or special carriage such special expense shall be allowed as part of the
sums actually paid by the Contractor.
Such sums shall be expended in favour of such persons as the TIDEL/TIDEL shall
instruct, and all specialists, merchants, tradesman or others who are nominated by the
TIDEL/TIDEL to supply materials or goods are hereby declared to be the suppliers to
the Contractor and are referred to in these conditions as "Nominated Suppliers"
provided that the TIDEL/TIDEL shall not (save where the TIDEL and Contractor shall
otherwise agree) nominate as a supplier a person who will not enter into a Contract of
sale which provides (inter alia) :-
That the materials or goods to be supplied shall be to the reasonable satisfaction of
the TIDEL.
That the nominated supplier shall make good by replacement or otherwise any defects
in the materials or goods supplied which appear within such period as is therein
mentioned and shall bear any expenses reasonably incurred by the Contractor as a
direct consequence of such defects, provided that :
Where the materials or goods have been used or fixed such defects are not such that
examination by the Contractor ought to have revealed them before using or fixing.
Such defects are due solely to defective workmanship or material in the goods supplied
and shall not have been caused by improper storage by the Contractor or misuse or by
any act or neglect of either the Contractor, the TIDEL or by any person or persons for
whom they may be responsible.
That delivery of the materials or goods supplied shall be commenced and completed at
such times as the Contractor may reasonably direct.
All payments by the Contract for materials or goods supplied by a Nominated Supplier
shall be in full, and shall be paid within 30 days of the end of the month during which
delivery is made.
30. Artists and tradesmen
U
The Contractor shall permit the execution of work not forming part of this Contract by
artists, tradesmen or others engaged by the TIDEL. Every such person shall for the
purposes of clause 47 of these conditions be deemed to be a person for whom the TIDEL is
responsible and not be a Sub-Contractor.
31. Separate contracts
U
The TIDEL reserves the right to let other Contracts in connection with the work under
similar general conditions. The Contractor shall afford other Contractors reasonable
opportunity for the introduction and storage of their materials and the execution of their work,
and shall properly connect and co-ordinate his work with theirs. If any part of Contractor's or
Sub-Contractor's work depends for proper execution or results upon the work of any other
Contractor, or Sub-Contractor, the Contractor shall inspect and promptly report to the TIDEL
any defects in such work that render it unsuitable for such proper execution and results.
Failure of the Contractor to so inspect and report shall constitute an acceptance of the other
Contractor's work as fit and proper for the reception of his work, except as to defects which
may develop in the other Contractor's or Sub-Contractor's work after the execution of the
work. To ensure the proper execution of his subsequent work the Contractor shall measure
work already in place and shall at once report to the TIDEL any discrepancy between the
executed work and the Drawings.

32. Variations, Provisional and Prime Cost Sums
U
The TIDEL may issue instructions requiring a variation and sanction in writing any
variation made by the Contractor otherwise than pursuant to an instruction of the TIDEL. No
variation required by the TIDEL or subsequently sanctioned by him shall vitiate this contract.
The term "Variation" as used in these conditions means the alteration or modification of
the design, quality or quantity of the work as shown upon the Contract Drawings and desired
by or referred to in the Contract Bills, and includes the addition, omission or substitution of
any work, the alteration of the kind of standard of any of the materials or goods to be used in
the work, and the removal from the site of any works materials or goods executed or brought
thereon by the
Contractor for the purposes of the work other than work, materials or goods which are not in
accordance with this Contract.
The TIDEL shall issue instructions in regard to the expenditure of Prime Cost and
Provisional Sums included in the Contract Bills and of Prime Cost Sums which arise as a
result of instructions issued in regard to the expenditure of Provisional Sums.
All variations required by the TIDEL or subsequently sanctioned by him in writing and all
work executed by the Contractor for which Provisional Sums are included in the Contract Bills
(other than work for which a Bid made under Clause 28 of these conditions has been
accepted) shall be measured and valued by the TIDEL who shall give to the Contractor an
opportunity of being present at the time of such measurement and of taking such notes and
measurements as the Contractor may require. The valuation of variations and of work
executed by the Contractor for which a Provisional Sum is included in the Contract Bills,
(other than work for which a Bid has been accepted as aforesaid) unless otherwise agreed
shall be made in accordance with the following rules.
The price in the Contract Bills shall determine the valuation of work of similar character
executed under similar conditions as work priced therein.
The said prices, where work is not of a similar character or executed under similar
conditions as aforesaid, shall be the basis of prices for the same so far as may be
reasonable, failing which a fair valuation thereof shall be made.
Where work cannot properly be measured and valued the Contractor shall be allowed
day-work rates on the prices prevailing when such work is carried out (unless otherwise
provided in the contract bills):
(i) At the rates if any, inserted by the Contractor in the Contract Bills or in the form of Bid
or
(ii) When no such rates have been inserted, at the rates prevailing in the market for
material and labour and at the control rates for the controlled materials including in all cases
the rate for delivery of the material at the work.
Over and above the rate so worked out, Contractor's overheads and profits at 15%
(Fifteen) percent shall be added and rate finally arrived for consideration and approval of the
TIDEL.

The above mentioned percentage to be added as overheads & profits to the basic rate
analysis for new items / additional items of work shall include all site and office overheads
& profits of the Contractor, all incidental and connected charges / expenditure, whether
direct or indirect, all applicable taxes, duties and levies as mentioned in Clause No.31 of
General Instructions and Notice Inviting Bid and similar liabilities which the Civil Contractor
may have to incur in the process of completing the said item of work and the said
overheads & profits shall also include all infrastructure facilities, amenities, supervision,
insurance etc.
Provided that in any case voucher specifying the time daily spent upon the work (and if
required by the TIDEL the workmen's names) and the materials employed shall be delivered
for verification to the TIDEL or his authorised representative not later than the end of the
week following that in which the work has been executed.
The prices in the Contract Bills shall determine the valuation of items omitted, provided
that if omissions substantially vary the conditions under which any remaining items of work
are carried out the prices for such remaining items shall be valued under this clause.
Effect shall be given to the measurement and valuation of variations under this condition
in Interim Certificates and by adjustment of the Contract Sum; and effect shall be given to the
measurement and valuation of work for which a Provisional Sum is included in the Contract
Bills under the said Clause in Interim Certificate and by adjustment of the Contract Sum in
accordance with clause 33 of these conditions.
If upon written application being made to him by the Contractor, TIDEL is of the opinion
that a variation or the execution by the Contractor of work for which a Provisional Sum is
included in the Contract Bills (other than work for which a Bid made under clause 28 of these
conditions has been accepted) has involved the Contractor in direct loss and/or express for
which he would not be reimbursed by payment in respect of a valuation made in accordance
with the rules contained in this Clause of the condition and if the said application is made
within a reasonable time of the loss or expense having been incurred then the TIDEL shall
ascertain the amount of such loss or expense. Any amount from time to time so ascertained
shall be added to the Contract Sum, and if an Interim Certificate is issued after the date of
ascertainment any such amount shall be added to the amount which would otherwise be
stated as due in such certificate.
33. Certificate_and_Payments:
U
At the period of Interim Certificate named in the appendix to these conditions the TIDEL
shall issue a certificate stating the amount due to the Contractor from the TIDEL, and the
Contractor be entitled to payment there for within the period for honouring certificates named
in the appendix to these conditions. Interim valuations shall be made whenever the TIDEL
considers them to be necessary for the purpose of ascertaining the amount to be stated as
due in an Interim Certificate.
The amount stated as due in an Interim Certificate shall subject to any agreement
between the parties as to stage payments, be the total value of the work properly executed
and of the materials and goods delivered to or adjacent to the work for use thereon up to and
including a date not more than seven days before the date of the said Certificate less any
amount which may be retained by the TIDEL (as provided in this clause of this condition) and
less any installments previously paid under this Condition, provided that such certificate shall
only include the value of the said materials and goods as and from such time as they are
reasonably, properly and not prematurely brought to or placed adjacent to the work and then
only if adequately protected against weather or other casualties.

The TIDEL may retain the percentage of the total value of the work, materials and goods
referred to in this clause of this condition which is named in the appendix to these conditions
as retention percentage. Provided always that when the sum of the amounts so retained
equals the amount named in the said appendix as limit of retention fund .No further amounts
shall be retained by virtue of this clause.
The amounts retained by virtue of this Clause of this Condition shall be subject to the
following rules: -
The TIDEL's interest in any amounts so retained shall be fiduciary as trustee for the
Contractor (but without obligation to invest), and the Contractors beneficial interest therein
shall be subject only to the right of the TIDEL to have recourse thereto from time to time for
payment of any amount which he is entitled under the provisions of this Contract to deduct
from any sum due or to become due to the Contractor.
On the issue of the certificate of virtual completion, the TIDEL shall issue a certificate for
release of one half of the total amounts then so retained and the Contractor shall be entitled
to payment of the amount released within the period for honouring certificate named in the
appendix to these Conditions.
The measurement and valuation of the work shall be completed within the period of final
measurement and valuation stated in the appendix to these Conditions, and the Contractor
shall be supplied with a copy of the priced bills of variation not later than the end of the said
period and before the issue of the Final Certificate under this Clause of this Condition.
Either before or within a reasonable time after Virtual Completion of the work the
Contractor shall send to the TIDEL all documents necessary for the purposes of the
computations required by these Conditions including all documents relating to the accounts
of nominated Sub-Contractors and Nominated Suppliers.
In the settlement of accounts the amounts paid or payable under the appropriate
contracts by the Contractor to nominated suppliers the amounts paid or payable by virtue of
clause 23 of these Conditions in respect of fees or charges for which a Provisional Sum is
included in the Contract Bills, the amounts paid or payable in respect of any insurance
maintained in compliance with clauses 48 and 49 of these conditions, the Bid Sum (or such
other sum as is appropriate in accordance with the terms of the Bid) for any work for which a
Bid made under clause 28 of these conditions is accepted and the value of any work
executed by the Contractor for which a provisional sum mentioned in the Contract Bills or
arising under TIDEL's instructions issued under clause 32 of these Conditions as the case
may be, and the balance, after allowing in all cases prorata for the Contractor's profit at the
rates shown in the Contract Bills, shall be added to or deducted from the Contract Sum.
Provided that no deduction shall be made in respect of any damages paid or allowed to the
Contractor by any Sub-Contractor or supplier.
So soon as is practicable but before the expiration of the period the length of which is
stated in the appendix to these Conditions from the end of the Defects Liability Period also
stated in the said appendix or from completion of making good defects under clause 44 of
these conditions or from receipt by the TIDEL of the Documents referred to in this Clause of
this Condition, whichever is the latest, the TIDEL shall issue the Final Certificate. The Final
Certificate shall state:

The sum of the amount paid to the Contractor under Interim Certificate and the amount
named in the said appendix as limit of Retention Fund, and,
The Contract Sum adjusted as necessary in accordance with the terms of these
conditions, and the difference (if any) between the two sums shall be expressed in the said
Certificate as a balance due to the Contractor from the TIDEL or to the TIDEL from the
Contractor as the case may be, and subject to any deductions authorised by these
conditions, the said balance shall as from the fourteenth day after the issue of the said
Certificate be a debt payable as the case may be by the TIDEL to the Contractor or by the
Contractor to the TIDEL.
The said certificate shall be conclusive evidence in any proceedings arising out of this
Contract that the works have been properly carried out and completed in accordance with the
terms of this Contract and that any necessary effect has been given to all the terms of this
Contract which require an adjustment to be made to the Contract sum, except and in so far
as any sum mentioned in the said certificate is erroneous by reason of :-
Fraud dishonesty or fraudulent concealment relating to the works, or any part thereof, or
to any matter dealt with in the said Certificate : or
Any defect (including any omission) in the works, or any part thereof which reasonable
inspection or examination at any reasonable time during the carrying out of the works or
before the issue of the said Certificate could not have disclosed : or
Any accidental inclusion or exclusion of any work, materials, goods or figure in any
computation or any arithmetical error in any computation.
Save as aforesaid no Certificate of the TIDEL shall of itself be conclusive evidence that
any works materials or goods to which it relates are in accordance with this Contract.
34. Claim_for_Extra
U
When any instruction or decision given at site involves extra work or where the Contractor
may plan to claim an extra, it shall be the responsibility of the Contractor to inform the TIDEL
of the extra amount and get written authorization from the TIDEL and or the TIDEL before
proceeding with the work involved.
Any modification carried out for expediting or simplifying work at the request of the
Contractor or his representatives shall not be taken as the basis for claiming an extra.
However, if such modification shall also involve an extra, the rate for such modification shall
be settled in advance as per procedure in clause (32) above and written authorisation
obtained by the Contractor from the TIDEL before proceeding with the work involved. If no
such information is given by the Contractor in writing to the TIDEL such modification shall not
be accepted as the basis for extra charge.
If the TIDEL deems it inexpedient to correct work damaged or not done in accordance
with the Contract, an equitable deduction from the Contract price shall be made therefor.

36. Fluctuations
U
The Contractor shall not claim any extras for fluctuation of price and the Contract Price
shall not be subject to any rise or fall of prices and shall be firm throughout the tenure of the
contract.
Unfixed materials and goods intended for, delivered to and placed on or adjacent to the
work shall not be removed except for use upon the work unless the TIDEL has consented in
writing to such removal which consent shall not be unreasonably withheld. Where the value
of any such materials or goods has in accordance with clause 33 of these conditions been
included in any Interim Certificate under the Contract for which the Contractor has received
payment, such materials and goods shall become the property of the TIDEL, but subject to
clause 49 of these conditions (if applicable) the Contractor shall remain responsible for loss
or damage to the same.
All materials and workmanship shall be as per the relevant code of I.S.I. Specification and
of approved type and the Contractor shall immediately remove from the works any material
and/or
workmanship which in the opinion of the TIDEL are defective or unsuitable and shall
substitute proper materials and/or workmanship at his own cost. The term approval used in
connection with this contract shall mean the approval of the TIDEL.
The Contractor shall if required submit satisfactory evidence as to the kind and quality of
material.
Where special makes or brands are called for they are mentioned as a standard. Others
of equal quality may be used provided approval is first obtained in writing from the TIDEL.
Unless substitution are requested no deviation from the Specification will be permitted.
Failure to propose the substitution of any article within 30 days after signing of the Contract
will be deemed sufficient cause for denial of the request for substitution.
The Contractor shall indicate and submit evidence in writing of those materials or articles
called for in the Specifications that are not obtainable for installation in the work within the
Time Limits of the Contract. Failure to indicate the above, within 30 days after the signing of
the Contract, will be deemed sufficient cause for the denial of request for the extension of the
Contract time.
Within 15 (Fifteen) days after signing the Contract, the Contractor shall submit for
approval of the TIDEL a complete list of all material he and his Sub-Contractors propose to
use in the work of definite brand or make which differ in any respect from those specified;
also the particular brand of any article where more than one is specified as a standard. He
shall also list items not specifically mentioned in the Specifications but which are reasonably
inferred and necessary for the completion of the work.

Inspection:
U U
All materials and workmanship shall be subject to inspection, examination, and test
by the TIDEL at any and all times during manufacture and/or construction. TIDEL shall have
the right to reject defective material and workmanship or require its correction. Rejected
workmanship shall be satisfactorily replaced with proper material without additional charge
there for and the Contractor shall promptly segregate and remove the rejected material from
the Works. If the Contractor fails to proceed at once with the replacement of rejected
materials and / or the correction of defective workmanship, the TIDEL may by contract or
otherwise replace such materials and/or correct such workmanship and charge the cost
thereof to the Contractor, or may terminate after giving reasonable notice the right of the
Contractor to proceed further with the work.
The Contractor shall furnish promptly without additional charge all reasonable facilities,
labour and materials necessary for the safe and convenient inspection and test that may be
required by the TIDEL.
39. Defects
U
The Contractor shall make good at his own cost and to the satisfaction of the TIDEL all
defects, shrinkages or small faults, arising in the opinion of the TIDEL from work or materials
not being in accordance with the Drawings or Specifications or Schedule of Quantities or the
Instructions of the TIDEL which may appear within "Defects Liability Period" referred to in the
appendix.
Such defects, shrinkages shall upon directions in writing of the TIDEL, and within such
reasonable time as shall be specified therein be amended and made good by the Contractor,
at his own cost unless the TIDEL shall decide that he ought to be paid for such amending
and making good and in case of default the TIDEL may employ and pay other Contractor to
amend and make good such defects, shrinkage, settlements or other faults and all damages
loss and expense consequent thereon or incidental thereto shall be made good and borne by
the Contractor and such damage, loss or expense shall be recoverable from him by the
TIDEL or may be deducted by the TIDEL upon the TIDEL's certificate in writing from any
amount due or may become due to the Contractor or the TIDEL may, in lieu of such
amending and making good by the Contractor deduct from any moneys due to the Contractor
a sum to be determined by the TIDEL as equivalent to the cost of amending such work and in
the event of the Retention Amount being insufficient recover the balance from the Contractor,
together with any expenses the TIDEL may have incurred in connection therewith.
40. Possession,_completion_and_postponement
U
On the date for commencement stated in the appendix to these conditions possession of
the site shall be given to the Contractor who shall thereupon begin the works and regularly
and, diligently proceed with the same, and who shall complete the same on or before the
date for Completion stated in the said appendix subject nevertheless to the provisions for
extension of time contained in clause 42 of these conditions.
The TIDEL may issue instructions in regard to the postponement of any work to be
executed under the provisions of this Contract.
If at any time or times before Virtual Completion of the work the TIDEL with the consent of the
Contractor shall take possession of any part or parts of the same as may be needed by the

TIDEL on any exigencies then notwithstanding anything expressed or implied elsewhere in
this Contract:-
Such part or parts shall not be deemed to be Virtually Complete.
Virtual Completion of such part or parts shall be considered for the purpose of taking over
only and all provisions under this contract shall be complied with till the entire work is
completed and TIDELs Certificate issued to that effect.
42. Extension
U
Upon it becoming reasonably apparent that the progress of the Works is delayed, the
Contractor shall forthwith give written notice of the cause of the delay to the TIDEL, and if in
the opinion of the TIDEL, the completion of the Work is likely to be or has been delayed
beyond the date for completion stated in the appendix to these conditions or beyond any
extended time previously fixed under this clause.
By force Or By reason of any exceptionally inclement weather. Or By reason of loss
or damage occasioned by any one or more of the contingencies referred to in clause 45 of
these conditions. Or By reason of civil commotion, local combination of workmen strike or
lockout affecting any of the trades employed upon the works or any of the trades engaged
in the preparation, manufacture or transportation of any of the goods or materials required
for the work. Or By reason of TIDEL's instructions issued under clauses 10, 32 or 40 of
these Conditions. Or By reason of the Contractor not having received in due time
necessary instructions, drawings, details or levels from the TIDEL for which he specifically
applied in writing on a date which having regard to the date for completion stated in the
appendix to these conditions or to any extension of time then fixed under this clause was
neither unreasonably distant from nor unreasonably close to the date on which it was
necessary for him to receive the same. Or By delay on the part of Nominated Suppliers
which the Contractor has taken all practicable steps to avoid or reduce. Or By delay on the
part of artists, tradesmen or others engaged by the TIDEL in executing work not forming
part of this Contract.
Or By reason of the opening up for inspection of any work covered up or of the testing
of any of the work, materials or goods in accordance with clause 38 of these conditions
(including making good in consequence of such opening up or testing) unless the inspection
of test showed that the work materials or goods were not in accordance with this Contract. Or
By reason of the Contractor's inability for reason beyond his control and which he could not
reasonably have foreseen at the date of this Contract to secure such labour, goods or
materials as are essential to the proper carrying out of the works.
Then the TIDEL shall so soon as he is able to estimate the length of the delay beyond the
date or time aforesaid make in writing a fair and reasonable Extension of Time for completion
of the works, provided always that the Contractor shall use constantly his best endeavours to
prevent delay and shall do all that may reasonably be required to the satisfaction of the
TIDEL to proceed with the work.
If the Contractor fails to complete the works within the specified period or within any
extended time fixed under clause 40 of these conditions and the TIDEL certifies in writing that
in his opinion the same ought reasonably so to have been completed, the Contractor shall
pay or allow to the TIDEL a sum calculated at the rate stated in the appendix as agreed
Liquidated damages (not as a penalty) for the period during which the said work shall so
remain or have remained incomplete, the TIDEL may deduct such damages from any
monies otherwise payable to the Contractor under this Contract.

The Bidders are required to submit with the Bid a preliminary Bar Chart / Pert Chart
showing activities with corresponding resource allocation and time planned for various
activities to achieve a coordinated completion as per the specified completion period taking
into account all local weather, site and other prevailing conditions. The progress of work will
be constantly monitored by the TIDEL. Time is the essence of the contract and the project is
time bound.
On award of work the successful Bidder shall, in consultation with the TIDEL produce a
detailed and final Bar Chart / Pert Chart, indicating physical progress of work on a weekly
basis. Upon acceptance of the Bar Chart/ Pert Chart by the TIDEL, the successful Bidder
shall strive and maintain the planned progress most diligently.
When in the opinion of the TIDEL the Works are practically completed, and the work has
been tested and commissioned TIDEL shall l forthwith issue a certificate to that effect and
Virtual Completion of the Work shall be deemed for all the purpose of this Contract to have
taken place on the day named in such certificate.
Any defects shrinkages or other faults which shall appear within the "Defects Liability
Period" stated in the appendix to these conditions and which are due to materials and
workmanship not in accordance with this Contract shall be specified by the TIDEL in a
Schedule of Defects which he shall deliver to the Contractor not later than 14 days after the
expiration of the said Defects Liability Period and within a reasonable time after receipt of
such Schedule the Defects Shrinkages and other faults therein specified shall be made good
by the Contractor and TIDEL shall otherwise instruct in which case the Contract Sum shall be
adjusted accordingly) entirely at his own cost.
When in the opinion of the TIDEL any defects shrinkages or other defaults which he may
have required to be made good under this clause of this Condition shall have been made
good he shall issue a certificate to that effect two months after the last notified defect had
been rectified or the end of defects Liability period, whichever is later, and completion of
making good defects shall be deemed for all the purposes of this Contract to have taken
place on the day named in such certificates.
In no case shall the Contractor be required to make good at his own cost any damage
which may appear after Virtual Completion of the work, unless the TIDEL shall certify that
such damage is due to injury which took place before Virtual Completion of the Works.

45. Loss and expense caused by disturbance of regular progress of the works
U
If upon written application being made to him by the Contractor the TIDEL is of the
opinion that the Contractor has been involved in direct loss and/or expense for which he
would not be reimbursed by a payment made under any other provisions in this Contract by
reason of the regular progress of the works or of any part thereof having been materially
affected by:
The Contractor not having received in due time necessary instructions, Drawings details
or Levels from the TIDELs Engineers / TIDEL for which he specifically applied in writing on a
date which having regard to the date for completion stated in the appendix to these
Conditions was neither unreasonably distant from nor unreasonably close to the date on
which it was necessary for him to receive the same; or
The opening up for inspection of any work covered up or the testing of any work material
or goods in accordance with clause 38 of these conditions (including making good in
consequence of such opening up or testing), unless the inspection or test showed that the
work materials or goods were not in accordance with this Contract; or Any discrepancy or
divergence between the Contract Drawings and/or the Contract Bills; or Delay on the part of
the Artists Tradesmen or others engaged by the TIDEL in executing work not forming part of
this Contract; or TIDEL's instructions issued in regard to the postponement of any work to be
executed under the provisions of this Contract; and if the written application is made within a
reasonable time of it becoming apparent that the progress of the work or of any part thereof
has been affected as aforesaid :
Then the TIDEL shall ascertain the reasonableness and if so admissible, the amount of
such loss and/or expense. Any amount from time to time so ascertained shall be added to
the amount which would otherwise be stated as due in such certificate.
The provisions of this Condition are without prejudice to any other rights and remedies
which the Contractor may possess.
The TIDEL may withhold or on account of a subsequently discovered evidence nullify the
whole or a part of any certificate to such extent as may be necessary in his reasonable
opinion to protect the TIDEL from loss on account of :

47. INSURANCE:
U
It is the contractors responsibility to take insurance for the work, workmen, and third party
liability and indemnify the TIDEL from all claims arising out of this contract. TIDEL will
arrange for insurance only after handing over of the Project to the TIDEL. Contractor to allow
for all risks in his bid rates and no compensation on any account will be paid by TIDEL. Force
Majeure will only permit time extension within his bid rates for contract performance as may
be approved by TIDEL (Cl.42 of Sec.V. for conditions of contract )
i) The Contractor shall be responsible for all injury or damage to persons, animals or
things, and for all damage to property which may arise from any factor omission on the part of
the Contractor or any sub-Contractor or any of their employees.
ii) The liability under this clause shall cover also, inter alia, any damage to structures,
whether immediately adjacent to the works or otherwise, any damage to roads, streets,
footpaths, bridges as well as damage caused to the buildings and other structures and works
forming the subject matter of this contract. The Contractor shall also be responsible for any
damage caused to the buildings and other structures and works forming the subject matter of
this contract due to rain, wind, frost or other inclemency of weather.
The Contractor shall indemnify and keep indemnified the TIDEL and hold him harmless in
respect of all and any loss and expenses arising from any such injury or damage to persons
or property as aforesaid and also against any claim made in respect of injury or damage,
whether under any statute or otherwise and also in respect of any award or compensation or
damage consequent upon such claim.
iii) The Contractor shall, at his own expense, effect and maintain till the issue of the virtual
completion certificate under this contract, with an insurance company approved by the
TIDEL, an All Risks Policy or Insurance including earthquake risk in the joint names of the
TIDEL and the Contractor (the name of the former being placed first in the policy) against all
risk as per the standard. All Risk Policy for the amount of Contract and deposit such policy or
policies with the TIDEL before commencing the works.
iv) The Contractor shall reinstate all damage of every sort mentioned in this clause so as
to deliver up the whole of the works complete and perfect in every respect and so as to make
good or otherwise satisfy all claims for damage to property of third parties.
v) The Contractor shall also indemnify and keep indemnified the TIDEL against all
claims which may be made against the TIDEL, by any person in respect of anything which
may arise in respect of the works or in consequence thereof and shall, at his own expense,
effect and maintain, until the virtual completion of the contract, with an Insurance Company
approved by
the TIDEL a policy of Insurance in the joint names of the TIDEL and the Contractor (name
of the former being placed first in the policy) against such risks and deposit such policy or
policies before commencement of the works. The minimum limit of the coverage under the
Policy shall be Rs.5 Lakhs per person of every accident or occurrence, there being no limit
on the number of such accidents or occurrences.

vi) The Contractor shall also indemnify the TIDEL against all which may be upon the
TIDEL, whether under the workmen's compensation Act or any other statute in force, during
the currency of this contract or at common Law in respect of any employee of the Contractor
or of any Sub-Contractor and shall at his own expense effect and maintain until the Virtual
completion of the contract, with an insurance Company, approved by the TIDEL, a Policy of
Insurance against such risks and deposit such policy or policies with the TIDEL from time to
time during the currency of this contract.
vii) In default of the Contractor insuring as provided above, the TIDEL may to insure and
may deduct the premiums paid from any moneys due or which may become due to the
Contractor.
viii) The Contractor shall be responsible for any liability which may not be covered by the
Insurance Policies referred to above and also for all other damages to any person, animal or
things or defective carrying out of this contract, whatever, may be the reasons due to which
the damage shall have been caused.
ix) The Contractor shall also indemnify and keep indemnified the TIDEL against all and
any cost, charges or expenses arising out of any claim or proceedings relating to the works
and also in respect of any award of damages or compensation arising there from.
x) Without prejudice to the other rights of the TIDEL against Contractor in respect of
such default, the TIDEL shall be entitled to deduct from any sums payable to the Contractor
the amount of any damages, compensation costs, charges and other expenses paid by the
TIDEL and which are payable by the Contractor under this clause.
xi) The Contractor shall, upon settlement by the Insurer of any claim made against the
Insurer pursuant to a policy taken under this clause, proceed with due diligence to rebuild or
repair the works destroyed or damaged. In this event all the monies received from the Insurer
in respect of such damage shall be paid to the Contractor and the Contractor shall not be
entitled to any further payment in respect of the expenditure incurred for rebuilding or
repairing of the materials or goods destroyed or damaged.
xii) The Contractors, in case of re-building or reinstatement after fire, shall be entitled to
such extension of time for completion as the TIDEL may deem fit, but shall, however, not be
entitled
to reimbursement by the TIDEL of any shortfall or deficiency in the amount finally paid by the
insurer in settlement of any claim arising as set out herein.
xiii) Without prejudice to his liability under this clause, the Contractor shall also cause
all direct sub-Contractors to effect, for their respective portions of the works, similar policies of
insurance in accordance with the provisions of this clause and shall produce or cause to
produce to the TIDEL such policies. In the event of failure of the sub-Contractor to take out
such a policy of insurance before commencing the works at the site, the Contractor shall be
responsible for any claim or damage attributable to the said sub- Contractor.
The Contractor shall be liable for and shall indemnify the TIDEL against any liability, loss,
claim or proceedings whatsoever arising under any statute or at common law in respect of
personal injury to or the death of any person whomsoever arising out of or in the course of or
caused by the carrying out of the works, unless such claim arises due to any act or neglect of

the TIDEL or of any person for whom the TIDEL is responsible.
Except for such loss or damages as is at the risk of the TIDEL under clause 49 of these
Conditions (if applicable) the Contractor shall be liable for and shall indemnify the TIDEL
against any expense, liability, loss, claim or proceedings in respect of any injury or damage
whatsoever to any property movable or immovable in so far as such injury or damage arises
out of or in the course of or by reason of the carrying out of the works, and provided always
that the same is due to any negligence, omission or default of the Contractor, his servants or
agents or of any Sub-Contractor, his servant or agent.
Without Prejudice to his liability to indemnify the TIDEL under clause 47 of these
conditions, the Contractor shall maintain and shall cause any Sub-Contractor to maintain :
Such insurances as are necessary to cover the liability of the Contractor or as the case
may be of such Sub-Contractor, in respect of personal injuries or deaths arising out of or in
the course of or caused by the carrying out of the work;
Such insurances as may be specifically required by the Contract Bills in respect of injury
or damage to property movable or immovable arising out of or in the course of or by reason
of the carrying out of the work, and caused by any negligence, omission or default of the
Contractor, his servants or agents or, as the case may be of such Sub- Contractor, his
servants or agents.
The Contractor shall produce or cause any Sub-Contractor to produce for inspection the
relevant policy or policies of insurance together with the receipts in respect of premiums paid
under such policy or policies as and when required so to do by the TIDEL provided always
that as and when may be reasonably required by the TIDEL the production by either the
Contractor or any Sub-Contractor of a current certificate of insurance from the company or
firm which shall have issued the policy or policies aforesaid shall be a good discharge of the
Contractor's obligation to produce or to cause the production of the policy or policies and the
receipts in respect of premium paid.
The Contractor shall maintain in the joint names of the TIDEL and Contractor such
insurances as may be required in respect of any expense, liability, loss, claim or proceedings
which the TIDEL may incur or sustain by reason of injury or damage to property real or
personal arising out of or in the course of or by reason of the carrying out of the work, and
caused
otherwise than by the negligence, omission or default of the Contractor, his servants or
agents or any Sub-Contractor, his servants or agents.
Any such insurance as is referred to in the immediately preceding paragraph shall be placed
with insurers to be approved by the TIDEL and the Contractor shall have to deposit with him
the policy or policies and the receipts in respect of premiums paid for the scrutinizing of the
TIDEL.

50. Insurance_of_the_works_against_fire_etc.
U
The Contractor shall in the joint names of the TIDEL and Contractor insure against loss or
damage by fire, storm, tempest, lightning, flood, earthquake, aircraft or anything dropped
there from, aerial objects, riot and civil commotion for the full value thereof all work executed
and all unfixed materials and goods intends for, delivered to and placed on or adjacent to the
work, but excluding temporary building plant, tools and equipment owned or hired by the
Contractor or any Sub-Contractor and shall keep such work materials and goods so insured
until Virtual Completion of the work. Such insurances shall be with insurers approved by the
TIDEL/TIDEL and the Contractor shall deposit with the TIDEL/TIDEL the policy or policies
and the receipts in respect of premiums paid: and should the Contractor make default in
insuring or continuing to insure as aforesaid the TIDEL may himself insure against any risk
with respect of which the default shall have occurred and deduct a sum equivalent to the
amount paid by him in respect of premium from any monies due to or to become due to the
Contractor.
Provided always that if the Contractor shall independently of his obligations under this
contract maintain a policy of insurance which covers (inter alia) the said work, materials and
goods against the aforesaid contingencies to the full value thereof then the maintenance by
the Contractor of such policy shall if the TIDELs interest is endorsed thereon, be a discharge
of the Contractor's obligation to insure in the joint names of the TIDEL and Contractor and the
production by the Contractor as and when may reasonably be required by the TIDEL of a
current certificate of insurance from the company or firm which shall have issued the said
policy shall be a discharge of the Contractor's obligation to deposit with the TIDEL a policy or
policies and the receipts in respect of premiums paid.
Upon settlement of any claim under the insurances aforesaid the Contractor with due
diligence shall restore work damaged, replace or repair unfixed materials or goods which
have been destroyed or injured, remove or dispose of any debris and proceed with the
carrying out and completion of the work. All monies received from such insurances shall be
paid to the Contractor by installments under certificates of the TIDEL issued at the period of
interim certificates named in the appendix to these conditions. The Contractor shall not be
entitled to payment in respect of the restoration of work damaged, the replacement and repair
of any unfixed materials or goods and the removal and disposal of debris other than the
monies received under the said insurances.
All work executed and all unfixed materials and goods intended for, delivered to and placed
on or adjacent to the works (except temporary buildings, plant, tools and equipment owned or
hired by the Contractor or any Sub-Contractor) shall be at the sole risk of the Contractor as
regards loss or damage by fire, storm, tempest, lightning, flood, earthquake, aircraft or
anything dropped there from, aerial objects riot and civil commotion. If any loss or damage
affecting the work or
any part thereof or any such unfixed materials or goods is occasioned by any one or more of
the said contingencies then :
The occurrence of such loss or damage shall be disregarded in computing any amounts
payable to the Contractor under or by virtue of this Contract.
The Contractor with due diligence shall restore work damaged, replace or repair any
unfixed materials or goods which have been destroyed or injured, remove and dispose of any
debris and proceed with carrying out and completion of the work. The restoration of work
damaged, the replacement and repair of unfixed materials and goods and the removal and
disposal of debris shall be deemed to be a variation required by the TIDEL.

The existing structure together with all the contents thereof and the works and all unfixed
materials and goods intended for, delivered to and placed on or adjacent to the works (except
temporary buildings, plant, tools and equipments owned or hired by the Contractor or any
Sub-Contractor) shall be at the sole risk of the TIDEL as regards loss or damage by fire,
storm, tempest, lightning, flood, earthquake, aircraft or anything dropped there from, aerial
objects, riot and civil commotion, and the TIDEL shall maintain adequate insurance against
that risk if any loss or damage affecting the work or any part thereof or any such unfixed
materials or goods is occasioned by any one or more of the said contingencies then :
The occurrence of such loss or damage shall be disregarded in computing any amounts
payable to the Contractor under or by virtue of this Contract.
(i) If it is just and equitable so to do the employment of the Contractor under this Contract
may within 28 days of the occurrence of such loss or damage be determined at the option of
either party by notice by registered post or recorded delivery from either party to the other.
Within seven days of receiving such notice (but not thereafter) either party may give to the
other a written request to concur in the appointment of an Arbitrator under clause 53 of these
Conditions in order that it may be determined whether such determination will be just and
equitable.
(ii) Upon the giving or receiving by the TIDEL of such a notice of determination or, where
a reference to Arbitration is as aforesaid upon the Arbitrator upholding the notice of
determination the provisions of this Clause (except sub- paragraph) (iii) of paragraph (b) of
clause 50 of these Conditions shall apply.
a. the Contractor with due diligence shall reinstate or make good such loss or damage
and proceed with the carrying out and completion of the works.
b. The TIDEL may issue instructions requiring Contractor to remove and dispose of any
debris; and
c. The reinstatement and making good of such loss or damage and (when required) the
removal and disposal of debris shall be deemed to be a variation required by the TIDEL.
51. Default_:
U
If the Contractor shall make default in any one or more of the following respects, that is to
say :-
If he without reasonable cause wholly suspends the carrying out of the works before
completion thereof, or If he fails to proceed regularly and diligently with the works, or If he
refuses or persistently neglects to comply with a written notice from the TIDEL requiring him
to remove defective work or improper materials or goods and by such refusal or neglect the
work is materially affected.
Then the TIDEL may give him the notice by registered post or recorded delivery
specifying the default, and if the Contractor either shall continue such a default for 14 days
after receipt of such a notice and shall at any time thereafter repeat such a default (whether

previously repeated or not), then the TIDEL without prejudice to any other rights or remedies
may within 10 days after such continuance or repetition of default by notice by registered post
or recorded delivery forth with determine the employment of the Contractor under this
Contract, provided that such notice shall not be given unreasonably or vexatiously.
Bankruptcy of Contractor_:
U U
The TIDEL shall be entitled to determine the employment of the Contractor under this
Contract, if the Contractor shall have offered or given or agreed to give to any person any gift
or consideration of any kind as an inducement or reward for doing or forbearing to do or for
having done or forborne to do any action in relation to the obtaining or execution of this
Contract with the TIDEL, or for showing or forbearing to show favour or dis favour to any
person in relation to this Contract or any other Contract with the TIDEL, or if the like acts shall
have been done by any person employed by the Contractor or acting on his behalf (whether
with or without the knowledge of the Contractor), or if in relation to this Contract or any other
Contract with the TIDEL the Contractor or any person employed by him or acting on his
behalf shall have committed any offence under the prevention of corruption act, or shall have
given any fee or reward the receipt of which is an offence under the Local Government Act.
In the event of the employment of the Contractor being determined as aforesaid and so
long as it has not been reinstated and continued, the following shall be the respective rights
and duties of the TIDEL and Contractor.
The TIDEL may employ and pay other persons to carry out and complete the works and
he or they may enter upon the Works and use all temporary buildings, plant, machinery,
appliances, goods and materials intended for, delivered to and placed on or adjacent to the
works and may purchase all materials and goods necessary for the carrying out the
completion of the Works.
The Contractor shall if so required by the TIDEL or TIDEL within 14 days of the date of
determination assign to the TIDEL without payment the benefit of any Agreement for the
supply of materials or goods and/or for the execution of any works for the purposes of this
Contract but on the terms that a supplier or Sub- Contractor shall be entitled to make any
reasonable objection to any further assignment thereof by the TIDEL. In any case the TIDEL
may pay any supplier or Sub-Contractor for any materials or goods delivered or Works
executed for the purpose of the Contract (whether before or after the date of determination),
in so far as the price thereof has not already been paid by the Contractor. The TIDEL's rights
under this paragraph are in addition to his rights to pay direct Sub-Contractors as provided in
clause 28.1 and payments made under this paragraph may be deducted from any sum due
or to become due to the Contractor.
The Contractor shall as and when required in writing by the TIDEL so to do (but not
before) remove from the works any temporary buildings, plant, tool, equipments, goods and

materials belonging to or hired by him. If within a reasonable time after any such
requirements has been made the Contractor, has not complied therewith then the TIDEL may
(but without being responsible for any loss or damage) remove and sell any such property of
the Contractor, holding the proceeds less all costs incurred to the credit of the Contractor.
The Contractor shall allow or pay to the TIDEL in the manner hereinafter appearing the
amount of any direct loss and/or damage caused to the TIDEL by the determination. Until
after completion of the works under this Clause the TIDEL shall not be bound by any
provisions of this Contract to make any further payment to the Contractor, but upon such
completion and the verification within a reasonable time of the accounts therefor the TIDEL
shall certify the amount of expense properly incurred by the TIDEL and the amount of any
direct loss and/or damage caused to the TIDEL by the determination and if such amounts
when added to the monies paid to the Contractor before the date of determination exceed the
total amount which would have been payable on due completion in accordance with this
Contract, the difference shall be a debt payable to the TIDEL by the Contractor and if the said
amounts, when added to the said monies be less than the said total amount, the difference
shall be a debt payable by the TIDEL to the Contractor.
Without prejudice to any other rights and remedies which the Contractor may possess, if
the TIDEL does not pay to the Contractor the amount due on any certificate within the period
for Honouring Certificates named in the appendix to these Conditions and continues such
default for seven days after receipt by registered post or recorded delivery of a notice from
the Contractor stating that notice of determination under this condition will be several if
payment is not made within seven days from receipt thereof; Or The TIDEL interferes with or
obstructs the issue of any certificate due under this Contract; Or The carrying out of the
whole or substantially the whole of the uncompleted works (other than the execution of
work required under clause 44 of these conditions) is suspended for a continuous period of
the length by reason of :
Force majeure, or Loss or damage occasioned by any one or more of the contingencies
Or Civil commotion, Or TIDEL's instructions issued under clauses 6, 32 or 40 of these
conditions, Or The Contractor not having received in due time necessary instructions
drawings, details or levels from the TIDEL for which he specifically applied in writing on a
date which having regard to the date of completion stated in the appendix to these Conditions
Or to any extension of time when fixed under clause 42 of these Conditions was neither
unreasonably distant from nor unreasonably close to the date on which it was necessary for
him to receive the same, Or Delay on the part of Artists, Tradesmen or others engaged by
the TIDEL in executing work not forming part of this Contract, or The opening up for
inspection of any work covered up or of the testing of any of the work materials or goods in
accordance with clause 38 of these Conditions (including making good in consequence of
such opening up or testing) unless the inspection or test showed that the work materials or
goods were not in accordance with this Contract.
Then Contractor may thereupon by notice by registered post or recorded delivery to the
TIDEL or TIDEL forthwith determine the employment of the Contractor under this Contract;
provided to such notice shall not be given unreasonably or vexatiously.
Upon such determination, then without prejudice to the accrued rights or remedies of
either party or to any liability of the classes mentioned in clause 45 of these Conditions which
may accrue either before the Contractor or any Sub-Contractor shall have removed his or
their temporary buildings, plant, machinery, appliances, goods or materials or by reason of
his or their so removing the same, the respective rights and liabilities of the Contractor and

the TIDEL shall be as follows that is to say :
The Contractor shall with all reasonable diligence despatch in such manner and with such
precautions as will prevent injury, death or damage of the classes in respect for which before
the date of determination he was liable to indemnify the TIDEL under clause 44 of these
Conditions remove from site all his temporary buildings, plant, machinery, appliances, goods
and materials and shall give facilities for his Sub-Contractors to do the same but subject
always to the provisions of this clause.
After taking into account amounts previously paid under this Contract the Contractor shall
be paid by the TIDEL:
The total value of work begun and executed but not completed at the date of
determination the value being ascertained mutatis mutandis in accordance with clause 32 of
these Conditions.
The cost of materials or goods properly ordered for the works for which the Contractor
shall have paid or of which the Contractor is legally bound to pay, and on such payment by
the TIDEL materials or goods so paid for shall become the property of the TIDEL.
Any direct loss and/or damage caused to the Contractor by the determination.
Provided that in addition to all other remedies the Contractor upon such determination
may take possession of and shall have a lien upon all unfixed materials which may have
become the property of the TIDEL under clause 37 until payment of all monies due to the
Contractor from the TIDEL.
At the commencement of work, and from time to time, the Contract shall confer with the
Sub-Contractors, persons, engaged on separate contracts in connection with the work, and
with the TIDEL for the purpose of the co-ordination and execution of the various phases of
the work.
54. Labour
U
The Contractor shall employ no child labour under 14 years of age on the work. If female
labour is engaged the Contractor shall make necessary provision for safeguarding small
children and keeping them clear of the site of operations. No labourer shall reside within the
compound except authorised guards.

55. Protection of trees and shrubs
U
Trees and Shrubs designated by the TIDEL shall be protected from damage during the
course of the work and the earth level shall not be changed within three feet of such trees.
Where necessary such trees and shrubs shall be protected by means of temporary fencing.
56. Guarantee
U U
Besides guarantees required elsewhere, the Contractor shall guarantee the work in
general for one year.
All required guarantees shall be submitted to the TIDEL by the Contractor when requesting
certification of accounts for payment by the TIDEL.
57. Antiquities
U
All fossils and other objects of interest or value which may be found at the site or in
excavating the same during the progress of the work shall become the property of the TIDEL.
The Contractor shall carefully take out and preserve all such objects and shall immediately or
as soon as conveniently may be after the discovery of such articles deliver the same into the
possession of the TIDEL uncleaned and as excavated.
If in the opinion of the TIDEL compliance with the provisions of the preceding Clause has
involved the Contractor in direct loss and/or expense for which he would not be reimbursed
by a payment made under any other provision in this Contract then the TIDEL shall ascertain
the amount of such loss and/or expense, any amount from time to time so ascertained shall
be added to the Contract sum, and if an Interim Certificate is issued after the date of
ascertainment any such amount which would otherwise be stated as due in such certificates.
The decision, opinion, direction, certificate (except for payment) with respect to all or any
of the matters under clauses 6, 10, 27, 28, 38, 42 and 50 hereof (which matters are herein
referred to as the excepted matters) shall be final and conclusive and binding on the parties
hereto and shall be without appeal. If any disagreement on any other decision, opinion,
direction, certificate or valuation of the TIDEL or any refusal of the TIDEL to give any of the
same shall be subject to a reference to Arbitration as covered under Indian Arbitration Act in
force.
59. Disputes :
U
If the Contractor be dissatisfied with the decision of the TIDEL on any matter, question or
dispute of any kind (except any of the excepted matters) or as to the withholding by the
TIDEL of any certificate to which the Contractor may claim to be entitled then and in any such
case either party (the TIDEL or the Contractor) may seek settlement through Arbitration
proceedings in accordance with Indian Arbitration and Conciliation Act 1996 in force. The
venue of Arbitration shall be in Chennai.
The Governing Law of this Agreement and of the relations of the parties arising from it and of
any arbitration pursuant to it shall be the laws of the Republic of India.

Provided always that the TIDEL shall not withhold the payment of an Interim Certificate
nor the Contractor except with the consent in writing of the TIDEL in any way delay the
carrying out of the works by reason of any such matters, question or dispute being referred to
Arbitration but shall proceed with the work with all due diligence and shall, until completion of
Arbitration proceedings, relieve the Contractor of his obligations to adhere strictly to the
TIDELs instructions with regard to the actual carrying out of the works.
Further disagreement, if any, after the Arbitration Award may be resolved through Court of
Law. All such disputes arising out of matters in connection with this agreement shall be
deemed to have arisen at Chennai and only courts in Chennai shall have the jurisdiction to
determine the same.
The work shall however be progressed as per time scheduled, independent of such
exigencies unless the TIDEL desires otherwise.
The Contractor shall protect and preserve the work from all damage or accident by providing
any temporary coverings, boxing or other construction as required by the TIDEL. This
protection shall be provided for all property adjacent to the site as well as on the site.
The Contractor shall properly clean the work as it progresses and shall remove all rubbish
and debris from the site from time to time as is necessary and as directed. On completion
the Contractor shall ensure that the premises and/or site are cleaned surplus materials
debris, sheds etc. removed, areas under floors cleared or rubbish gutters and drains cleared,
and handed over to the TIDEL so that the whole premises is left fit for immediate occupation
or use and to the satisfaction of the TIDEL.

SECTION - VI
5B
GENERAL :
Special Conditions of Contract shall be read in conjunction with the General Conditions
of Contract, Specifications of work, Drawings and any other documents forming part of
this Contract wherever the context so requires. These clauses shall be considered as
an extension and not in limitation of obligation of the STP Contractor.
1. Two Cover System
The Bid shall be of two part bid system, as described elsewhere in the Bid
document. The submission of Bid shall comply with the requirements as detailed
in the two part bid-system.
The Price bid of only technically acceptable pre-qualified bidders will be opened and
evaluated
2. Bid Evaluation:
Please refer to Section IV for Bid Criteria and Methodology for Evaluation of Bid.
3. Site Visit :
The Bidder shall inspect the site and obtain required details on the existing STP
Systems for proper execution of work successfully within the specified time limit. The
responsibility for obtaining all such data / details rests with the Bidder and no claim
to extra at a later date will be entertained by TIDEL due to the failure of the Bidder to
make sufficient investigation prior to Bidding.
The Bidder shall investigate the following items during the site inspection referred
above and to provide in his bidded rates for assuming full responsibility for services
and amenities there for, which will not be payable separately by the TIDEL .
Adequacy of space within the site required for revamping works as well as for
stacking material, fabrication yard, erection of site office, field laboratory, compressor
etc. essential during construction period and any other connected requirements
specifically not mentioned herein or otherwise shall be taken care of by the Bidder.
The Bidder should make his own arrangements for all the above requirements. The
STP Contractor shall arrange for labour camp outside the site, transportation of
labour, materials etc. and the cost incurred thereon should be covered within the
quoted rates.

5. Taxes and Duties
Bidders shall include in their quoted rates all taxes and duties as applicable and
payable by him on the date of submission of Bid.
Any variation during the contract period and any extension thereto will not be paid by
the TIDEL. Contribution to Labour Welfare Fund at the time of getting sanction of the
plans from Local Authorities, is TIDELs responsibility and the bidder shall not include
for the same in his quoted rates.
Permission required to be obtained from local Government and connected bodies for
establishing the site office and executing the work shall be Bidders responsibility.
8. Labour Regulations:
All rules and regulations of labour department, contract labour laws, Provident Fund &
ESI and connected laws.All risk Insurance requirements and all other laws of the land
are to be complied with by the Bidder.
9. Important Provisions :
The following important provisions in the Bid shall be noted before quoting for the
work :
d) Retention money from payment of Running account bills at 10% of the bill

value until it amounts to 5% of contract value as envisaged in Sl.No.25 of
General Instructions and Notice Inviting Bid.
The approved makes wherever listed in the Bid documents are the preferred
makes, based on their performance, reputation etc. The Bidders are
allowed to offer equivalent alternatives, provided the Bidders can guarantee
performance equal to that of the listed products. The final choice of
approving the make of any product will however rest with the TIDEL /
TIDEL and his decision shall be final and binding on the successful Bidder.
The Bidders are required to indicate on a separate annexure a list of items
furnishing details of the manufacturers name, conformity to IS / Standards
etc. for each product. Even where the Bidders intend to use the same make
as per approved list, the name(s) shall be repeated in the annexure. The
Bidders are allowed to furnish names of two manufacturers for each product
in the order of preference. The TIDEL shall review the list furnished by the
Bidders and if the TIDEL is not satisfied with the make of the any particular
item, the TIDEL shall reserve the right to insist on the desired make /
manufacturer.
The Bidders shall have no choice to change the make / manufacturer of any
product mutually agreed upon prior to opening of Bid, thereafter.
Evaluation of Bid shall be on the basis, which is in more conformity to the
approved make(s) / manufacturer listed.
f) All major components / sub-systems / materials forming part of the works
shall be duly tested at the place of manufacture / assembly before despatch.
The manufacturer shall have stringent quality control for the pre-delivery
installation schedules and the product, when it leaves the manufacturing /
assembly plant, be proved to be capable of performing to the specified
criteria. The TIDEL / TIDEL reserve the right to be present at the time of
testing of such major components / sub-systems / materials at the
manufacturers factory / assembly shops. For this purpose, the successful
Bidder shall submit a detailed schedule of manufacturing and testing of
components / sub-systems / materials giving details of the expected dates
of testing, location, duration of testing as well as nature of testing for the
concurrence of the TIDEL. The Bidders shall note that they should include
in the quoted rates the cost of travel and accommodation for a maximum of
three persons representing TIDEL for being present at the place of testing
within the country or abroad.
10. Deleted
Any treasures, antiques, valuable etc. found during excavation belong to the TIDEL
and the same shall be handed over without causing any damage to them.

12. Insurance:
The STP Contractor shall be responsible for any injury to persons, animals or things
and for all structural damage to property which may arise from the operation or
neglect of himself and or any nominated Direct Sub-Contractors, or Direct Sub-
Contractors / Contractor's Employees and or third party whether such injury or
damage arising from carelessness, accident or any other cause whatsoever, in any
way connected with the execution of work.
The cover taken by the STP Contractor towards Third Party Liability shall be for a
value of Rs. 5 Lakhs (Rupees Five Lakhs only) for a single event and there shall be
no upper limit on the number of such events. The Bidders are expected to include
all the charges towards taking all insurance cover, charges towards premium etc., in
the quoted rates and no extras / claims shall be entertained on account of the
Bidders failure to comply with this requirement.
13. The STP Contractor shall take required insurance cover with an approved insurance
company and deposit the policy with the TIDEL well before commencement of work.

14. Scope
A separate scope of services, describing the scope, intent and extent of the works put
to Bid as given in Volume II Schedule of Quantities shall be referred to.
15. Please refer to Volume 1C Technical Specifications of the existing STP & Modification
to be carried out for integrating SKID Mounted MBR System to ensure quantity &
quality of treated water as per TNPCB Norms.
16. Operation & Maintenance of the new integrated STP System for 10 years.

19. Materials and Samples
Unless otherwise provided in the contract all the materials required for the WORK are
to be provided by the STP CONTRACTOR.
The WORK shall be carried out using high quality materials and products from good
source and reputed manufacturer respectively. The tenderers shall furnish the details
of sources and manufacturers of materials and products, which they intend to use in
the WORK if their tender is acceptable.
Quality assurance should be strictly adhered to. All materials are subject to
inspection and approval of the TIDEL before use in the WORK. All WORKS carried
out and
The STP CONTRACTOR shall furnish the TIDEL for approval adequate samples of
all materials to be used in WORK and to permit tests and examinations thereof. All
materials used in the WORK shall be strictly as per approved samples and approved
make.
All materials which are rejected shall be forthwith removed from the site.
The STP CONTRACTOR shall arrange to test materials and / or portions of the
WORKS in field laboratory and also in other approved laboratories at his own cost in
order to prove their soundness and efficiency. If after any such test the WORK or
portion of WORKS is found in the opinion of the TIDEL to be defective or unsound,
the STP CONTRACTOR shall pull down and redo the same at his own cost.
Defective materials shall immediately be removed from the site.

The STP Contractor shall not dump unwanted building debris, chemicals, any
noxious or polluting matter on any vacant plot of land, roadside or drains thereby
causing chokage leading to mosquito breeding or causing contamination of the Site
or the drainage system.
Comply with and pay all charges levied by any Government or Public Authority with
jurisdiction on matters of pollution or site hygiene.
23. Fire Protection During Construction
Provide and keep in working order adequate firefighting equipment for emergency
use.
24 Schedule Of Quantities and Technical Specifications
a) The scope of Service Contract shall entail the successful Bidder to bear the full
responsibility for all kinds of maintenance such as short term, long term, routine,
emergency maintenance etc. The successful Bidder shall be required to post at site
adequate number of personnel for full time, round the clock maintenance. Such
personnel posted at site must have appropriate qualification and experience to ensure
trouble free and continuous operation of the entire system. Senior officers from the
successful Bidders organization must monitor the work of the field personnel
periodically. Detailed documentation must be maintained of all the work undertaken at
site. Adequate spares must be maintained at site stores to ensure that the down time is
minimal. Maintenance schedule and routines must be submitted to TIDEL and any
maintenance work must be undertaken after obtaining approval/permission of the
TIDEL.
b) The Operation contract period shall be for full period of 10(TEN) years including Defect
Liability Period .
c) Lump sum offer for each year of Service Contract period of 10(TEN) years for operation
shall be made and the offer shall remain firm till the end of service contract period and
no escalation on whatsoever account shall be considered.
e) Any expenditure incurred by TIDEL due to defective service rendered under the service
contract shall be deducted from the Quarterly payment.
f) Bidders are required to furnish full details of service facility available in Chennai. They
shall also furnish the maximum time period within which the service personnel would
attend to any compliant by users in the performance of the system.

g) Proof of ESI, PF Payment for the person labour engaged in the contractor of O&M.
Shall be produce along with the quarterly bill for payment.
h) The rate shall include all spares required for satisfactory maintenance of the installation
and required spares. The rate shall also exclude for all consumables including power
required for satisfactory maintenance.
i) The duration of the maintenance period will be one year from the date of completion.
The STP CONTRACTOR shall be responsible for maintenance and rectification of
defects during this period. Any defects, deficiencies or failures noted during this
period shall be rectified within 7 days of intimation in writing failing which the same will
be do neat STP CONTRACTORS risk and cost. The Contractor has to inspect the
works once in every four months or often as called by the TIDEL due to any
exigencies.

B1. SPECIAL CONDITION OF CONTRACT
1. GENERAL:
All expenses incurred by the tenderer in connection with obtaining information for
submitting this tender including his visits to the site or efforts in compiling the tender
shall be borne by the tenderer and no claims for reimbursement thereof shall be
entertained.
2. ACCESS :
The CONTRACTOR should verify the site details including access, availability of
water, power, dumping ground etc. All contingencies connected with site and access
are deemed to be catered for in the rates. The CONTRACTOR shall submit along
with his tender the details of his requirements of water, power etc. and how he
proposes to obtain the same.
3. CONTRACT:
This is an Item Rate contract. The CONTRACTOR to finish the WORK consistent
with true intent and meaning of the drawings, and specifications.
The quantities mentioned in the bill of quantities are indicative and for guidance only.

4. SUPPLY OF WATER AND ELECTRICITY
No water or electricity will be supplied for the WORKS and the CONTRACTOR has to
make his own arrangements for the same at his cost and the rates quoted for all the
items of WORK shall cover for the same and no claim there for in any form shall be
entertained. The CONTRACTOR shall be permitted to use the water and Power
sources available if any at the site.
The tenderers attention is further invited to clause 13 of Notice Inviting Tender and
clause 2.3 and 2.4 of General Information of this tender.
Tenderer is advised to study these clauses to acquaint himself of his obligations for
provision of temporary water and electricity requirements for the purpose of
construction of WORKS and all other requirements.
5. TENDER VALIDITY:
The tender shall remain open for a period of 90 days from the date of Opening of
Technical BID.

6. WORKS PROGRAMME:
Time is deemed to be the essence of this contract. The period of completion of whole
WORK shall be as stated in the Appendix. Summary of Notice Inviting Tender and
Conditions. The tenderer shall furnish full details about his/their construction
management programme, co-ordination with different specialized agencies,
programme schedule of various stages of construction with their bar chart/ pert
chart/CPM chart to achieve the target date of completion.
The tenderer shall submit the list of resources available for the project along with
resource loading Bar Chart indicating the following:
a) Activity description
b) Resource title
The STP CONTRACTOR must follow his planning schedule and must adhere to the
targets / programmes by deploying adequate resources.
The STP CONTRACTOR shall mobilize all plant, machineries, equipments etc.
required to adhere to the time schedule of various activities and events as per Bar
Chart/ Pert Chart /CPM Chart and well in advance.
The WORK shall proceed with as per programme schedule of various stages of
construction shown in the bar Chart/Pert Chart/CPM Chart.
The STP CONTRACTOR shall submit progress report every week which shall
indicate but not be limited to the following:

7. MAINTENANCE LIABILITY
The duration of the maintenance period will be one year from the date of completion.
The STP CONTRACTOR shall be responsible for maintenance and rectification of
defects during this period. Any defects, deficiencies or failures noted during this
period shall be rectified within 7 days of intimation in writing failing which the same will
be done
at STP CONTRACTORS risk and cost. The Contractor has to inspect the works once
in every four months or often as called by the TIDEL due to any exigencies.
Unless otherwise provided in the contract all the materials required for the WORK are
to be provided by the STP CONTRACTOR.
The WORK shall be carried out using high quality materials and products from good
source and reputed manufacturer respectively. The tenderers shall furnish the details
of sources and manufacturers of materials and products, which they intend to use in
the WORK if their tender is acceptable.
Quality assurance should be strictly adhered to. All materials are subject to
inspection and approval of the TIDEL before use in the WORK. All WORKS carried
out and materials supplied shall conform to relevant latest Indian Standard
Specification.
The STP CONTRACTOR shall furnish the TIDEL for approval adequate samples of
all materials to be used in WORK and to permit tests and examinations thereof. All
materials used in the WORK shall be strictly as per approved samples and approved
make.
All materials which are rejected shall be forthwith removed from the site.
9. TESTING OF MATERIALS
The testing of materials shall be carried out by approved laboratories at the STP
CONTRACTORS cost and the results will be binding. The test results in original will
be sent to the TIDEL by the laboratory and a copy of the same sent to the STP
CONTRACTOR.
The STP CONTRACTOR shall arrange to test materials and / or portions of the
WORKS in field laboratory and also in other approved laboratories at his own cost in
order to prove their soundness and efficiency. If after any such test the WORK or
portion of WORKS is found in the opinion of the TIDELs to be defective or unsound,
the STP CONTRACTOR shall pull down and redo the same at his own cost.
Defective materials shall immediately be removed from the site.

11. ERRORS IN THE SUBMISSION
In case of any errors, which increase or decrease the amount of any item, the same
shall be corrected. However the contract price shall remain unchanged. Necessary
percentage correction will be applied to the corrected amount so as to reach the
contract price.
Any error in the submission shall not vitiate or release the STP CONTRACTOR from
his obligations.
In the event of discrepancy between description in words and figures, the description
in words shall prevail.
All the acts and rules regarding payment and other conditions of employing labours
on the WORK shall be binding on the STP CONTRACTOR. The provisions of
Workmen's compensation Act are also binding on the STP CONTRACTOR, who
shall be responsible for making all payment due under the Act.
13. SUPERVISORY STAFF
The STP CONTRACTOR shall engage on the WORK a qualified and experienced
Engineer, capable of managing and executing the WORK properly. This Engineer
shall be authorised by the STP CONTRACTOR in writing to receive the orders issued
by the TIDEL from time to time. The STP CONTRACTOR shall be responsible for
carrying out these orders promptly.
14. ACCIDENTS
Should any accident, fatal or otherwise occur during the execution of WORKS, the
STP CONTRACTOR shall keep the TIDEL fully indemnified against all risks, claims,
litigations and financial burdens arising out of the same. The TIDEL shall be kept
fully informed.
15. PRICE
The tender is for item rate contract and shall be quoted for the complete scope of
WORK described in the bill of quantities, drawings, specifications etc. and the STP
CONTRACTOR shall finish the WORK consistent with true intent and meaning of the
drawings and specifications.
The quantities mentioned in the bill of quantities are indicative and for guidance only.
The tenderer has to study and satisfy himself the quantities required to complete the
project and quote accordingly.
All materials, labour, tools and tackles, erection equipment will be to CONTRACTOR'S
account.
Service tax and cess there or as applicable will be paid extra.
The price should include all applicable taxes and duties, levies, octroi etc.
The owner will be perform such duties in regard to the deduction of such taxes at
source as applicable as per law.
The price quoted should be firm and all inclusive for the entire period of contract. No
claim shall be entertained for any revision.

No escalation in accepted rates due to increase in prices of materials, labour,
transport, hire charges of plant and machineries, fuels, taxes and duties or levies any
future new taxes, duties, levies etc.( - except Service tax and cess thereon - ) or any
other causes or reasons direct or indirect will be accepted by the TIDEL, and rates
accepted shall remain firm till the completion of the contract.

17. DOCUMENTATION :
The contractor shall submit the following guarantee certificates and documents
before submission of Final Bill :
a) As built drawings for all STP installations .
b) Material Test Reports as called for.
c) Structural steel welding and jointing test reports.
d) Any other Material and work inspection reports called for by TIDEL as
found necessary.
e) Process Flow Chart / Components
f) Electrical / Mechanical Drawings / Specifications
g) Manuals (Safety / Services / Operations)
h) TNPCB Compliance Certificate (Consent to operate)
All Bidders are expected to note the aforesaid provisions before Bidding for the
work and cover their rates to fulfill obligations as called for.

B3. Additional Special Conditions
2. All Employees of the STP CONTRACTOR shall wear badge showing name, profession,
date of training, work order no., work description, valid from _____ to _______ , name
of the Contractor, name of supervisor.
3. Welding transformer, if any brought to the site, shall have a valid test certificate
4. STP CONTRACTOR should provide detailed plan of material handling during time of
contract. Material - manual handling shall conform to State Regulations.
5. Pre-commissioning test report shall be provided for all electrical systems. Including
cables, wire, motors, transformers, voltage stabilizers.
6. All rotating and moving parts with a nip must be guarded, such that even a little finger
cannot come in contact with any moving part.
7. Section 32 of the Factory Act regarding ladders, platforms/stairs and scaffolding to be
followed strictly. (For eg. Ladders should have uniform step height of not over 300mm.
All fixed ladders to have railings at a height of 910-1050mm. Ladders over 3m height to
be roped.)
8. All portable ladders shall be of aluminium with rubber shoes and flat treads as per
IS3696 part 2 (1991) except where these could come in contact with live electrical. In
such situations, only carbon fiber or insulated ladders to be used. Wooden and
Bamboo ladders are not to be used. Portable ladders to be stored in a place where it is
easily accessible.
9. All platforms, walkways to have toe-boards of 100 to 150mm and hand rails at a height
of 910mm to 1150mm. A spring return bar gate to be provided at every access to the
ladder.
10. All scaffolds to be of metallic construction and conform to IS2750-1964. Safe access by
means of stairway to be provided if the height is more than 4m. Working platform with
handrails at a height of 910mm to 1150mm and toe boards of 100-150mm to be
provided.
11. Methods statement to be produced for all high risk activities (including risk assessment
of critical activities). Approximate PPE usage for all critical activities to be compiled
with.
12. Lifting gears, tools and tackles and equipment like Electrical shall conform to
requirements of section 28 and 29 of the Factory Act.
13. Noise level at 1 Mtr. distance from the equipment should not exceed the level indicated
elsewhere in the specification.

from unit, Environment Health and Safety Manager and TIDEL guidelines on EHS.

1.0 GENERAL
1.01 TIDEL Park Ltd is a JV company of Tamil Nadu Industrial Development Corporation
Ltd (TIDCO), Electronic Corporation of Tamil Nadu Ltd (ELCOT), located at No.4, Rajiv
Gandhi Salai, Taramani, Chennai.
1.02 DEFINITIONS
iv. BIDDER: shall mean the firm who has purchased the BID documents to submit
for techno commercial Bid to execute the said works.
vi. Contract: shall mean the Contract entered into between TIDEL and the
successful Bidder on award of Contract for the Works.
1.03 BIDS are invited by TIDEL Park Ltd (TIDEL) from reputed, well established and
experienced Contractors for Revamping work of SEWAGE TREATMENT PLANT (STP)
located in Taramani, Chennai. The notice inviting tender is published in leading news
papers and also available in websites www.tidelpark.com,
1.04 BID DOCUMENT can be obtained from the office of the TIDEL Park Ltd, First Floor,
TIDEL Park Ltd, No.4, Rajiv Gandhi Salai, Taramani, Chennai 600 113 from 17.07.2015
to 18.08.2015 upon payment of non-refundable amount of Rs.4500/ - (Rupees Four
Thousand five thousand Only) including VAT, towards the cost of one set of BID
documents in the form of Demand Draft from any Nationalized or scheduled Bank in
favour of TIDEL Park Ltd payable at Chennai. Bid documents can also be downloaded
from the above Websites for information purposes only. Only bidders who purchased the
documents from TIDEL will be permitted to take part in Pre bid meeting and tender must
be submitted only in the prescribed forms obtained from TIDEL.
1.05 Letter of Transmission and information required for Qualification shall be submitted as per

1.06 BIDS are not transferable and will be accepted only from the parties who have purchased
the documents from TIDEL Park Ltd, and downloaded from the website.
1.07 All information called for shall be furnished against the respective columns in the enclosed
form. If the space in the format is insufficient for furnishing full details, separate sheets
may be used duly stating the reference to the format and serial number therein.
Separate sheets shall be used for each format. If information is furnished in a separate
document, reference to the same should be given against respective column(s). If
information is Nil it should also be mentioned as Nil or No such case. If any particular
query is not applicable to the BIDDER it should be stated as Not applicable. However,
the BIDDERS are cautioned that not giving complete information called for in the Bid in
the form required or not giving it in clear terms or making any change in the prescribed
forms may result in disqualification of the BIDDER.
1.08 The tender should be submitted in English only. Supporting documents such as
Certificates of Incorporation, Annual accounts, Balance sheets, Clients certifications,
Testimonials etc., if attached in any other language, should be translated in English. The
Embassy / Official Diplomatic Mission of the Bidders country in India must certify that
English documents are true and accurate translation of original documents. .
1.09 The Bid Document shall be submitted in duplicate in typewritten/handwritten form. The
BIDDERS signature and seal of the firm shall appear on each page of the Bid.
1.10 Overwriting shall be avoided. Mistakes shall be scored through and corrections
incorporated and attested by the authorised signatory. All pages of the BID document
shall be numbered, signed and submitted in a single packet along with a signed letter of
transmittal.
1.11 References, Information and Certificates from the respective clients certifying for
performance and suitability, technical know-how or capability of the BIDDER shall be
signed by the authorised signatory of client.
1.12 The BIDDER is advised to furnish any additional information, which they think is
necessary in regard to its capabilities. No further information will be entertained after
submission of Qualification BID document unless it is called for by TIDEL Park Ltd.
1.13 Bid Document details and enclosures shall be addressed and submitted in sealed
envelopes and addressed to The Chairman and Managing Director, TIDEL Park Ltd. First
Floor, No.4, Rajiv Gandhi Salai, Taramani, Chennai 600 113. Bid submitted late will not
be opened.
1.14 BIDS made by telegram, fax, e-mail or telex and those received late including post/speed
post / courier/ etc., will not be considered.
1.15 Documents submitted in connection with the Bid will be treated as CONFIDENTIAL and
will not be returned.
1.16 The cost incurred by BIDDERS in preparing their Bid, in collecting information, in
providing clarifications or attending discussions, conferences or in making presentations,
site visit etc. in connection with this BID will not be reimbursed by TIDEL Park Ltd under
any circumstances
1.17 Any clarification given by TIDEL Park Ltd on its own will be forwarded to all those who
have been given a copy of the BID documents.

1.18 A pre-bid meeting will be arranged at the office of Tidel park Coimbatore limited, No.4,Rajiv
Gandhi Salai, Chennai-600 113 The date and time of pre-bid meeting shall be 29.07.2015
at 3.30 PM. Clarifications required by the bidders may be sought in writing from
M/s. TIDEL in the document at least three days in advance before the meeting. The
minutes of pre-bid meeting, which will form part of the Agreement, shall be sent to all
bidders. No further clarifications will be given for queries raised after the Pre-bid meeting.
1.19 TIDEL Park Ltd reserves the right to reject any or all BIDS or reduce the scope without
assigning any reasons whatsoever and without incurring any liability to whomsoever.
1.21 TIDEL Park Ltd reserves the right to approach individuals, employers, companies and
corporations to verify BIDDERS competency and general reputation.
2.01 The Works for the present BID comprises of Revamping the existing SEWAGE
TREATMENT PLANT (STP) established at TIDEL Park and integrating with SKID
Mounted MBR System. Also Operation & Maintenance as the STP for 10 years as per
TNPCB norms.
The works should be carried out on a turn key basis covering a performance guarantee
of plant as per the standards committed for minimum Ten Years. The scope of work
includes design, Engineering, Manufacturing, Fabricating, supply, Erection, Testing &
Commissioning of Equipment and Systems inclusive of operations and maintenance
for a period of 10 years including D.L.P .
Mechanical Equipment such as Coarse bar screen, Fine bar screen, Oil skimmer,
Coarse diffusers, Fine diffusers, Permeate Pumps, Membrane modules, Return activator
pumps, Screw Pumps, Poly dosing system, Filter pipes, Interconnection Pipes, Valves,
Electrical equipments and instrumental works.
2.03 The whole Works have to be completed in 6 months including supplying, installing,
testing and commissioning the system
2.04 The estimated cost of the STP supply, Erection, Commissoning, and operation&
maintenance of SEWAGE TREATMENT PLANT (STP) works put to tender is about Rs 90
Lakhs.
2.05 The particulars of the proposed Works given herein must be considered only as advance
information and a general guide to assist bidders.
3.01 The Contract shall be item rate contract with unit rates to be quoted in Rupees.
3.02 Condition of Contract will be as per standard practice and duly modified for local
conditions. Mobilization advance, performance bond, retention money, liquidated
damages, default and arbitration clause will be provided for in the conditions of contract.
The contractor shall be responsible for procurement of all quality materials required for
the performance of the contract.

3.03 Since the project is to be implemented strictly on the time schedule, TIDEL Park Ltd will
lay high emphasis on the capacity of the selected contractor to deploy high tech and
speedy construction techniques, high degree of planning, good procurement and quality
check procedures, quality assurance Plan, Environment and Safety Plan to meet the
appropriate standards, execution, and co-ordination, ability to prepare PERT network and
adherence to it.
4.01 The Construction firms applying for eligibility should have extensive experience and
proven track record in STP installations for multistoried buildings or major industrial
complex.
4.02 The Bid made by a partnership firm, shall be signed by all the partners of the firms above
their full typewritten/handwritten names and current addresses, or alternatively by a
partner holding power of attorney for the firm in which case a certified copy of the power
of attorney shall accompany the Bid. A certified copy of the deed, full names and current
addresses of all the partners of the firm shall also accompany the Bid. (*)
4.03 The Bid made by a firm shall be signed by Authorized signatory or power of attorney
holder but copy of power of attorney /authority to authorized signatory must be enclosed.
4.04 The financial Bids of only those bidders, who fulfill the eligibility criteria mentioned in the
Notice Inviting Tender and mentioned in Clause No.5 below, will be opened.
4.05 Any change in the legal status of a BIDDER subsequent to submission of Bid will be
subject to approval of TIDEL.
(a) The BIDDER should be a well established and reputed STP Contractor, based
either in India or a foreign country with Indian Branch and experience of minimum Five
years in the supply and installations of STP Works of multi-storied buildings or industrial
complex including allied works.
(b) Should have an annual turnover of Rs.3 Crores in all kinds of STP works during any one

Should have adequate material & equipment resources to complete the works within the
scheduled period.

As proof of having executed the works, they must attach copies of Purchase Orders, for supply
and installation of system received from the TIDEL of such buildings. In addition applicants
must necessarily submit a certificate or Testimonial from the TIDEL or user of such buildings.
All the above details should be clearly indicated in the testimonial. Failure to submit all details
called for including Purchase order copies, certificate etc., will entail disqualification
Only companies fulfilling all the above criteria (Clause 5.00) will be pre-qualified
i That they have the required tools, plant and equipment with adequate labour force for the
proposed work.
ii Availability of adequate Engineers or personnel for this work and a lead Senior Engineer for
this work with not less than 5 years experience in similar type and magnitude of works. CV of each
of the key personnel and their experience should be included.
iii The Contractor will be required to submit evidence of availability of service workshop and
facilities to attend to any faults and set right the system and make fit for operation within a
short time of four hours.
iv The Bidder will be required to produce evidence of servicing Workshop and facilities in
Chennai to undertake Annual Maintenance Contract and if need be, to work under the control of
Premises..
Note: Adequate documentary evidence shall be provided for the requirements as called
for in the Bid document along with the application to prove their competence and capability.
All governing laws and jurisdiction shall be as per laws in the State of Tamil Nadu and
Laws of India and Courts in Chennai shall have jurisdiction over all matters arising out of
or relating to this project.
6.01 The site of works may be inspected by the BIDDER or his representative at his own cost,
with prior intimation to TIDEL Park Ltd for proper assessment of the prospective
assignment.
7.01 To be eligible for Qualification, BIDDERS shall provide evidence to suitability of their
meeting
7.02 The Criteria indicated in Clause 5.0 above and furnish details giving their full bio-data,
organization, technical experience, plant and equipments etc. to establish their capacity
and competence, and possession of adequate resources to carry out the contracts
effectively and for this, the BIDS submitted shall include the following: (*)

a) Letter of transmittal ; as in Appendix A
b) Copies of original documents defining the legal status of the BIDDER, its structure
and organization, place of registration and principal place of business of the BIDDER
in Format A.
c) The qualification and experience of key personnel proposed for the administration
and execution of the contract, both on and off site in the format prescribed in
Format-B.
n) Current solvency certificate or letter of support from the BIDDERS Banker for an
amount of Rs.60 Sixty Lakhs, not earlier than three months from the last date for
submission of Tender.
o) Details of cases of having been barred or black listed from the Bidding process, if
any Black-listed Agencies Tender is liable to be rejected.
q) Reports on the financial standing of BIDDER such as Annual Reports along with
Auditors certificate of Profit and loss statements, Balance sheets and Auditors
report for the last three years. The authenticity of all financial statements, Bank
certificates, Certificate of registration / incorporation of company under appropriate
laws of the Bidders country and all other related documents etc. submitted by
Multinational companies must be verified and certified by a leading accounting firm
authorised to operate in India. The certification must state that the financial
statements, Bank certificates, documents etc. are authenticated and prepared as per
applicable Local laws / standards / practices in the country of Bidder.
(r) All governing laws and jurisdiction shall be as per laws in the State of Tamil Nadu
and Laws of India and only courts in Chennai shall have jurisdiction over all matters
arising out of or relating to this project.

(t) The tender should be submitted in English only. Supporting documents such as
Annual accounts, Balance sheets, Clients certifications, Testimonials etc., if attached
in any other language, should be translated in English. The Embassy / Official
Diplomatic Mission of the Bidders country in India must certify that English
documents are true and accurate translation of original documents.
(u) All times and dates mentioned in this Tender Notice and application are Indian
Standard Time (IST). Indian Standard Time only will be followed for communication
and other purposes.
7.03 The BIDDERS must provide evidence of having adequate experience. This should
include supporting certificates of reports relating to financial, technical and other
capability of the BIDDERS. At least three certificates to be produced.
7.04 The BIDDERS are required to make a presentation on their organization, infrastructure,
project-scheduling, performance, capabilities etc. upon request from TIDEL Park Ltd.
7.05 The BIDDERS for prequalification shall provide all facilities to TIDEL Park Ltd for
verification of the information / details furnished by them and also for inspection of their
works carried out / in progress if requested.
(i) The BIDDERS have made untrue or false representation in the forms, statements
and attachments submitted in proof of the qualification and requirements ;
(ii) The BIDDERs track record of poor performance such as abandoning the work,
not properly completing the contract, inordinate delays in completion or financial
failures etc.
(iii) The BIDDERS have suits lodged / admitted / pending against it in a Court of Law
for proceedings for declaration of Bankruptcy, etc or any suit which challenges
the basic existence of the BIDDER and substantially influences its capacity to
implement the Works satisfactorily. Information on the legal matters is to be
submitted as per FORMAT-I.
(iv) The BIDDER shall unconditionally waive all rights in respect of challenging in any
court any matter concerning this BID evaluation and award/termination of
Contract. The aggrieved bidder can approach Tidel Park Ltd., for their appeal
against any order.

9.0 FINAL DECISION MAKING AUTHORITY
9.01 The main criteria for the selection of Contractors for the work will be on the consideration
of their ability to fulfill their obligations under the contract. and competence to do good
quality works within specified time schedule and in close co-ordination with other
agencies, resources committed, evaluation of technical submission etc. in addition to
consideration given for competitiveness of bid price.
9.02 Selection for qualification will be made by TIDEL Park Ltd on the basis of competence of
individual bidders.
9.03 TIDEL Park Ltd reserves the right to accept or reject any Bid or to reduce the scope , or
cancel the exercise without having to incur any cost or to assign any reason for its decision to any
party whatsoever and TIDEL decision on prequalifying contractors will be final and binding. on all
the contractors.

STATUS OF CURRENT LITIGATIONS, IF ANY
The BIDDER is required to disclose as part of bid submission all cases filed against the BIDDER
in any Court of Law in any country. The BIDDER shall give the information in the following format

V. Nature of Submissions :
1. The submissions from the BIDDER in response to the above question under

2. The statement submitted and signed by the Power of Attorney holder shall also

Note : 1) TIDEL or his authorised representatives reserves the right to verify any part of
the information furnished by the BIDDER in the above statements without any
prejudice to the terms and conditions of the Contract. The BIDDER is deemed to
have given his consent for the right of verification by the TIDEL or his authorised

2) If it comes to the notice of the TIDEL that the BIDDER has suppressed any
information or furnished misleading or inaccurate information, or in case whether
any litigation currently in progress at the time of submission of BIDS lead to the
decree by the Court of Law against the BIDDER, the TIDEL reserves the right to
nullify the Qualification and to disqualify the BIDDER. If such information
becomes available to the TIDEL prior to issue of Letter of Intent, the BIDDER will
be disqualified and will not be considered for award of work. If such information
comes to the knowledge of the Client after the award of work, TIDEL reserves
the right to terminate the Contract unilaterally at the total cost and risk of the
BIDDER and such action would include but not Ltd to forfeiture of all deposits,
guarantees etc. furnished in any form. TIDEL will also reserve the right to
recover any Retention Money, Mobilisation Advance paid by invoking of Bank
Guarantees submitted, including invoking of the Performance Bond.

3) The entire work executed upto the stage of such termination including materials
procured and delivered at site will be taken over by TIDEL and adjusted towards
any payment due, as per contract conditions. TIDEL can thereafter arrange for a
bidding process for completion of the balance works, for which any additional
financial burden to be met by TIDEL will also be recovered from the Contractor,
who has been terminated, without prejudice to the other rights of TIDEL under
the Contract.

1.1 GENERAL
The main source of effluent is wastewater resulting from Toilets, pantries, and
washrooms. The scope of work includes supply of membrane, oil skimmer,
coarse diffusers, coordinating during construction, erection, commissioning and
obtaining best results for completely SEWAGE TREATMENT PLANT (STP) with
electrical, mechanical and piping.
The treated effluent should be fit to reuse for Flushing Disposal and
gardening purpose.
The STP work should be carried out on a turnkey basis covering a performance
guarantee of plant as per the standards committed for minimum of Ten years.

installed to treat effluent generated from IT. Park with 15000 professional besides 200
service provider and also effluents from other sources namely food court etc. accordingly
STP with capacity 300KLD has been installed during 2006 with followed system.
Civil, electrical, mechanical, pumps etc has required for function of above system.
A systematic diagram on STP in enclosed as annexure.
1.5 Based on the Raw Waste Water characteristics following treatment scheme is
suggested:
The Sewage is led into a Bar Screen Chamber provided with MS Bar Screen for
removal of floating and large suspended matters. One oil skimmer is to be
provided due to the kitchen waste.
From the equalization tank sewage is allowed to flow through fine screen
chamber, which has opening less than 2 mm and cleaning is done automatically.

From fine screen chamber sewage is allowed to Aeration tank, which comprises
fine pore diffusers and Membranes immersed. Using suction pumps connected to
membrane units, water is sucked out from aeration tank.
Sludge will be retained in the Aeration tank and excess sludge will be
pumped/passed to sludge holding tank and then pumped to filter press when
ever MLSS measured is higher than designed.
The waste sludge from aeration tank is passed to sludge holding tank and then
pumped through screw pump to filter press and solid cakes formed are carted out
1.6 Due to various reason the operation efficient for the STP has been
deteriorated and hence tidel to propose the revamp of the above STP by
integrating with new MBR system skid mounted . therefore necessary civil,
electrical, mechanical have to be carried out of respective item of the
components which are integrated with new MBR system.
A Proposal based on the bidder has submit a design basis provided by TIDEL
PARK LIMITED, to achieve the required effluent parameters with packaged MBR
system of Skid Mounted and the bidder has to provide the treatment process ,
the major system components ,the main system design parameters and design
output as well as design details of system components.
The design solution proposed is based on the values as presented above for a
sewage treatment plant. All concentrations refer to max concentrations to be
used for the systems design. Fluctuations in feed composition and hydraulics will
be appropriately equalized to allow for optimum biological treatment.
The system should be designed for handling larger solids, such as hair and
fibrous material, have to be removed prior to entering the MBR.
Similarly the oil & grease removal system should be provided at the MBR
system inlet by the bidder.

The Skid Mounted MBR Systems should be are pre-engineered, modular wastewater
treatment systems that bring proven membrane bioreactor (MBR) technology to IT Park
skid-mounted applications. Incorporating an integrated, skid-mounted design, MBR
System with treatment capacity of 300 KLD should be supplied in a modular container
system for all weather prove outdoor application should offer reduced operating costs,
smaller plant footprints, more reliable performance, and high quality effluent that meets
TNPCB stringent discharge and reuse standards.
Skid mounted MBR System is to produce superior quality effluent through an innovative
Combination of immersed ultra filtration membranes and a suspended growth biological
reactor. UF membranes should replace the solids separation function of secondary
clarifiers.
The total treatment processes, combined with PLC control of principal system
component, should makes STP operation cost effective. Plant operators are only
required to perform regular preventive maintenance on membrane system pumps,
blowers, and associated mechanical equipment to ensure efficient biological processes
and optimum membrane permeation.
The overall size of skid mounted unit may be provided by the bidder in order to
accommodate the unit within the space available in TIDEL.
2.1 The Bidder should to provide the reinforced hollow-fiber membrane long-life and high
performance in the high-solids environment of a bioreactor with pore size of 0.04 micron
and ensures a particulate-free effluent.
The method of permeation should minimizes energy demands and prevents particles
from fouling and plugging the inside of the membrane fiber.
The permeate flow can be automatically reversed periodically to back flush solids that
have accumulated on the membrane surface. If necessary, in-tank chemical recovery
cleanings to be provided within can restore membrane permeability to optimum levels.
The Membrane modules are to be assembled into cassettes and installed in coated
carbon steel tanks.

2.2 The Bidder is provide the estimated yearly chemical consumption related to recovery
cleans based on installed number of membranes and the influent wastewater

Level of mixed liquor in the process tanks by activated the permeate pump train .
The permeate/Back pulse pump are to be provided to draw treated effluent through the

3.0 GENERAL
It is obligatory on the part of the intending bidder to visit the site of work prior to
submitting the offer and familiarize himself with local/site /soil conditions,
availability of men, Materials and Machinery for successful and timely execution
of the works. No extra shall be paid in case Contractor fails to ascertain correct

3.3 CONSTRUCTION:
b) The structure shall be mounted on a rigid base frame of folded CRCA sheet steel
of minimum 6 mm thickness and 75 mm height. The design shall ensure that the
weight of the components is adequately supported without deformation or loss of
alignment during transit or during operation.
c) A cable chamber housing the cable end connections and power/control cable
terminations. The design shall ensure generous availability of space for ease of
installation and maintenance of cabling and adequate safety for working in one
vertical / horizontal section without coming into accidental contact with live parts
of the adjacent section.
d) A cover plate at the top of the vertical section, provided with a ventilating hood
where necessary. Any aperture for ventilation shall be covered with a perforated

e) Front and rear doors fitted with dust excluding neoprene gaskets with fasteners
designed to ensure proper compression of the gaskets. When covers are
provided in place of doors generous overlap shall be ensured between sheet
steel surfaces with closely spaced fasteners to preclude the entry of dust.
3. The total height of the panel shall not be more than 2300 mm unless otherwise
specified and maximum height of switch operating handle shall not be more than
1800mm from FFL. The total depth of the panel shall be adequate to cater for proper
cabling space.
4. Doors shall be of minimum 14-gauge sheet steel and covers/partitions of 16G sheet
steel. All sheet steel work forming the exterior of switchboards shall be smoothly
finished, leveled and free from flaws. The corners should be rounded.

6. Components forming part of the switchboards shall have the following minimum
clearances:
Between phases - 25mm
Between phases and neutral - 25mm
Between phases and earth - 25mm
Between neutral and earth - 19mm
When, for any reason, the above clearances are not available, suitable insulation
barrier / shielding shall be provided. Clearances shall be maintained during
normal service conditions.
8. Functional units such as circuit breakers, fuse switches, MCCBs, etc. shall be
arranged in multi-tier formation except that not more than two air circuit breakers
shall be housed in a single vertical section.
10. Main bus bars and vertical risers during operation, inspection or maintenance of
functional units and front mounted accessories.
11. Cable terminations of one functional unit, when working on those of adjacent
unit/units.
12. All covers providing access to live power equipment/circuits shall be provided with

During trial runs as described above, the vendor shall satisfy TIDEL in all
respects regarding the satisfactory quality of effluent, quality of materials,
equipments and workmanship used in the plant.
Only after satisfying itself/ himself regarding the above points, TIDEL will take
over the plant and such date of taking over shall be deemed as date of
completion for all purposes, guarantees, and payment terms mentioned else
where in this tender.
The guarantee period described elsewhere in the tender should start from the
date of completion.
The vendor will associate the manufacture of membrane from the design stage
till Testing and Commissioning of the equipment.
3.9 GUARANTEE
The under mentioned clauses shall govern in case of any contrary provisions
given elsewhere in the document.
Manufacturer's Guarantees
The manufacturers guarantee for design, workmanship, and performance for all
bought out items shall be made available to the TIDEL and shall be valid at least
for the entire defects liability period.
In the event of failure of any particular equipment, which fails more than three
items during the guarantee period as mentioned in clause below, the contractor
shall replace at his own cost that equipment. Manufacturer's/Contractor's
guarantee, as mentioned in clause above, for such replaced equipment shall also
be made available to the TIDEL and should be kept at least for one year from the
date of last replacement.

Performance Guarantee
The Contractor shall give guarantee for a period of TEN Years from the date of
successful commissioning of the treatment plant against design, defective
materials, workmanship, performance and guaranteed effluent quality. In the
event the commissioning of the plant is not possible due to non-availability of
effluent, contractor shall be issued mechanical completion certificate by TIDEL
provided each equipment is tested satisfactorily by TIDEL. However, the
contractor shall have to maintain the plant at his own cost, in such a case for a
period for three months beyond which period, if he is required to maintain further,
he will be paid extra at mutually agreeable rate. However, the Contractor shall
carry out testing and commissioning of the plant during the Defects Liability
Period. Any defects found in the workmanship, the Contractor at his own
expense shall make materials or performance of the plant good within the time
specified by TIDEL.
10% of each RA bill until it reaches 5% of the total value of Contract shall be
retained and also treated as performance guarantee. The Successful Tenderer
as per general conditions of contract shall be retained till the completion of
satisfactory commissioning as stated above. The contractor at his own expense
shall start and commission, the plant and prove that it is giving satisfactory
service and desired characteristic of the treated effluent, for two months before
handing over the plant to the TIDEL. During this, the contractor shall train the
TIDELs operational stall without any extra cost to the TIDEL. The Contractor
shall also have to guarantee the quality of the treated final effluent to meet the
specification mentioned already. In case the quality of treated effluent varies
from what is required, the contractor shall rectify the plant at no extra cost so as
to achieve the requisite performance guarantee and satisfactory commissioning

of the plant to the client/Consultant. Despite the first opportunity given to the
contractor to effect rectification so as to achieve compliance, and In case the
quality of treated effluent varies again from what is required, the contractor will be
given one more opportunity to rectify the plant and bring the treated effluent to
the required quality.
If the contractor fails in both opportunities to achieve the required result as
aforesaid, then the TIDEL will have the liberty to engage another agency to carry
out whatever rectification necessary at the contractors risk, cost and all
expenses which will be recovered from any moneys due to the Contractor and
in addition, the retention money and Performance bond being forfeited by the
TIDEL.
The contractor shall furnish the figures for average daily consumption of nutrients
/ Chemicals, if any. All the above guarantees will be based on collection and
analysis of samples as mentioned in clause below.
The contractor shall include in the offer for maintaining the treatment plant
including all the consumables etc., qualified personnel shall be posted on the site
on shift basis, to take the sampling and carry out the tests. A complete record
has to be maintained for all the tests carried out at regular intervals.

The Contractor shall employ a minimum of one operator per shift and one
supervisor during general shift based on 3 shifts/day. The senior chemist of the
contracting firm shall visit at least once a week for monitoring plant operation.
Also one Senior Mechanical Technician shall visit the plant for inspection and
supervision of maintenance of all equipments.

4.6 OPERATION AND MAINTENANCE WORKS (MAN POWER)
The total contract period will be four years from the date of successful commission of the
system including Defect Liability period (DLP) i.e. 18 Months. During the DLP, the bidder
shall replace the materials, if any fails, free of cost. Cost of all spares / components
consumables required for scope of work will be borne by the TIDEL after Defect Liability

PART (D)
The maintenance of STP includes annual maintenance / servicing and all items.
The selected contractor shall carryout the operation and maintenance of SEWAGE
TREATMENT PLANT (STP) equipments from the date of handing over to the TIDEL for
Seven years.
Planned Preventive Maintenance (PPM) to be done as per schedule/checklists for the
equipments and carrying out the PPM activities as per Schedule /checklists. Generating
Spare consumption reports on a monthly basis and submitting to TIDEL
The contractor will operate and maintain the equipment and system daily in accordance
with original equipment suppliers operation and maintenance specification as a minimum
requirement and Standard Operating Procedures (SOP)
The contractor will maintain Log books and registers in which full and detailed records of
all daily operational maintenance and repair activities will be kept to provide a basis for
preparation of periodic reports by the contractor as required to TIDEL
The selected Contractor shall submit daily, weekly, monthly and annual reports as
required by TIDEL
Under the maintenance contract, the contractor shall be responsible for all regular
preventive and breakdown maintenance of all equipments. However the cost of all
spares / components consumables required for scope of work mentioned above will be
borne by the TIDEL after Defect Liability Period.
The Contractors has to carry out Operation Maintenance to the STP for 10 (TEN) years
within the quoted rate for the manpower.
